At the same time, we have been taking steps to achieve a more advanced corporate governance platform by separating management supervisory from business execution functions while clarifying authority and responsibility through the establishment of an executive officer system. The Board, which is composed of 15 directors, is responsible for determining corporate management policies and other significant matters, as well as for supervising the execution of duties carried out by directors and executive officers. We have further enhanced management supervisory functions of the Board with the appointment of two outside directors who oversee the execution of operations from an independent standpoint.

The Audit & Supervisory Board receives reports, discusses and makes decisions on significant internal audit matters. Audit & Supervisory Board members attend Board of Directors meetings and other key meetings and attend business debriefings given by directors. They also conduct internal audits to verify the status of the company’s business and assets, and assess whether directors are executing their duties properly by referring to relevant documents and by participating in debriefings given by the Internal Audit Department, subsidiaries and independent auditors.
