Therefore, Repsol YPF understands that its main function in society is to satisfyenergy needs in those countries where it operates and to do so in an efficient,sustainable and safe manner.

This social function has to be fulfilled in an atmosphere of trust between thecompany and its stakeholders. Social trust is a fundamental asset for achieving itsbusiness objectives, it facilitates a balanced and sustainable distribution of valuebetween its stakeholders and maximises the company’s value over time.

Trust is the basis on which society gives the company a licence to operate. Itsbenefits include enabling Repsol YPF to carry out its business plans with publicendorsement, develop its projects in new locations, command the loyalty of its staffand retain regular customers in such a competitive market as energy.

As for the other assets required for business, to earn anduphold social trust companies need to improve the factors thatgenerate that trust. That is how Repsol YPF understandscorporate responsibility, as integrating protection of theenvironment and social well-being appropriately into ourpractices.

For Repsol YPF, corporate responsibility involves promoting,internally and in its areas of influence, a way of developing itsbusinesses that gains the social trust necessary to fulfil itsstrategic vision: to be an international integrated oil and gascompany, perceived with admiration, and focused oncustomer service and value creation.

The challenge lies in identifying and confronting the criticalfactors for building social trust in Repsol YPF, based on thecompany’s characteristics, its sector of activity and where itoperates. These critical factors form the key corporateresponsibility issues for Repsol YPF, of which management is apriority for the company and of which its stakeholders shouldbe aware. These issues, therefore, are included in thisCorporate Responsibility Report, declared A+ based on thelevels of application defined by the Global Reporting Initiative.

The company identifies the main key issues through itsknowledge of the business and analysis of the social,environmental and market environment.

Key issues: social expectations in Repsol YPF’s differentenvironments

Repsol YPF is an international company operating in highlydiverse geographical, cultural and social environments. Thecompany has policies and procedures to ensure that suchaspects as the environment, human resources or commitmentto the community, among others, are managed consistently inall its activities in any part of the world. This uniformity makesit easier to manage activities and to report results achieved tostakeholders.

Such diversity, however, means that Repsol YPF’s key corporateresponsibility issues do not mean exactly the same in all itsfields of operation. Expectations vary in different environmentsand require appropriate responses.

In terms of the expectations generated among stakeholders,local sensitivity allows to introduce some shades to the meaningof the issues in OECD countries and emerging economies.

Advances in the implementationof the 2007-2009 CorporateResponsibility Master Plan

Repsol YPF aims to consolidate its position in all the countriesin which it is present, developing its business responsibly andgaining the trust of its stakeholders.

The 2007-2009 Corporate Responsibility Master Plan wasdesigned and approved for this purpose and organises, guidesand coordinates the company’s approaches in corporateresponsibility.

The Corporate Responsibility Master Plan includes nineprogrammes, grouped into six strategic lines identified byRepsol YPF, involving all its corporate departments andbusiness areas. It is, therefore, aimed to be a guideline foremployees’ behaviour while carrying out their duties.

The Plan also includes three transverse programmes related totraining, performance monitoring and communication.Overall, Repsol YPF’s Master Plan foresees 65 initiatives untilthe end of 2009, all of which reflect the company’s wish to beone of the most admired companies in its sector wherever itoperates.

2007 was the first year of the three year Plan. The plannedwork was supervised by the Corporate Reputation Committee,formed by representatives from all the company’s divisionsand business units.

Over thirty of the initiatives foreseen by the CorporateResponsibility Master Plan were carried out, which is almost50% of the total programmed, reflecting a very high level ofexecution during its first year.

The initiatives carried out within the framework of the MasterPlan are outlined in each of the chapters of this 2007Corporate Responsibility Report of Repsol YPF.

Source and destination of thecompany’s resourcesThe distribution of value to Repsol YPF’s different stakeholdersgives an idea of the impact of our business on society ingeneral and is demonstrated by the following indicators.

In 2007, Repsol YPF’s operating revenue totalled euros 55,923million.

• Taxes paid to national governments or any other type of taxtotalled euros 15,667 million; 75% are levied taxes and therest income and other taxes.

• Supplies amounted to euros 36,699 million, including thepurchase of raw materials and other goods and services. Ofthe total supplies, approximately euros 30,000 million wereearmarked for crude oil and other raw materials.

• Salary expenses totalled euros 1,855 million.

Cash flows from operations totalled euros 5,712 million andwere used to:• Improve and boost business, with capital investments of

euros 5,373 million.• Remunerate the shareholders with dividend payments of

euros 949 million.

Elaboration principles This report reflects the material information on Repsol YPF’s corporate responsibilityperformance in 2007, and should be read with the information on the company’scorporate website under the Corporate Responsibility section.

This report should be read in conjunction with the rest of the corporate informationfor 2007 prepared by Repsol YPF, including the Consolidated Annual Report, whichprovide further details of strictly economic and financial management, the AnnualCorporate Governance Report, which is based on information regarding Repsol YPF'sgovernance bodies, the Fact Book and other information disclosed on the corporatewebsite.

This Corporate Responsibility Report has been prepared in accordance with the G3Guidelines of the Global Reporting Initiative and the AA1000 standard, a key tool tobring information disclosed into line with the concerns and requests of the mainstakeholders. The company has also taken into consideration the provisions of the oiland gas sector guidelines prepared by IPIECA (International Petroleum IndustryEnvironmental Conservation Association) and API (American Petroleum Institute).

Scope of the reportData supporting environmental and safety information have been extracted from thecompany's information systems and verified by third parties. The criteria used todetermine data to be included in the report are as follows:

For environmental data, as a general rule, 100% of the emissions of different typesare recorded for subsidiary companies in which Repsol YPF has a majorityshareholding and or effective control.

About this report

In the case of greenhouse gases, the emissions produced bycompanies are also included in proportion to the number ofshares held by Repsol YPF in each one, as well as the indirectemissions associated with the purchase of energy from thirdparties and other significant indirect emissions.

Data regarding safety of 100% of employees in subsidiarycompanies is included where Repsol YPF has a majorityshareholding and or effective control. Contractor employeeshave been included where Repsol YPF has a direct contractexceeding one year with the respective companies.

Social information included in the report relates to all Repsol YPF employees who formed part of the Group’sworkforce in 2007, in all geographical areas in which thecompany operates, and personnel of the fully or proportionallyconsolidated companies or those in which Repsol YPF haseffective control.

The social information relating to the company’s relationshipwith local communities refers to all activities carried out byRepsol YPF and its foundations: Fundación Repsol YPF,Fundación Repsol YPF Ecuador and Fundación YPF, whichcontribute to the community in the regions in which thecompany operates.

Good Governance andCorporate Integrity

Repsol YPF knows how important it is for a major company to have a system ofcorporate governance that guides its structure and operations in the interest of thecompany and its shareholders.

The Repsol YPF corporate governance system (essentially included in the Articles ofAssociation and Regulations for the Board of Directors and Annual General Meeting)is founded on the concepts of transparency, shareholder participation, optimumoperation of the Board of Directors and independence of the external auditor.

The Annual General Meeting is where the shareholders take part in the company’sessential decision-making and act as the company’s highest governance body. Thecompany’s interests and businesses not subject to approval by the shareholders atthe Annual General Meeting are governed, managed and administered by the Boardof Directors.

As a general rule, management of the ordinary businesses isentrusted to the Executive Committee and management team,with the Board focusing its activity on general supervision andconsideration of those issues of particular importance to thecompany. The Board of Directors is therefore responsible forsuch matters as the company’s strategic plan, annual budgetsand management objectives; financing and investment policy;corporate social responsibility and corporate governancepolicy; and risk management and control policy, as well ascertain decisions and operations of particular importance dueto their amount or strategic significance.

At present the Board of Directors is formed by 16 directors, ofwhich two are Executive Directors, six are Institutional OutsideDirectors and eight are Independent Outside Directors.

The Board of Directors has set up committees withconsultation and executive powers for greater efficiency andtransparency:

• the Delegate Committee, delegated by the Board ofDirectors and with executive functions; and

• the Audit and Control Committee, the Nomination andCompensation Committee and Strategy, Investment andCorporate Social Responsibility Committee, as specialisedcommittees with supervisory, reporting, advisory andproposal functions.

These three committees work to facilitate Board decisionspreparing studies and backing the Board’s guarantees ofobjectivity when considering and acting on certain issues.

The structure of the Board of Directors and its committees isdescribed in greater detail in the company’s Annual CorporateGovernance Report for 2007.

Corporate Social Responsibilityin the governing bodies ofRepsol YPFThe social function of its businesses and creation of value forits shareholders in a sustainable, transparent and responsiblemanner are important to the company. Consequently, and inline with the recommendations of the Unified GoodGovernance Code, the Board of Directors reserves theauthority to approve the corporate social responsibility policyof Repsol YPF. The Strategy, Investment and Corporate SocialResponsibility Committee makes proposals and reports onthese areas.

In 2005, the Audit and Control Committee of the Board ofDirectors formally took up the specific duties for identifyingand directing Repsol YPF’s policy, objectives and guidelines inthe environment and safety field, through the ResourcesExecutive Division.

Independent Experts Committee - Question 10

Why are there so few female directors at Repsol YPF? What measureshave been taken to correct that situation? In particular, have initiativesbeen adopted so that, when new vacancies arise, the NominationsCommittee ensures that,: a) selection procedures do not implicitlyimpede the appointment of female directors; b) the companydeliberately seeks, and includes among potential candidates, womenthat meet the professional profile sought?

On 19 December 2007 the Board of Directors of Repsol YPF, S.A.approved a new modified text for its Regulations that empowered theNomination and Compensation Committee to evaluate the necessarycapacities, knowledge and experience on the Board and, consequently,to define the required duties and aptitudes of candidates for eachvacancy, as well as the time and dedication necessary for directors toperform well.

Article 33 of the Board of Directors Regulations expressly establishesthat the Nomination and Compensation Committee is responsible forverifying that, when vacancies arise or new directors are appointed,selection procedures are not implicitly discriminatory in any way andthat women with the right professional profile are deliberately soughtas candidates. Initiatives adopted and results are reported to the Board.

No vacancies have arisen on the Board of Directors of Repsol YPF, S.A.and, consequently, no new directors have been appointed since theaforementioned change to the Board’s regulations.

Main Good Governanceinitiatives during 2007 The company has always shown especial sensibility to assumeself-regulatory principles in the area of good governance, asdemonstrated by the approval of a Board of Directorsregulation in 1995.

As part of the continuous process of adapting its corporategovernance principles to best practices, the company hascarried out the following activities during 2007:

• At their Annual General Meeting on 9 May 2007, theshareholders approved the modification of the Articles ofAssociation and Regulations for the Annual GeneralMeeting, mainly to adapt their contents to therecommendations of the Unified Good Governance Code.

• The modified text of the articles of association andregulations for general meetings of shareholders can beconsulted on the corporate website (repsolypf.com), in the“shareholders and investors” section.

• At the Annual General Meeting held on 9 May 2007 theshareholders agreed to abolish the requirement to hold 150shares in order to attend the General Meeting, to augmentshareholders’ involvement in the company’s decision-taking.

• Finally, at the Board meeting on 19 December 2007, thedirectors of Repsol YPF approved a new modified text ofthe Board’s Regulations. This modification wasfundamentally aimed at:a) Adapting the contents of Board of Directors Regulationsto the recommendations of the Unified Good GovernanceCode, taking into consideration the company's specificneeds and situation.b) Ratifying Repsol YPF’s commitment to corporateresponsibility, assigning respective capacities to the entireBoard of Directors and the Strategy, Investment andCorporate Social Responsibility Committee.c) Technically improving the redaction and systemisation ofthe contents of the regulations and simplifying andharmonising governance of the operation and internalworkings of the Board and its committees.

Further information on this modification of the Board’sRegulations can be found in relevant event number 87,451submitted to the Spanish Securities Market Commission on 19December 2007. The modified text of the Board’s Regulationscan also be consulted on the corporate website(repsolypf.com), in the “Corporate Governance” sectionunder “Shareholders and investors”.

Our company

In 2007, Repsol YPF obtained a net result of euros 3,188 million, an increase of 2%from the one of 2006, reaching again a record. The result of the operations was ofeuros 5,808 million and the EBITDA reached euros 8,573 million.

Exploration and Production

This area includes oil and gas exploration and production activities carried out by thecompany throughout the world.

Repsol YPF’s objective in this area is profitable growth that is diversified, sustainableand committed to safety, the environment and local communities. This is achievedthrough the following lines of the 2008-2012 Strategic Plan: the expansion ofproduction and reserves, geographical diversification of activities, operationalexcellence as a low-cost operator and profitability through an increase in averageunit margins.

Refining and MarketingThis area includes oil refining activities in which Repsol YPF isleader in the Spanish and Argentine markets, and is also presentin Peru and Brazil. Repsol YPF markets oil products in 12countries in Europe and Latin America through a network ofover 6,500 points of sale.

Profit in 2007 increased by 27.1% on the prior year, reachingeuros 2,358 million. EBITDA totalled euros 2,545 million,compared to euros 2,640 million in 2006.

In 2007, 56.9 million tonnes of crude were processed, up 1.4%on the prior year, and sales reached 61,467 thousand tonnes,an increase of 4.7% on 2006.

Sales of LPG totalled 3,793 thousand tonnes, representinggrowth of 1.8% on the prior year.

Chemicals

The company's chemical activities are carried out principally inSpain, Argentina, and Portugal, and basic petrochemicalproduction focuses on obtaining olefins and aromatics. Inderivatives, the three main products are polyolefin, intermediateproducts, and industrial products.

Profit on chemical operations during 2007 reached euros 231million, with EBITDA totalling euros 402 million, compared toeuros 490 million in the previous year.

Sales of petrochemical products grew to 4,926 million tonnes,representing an increase of 3.1%. Basic products accounted for968 thousand tonnes and derivatives, 3,958 thousand tonnes.

Profit amounted to euros 2,968 million in 2007. EBITDA forthe year was euros 5,227 million compared to euros 5,609million for 2006.

In 2007 oil and gas production totalled 1,039 million barrels ofoil equivalent per day.

In Liquefied Natural Gas (LNG), one of the company’sgrowing areas, the participation in projects such as Peru LNG,Atlantic LNG and Canaport reinforces Repsol YPF’s position inthis business.

Repsol YPF complies with all the requirements of IAS 6 on the“Exploration for and Evaluation of Mineral Resources”, when preparingits financial statements, as explained in note 3 to the annual accounts.The information required by SFAS 69 in Form 20-F format for annualreports to be filed with the SEC is provided in the annual report, underthe section, “Unaudited information on oil and gas producingactivities”.

Euros 32.3 million earmarked forsocial investment and euros 16.9million for employee trainingResources earmarked for socialinvestment increased by 27% comparedto the prior year, allocated to 812 socialprojects. The company is also developinga system designed to measure socialspending and the impacts of its projectsapplying methodology used by theLondon Benchmarking Group (LBG).Employee training activity rose by 32%compared to the previous year.

Repsol YPF’s profits amount toeuros 3,188 millionThis figure marks a new record and animprovement of 2% on profit for 2006.The earnings per share and the dividendincreased by 2% and 39% respectively.The financial debt reduced to euros 3,493million and the financial expensesdropped 53%.

Creation of the Diversity andBalance Committee This Committee comprises representativesfrom all areas of the company and its aimis to promote equal opportunities and thediversity, improve the balance betweenpersonal and professional life, anddevelop indicators to measure Repsol YPF’s efforts in this regard. In2007, a Working Committee was createdas part of a project to integrate disabledemployees into the company.

New reserves to ensure growthRepsol YPF and NOC, the Libyan state oilcompany, have announced an agreementto develop the I/R oilfield, the company’sbiggest oil discovery in its history. Thisfinding is added to Carioca, the deep-water oil field in the Santos Basin inBrazil, the gas discoveries in Bolivia andPeru and the start-up of the GenghisKhan deep-water mega oilfield in theGulf of Mexico.

New corporate responsibilityfunctions for the Board ofDirectorsFollowing recommendations made in theUnified Good Governance Code preparedby the Spanish National Securities MarketCommission, the Board of Directors willapprove Repsol YPF’s social corporateresponsibility policy. Furthermore, theStrategy, Investment and Corporate SocialResponsibility Committee will assume the reporting and proposal functions inthese areas.

The company also remains part of theClimate Leadership Index (CLI) where itcame top in the sector for its climatechange approach and management.

Technology to meet new energychallengesRepsol YPF is a leader in research anddevelopment in the field of biofuels.From July 2006 until February 2008, thecompany chaired the European BiofuelsTechnology Platform, which aims to helpthis technology quickly produce sociallyand ecologically competitive products,thus contributing to resourcesustainability. The company aims to beable to produce 1 million tonnes of itsown biodiesel by 2010.

Initiatives to reinforcebiodiversity conservationThe company signed an agreement withthe UNEP – WCMC (United NationsEnvironment Programme – WorldConservation Monitoring Centre) toparticipate in the Proteus project andhave access to the most extensiveglobal database on protected land andmarine areas (WDPA – World Databaseon Protected Areas). The company alsocontinued developing the BiodiversityAction Plan (BAP) undertaken in 2006in the context of Block 39 (Peru)exploratory activities, with another BAPbeing launched for offshore operationsin Trinidad and Tobago.

CO2 emissions reduction target met In 2007, Repsol YPF reduced its CO2

emissions by 274,092 tonnes, surpassingthe established annual objective of150,000 tonnes. Approximately 68% ofthe reductions made and 52% of thetotal CO2 emissions inventory wereverified under the ISO 14064 standard,marking progress in the transparency ofthe company’s carbon footprint.

United Nations approval of thefirst methodology set out byRepsol YPF for the recovery offlare gases at the La PlataIndustrial Complex (Argentina)In July 2007, the United Nation’s CleanDevelopment Mechanism ExecutiveBoard approved the first methodologyput forward by Repsol YPF for therecovery of gases from refinery flares,based on a project developed at the LaPlata Industrial Complex (Argentina). Theapproval of the AM0055, “Baseline andMonitoring Methodology for the recoveryand utilization of waste gas in refineryfacilities”, is a great opportunity for othercompanies in the sector which will beable to use it in similar projects.

Reduction in the Lost Time InjuryFrequency (LTIF) for employeesand integrated staffIn 2007, the annual target for Lost TimeInjury Frequency (LTIF) for Repsol YPF´semployees was met, down 24% to 1.9.This reduction comes two years earlier thanthe strategic objective for 2009 of LTIF of2. The LTIF for integrated staff (employeesand contractors) was 2.4, 8% down on2006 and again meeting the annualobjective established.

Best company in the oil and gassector for corporate responsibilityRepsol YPF was rated the best oil companyin Europe and among the top ten on theContinent, according to the GoodCompany Ranking 2007, which rated the120 biggest European companies.

New ethics and behaviourchannels for employeesIn 2007 an extensive internalcommunications campaign was launchedto ensure that all employees were familiarwith the company’s Ethics and ConductRegulation. The core objective was toreinforce the message that compliancewith the regulation is compulsory for allemployees, and at the same time, toinform personnel that the EthicsCommittee is responsible for overseeingcompliance with the regulation.

Reduction in oil spills In 2007 the number and volume of oilspills fell by 23% and 38%, respectively,compared to 2006. This was due todetection, communication and immediateaction taken on spills as well asinvestments mainly in the oil area, in theexploration and production fields, andlogistics.

Most transparent company onthe InternetAccording to the 2007 Webranking,compiled by the Swedish companyHallvarsson & Halvarsson and publishedby the Financial Times, Repsol YPF isEurope’s number one energy companyfor transparency and best practices in thecontents of its corporate website, andoccupies second place in the globalclassification of blue-chip companies inEurope.
