1. Introduction 1.1 The Hong Kong Jockey Club Charities Trust wishes to explore with an aim to understand the nature and extent of interests as well as the supporting philosophy of organisations that may be interested in operating the retail elements of the revitalised Central Police Station site. 2. Overview of the Central Police Station 2.1 The Central Police Station (CPS) Revitalisation Project (the Project) is an important initiative to conserve and revitalise the heritage site comprising the Central Police Station, the Victoria Prison and the Central Magistracy for adaptive reuse. The Project is a partnership of The Government of the Hong Kong SAR and The Hong Kong Jockey Club Charities Trust (The Trust). The Project aims to creatively transform a unique cluster of historically significant buildings in Hong Kong into a vibrant centre for heritage, contemporary art and leisure with access for the public to enjoy. 2.2 The Project includes the conservation of 16 buildings of historical or architectural significance and several open spaces on a site measuring approximately 3.37 acres (13,600 square metres). To support the new cultural activities on the revitalised site, an international renowned firm of architects, Herzog & de Meuron has been engaged to design two new buildings, tentatively named ‘Arbuthnot Auditorium’ and ‘Old Bailey Gallery’. These new buildings will provide additional floor spaces for contemporary art and exhibition areas, educational activities and buildings facilities, and will help to reduce interventions to the historic buildings. 2.3 The architectural design of the Project is the collaborative work of Herzog & de Meuron from Switzerland, the conservation architects Purcell from the United Kingdom and Rocco Design Architects, the Hong Kong based executive architect. 2.4 After the revitalisation works, it is estimated the Project will comprise an approximate total construction floor area of 300,000 square feet (27,900 square metres). Approximately 37% of the construction floor area will be used for heritage and contemporary art, 36% for public circulation and buildings facilities and 27% for commercial use to provide leisure and entertainment to the visitors. The Prison Yard and Parade Ground will be preserved and together with other additional spaces, the total area of major open spaces on the site will be over 40,000 square feet (3,700 square metres). These will offer attractive urban courtyards. 2.5 The venue is planned to be an inclusive and inviting destination supported by a number of restaurants, cafes and shops to enrich visitor experience and provide income to help sustain the maintenance and operation of the heritage site. The revitalised site is scheduled for opening in the second half of 2016.

3. Location 3.1 The Central Police Station compound is located in Central district on Hong Kong Island. The site is bordered on three sides by vehicular roads: Old Bailey Street, Hollywood Road and Arbuthnot Road. Chancery Lane runs along the southern prison wall. 3.2 This is a vibrant and bustling part of the city centre, with easy access to other important heritage sites. Hollywood Road is a busy street dotted with galleries, bars and restaurants. The Mid-Levels escalator system will be connected to the CPS site by a new footbridge planned to be built at the key intersection of Hollywood Road and Old Bailey Street, to provide easier access to the site.

4. Aspiration 4.1 The Trust has taken on the conservation and revitalisation of the CPS compound, hoping to set the benchmark for excellence in the restoration, revitalisation and adaptive reuse of historic structures in Hong Kong. 4.2 The site will be operated by The Jockey Club CPS Limited, a not-for-profit organisation, whose aspiration is to create a locally loved, regionally respected and internationally admired culture and leisure destination that connects the city’s past with excitement for the future by creatively integrating heritage, contemporary art and leisure experience for all to enjoy. 4.3 The site will offer rich and robust heritage and educational programmes, exhibitions, concerts, performances and enjoyable leisure experience for local and international visitors alike. “Create a locally loved, regionally respected and internationally admired culture and

leisure destination.” 4.4 Heritage and Culture 4.4.1 By imaginative adaptive reuse of the carefully conserved buildings and via collaboration with local heritage partners, a series of engaging programmes will be developed. These will educate and inform local and international audiences of the CPS story and its vital role in the city’s past, present and future. 4.5 Contemporary Art 4.5.1 By creating a vibrant site that reflects a broad range of contemporary art and by forming partnerships with local, regional and international arts organisations, a world-class contemporary art destination will be established. The venue will offer dynamic exhibitions, educational programmes, artists-in-residence programmes, concerts, performances and events organised at the ‘Arbuthnot Auditorium’, ‘Old Bailey Gallery’ and across the site. 4.6 Leisure 4.6.1 The historic site will be easily accessible and open for all to enjoy and will offer a welcoming leisure experience. An attractive mix of quality tenants will incorporate heritage and modern cultural features in their offerings, catering to all. 5. Roles & Responsibilities and Management Arrangements 5.1 The Trust’s Roles and Responsibilities 5.1.1 As the partner of the Government in the Project, the Trust has committed to support the renovation and to drive programmes to revitalise the CPS site. To administer this Project effectively, the Trust has incorporated a not-for-profit company called The Jockey Club CPS Limited (JCCPS) to manage the site facilities.

5.2 JCCPS Roles and Responsibilities 5.2.1 JCCPS will establish a dedicated management team who will enter into agreements with the various types of operators and occupants at the CPS site and will work in close collaboration with these operators and occupants. 5.2.2 JCCPS will be responsible for guiding the development of the CPS site into a leading cultural destination, the overall management and maintenance of the CPS site, development and coordination of site-wide activities and programmes involving various types of operators, and development of a long-term partnership with the key stakeholders (such as Government authorities) of the Project. 5.3 The Retail Operators’ Roles and Responsibilities 5.3.1 The primary role of the retail operators is to provide a range of retail offerings that are compatible with the heritage & contemporary art character of the site. 5.3.2 Not only will the retail operators provide products and services for enjoyment by the visitors, they will also help attract visitors to the CPS so that they can be exposed to the heritage & contemporary art programmes on the site. The retail operators will contribute to heritage conservation and contemporary art development by providing rental income to JCCPS and hence to enable the CPS site to become self-sustaining. A guiding philosophy of the Trust for the Project is that the commercial activities are to raise funds for the self-sustainability of the site with any surplus funds made available for the benefit of sustaining the overall operation of the CPS. 5.4 Other Occupants 5.4.1 There will be a mix of other occupants on the site who will lease their premises directly from JCCPS. These occupants will include the Central Magistracy Operator, the F&B operators and not-for-profit organisations and artists-in-residence. These occupants will be selected on the basis that their presence can complement the unique character of the CPS site. 6. The Opportunity 6.1 It is recognised that there are retail operators who would be able to and interested in operating retail outlets at the CPS. The Trust wishes to identify interested parties with the experience, capability and drive to participate in and support the revitalisation project. The retail operators are required to provide retail offerings that are compatible with and complementary to the unique characteristics of the Project. 6.2 Parties interested in operating retail outlets on the CPS site are welcome to express their interest and share with JCCPS their ideas and concepts for operation. Information of the shop spaces ranging in size from approximately 200 to 8,500 square feet and a location plan can be found in Appendix 1.

7. Proviso to Note 7.1 The retail operators may be subject to various conditions and limitations including but not limited to the following: 7.2 The retail operators have to collaborate with JCCPS to arrange free-of-charge guided tours for public access in the premises during the CPS Open Day or such other days as designated for the purpose of opening CPS for free public access. The time and date will be specified by JCCPS. The retail operators will have the full responsibility for collaborating with JCCPS to arrange the guided tours at their own cost and JCCPS will not be responsible for any loss of business or any damages that may be caused by the public during the guided tours. 7.3 The retail operators are required to support the site-wide heritage, art and cultural programmes and events that may be organised by JCCPS, by participating in these activities or organising complementary activities which reflect the aspiration of JCCPS. 7.4 The retail operators are required to take great care to protect the leased premises which may be situated in buildings of historic or architectural significance, and to abide by rules and conditions set out by JCCPS for the protection of these buildings. 8. Submission of the EOI 8.1 The purpose of this Expression of Interest (EOI) is to understand the nature and extent of interest from retail operators, on a non-committal basis, for operating in the CPS and to help formulate the shop mix that will enrich the visitor’s experience at the CPS. Interested parties are welcome to submit an EOI Respondent’s Information (Appendix 2), which will allow JCCPS to register their interests with reference to information that share their ideas and propositions, and will facilitate the selection of potential operators to be invited for further discussion and submissions. 8.2 The EOI Respondent’s Information requires respondents to outline their retail concept at CPS, indicate the range of the optimal shop size, their experience in operating similar retail shop, product price range with product photos, and it is optional for retail operators to indicate which premises they are interested in. It is designed to help JCCPS understand the background of their operations, their aspiration and retail requirement at CPS. 8.3 The invitation is not a pre-qualification exercise to shortlist or pre-qualify any application. Interested parties who do not respond to the EOI will not be barred from filing future applications. A formal invitation for submitting proposals is expected to commence in the second half of 2015 with the target of having executed binding agreements in place by the end of 2015 or the first half of 2016.

8.4 Interested parties are required to submit three hard copies of the EOI Respondent’s Information (Appendix 2) and Form of Declaration (Appendix 3), together with soft copy.
