•Three or more directors with at least one independent director. •Formulate and recommend a CSR policy to the board .•Recommend activities and the amount of expenditure to be incurred .•Monitor the CSR policy from time to time .
Role of the board
• Form a CSR committee • Approve the CSR policy • Ensure implementation of
the activities under CSR • Ensure 2% spend • Disclose reasons for not
spending the amount (if applicable)

Reducing Child mortality and improving maternal health

Contribution to the Prime Ministers Relief Fund
Such other matters as may be prescribed
Activities not covered under CSR
The CSR projects or programs or activities undertaken in India only shall amount to CSR expenditure
Contribution to political party either directly or indirectly shall not be considered as CSR activity
The projects or programs or activities that benefit only the employees and families shall not be considered as CSR activities.
If a company gives its own products for charity then it can not be counted as CSR activities.
