n many respects, 2006 was a transition year for Cegelec. Theorganisation of a secondary LMBO in March with a new invest-ment fund, LBO France, helpedmaintain our independence, which

is viewed by our customers as amajor strength. At the same time, this changeof shareholder was accompanied by new strategic guidelines, especially withregard to external growth.

In 2006, we reaped the benefits of the action plans consistently applied inrecent years, whether in terms of specific sector plans or programmes con-cerning the whole company. Particularly noteworthy examples include anambitious programme of improvement project management, CegelecPRO, theeffective foundation of our corporate culture, and several cost-cutting pro-grammes.

Our results for 2006, however, also highlight the new drive of our company,partly due to the improvement in our economic environment as a whole, butalso to a dynamic commercial approach and the inroads to new marketsgained by our teams.

NINE-MONTH FINANCIAL YEAR

The year was atypical from a financial viewpoint, covering a 9-month fiscal yearstarting from the date of the company's acquisition by LBO France. Direct com-parisons with the results of prior financial years are therefore hard to make.

Over the 9 months of financial year 2006, by comparison with the same periodof the preceding year, orders made a spectacular leap of 12% to 2.3 billioneuros. The signature of several major contracts largely explains this exceptionalgrowth, but the volume of recurring business also increased, all of whichaugurs favourably for the growth of our business in 2007.

Sales, over this same 9-month period, stand at the same level, 2.3 billion euros,up 5%. Excluding Germany, where we continued our proactive policy of scal-ing down our operations, enabling our subsidiary to post a second consecutiveyear in the black, sales would post 7% growth.

EBIT, again over 9months, stands at 92million euros, representing 4.1%of sales.This performance confirms the validity of our policy of greater selectivity in thechoice of projects. Free cash flow, for its part, amounts to 119 million euros, up15 million euros over a comparable period.

NUMEROUS SUCCESSESIN OUR PRIORITY SECTORS

Cegelec won several major contracts in 2006, which show the growing roleplayed by our Group in a number of sectors identified as of top priority, on theinternational level.

In energy, mention should be made of the contracts for the construction ofelectromechanical equipment for two new hydroelectric power stations inMorocco and for renovation of several control and monitoring systems for EDFnuclear power stations in France.

Major electrical systems will also be produced by Cegelec, especially for thefuture EPR plant of EDF in Flamanville, and for five gas compression stations forGDF in France; a household refuse incineration plant in western Germany; thehuge Riopol petroleum complex and the new ThyssenKrupp steel mill in Brazil.

The contract signed with Sonatrach in Algeria, covering about twenty petro-leum facilities, is a sign of recognition of Cegelec's expertise in the significantlygrowing market for protection of sensitive premises and infrastructure. We canalso mention, in France, the uranium enrichment plants Georges Besse I and IIand the multinational headquarters of the rapid response force in Lille.

The latter project provides a good illustration of the credibility acquired byCegelec with the Armed Forces, in France but also abroad and with NATO.Several contracts were signed in 2006, in particular for strategic transmission sys-tems and modular shelters for command centres.

CFB

CEGELECFRANCE BUSINESS

In France, a buoyant economicenvironment and good commercialmomentum allowed organic growthof about 5% to be posted in 2006by comparison with the precedingperiod, irrespective of certainchanges in the consolidation base(transfer of the Swiss operationsto CEB and the Transport centreof competence to GSS). In industryin particular, the regular declinein CFB’s sales in recent years wascurbed. In the infrastructure area,CFB won “cross fertilisation”contracts with GSS in transportand with CWB in Algeria.Hospitals and hotels continueto play a major role in the servicesector. Shipbuilding and Defenceare also important sectors of activityfor CFB. Maintenance, for its part,is a business in its own right,in which Cegelec has specificexpertise, and now represents 25%of CFB's sales. Through externalgrowth, CFB incorporated newexpertise in electricity andmechanical maintenance inthe paper-milling sector.

In transport, our Group won many new orders in 2006 for the construction orrenovation of electrical infrastructure for urban transport networks, inMarseilles,Lyons and Rotterdam in particular, and for the modernisation or supply of newtraction equipment, in Eastern and Central Europe.

Our maintenance operations are progressing significantly, accounting for one-third of our sales. In particular, Cegelec provides multi-technology maintenancefor the infrastructure of theQuai Branlymuseum in Paris, inaugurated in the sum-mer of 2006. Our Group also significantly consolidated its position in postalsorting centre maintenance in France.

MEETING CUSTOMER EXPECTATIONS

Cegelec meets the concerns of its customers, with particular regard to the sensi-tive issue of optimising energy costs faced by all sectors of activity, from industryto services, including local authorities. At the same time, our Group continuesto strengthen its expertise in renewable energy sources, particularly in windpower, biomass, and bioethanol.

Cegelec adopts a proactive attitude to the new forms of partnership that aredevelopingwith local government bodies. In 2006, our Group signed one of thevery first public-private partnership (PPP) contracts for public lighting in France;in early 2007, Cegelec became an official member of the consortium set up forthe construction and concession operation of a newexpress tramway line in Lyons.

The Group pursues an active policy of support for its customers in their inter-national expansion, in particular for Dow Chemical and Heineken in Spain, andPernod Ricard in Cuba.

Our policy of exchange of expertise and cross fertilisation enabled us, for example,towin the contract for renovation of the renownedMamouniaHotel inMarrakechfor the air conditioning systems, a booming market in Morocco.

CEB was formed in April 2006to pool all the Group's Europeanoperations, with the exceptionof France and Germany wherethe volume of business justifiesthe existence of an independentorganisation.Benelux (Belgium, Netherlands,Luxemburg) accounts for around80% of CEB's sales. The othercountries in which the entityhas an active presence are Spain,Poland, and Switzerland, itspresence being greatly reinforcedin the latter country by theacquisition of TSA Telecom in July2006. With the Belgian companyEnsysta, acquired in September,CEB achieved extremely strongexternal growth, these twocompanies together accountingfor full-year sales of more than70 million euros. Note that inDecember 2006 the Group sold itsUK operations to the managementteam, considering that, due totheir nature, they would no longerenable it to achieve critical sizein the UK market.

Driven by the strength of its exportsand capital investment, the Germaneconomy experienced significantgrowth in 2006: apart from 2.5%GDP growth, some segments,especially electricity distributionand production, post positive trends.In this context, CGB confirms itsrecovery, underway for two yearsnow, with respectable performancein all its operations (including theAustrian market and Cegelec'sactivities in aeronautics and space).To profit fully from this momentum,in 2006 CGB launched a programmefor change called C 3, onecomponent of which concerns theentity's growth.In 2007, CGBwill continue to deploythroughout its organisation aproactive marketing andcommercial approach from focusedcentres of competence in buoyantmarket segments, a comprehensivecost optimisation programmedesigned to reinforce itscompetitiveness, and a policy ofadaptation of expertise to meetmarket change.

EXTERNAL GROWTH MOMENTUM

2006 also saw new external growth momentum. Cegelec made three majoracquisitions, allowing sustainable development of the company and reinforcingour foundations.

TSA Telecom in Switzerland consolidates our positions in telecommunications,especially radiocommunications. Ensysta in Belgium enables us to broaden ourservice offering to include the food processing and pharmaceutical industries.Finally, the Frenchmaintenance division of Solystic positions us as a major playerin a business with high growth potential, automated material handling.

This external growth policy will continue in 2007, always with the objectives ofstrengthening our market share and acquiring additional expertise to achievecoherent expansion of our service offering and generate major synergies withinthe Group.

This policy of strengthening our operations where we already have strongmarketpositions or major expertise has led us to re-examine our sphere of action.Accordingly, in December 2006, we sold to the management team our UK ope-rations, largely focused on motor repair.

STRONG INVOLVEMENTOF MANAGERS AND STAFF

Theorganisation of a secondary LMBOwas anopportunity to renew, and reinforce,our policy of involvement of managers and all the employees through a stake inthe company's capital. The number of manager partners doubled and, with thecreation of appropriatemutual funds, almost one in every three employees choseto invest in their company.

On behalf of all the members of the Executive Committee, I should like to thankthem for this sign of confidence in the Group's future.

CWB

CEGELECWORLDWIDE BUSINESS

CWB had a very good year in 2006,with 23% growth in new orders and14% sales growth. In Morocco, CWBtook advantage of its position as aleader to deploy a strategy ofdiversification in several sectors(rail, HVAC engineering).Bahrain served as a base to expandCegelec's operations in Qatar. In Brazil,where Cegelec has the position ofleader in industrial maintenance,business remained sustained thanks tothe large potential of the domesticmarket, stimulated by food andagriculture, the oil sector andmining.In Mexico, Cegelec establishedpermanent relations with CFE andseveral domestic and Europeanindustrial players. In Indonesia, the oilsector still accounts for more than halfof sales. In Algeria, Cegelec won severalmajor infrastructure contracts. CWBcontinues to develop its regionalinfluence from the countries in which itis established, such as Morocco, forexample, with successes in Mauritaniaand Senegal.

GSS

GLOBALSYSTEMS & SERVICES

In a favourable economic environment,GSS confirmed the validity of theGroup's cross-fertilisation of expertisemodel for winning several big projects,in particular in Algeria where Cegelecmade a remarkable breakthrough.2006 was in line with the objectivesand saw a very marked improvementin the orders level at end of year.The year saw GSS make a strongcomeback in the nuclear power sector,with several major contracts.The Energy Division also won a largecontract for two new hydroelectricpower stations in Morocco and foradditional wind-power facilities inFrance. Without reaching the recordlevels of 2005, Cegelec did goodbusiness in the oil sector. Linked to GSSduring the year, Cegelec Transportcontinued to be positioned as a majorplayer in urban transport. In 2006,Cegelec also acquired the Frenchpostal sorting centre maintenancebusiness of Solystic, allowing GSSto establish a strong automatedmaterial handling department.

In the State of Sao Paulo, Brazil,Cegelec wins a first globalmaintenance contract in thepharmaceutical sector for a three-yearperiod with Novartis.

Germany

In the Bremen centre, Cegelec buildsthe electrical systems and all thesystems relating to safety, accesscontrol and fire detection, for thenew radio broadcasting building.

New Caledonia

Cegelec is awarded the extensionof the Anse Vata treatment plantin Noumea, from 7,000 to 25,000 PE(population equivalents), with theobligation of keeping it in servicethroughout the works (30-monthperiod).These works will also allow treatmentof bacteriological pollutionby ultraviolet rays.

Spain

Heineken awards Cegelec theturnkey construction of the dryingsystem for its Seville project.Engineering, design, delivery,installation, testing, and start-upform part of the contract.

Spain

With a view to the shutdown of a unit,Nuclenor entrusts Cegelec withmaintenance of the electricity andinstrumentation part of its Garoñanuclear power station, near Burgos.

Russia

Part two of the Gazprom Astrakhanproject is implemented with theinstallation of 4 servers, 7 SCADA,a telephony network, 370 km of opticalfibre and a security system. This projectemploys 40 people in the Frankfurtand Moscow plants.

Polynesia

In Papeete, start of multidisciplinarymaintenance work on La Railleuse, a400-tonne patrol boat. Similar projectmanagement and overall engineeringwork has been previously carried outsuccessfully on La Rieuse, La Boudeuse,and La Fougueuse.

Spain

Maintenance management of theluggage transport system for the newterminal T4 of Madrid Barajas airport.

Morocco

Against strong internationalcompetition, Cegelec wins the contractfor turnkey construction of the twohydroelectric power stations of Tanafnit(2 x 9 MW) and El Borj (2 x 13 MW).

Dem. Republic of theCongo

Cegelec is in charge of the renovationof the high-voltage line (220 kV)connecting the Inga hydroelectricpower station to the capital Kinshasa.The line, 350 km long, involves 750high-voltage pylons. The aim of theproject is to increase the reliability ofthis virtually unique incoming energyfeeder in the capital.

Belgium

GlaxoSmithKline entrusts Cegelecwith the HVAC engineering of its newWavre unit dedicated to vaccineproduction, and the clean utilities fora new building in which quality controlis performed, the largest of its kindin Europe.

Following the supply, in March,of a SCADA system designed forthe Jintan underground gas storagesystem, Petrochina requests Cegelecto perform additional work on thecontracts for the Jining gas pipelineand the West-East gas pipeline.

Inauguration in Paris of the Quai Branlymuseum (40,000 m²), for whichCegelec executed all the workpackages (electricity and HVAC) andnow provides multiservice maintenance(IT services, facility management withFaceo and technical maintenance).

Germany

Supply of reliable, flexible automationsolutions, control and monitoringsystems, and electric power supplyfor the waste incineration plantsof Knapsack and Grossräschen,on behalf of Von Roll Inova.

France

Through close cooperation betweenits French and Belgian subsidiaries,Cegelec wins the HVAC engineering(heating, ventilation, air conditioningand smoke control) and electricity workpackages for Valenciennes Hospital(72,000 m²), in the north of France.

Groupe Flammarion, a major player inthe French publishing industry, awardsFaceo facility management for its newhead office in Paris.The scope of the contract covers allcorporate services including mail (pressand copyright registration services),which is an extremely sensitive activityfor a publisher that publishes about700 titles each year.

Switzerland

With the acquisition of theSwiss company TSA Telecom,the Group becomes the leadingsystems integrator in French-speaking Switzerland in the areasof telecommunications,radiocommunications, security andsupervision and monitoring systems.

Bulgaria

Cegelec signs a contract with theCzech company Inekon for the supplyof 18 electrical equipment unitsdesigned to modernise the tractionvehicles for the tramways in the cityof Sofia.

France

For AREA, Société des AutoroutesRhône-Alpes, Cegelec provides aBuilding Management System (BMS)and completely renovates all theequipment of the Epine tunnel, locatedbetween Lyons and Chambéry, a nervecentre for winter holiday traffic.

Austria

Cegelec is in charge of electricalsystems for the building ofRennweg Center in Vienna,for SEB Immobilien.

France

Already very active in urbantransport for 17 French cities,Cegelec is awarded the biggest of theelectrical contracts for the extensionof metro line 1 in Marseilles.This contract covers fixed equipmentand the power supply fortraction systems.

September 2006

Belgium

Cegelec acquires the Belgiancompany Ensysta, to strengthenits position in production equipmentfor the food processing industry,pharmaceuticals and the finechemicals sector.

Brazil

ThyssenKrupp awards Cegelec andABB a contract for the procurement,engineering, commissioning andoperational support for the electricalsystems of the rolling mills for its newsteel mill in the State of Rio de Janeiro.

Morocco

The famous La Mamounia luxury hotelin Marrakech is in the hands ofCegelec for renovation of the airconditioning, controlled mechanicalventilation, and smoke control systems.During the works, teams of French andMoroccan workers relay one anotherround-the-clock.

In partnership with Suez andBouygues, Cegelec wins a majorcontract for general electrical systemsand physical protection of the newuranium enrichment plant, GeorgesBesse 2, on Eurodif's Pierrelattesite for AREVA.

Nigeria

Since 1989, as a partner with Bilfinger& Berger in the Nigerian capital Abuja,Cegelec is in charge of the installationof transformers, the power supplycabinets for buildings, and especiallystreet lighting (500 km).

France

Cegelec delivers the third conditionalportion (152 shelters) of a totalof 738 modular command centreshelters for the Army.

France

Delivery of the experimental chamberof the Laser Megajoule, a giganticaluminium sphere 10 m in diameter,to the CEA-CESTA site near Bordeaux.This unique item represents atechnological prowess in sheet metalwork, welding and geometricalmeasurement of a vacuum chamber.

France

To the 160 or so health facilitiesalready benefiting from the multi-technology expertise of Cegelecis added the Nantes university teachinghospital (36,000 m²) for renovationof its fire safety system.

Qatar

egelec has a total workforce of some26,000 people in its subsidiaries, locat-ed inmore than thirty countries around

the world. The company operates in a number of high-growth sectors in various markets (building, oil, etc.) forwhich jobs such as project management engineers anddesign office engineers, confirmed technicians and eveninternational project managers with the experienceneeded to manage projects in sometimes hostile envi-ronments, are in strong demand. Attracting and main-taining the loyalty of quality profiles was one of thepriority missions of the Group in 2006.

IMPROVING OUTSIDERECRUITMENT PROCESSESTo improve the effectiveness of its recruitment, in 2006Cegelec overhauled its organisation in several countriesto strengthen the recruitment function.

Cegelec also established closer linkswith a smaller num-ber of high schools of engineering. In addition, for stu-dents attracted by Cegelec's highly international nature,

the systemof voluntary international service in the com-pany (“VIE”), as it exists in France, represents a nurs-ery of talents that the Group gladly uses.

In line with the pride of being part of Cegelec, co-option is now a key recruitment channel, being drivenby the employees, who have a direct knowledge ofthe company. The newprogrammes established in early2007 are not only campaigns of stimulation, accompa-nied by gifts and financial compensation, but alsomeansof strengthening group spirit, as in Francewhichmakesits 14,000 employees the “players in our expansion”.

INTENSIFYING IN-HOUSE MOBILITYSince 2002, a Charter lays down the rules for mobili-ty, which include the confidentiality of applications andthe obligation of providing geographic mobility sup-port for employees. Job vacancies, in particular, areannounced via the Intranet. In this way, for example,in 2006 most of the middle management positionsfor new projects in Algeria andMoroccowere filled byin-house staff.

Petrobras-Reduc in Brazil an award for the “Best com-pany for Health, Safety, Environment”. Another exam-ple is in Germany, where the accident statistics havedeclined significantly and are well below the nationalaverage. For the second year running, the PCK refin-ery there recognised Cegelec as the best company inits category in the fields of quality, compliance withdeadlines, accidents, and safety.

DISSEMINATING A UNIFORMCULTUREGood integration of employees is an essential concern.Cegelec University accordingly again held several two-day integration seminars in 2006, mainly for youngrecruits, while a specific programme was set up foremployees holding higher management positions, inparticular those coming from companies acquired bythe Group in 2006.

The various training programmes at Cegelec Universityhelp disseminate a common culture and promote theexchange of good practices between the participants.In this sense, they fit in perfectly with the approach ofthe CegelecPRO programme, onwhich they are based,a programmewhich has gone beyond its original objec-tive of controlling margin drift to establish a continualimprovement approach, a real base for the Group'scorporate culture.

The “nursery course”, as practised actively in the Groupin France, Belgium, Spain, and Morocco, for example,is another way of effectively integrating new employ-ees. These integration programmes are not reserved foryoung engineers. Since 2006, integration seminars andmanagement conventions for clerical staff, technicians,and supervisors are organised in France.

EMPLOYEE STOCK OWNERSHIPIn 2006, Cegelec continued a wide-ranging policyapplying to all its employees to have them benefit fromthe fruits of the Group's growth; a similar campaignhad already been launched at the incorporation of thecompany through an LMBO in 2001. Further to thesavings plan established via mutual funds, an operationcalled ESOS ’06, more than one in every three employeesis now a shareholder of the Group, underlining theirconfidence in and attachment to the company.Moreover, the number of managers with a directstake in the company's share capital has doubled bycomparison with the first LMBO.

ORGANISE UPGRADING OF SKILLSBY TRAININGThe Group's main training instrument is CegelecUniversity. In 2006, this organisation received morethan 1300 people in its various training programmes:management of profit centres, project management,site management, sales and marketing, sourcing, andintegration programmes. During the year, trainingcourses in projectmanagement, in particular,were devel-oped to make better allowance for the various types ofprojects within the company and the employees' levelof experience. Training of site managers was also signif-icantly reinforced in 2006. During the year, CegelecUniversity also endeavoured to provide direct support forthe teams set up for projects in progress, so that the peo-ple involved can use their skills together more efficiently.

Apart from Cegelec University, training programmeswere opened to develop in-house resources by helpingthose employees who have the will and the skill totake on greater responsibilities.

SAFETY, A FACTOROF EXCELLENCEIn addition to the health and safety rules specific to eachcountry or region that must be applied by all the sub-sidiaries, compliance with strict safety standards isessential in all the Group's businesses.

Its efforts can bemeasured in the oil sector in particular,where customers' expectations are extremely high. Forexample, in 2006 Cegelec was granted an award byTotal for five accident-free years running on the Girassoloil platform off the shores of Angola, for which theGroup provides maintenance, and it received from

In 2006, Cegelec continued to expand in the oil sector and, inAlgeria, it was awarded contracts for the securitymanagement of several sensitivesites by Sonatrach. The Group expanded its expertise by taking over the companyEnsysta in order to increase its penetration of the food processing, pharmaceuticals,and fine chemicals sectors.

Cegelec acquired the Belgian firm Ensysta, whose cus-tomers include the biggest players in the sector (GSK,Janssen Pharmaceutica, Pfizer, Dupont de Nemours,Vyncolit, SuikerUnieCentrale,Campina, InBev, etc.). In sodoing,Cegelec enriches its expertise in production equip-ment and automatic systems and places itself in a posi-tion to propose comprehensive services including energysolutions, electrical systems, and HVAC engineering.

The acquisition of Ensysta also gives it privilegedaccess to China where the company has several majorcustomers.

In 2006, in particular, Ensystawon a significant contractfor “clean utilities” systems in the Genzyme plant, oneof theworld leaders in biotechnologies, located inGeel,Belgium. Ensysta supplied the industrial ingredientsbranch (DMV) of Campina, one of the largest dairyproduct firms in Europe,with the software for several ofits productionunits inVeghel, located in theNetherlands.

won in November for security management of themajor work zone on the Charles de Gaulle aircraft car-rier in Toulon.

Finally, several large organisations and industrial groupssuch as Areva and Airbus Industrie have called onCegelec to standardise access control for their variousbuildings, extremely sensitivemanagement head officesor strategic technical centres. The Cegelec Secure solu-tion has also been adopted for major service sectorfacilities such as BNP Paribas bank, Marseilles hospitalsor again the Tribunal de Grande instance (High Court)of Bordeaux. Taking its security requirements ever fur-ther, Cegelec adds to its role as integrator the role ofspecifying authority for innovative solutions.

THE OIL SECTOR, DRIVER OFINTERNATIONAL EXPANSIONCegelec's operations in the oil sector have expandedto include all levels of the chain, from upstream (explo-ration, offshore and onshore production) to down-stream (refining, petrochemicals and chemicals), andincluding product transport, storage and loading oper-ations. In China, the Group is building up its businesswith Petrochina by supplying, among other things, aSCADA system designed for the Jintan undergroundgas storage system, and through additional works forthe Jining gas pipeline and theWest-East gas pipeline.In Indonesia, where the oil sector still accounts for morethan half of the sales of Cegelec, Total E&P has award-ed it a contract for execution of the electricity distri-bution, telecom and monitoring and security systemsfor three platforms for the Tunu gas deposit.

A feature of the year was also the order of five newcompression stations for GRT Gaz, a subsidiary of Gazde France, that Cegelec will deliver on a turnkey basisas part of a consortium led by Litwin. In Germany,Cegelec will supply the automatic control equipmentfor gasometers for the Gasag company in Berlin.

The firmwas also awarded a contract tomodernise thecontrol and monitoring system for two GASCO plantsin Abu Dhabi, and to automate the new set of gasproduction wells and the gas collection and transfernetwork in the region of Astrakhan in Russia, on behalfof Gazprom.

SECURITY MANAGEMENT OFINDUSTRIAL FACILITIES: A CEGELECSPECIALITYSecurity management of about twenty Sonatrach gasfacilities in Algeria is one of the biggest contracts wonby Cegelec in 2006. This represents major recognitionof the expertise of Cegelec Secure and its Evolynx prod-uct, which is particularly suitable for handling multisiteapplications in a demanding environment. This con-tract also demonstrates the Group's ability to carry outlarge-scale projects to tight deadlines, because thiswork has to be performed in only twelve months.Among the other contracts for protection of sensitivefacilities should be mentioned the facilities of theAtomic Energy Commission (CEA) in Bordeaux andMarcoule, or the uranium enrichment plants GeorgesBesse I and the future George Besse II for Eurodif(Areva) on the Tricastin site, where Cegelec also imple-ments the general electrical systems, in partnershipwith Ineo and ETDE. At the end of January 2006, about90 Nigerian students of Chevronbegan a recognised full-time one-year training programme leadingto a diploma meeting the CogentOPITO standards. A new session,organised with a third morestudents, began in April 2007.“The difficulty was to set upin only a few weeks a targetedprogramme on a scale never attai-ned before in Nigeria”, explainsPhilippe Gastineau, ManagingDirector Cegelec Oil & Gas Services.The group drew on its solidexperience in the area of training,since each year it trains about1,000 people in the oil sectorthroughout the world. The Cegelecinstructors have been recruitedfrom the four corners of the globe(Nigeria, Romania, UnitedKingdom, France, etc.), therebyallowing sharing of experienceand skills. Cegelec also took partin management of the trainingfacilities. The students live ona campus that not only offersclassrooms provided with state-of-the-art equipment, but also has itsown leisure infrastructure (tenniscourt, swimming pool, etc.).“Initially rather mistrustful,the students soon supported theprogramme enthusiastically,even making suggestionsfor improvements for thefollowing sessions”, emphasisedPhilippe Gastineau.

OIL AND GAS IN NIGERIA

CEGELEC STILL WELL ESTABLISHEDIN BRAZILIn Brazil, Cegelec, which in 2006 completed the electri-cal systems work for Riopol, the largest petrochemicalcomplex in South America, was awarded, in a consor-tium with ABB, the electrical systems contract for thenew ThyssenKrupp steel mill in the State of Rio deJaneiro. Under this contract, the Group will performengineering, procurement, erection and commissioningandwill provide operating support for the electrical sys-tems of the new rolling mills, designed to produce5million tonnes of steel per year.

In New Caledonia, Cegelec won the contract for theelectrical systems of the concentrator for the Tiebaghinickel mines.

SUPPORTING INDUSTRIALFIRMS IN THEIR INTERNATIONALEXPANSIONIn Mexico, Cegelec has established permanent rela-tionships with domestic industrial players (Luiz Min,Pemex) and with European players (Saint-Gobain,Sanofi, Degrémont, Daimler-Chrysler), which it sup-ports in their international expansion. By this sameapproach, thanks to synergies between its subsidiaries,Cegelec has won significant orders in Spain for twomajor Dutch customers, DowChemical and Heineken.

Another emblematic example of the support providedfor the international expansion of its customers is thePSA Peugeot-Citroën plant in Trnava (Slovakia), forwhich Cegelec installed the electrical infrastructure,the fluid production and distribution infrastructure, andthe fire detection-protection system. The plant cameinto operation in 2006. The Group also installed body-in-white lines there on behalf of the French companiesTMS and PCI.With the latter, Cegelec in 2006won twoother automation and robotics contracts for PSA inSpain, on its Vigo and Madrid locations. In Germany,moreover, Cegelec was in charge of production lineelectrical systems for Audi and Daimler-Chrysler.

egelec has been positioned for someyears now in the construction of medi-um-power electric power stations, ther-

mal or wind-power. For example, in 2006: againststrong competition, the Group was awarded the con-tract for the electricity andmechanical work packages,the control andmonitoring system, the evacuation sta-tion and the secondary civil engineering work for twonew hydroelectric power stations in the High Atlas, inMorocco. Cegelec alsowon a contract for constructionof a new5.4MWhydropower unit as part of the SantaGertrudis power station inMexico, on behalf of Pemex.

In France, Cegelec maintains its positions in the con-struction ofwind-power farm infrastructure,with aboutten facilities commissioned in 2006, and in biomass.

Again in renewable energies, the Group has acquiredspecial expertise in bio-refineries, based on its expertknowledge of the industrial processes of the sugarchain –with turnkey contracts inGermany, Poland andSerbia. Cegelec was also awarded a contract for elec-trical systems for the biodiesel plants of Magdebourg,in Germany, and Nogent-sur-Seine in France.

NUCLEAR POWER: PICKUPIN CAPITAL EXPENDITUREThe year also saw Cegelec make a strong comebackin the nuclear power sector, with several majorcontracts. The Group was awarded a contract forrenovation of part of the control and monitoringsystems for 34 units (900 MW series) on 9 of the20 nuclear sites of EDF in France, in a consortium with

In air transport, Cegelec was awarded contracts by therapidly expanding Charleroi Brussels-South airport inBelgium, for air conditioning for its new terminal, andby Frankfurt airport for modernisation of the luggagesorting system for its Terminal C.

Cegelec is also a specialist in electrical and safety facil-ities formotorway and rail tunnels. InGermany, the Emstunnel and the structure located on motorway A17,between Dresden and Prague, were equipped withultra-modern safety systems. In France, Cegelec in 2006completed stage two of renovation of the Epine tun-nel and won the contract for renovation of the heavycurrent systems and air conditioning for the famousMonaco tunnel.

ENVIRONMENT: CEGELEC'S ACTIVITIESINWATER ANDWASTE SERVICESSeveral major orders were taken in Germany forhousehold refuse incineration plants. The Evikon plantin Emlichheim, for which Cegelec is executing theelectrical systems, will have the largest productioncapacity in the country. The Group was also awardedthe automatic control systems, control andmonitoringsystems and electric power supply for the Knapsackand Grossräschen plants. In the Netherlands, Cegelecwas also awarded a contract for furnace renovationfor AVR, in Rotterdam.

DS&S. This contract, for the next 15 years, confirmsthe position held by Cegelec in the small circle of majorsuppliers for the nuclear industry.

Under another high-profile contract, the Frenchelectricity supplier commissionedCegelec, inaconsortiumwith Spie, to provide general electrical systems for theFlamanville third-generation EPR power plant, where itsproven ability tomanage large projects played a decisiverole. The project is noteworthy for its size, comprisingno less than 1900 kilometres of cables, but also forthe procedure adopted: a highly innovative installationsoftware is used which goes directly to the modellingstage. Expertise with this tool is now an additionalasset for Cegelec.

In theareaofpowergrids,Cegelecalso receivedanorderfor a very-high-voltage line for Sonelgaz in Algeria. It isrenovating the high-voltage line linking the Inga hydro-electric power station to Kinshasa, in the DemocraticRepublic of the Congo, and continues to deploy opticalfibre networks on high-voltage pylons inMexico. Underthe “NordNed” project for electricity transport betweenNorway and the Netherlands, theGroup has undertakenconstruction of the biggest electricity conversion stationin the Netherlands.

MAJOR PLAYER IN THEAREAOF TRANSPORTCegelec won the contract for the electric sub-stationsin Rotterdam for extension of the current metro lineand for the future Erasmus line, after completing for thesame customer the installation of all the electric sub-stations for the high-speed tramway line linkingRotterdam, The Hague and Zoetermeer.

In France, the Group signed in Marseilles a contract forelectrical systemsaspart of the renovationandextensionof metro line 1. In Lyons, it is taking part in the con-structionandoperationof theexpress tramway line Leslysvia theRhôneExpress consortium.Cegelec is alsoamajorsupplier of traction equipment and services for tramwayrenovation, and fornewrolling stock,with, amongotherthings, the delivery of 18 traction systems to the urbantransport company of Sofia, in Bulgaria.

In the railway sector, Cegelecwas one of the companiescommissioned to install the catenary systems for thenew TGV-East high-speed train line in France. Giventhat the commercial speed couldbeashighas350km/h,specific constraints related to themechanical tension ofthe cables had to be taking into account by Cegelecpersonnel. In Morocco in particular, the companycontinued to extend its cooperationwith theMoroccanRailway company (ONCF), which awarded it theconstruction of five sub-stations and the installation of150 kilometres of catenary systems.

NUCLEAR POWER—Cegelec is a member of the small circle of majorcontractors for the nuclear industry.

“Fourteen sub-stations in 14 months,quite an exploit!”According to David Langejan,Netherlands manager of site prepara-tion, the 2006 delivery by Cegelec ofthe electrical systems for theRandstadRail project, the rapid transitline linking Rotterdam, The Hagueand Zoetermeer, was possible onlybecause the sub-stations were delive-red in the form of shelters. Designed,manufactured and tested in France,these containers were then delivered“ready for use” to the Netherlands.

This exploit was made possible “bycombining the skills of our teams inthe Netherlands and our CegelecTransport centre of expertise in Lyons(France)”, explains David Langejan.All the expertise of the two entitieswas deployed with a single goal: tobuild in record time 14 sub-stationswhich could only have been deliveredin two or three years with a moreconventional operating procedure.“We used a genuine industrial pro-duction process, with a “plug andplay” concept quite unusual for thistype of project. In this way, all theshelters were tested in-plant in theirfinal conditions of use, including testsunder load, with a test bench speciallydesigned for the purpose,”specifies Franck Lepoivre, Head ofDepartment in charge of the UrbanPublic Transport business in CegelecTransport. The objective was met:“commercial start-up of the line wasin line with the customer's expecta-tions, and in accordance with ourcommitments” added Fabrice VermotDesroches, Senior Project Manager atCegelec Transport. A further orderwas awarded to Cegelec by RET, ope-rator of the Rotterdam transport sys-tems, for complete renovation of theelectric power supply systems (8 sub-stations) for the Erasmus metro line.

RANDSTADRAIL:

In the water sector, Cegelec is taking part in projectsfor the construction and renovation of treatmentplants, especially in the Netherlands. It also won thecontract for extension of the largest treatment plantof NewCaledonia, in Noumea. Theseworkswill, in par-ticular, allow treatment of bacteriological pollution byultraviolet rays.

LOCAL GOVERNMENT BODIES:THE POTENTIAL OF PPPSensitive to the growing concern of its customers forenergy savings, Cegelec is a member of the EuropeanCommission's “Greenlight” programme: during theyear the companywon the overallmanagement for theinstalled public lighting base of Bessancourt in France,fromequipment installation through to the purchase ofenergy, for the period 2006-2013. In the local govern-mentmarket, public-privatepartnerships (PPPs) representanewformofcooperationforwhichCegelechasacquiredexpertise in financial engineering and the setting up ofconsortia. Accordingly, in 2006 the company won oneof the very first PPP contracts in France for operation andmaintenance of the public lighting system inCastelnau-le-Lez, near Montpellier.

DEFENCE: A TRADITIONAL BUSINESSWITHUNEXPECTED SPIN-OFFSIn the defence sector, Cegelec, in particular, supplied athird set of 158 high-availability, rapidly-deployable com-mand centres to the French Army, and guard houses tothe BelgianArmy. Cegelecwas also awarded a contractfor security management of the Lille Citadel, head-quarters of the NATO Rapid Response Force France.

Cegelecwas also awarded a contract formodernisationof the Jupiter network, the telecommunicationsnetworkof the Strategic Command.

An unexpected spin-off of Cegelec's defence activity islight potablewater production stations,whichwere ini-tially designed to meet the needs of the Armed Forces.Today, they increasingly interest governments andhumanitarian organisations to respond, at an econom-ically viable cost, to the needs of displaced populationsand populations living in regions suffering from waterstress, far from any distribution network.

Already present in the Confederation for more than25 years, in so doing Cegelec has become the leadingsystems integrator in French-speaking Switzerlandand has acquired additional skills enabling it to extendits service offering for all the Group's customers. Thisis the case, in particular, for setting-up public andprivate radiocommunicationnetworks, shared-resourcedigital networks based on Tetra and Tetrapoltechnologies,wireless local loops (WLL) and tunnel andunderground links.

TELECOMMUNICATIONS: A BROADEROFFERINGWITH THE INCORPORATIONOF TSA TELECOMIn the civil sector, Cegelec strengthened its offeringin telecommunications, radiocommunications andsecurity, supervision and monitoring systems with theacquisition, in July, of the Swiss company TSA Telecom.

ten major contracts signed in Dijon, Lyons, Caen,St Quentin, Roubaix, Clermont Ferrand, Roanne, etc.Cegelec was also awarded the electricity and HVACengineering work packages for the large hospital ofValenciennes (72,000m²), and contracts for renovationof the fire safety system of the General Hospital inNantes and for the construction of a clinic in Le Mans.In all, the Group worked on some 160 facilities duringthe past year!

HOTELS AND SHOPPING CENTRESHotels are also a sector that is still dynamic, asillustrated by the Intercontinental Hotel of Bora Bora inPolynesia where, after the contract for construction,Cegelec won the installation of electrical, fluids and airconditioning equipment designed for the thalassothe-rapy infrastructure. Another luxury hotel, LaMamouniain Marrakech, the largest hotel complex in Morocco,entrusted the renovation of its air conditioning systemto Cegelec's Franco-Moroccan teams. In 2006, Cegelec was awarded a contract for the modernisationof more than ten or so hospitals in France. in addition, the air conditioning system for theCasaCityCenter hotel complex in Casablanca and the workpackages for the future Kempinski Royal Palace in Agadir.Along the same lines, in Bahrain Cegelec signed twocontracts for new real estate complexes: all the Energywork packages for the BahrainCity Center, a vast shop-ping and leisure centre, and for the tourist site of LuluIsland, with hotels, exhibition centres, villas, etc.

HEADOFFICESIn Germany, the Group continued its policy of selecti-vity, winning the execution of the electrical and secu-rity systems (access control and fire detection) for the

head office of Radio Bremen, for the logistic centreof insurance company HUK-Coburg, and for thebuilding of the Rennweg Center in Vienna for SEBImmobilien. In France, the future head office of CGA-CGM, the third largest player in the world in containership transport, is considered a key project in therevitalisation of Marseilles. Cegelec was awardeda contract for all the heavy current and weak currentsystems in this elegant and futuristic high-rise building(height of 137 m).

With its 287 rooms and suites,its three villas, shops, restaurants,lounges and kitchens, the famousMarrakech luxury hotel,La Mamounia, is currentlyundergoing renovation.The air conditioning, controlledmechanical ventilation and smokecontrol contracts were awardedto Cegelec in 2006.

“Our Moroccan and French teamsjoined forces to meet this majorchallenge, relaying one anotherround-the-clock to allow thislegendary place to be reopenedas soon as possible”, explainsPatrice Barcelone, Head of theMajor Projects Department inCegelec Paris. To the technicalexpertise and resources employedby Cegelec Paris can be addeda firm local establishment,knowledge of the customer and“a very favourable reputation inthe hotel sector (Kempinski, laPalmeraie, la Medina, Casa CityCenter, and so on)”, emphasisesAbdellah Sabri, DepartmentManager in Cegelec Morocco.

n November, following the acquisitionof the branch of Solystic dedicated tomaintenance of French postal sorting

centres, Cegelec made a significant breakthrough inthis sector, taking charge of a dozen mail sorting cen-tres for La Poste in France, in addition to the three par-cel sorting centres for which the company alreadycarried out maintenance.

Cegelec thus acquired straightaway thepositionof leaderin the high-growth market of automated materialhandling, which covers all operations of automatic

transfer of objects at extremely high speeds. Alongsidepostal sorting, the Group has for several years now per-formed note sorter maintenance for central banks, inparticular the Deutsche Bundesbank, andmaintenanceof luggage sorting systems for several European air-ports, to which terminal D of Madrid Barajas wasadded in March.

“When the most modern mailsorting machines can process upto 40,000 letters per hour, theslightest operating interruptioncan have immediate repercussionson mail distribution”, explainsBernard Klein, Key AccountManager. Corrective andpreventive maintenance of thisequipment is therefore a capitalissue with which Cegelec hasbeen faced since 2006, the yearin which the Group won themaintenance contracts fora dozen mail sorting centresof La Poste in France.

“Dirty optical sensors, mechanicalproblems, the slightest grain ofsalt can have major consequencesif the equipment is not properlymaintained”, continues BernardKlein. What is required, therefore,are teams that have an intimateknowledge of extremelysophisticated machines and thatcan combine high technicalexpertise with tips learned eachday in the field.Further to the acquisition ofSolystic's French maintenancedivision in November 2006,in France alone Cegelec has ateam of more than 100 expertsin automated material handling,which also includes operationssuch as luggage sorting andthe sorting of bank notes,for example.

Faceo, a joint subsidiary with Thalès, provides facilitymanagement for theQuai Branlymuseumandachievedseveral successes in 2006, including a contract for theBritish Embassy in Paris, in December.Winning this contract is especially prestigious in that theForeign & Commonwealth Office, which managesBritish Embassies, had never yet adopted this organi-sation procedure.In 2006, a large number of international companies alsoentrusted Faceowith facilitymanagement of their headoffice: SygmaKalon,manufacturer anddistributor of theRipolin and La Seigneurie paint brands, in January; pub-lishing group Flammarion, which, in June, awardedFaceo the contract for all corporate services includingmail (press and copyright registration services), whichis an extremely sensitive activity for a publisher thatpublishes about 700 titles each year; and ABN-Amro,the No. 11 bank group in Europe, which, in addition toits head office, awarded Faceo a contract for itseleven representative sales offices in the provinces.In November 2005, Faceo had won the facilitymanagement of the 150 France Télécom Boutiques,through an offer specifically prepared for companieshaving a point-of-sale network.

CEGELEC BECOMESANAVAILABILITYPROVIDER IN DEFENCEFrom a mere service provider, Cegelec has become anavailability provider. For example, in 2006, the Groupwas awarded a contract by the French Navy to man-age the maintenance and repair of the patrol boat LaRailleuse, in Papeete, and the frigate Vendémiaire, inNoumea and Singapore, taking into account the client’swish to have the work performed as close as possibleto the vessels' home ports. In both cases, this is a com-prehensive turnkey service with project managementand a performance guarantee.In 2006, the leading Spanish naval shipbuilding com-pany, Navantia, awarded Cegelec a contract for gen-eral maintenance of all its establishments in southernSpain for a three-year period.Cegelecwas also selected by the general inspectorate oftheFrencharmedforces toanalyse themethods formain-tainingall theArmy'sequipment inoperational condition.This analysis led to recommendations for reorganisation.Finally, Cegelec extended themaintenancework it hadbeen entrusted with to all the facilities of Nexter (for-merly GIAT).

SPACE: CEGELEC RENEWSITS CONTRACTSCegelec has reorganised its operations in the space sec-tor aroundCegelec Space, a subsidiary of CegelecGer-many (CGB). In 2006, the company renewed itsindustrial service contracts with Arianespace and theCNES for the Guiana Space Centre. Cegelec has beencontracted until 2011 to continue to provide operationandmaintenance of fluids andmechanical systems forthe Ariane 5 launch unit, maintenance and operationof systems for the preparation of payloads (satellites),andprojectmanagement and technical documentman-agement.Forall activities combined,CegelecSpace,withmore than130 employees present in Kourou, is one of the leadingprivate companies present at the Guiana Space Centre.

MULTI-TECHNOLOGYMAINTENANCEAfter building the electrical systems and air condition-ing, Cegelec is now in charge of the multi-technologymaintenance of all the facilities of theQuai Branlymuse-um, a superb 40,000 m² building that opened to thepublic in June 2006. This contract adds another presti-gious building to those that Cegelec already manages,such as the Montparnasse Tower, the Areva buildingand the AGF building in Paris.
