FisheriesCorporationLtd..aGovemmentoflndiaundertakinghavingisregistered

office at No. 14. Watking Lane, Howrah (hereinafter refened to as the "Company")

for promotion and marketing of Fish in the State of West Bengal'

No.4478 - Fish/l5A-14/69 dated November 23' lg73 duly recorded and confirmed

that sanction and grant of permission by the Govemor on behalf of the Sute of

West Bengal for Sale of the "said Premises" in favour of the said Company in

co.sideralion ot.pavlnent of the said proportionale Cost of Rs'l'46'129/- and alsO

recorded that the said order was with the concurrence ofthe Finance Depaflment of

the srare of west Bengal vide V.o. No. Group-A-4,7 dated November 22, 1973'

F. ln vierv of the above' the said Company Messrs' Cenrral Fisheries

Corporation Ltd' duly paid the said Proportionate costs of Rs'l'46'129/- towards

Consideration for Purchasers of the "said Premises" and also duly paid the arrears

ofrent vide challans both dated November 27' 1973'

G. After having paiit the said amount ofRs'l'46'129! towards the consideration

as aforesaid' the ComPany by its leter dated April 5' 1976 also duly forwarded the

l)rati Sale Deed to the Directorale of Fisheries' for is approval' There had been

series of c6nespondence by and between the said Company and the State of West

Bengal represented b'v the Directorate of Fisheries rvith regard to the finalisation of

the Drafr Sale Deed as also completion of the sale by executing Sale Deed in favour

by an order dated 20th September 1984 the Hon'ble Court confirmed the sale of the

.,said premises" in favour of the Purchaser Sri Kishan Gopal Bagaria, aI or for the

sale consideration price of Rs.24l- Lacs to be paid to the official Liquidator and

further directed the state of west Bengal to complete the sale by executing Sale

DeedinfavourofthePurchaserSriKishanGopalBagariawithinthetime

mentioned therein. By a subsequenl order dated 29'h October 1987 the Hon'ble

HighCourt.Calcuttagavedirectionlorcompletionofthesaleofthe..said

J. In terms ofthe said Judgment and order dated 206 september 1984 and dated

sale and further applied for re-calling the saiq Judgment and order-dated

20.09.1984. By a judgment & order dated the 5t Mxy 1987 the said application of

the srare of west Bengar was dismissed by the Hon,6re coun. on an appeal being

Appeal No. 672 of 1987 against the said Judgmeql and order dated the 5s May

1987. the same was also dismissed by a Judgment aq6 order-dated the 6'h Novembbr

1989 passed by the Division Bench of the Hon'ble \igh Courr' Catcuna'

Gopal Bagaria to act in compliance with s'aid order' by three separate letters

agreeable to complete the sale by executing conveyance and also advised their

Advocate Sri Supriya Roy Chowdhury to take necessary steps to withdraw the said

N. By', an Order dated the 26'h day of March 2010 passed by the Division Bench

oftheHon'bleHighCourt'CalcuttathesaidpendingAppealbeingA.P.o'T.No.

766 of 2006 has since been dismissed as withdrawn'

O. In the Premises aforesaid, the State of West Bengal has agreed to complete

the sale andior transfer 0f th6 "said Premises" more fully described in the Second

Schedule hereunder written, free from all encumbrances' in favour of the Purchasers

above named, in due compliance with the said various Judgments and orders

including tlie said Orders dated 20'h September 1984 and dated 29fi October 1987

totheuseofthePurchasers'absolutelyandforeverandinthemanneras

aloresaid AND THAT the "said Premises" is not affected by any

acquisition' requisition and alignment of any nal'ure whaBoever or

howsoever;

ANDTHATthePurchasersshallandmayatalltimeshereafterpeaceably

and quietly enier upon, hold, use' occupy possess and enjoy the "said

premises" and every Part thereof AND receive the rents issued and profits

thereof. rvithoul any lawful e"'iction interruption claim or demand

rvhatsoever frorn or by the vendor or any other person or persons claiming

under the Vendor whosoever' but subject to the Purchasers herein being
