Drawing inspiration from his childhood in Michigan, Alaska and the Florida Keys, “Chef Paul” as he is known by club members, has shared his kitchen with some of the biggest names in his industry: Emeril Lagasse, Wolfgang Puck, Scott Conant and many, many more. Non-Compete Agreements are becoming more and more common place in today’s business environment. More and more companies are requiring

their employees to sign restrictive covenant agreements as a condition of hiring or continued employment. NCA’s are also often used in conjunction with the purchase and sale of a business to prevent the seller from “walking across the street” and setting up shop in a competing business to the one he just sold. These NCA’s are governed by state law and each state that allows for NCA’s has different (but somewhat similar) laws that govern their validity and application.

These agreements and the laws that govern them are designed to protect legitimate business interests and intangible assets of a business from being misappropriated or improperly utilized by a former employee or seller of a business.

Such agreements often contain non-competition provisions, which may provide that an employee or independent contractor is prohibited from working with a competitor of the employer or starting a competitive business during employment and for a period of time within a specified geographic location after his or her employment ends.

Individuals or businesses subject to Florida law who have signed non-compete agreements and are transitioning between employers or starting a new business venture must analyze the extent of the applicable non-compete restrictions and whether such restrictions may be enforceable under Florida law.

In addition, the prospective employers or business partners of such individuals must be equally diligent regarding those non-compete restrictions. Florida courts have noted that there are powerful public policies weighing against depriving people of their ability to earn a living, but have also held that non-competition agreements are enforceable so long as they meet certain criteria such as reasonableness

For a non-compete restriction to be deemed reasonable under Florida law, it must meet each of the following four conditions:

1. The NCA must be in writing and signed by the party who it will be enforced against;

2. The time period of the restriction is no greater than is required for the protection of the legitimate business interest of the employer or business seller ;

3. The geographic restriction is no greater than is required for the protection of the legitimate business interest of the employer or business seller.

4. The restriction is not against public policy.

In addition to the above items, former employers seeking to enforce a non-compete agreement will need to evidence that the employee was given consideration, i.e., something of value, in exchange for agreeing to the non-compete restriction. Examples of consideration include new employment, a promotion, garden leave payments, a raise or any form of bonus compensation. Continuing employment (“sign this or you’re fired”) is also valid form of consideration for “at will” employees.

The value of consideration given to the employee will influence any determination of the reasonableness of the non-compete restriction.

In that regard, an additional critical issue is the skill set

of the employee. New York courts will generally uphold a non-compete restriction against a former employee whose services are “unique or extraordinary”. To meet that standard, it would need to be shown that the services are irreplaceable or that the loss of services would cause irreparable injury to the employer. Florida law presumes irreparable injury in certain circumstances and presumes the time of the restriction reasonable depending on if enforcement is against a former employee, former distributor, seller of a business or involving trade secrets.

As previously stated, geography, duration and scope of the restriction are important factors for establishing the reasonableness of the non-compete restriction. None of those factors, however, should be reviewed independently.

Before the limousine industry, he worked as a Food & Beverage Director at the Hilton resort in the Clearwater Beach, FL. Erica Shahin is the co-owner of LTL Company and the Director of the Personal Lines Department at Brown Insurance, an Independent Agency. Debra Campbell, Founder of Forward Thinking Initiatives (FTI) finds it more than a little unnerving that many kids have no dreams about their future and no guidelines for a path to success. From a selfish perspective, she is downright worried about turning over our companies, our health care and our region’s economic development to this emerging workforce. For that reason, she formed FTI to teach kids in middle and high school how to start their own companies.

Since you can’t seem to get kids excited when you use the word “entrepreneur” (eyes glaze over), FTI created after school programs and summer camps that would begin with the kid’s passions and present the academic pieces (shhh, science and math) in creative, project based formats. For example, their summer camp at MOSI was called Toys and Games, Serious Business! Debra collaborated with Tim Walsh, Founder of the Playmakers, a successful toy inventor and creative consultant on Toyland, the documentary about the toy industry. The kids learned first hand about how to come up with a viable idea and how to market to companies such as Hasbro. Since product development and innovation is a large part of FTI’s programs, the kids also got to create their own games as well as new Rube Goldberg machines and extreme hoops (new versions of the hula hoop). By the end of the camp, they were more than ready to present their business plans to an audience.

Other themes and programs that Forward Thinking Initiatives has developed includes Playing at Work, a sports management and sports science program. They piloted Hockey Business this summer and are now preparing for baseball and football curricula. Business in the Arts, Entrepreneurial Thinking, There is Green to Be Had in Going Green andFamily Business are just some of the other programs.

Not all the programs are strictly entrepreneurial in nature. FTI’s teen empowerment programs also include Kids Consult and Art

Not Hate, a social commentary in art program. This last program allows kids to create an original work of art about an issue of great importance to them, and an artist statement, then a YouTube is created so that their voices are heard and they can have an impact on their world.

Currently, Forward Thinking Initiatives partners with MOSI, the STEM division of the Hillsborough County Schools, the Department of Child and Family Services and Coordinated Childcare of Pinellas with the program rotating among 41 locations throughout Pinellas.

The big news is that FTI is partnering with the Saint Petersberg Chamber of Commerce to launch a youth entrepreneurship academy in 2014. This is a dream come true for FTI’s founder, Deb Campbell. The academy will mainstream career initiatives, teaching innovation and product development and hopefully launching student-operated businesses. The goal is to bring a top quality educational experience to all kids, whether they are gifted, at-risk, college bound or not on a traditional path to success. The FTI academy will be part of the Greenhouse, the city’s small business development center but will have a separate location downtown. Teaching entrepreneurship to teens should have real economic development impact for Tampa Bay. Dr. O’Neal and his team know that continuing education is vital to staying on the cutting edge of modern dentistry. That is why they far exceed the training requirements set by the State of Florida. The Family Dentist has two locations that have state-of-the-art technology and equipment that provides patients with a standard of care that is unmatched.

Creating a healthy smile is a life changing experience. One thing that makes The Family Dentist unique is their commitment to impacting the local community. Project Save a Smile is a non-profit organization founded by Dr. O’Neal to provide dental care to needy children. The annual dental carnival held by Project Save-a-Smile provides dental treatment for under-served foster children and those awaiting foster care in the St. Petersburg, Florida area. A trip to earthquake ravaged Haiti was also staffed and funded through a partnership with the Kiwanis Club of St. Petersburg. Another outreach effort that Dr. O’Neal is involved with is Village Partners International. www.villagepartnersinternational.org VPI is a non-profit organization that partners with communities in Haiti and Africa to create self- sustaining projects in the areas of health, education, housing and nutrition. Dr. O’Neal travels annually to the remote mountain village of Mombin Crochu to provide much needed dental care. This trip provides preventative healthcare to people who have no access to it. The medical services, clean water, housing, and education provided through VPI means that lives are changing in the neediest villages of Haiti and Africa. Donations are always appreciated and the annual fundraiser for this worthy cause takes place on October 19, 2013.
