Date: October 10, 2017 Subject: Adelanto Greenhouse project and Power generation requirements Reference: Two FlexEnergy Turbine® , Model GT333S, rated at 333 KW per unit Dear Mr. Khanbeigi, Attached is our proposal with multiple options for Two FlexEnergy gas turbine systems in weatherproof enclosure and Grid parallel for your Greenhouse Facility in Adelanto. The economics of the project for cost of power generation are very attractive, especially when compared with the cost of electricity from the utilities. Our proposal includes the “dual mode” feature that we discussed which provides uninterrupted power for your facility regardless of grid availability. Because the turbines can also load follow, they can modulate with demand, have redundancies and provide power at all the times. As per your requirements, we have not included any cost for heat recovery inclduing absorption chillers, however they can always be added in the future should project require. Many hours per year, we foresee just one turbine operating and thus the operating cost would drop further. Our cost analysis has been based on conservative estimation, and E&E offers the system on a turnkey installation contract. Please note the pricing as listed and itemized on page 22, and a separate financial projections are in the attachments. In brief analysis, the system in operation will offer significant operating cost reduction of $233,000 per year at 350KW per hour production, and cost of electricity at 7.7/KW. At 600 KW out put, the cost of power will be reduced to 6.2 cents per KW and an annual saving of $608,000 per year. The details are depicted in the one page financial overview for each possibility. I must add that, Flex Energy turbines, are a heavy-duty units built for 24 hours operation and highest uptime in the industry. As many of them been operating in the outdoors of Bokken Oilfields. E&E and FlexEnergy Cop. Will be providing full support services as well as field engineering and installation services on a turnkey basis For your information, E&E carries full professional insurance to include General and Product liability as well as Engineering Errors and Omission up $5 Million Dollars per project. SCOPE OF SUPPLY

Qty Two (2) Flex Turbine® GT333S Model 333SM Gas turbine(s), Rated at 333 KW at ISO conditions, 60 F, Sea Level

Each GT333S gas turbine has the standard FlexEnergy English language control panel interfaces and markings, and will be configured as follows: 480V/60Hz Generator The GT333S gas turbine will be configured with a 480V, 60Hz synchronous generator, control panel for Grid parallel operation. Grid Parallel Operation The GT333S gas turbine will be configured to operate in parallel with the local utility grid and with option to operate in grid-isolated operation based on the control of the facility’s relay protection and electrical control system (provided by customer). The latter is expected to detect the failure of utility power, disconnect the facility power bus used by the gas turbine from the utility grid, and signal the gas turbine to enter grid-isolated operation. When the facility controls detect the return of utility power, they are expected to perform a synchronized reconnection of the utility grid to the facility power bus used by the gas turbine, and direct the gas turbine to return to grid-parallel operation. Please note that all utility interconnection permits and required protection devices are the responsibility of the customer. Medium Caloric Value Fuel The GT333S gas turbine will be configured for a medium caloric value gas fuel with a Lower Heating Value (LHV) Wobbe Index between 800 and 1900 wBtu/ft3. Please see the detailed project-specific details and other fuel requirements in Section 2 Technical Data “Fuel Delivery Conditions” of this proposal. Utility grade pipeline gas will be used for this application Outdoor Enclosure - With Exhaust Stack The GT333S gas turbine will be rated and configured for outdoor installation and use in non-hazardous locations, and includes a standard exhaust stack. The ambient temperature rating is -10°F to 115°F. Factory Acceptance Test (FAT) FlexEnergy will offer extended project services to include a factory acceptance test (FAT) witnessed by the customer or authorized agent and performed according to FlexEnergy Inspection and Test Plan (ITP). Isolation Mounts The GT333S gas turbine will include a set of twelve (12) isolation mounts and associated base frame attachment hardware. The mounts are designed to help mitigate the forces and shocks experienced when transporting the GT333S between customer sites using a typical, sprung

suspension, flatbed trailer. Each isolation mount design includes holes for fasteners to connect the mount to an underlying structure. Integrated Waste Heat Recovery (Cogen) The GT333S gas turbine will be configured with an integral hot water heat exchanger (copper tubing with aluminum fins) suitable for cogeneration applications. CARB Certification The GT333S gas turbine will include a California Air Resources Board emissions certification as part of the Distributed Generation Program. To meet these emission levels, the customer must use pipeline natural gas while utilizing the internal waste heat recovery (co-gen) option. Additionally, the customer must operate in grid-parallel mode or have sufficient electrical load requirements to allow the GT333S gas turbine to maintain 100% power output based on the ambient conditions. Any deviation from these required operating conditions will cause the turbine to violate the CARB emissions requirements.

Ancillary Equipment

Fuel Shutoff Solenoid Valve Each gas turbine will include a ship loose fuel shutoff solenoid valve. Fuel Gas Strainer Each gas turbine will include a ship loose fuel gas strainer.

Fuel Gas Filter Each gas turbine will include a ship loose grade 7 filters. Fuel Gas Liquids Safety Sensor Each gas turbine includes a safety sensor that is designed to detect the presence of liquids (hydrocarbon or water) passing through the fuel gas train. This sensor is intended to be placed near the delivery point to the turbine and is directly integrated into the gas turbine controls.

Generator Braking Resistor (GBR) Each gas turbine will include a separate GBR module designed to facilitate starting and stopping of the GT333S gas turbine by absorbing excess energy through a resistive load bank. IP LAN Customer/Service Remote Communication Kit Each gas turbine includes an IP LAN remote communication kit that will support LAN remote communication. Provides Internet Protocol (IP) communications access to the gas turbine controls through a pre-configured (DNS globally accessible) fixed IP address. Accepts RJ45 connector from either a 10Mbps or 100Mbps Ethernet LAN. Fuel Gas Regulation

Gas pressure regulation upstream of the GT333S gas turbine will be the responsibility of the customer.

Equipment Options Supervisory Control Master (SCM) - Introduction: Supervisory Control Master Supervisory Control Master (SCM) An SCM will be included to provide group management, and import control of the GT333S gas turbines. The SCM provides single point communication and control with customer-provided utility protection relay and electrical control system to facilitate dual mode operation. Please refer to the following page for detailed information.

Tier 2 control for a group of FlexEnergy turbines will be performed by a single Supervisory Control Master (SCM) per site. The Supervisory Control Master (SCM) is used to monitor the state of the gas turbine generation buss and control the gas turbines’ electrical performance as a group. The SCM incorporates the following functions:

• Monitors the power produced by the gas turbines as a set • Import control • Turbine scheduling • Data collection • Communication to operations and service to personnel • Runs service utilities for diagnostics, log retrieval and uploads • Allows the operator to direct whether individual gas turbines operate automatically under the

control of the SCM or manually • When grid-isolated, automatically starts and stops individual gas turbines as directed by control

parameters • Sequences the gas turbine black starting process (if the turbines are equipped with black start

features) • VPN firewall provides a common point for system communications • Interfaces site specific equipment (SCADA/DCS, power meters, gas analyzers, fuel conditioning

equipment, etc.)

The SCM consists of a rack with servers, a VPN firewall, a switch and a UPS as follows: 1. The servers will perform the following functions:

a. Power management – shutting down or starting turbines to optimize the number operating for the load

b. Import control – managing the output power of the turbines to ensure import minimum required by local utility is satisfied

c. Turbine scheduling – starting or stopping turbines based on an operating schedule d. Data collection for billing purposes (if the SCM is attached to such customer-

supplied meters)

2. The firewall will provide internet VPN to customer and FlexEnergy headquarters: a. Customer site control b. FlexEnergy service access c. Site status monitoring d. Billing data collector (if the SCM is attached to such customer-supplied meters)

The SCM will communicate with the turbines via Ethernet busing. Scope of Supply FlexEnergy provides the SCM as an external unit in its own enclosure. Control and power connections between the gas turbine and the SCM are provided by the facility. FlexEnergy will provide up to twenty (20) hours of support and engineering services as related specifically to the SCM. If additional time is required, it will be charge at a fixed hourly rate. Assembly Layout The SCM is contained in a server rack. It is a stand-alone package suitable for floor mounting and includes casters. Construction is solid steel. Front door is steel frame with a window and back door is steel mesh. Both are lockable. Dimensions are 23.6” wide x 26.1” tall x 35.4” deep. Maximum weight of the system is 1768 lbs. The rack complies with the following industry standards:

• DIN 41491 Part I • EIA RS310-D • IEC 297-2

The SCM interface is via software accessed through a suitable PC with monitor. Input power requirements are 120VAC / 60Hz. The enclosure is designed for IP20 ingress protection. Interface Connections The SCM communicates with each gas turbine through IP LAN and/or RS485 hardwired connections installed by the customer or others from the SCM to each gas turbine. The SCM is also designed to include a connection for a customer IP LAN. This LAN connection should have a minimum of a T1 level ISP access. A typical T1 access would consist of transfer rates of approximately 1.5 Mbps both up and down regardless of the time of day. Typical Supervisory Control Master

Standard Project Support Services FlexEnergy has a comprehensive knowledge base and the experience in gas turbine applications to support you through the design, installation, and commissioning activities for your project. FlexEnergy will provide up to twenty (20) hours of standard project support services via email and telephone to answer questions related to the installation of equipment and interconnection of components to ensure proper gas turbine operation and serviceability. These support services include the following electronically provided project documents and discussions related to the interpretation of these documents:

GT333S Planning Guide & Installation Guide GT333S Operating Manual GT333S Spare Parts List GT333S Remote Communication Manual GT333S General Arrangement Drawing GT333S Pre-commissioning Installation Checklist GT333S Customer Electrical Connection Interface Drawing

Additionally, if requested, FlexEnergy will provide one review and comment of customer’s installation drawings as part of these project support services. Standard project support services are provided solely in FlexEnergy’s capacity as an equipment manufacturer, intended to provide information that would lead to the best performance and serviceability of the gas turbines. Since these documents are based upon FlexEnergy experiences with projects that may not be exactly like your project, FlexEnergy strongly encourages every customer to work with their engineers responsible for the project, along with their contractor, to execute the design and installation of the gas turbines and ancillary equipment appropriate for the site. Any associated construction and construction management, including electrical distribution panels, fuel gas piping, vent lines, waste heat recovery piping (if applicable), conduit, and conductors will be the customer’s responsibility. If any additional documentation or special testing is required, it will be charged and billed separately. Examples of services not included in this proposal are, but are not limited to, performing special tests at the FlexEnergy factory or customer site required to meet local, state or national codes, standards or

agency regulations; providing FlexEnergy factory or FlexEnergy sub-supplier component inspection reports; and providing third party agency certifications. FlexEnergy can provide a proposal for special tests, data or a Vendor Data Requirement List (VDRL) defined by the customer. Every FlexEnergy turbine will be fully tested in accordance with FlexEnergy’s ISO 9001:2008 registered quality system and issued an individual Performance Acceptance Certificate. Gas turbine Commissioning Services Initial startup and commissioning of the FlexEnergy gas turbine generators will be performed by a certified FlexEnergy service technician. This will occur after the installation has been completed by the customer and the customer has completed the FlexEnergy customer installation checklist. The FlexEnergy service technician will complete a commissioning checklist, and perform several other checks and tests to ensure the gas turbines are ready for initial startup and to verify proper performance. These checks and tests may include, but are not limited to:

• Checking the gas turbines for damage • Verifying proper installation per the Planning & Installation Guide • Verifying adequate ventilation • Verifying anchor bolt torque • Confirming the fuel system has been properly connected and leak tested • Confirming the water system has been properly connected and leak tested • Inspecting the engine air inlet and exhaust • Inspecting the coalescer, fuel and fuel regulator vents • Removing the internal shipping brackets • Removing any shipping debris and cleaning interior spaces • Setting the fuel pressure regulator • Purging the fuel line and venting to atmosphere • Checking the turbine coolant level • Checking the fuel gas booster coolant level • Verifying a minimum water flow (if applicable) • Checking and testing power wiring • Checking and testing external control circuits • Checking and testing remote control and monitoring systems • Starting the gas turbines and verifying key operating parameters

The technician will register the gas turbine generators with FlexEnergy upon completion of the commissioning process to ensure proper FlexEnergy warranty coverage. Commissioning services are charged and billed separately. Please refer to the “Commissioning” section for more information.

Shipment and Storage

The GT333S gas turbine will be packaged for shipping to accommodate storage for up to six months, indoors or outdoors, whether shipped domestically or internationally. The ancillary equipment and additional “ship-loose” items such as the GBR(s) and exhaust stack(s) (if part of the gas turbine configuration) will also be palletized and shipped with the gas turbine itself. Summary FlexEnergy has a skilled service network dedicated to customer support. Customer Training FlexEnergy will provide training to the customer’s designated operator to safely operate all equipment provided by FlexEnergy. have similarity with the customer’s project and since our background information was gathered under circumstances that may differ from the configuration of the customer’s site, we strongly encourage the customer to contact and work with their engineers responsible for the project. Those engineers, along with their contractor(s), must determine if additional technical or commercial comments are necessary and whether the comments of FlexEnergy are appropriate for their project. FlexEnergy’s comments, suggestions, opinions and statements (whether communicated in writing or orally) are made solely for the customer’s convenience and, such, FlexEnergy makes no warranty as to the appropriateness or suitability of those communications and any reliance by the customer on such is made at the customer’s own risk.

All shipments are from FCA factory, Portsmouth, NH. Commissioning Commissioning is defined as initial start-up and testing of the gas turbine(s) after customer installation has been completed by the customer and the customer has completed the FlexEnergy installation checklist. Natural Gas/Alternate fuel installations are estimated to take 3 days per GT333S gas turbine to commission, based on one technician. If additional technicians are requested, the daily rate will be charged for each technician. Any delays due to customer will be charged at the daily rate per technician. Commissioning will be billed upon incurrence and will not be included in the equipment progress invoices. Service A separate Service agreements will be executed, that will cover full parts and labor warranties for five years and 10 years operation, and its cost is estimated in the financial projections separately and invoiced separately. Payment Terms Payments will be due as follows:

• 30% upon receipt of Order Acknowledgement • 30% 45 days following Order Acknowledgement • Balance upon release to Factory Test
