The 4-star Fleming's Conference Hotel Vienna is centrally located opposite Vienna's Westbahnhof train station. It lies in close proximity to shops and restaurants, which await you on your visit. Mariahilfer Straße with its many shops, the Viennese City Hall and the Raimund Theatre are all just a few minutes’ walk away. Vienna’s city centre can also be reached by underground/tram in just a few minutes. You are also only 1.5 km away from the Technical Museum and the “Haus des Meeres” public aquarium. There is also a direct connection to the airport by bus. In a conference space of 880m², there are 11 fully air-conditioned and soundproofed conference rooms with natural light for up to 250 people, located over two floors. The meeting rooms all face onto a beautiful internal courtyard and are very quiet and bright. That is why we are able to offer you the ideal setting to meet your needs and requirements. Professional on-site support ensures your event becomes a special experience. Over the following pages, we provide you with the most important information about our conference facilities. Our team is happy to personally advise you on banquet orders and is on hand as your professional partner to assist with the planning, organisation and implementation of your event. LOCATION & ACCESSIBILITY The hotel is situated in the central location of Vienna Westbahnhof train station and Mariahilfer Straße. The parking charge is EUR 21,00 per parking space per day, or EUR 2.80 per hour. DIRECTIONS: By car: Directions from the west: From the west motorway (A1) drive straight on in the direction of the city centre - Zentrum (B1). Turn left at Margaretengürtel (B221) and follow the tram rails (B221) in the direction of Westbahnhof until you arrive at Fleming’s Hotel on Neubaugürtel on the right-hand side. Directions from the south: From the southern motorway (A2) take the exit at Altmannsdorf or Wiental. Follow the Altmannsdorferstraße/Grünbergstraße (B224). In Wiental continue on Schloßstraße (B1) in the direction of Zentrum. Turn left at Margaretengürtel (B221) and follow the beltway (B221) in the direction of Westbahnhof until you arrive at Fleming’s Hotel on Neubaugürtel on the right-hand side. Directions from the east: From the eastern motorway (A4), take the Prater junction on the A23 in the direction of Graz and leave it at the Landstraße/Gürtel exit. Follow the tram rails (B221) in the direction of Westbahnhof until you arrive at Fleming’s Hotel on Neubaugürtel on the right-hand side. By public transport: Westbahnhof bus stop (Lines U6, U3, S-Bahn trams 5,6,9 & 52) From Westbahnhof: Leave the Westbahnhof in the direction of Gürtel. Cross the road and walk on the beltway up the side opposite the Westbahnhof. You will find Fleming's Hotel on the right. It is approximately 500 metres on foot from the Westbahnhof. From the airport: The airport shuttle bus runs every 30 minutes between 05:00 - 23:00. It stops directly in front of the terminal and takes you to the Westbahnhof. It’s approximately 500 metres on foot from the Westbahnhof to Fleming's Hotel. The journey time is about 30 - 40 minutes. We would also be happy to organise an airport transfer by taxi for you. General Terms and Conditions for Events I. Scope of application 1. These terms and conditions apply to the temporary transfer of conference, banqueting and

meeting rooms of the hotel for the holding of events such as conferences, banquets, seminars, conferences and other events, as well as for other related services and deliveries of the hotel, particularly room bookings.

2. Different provisions, even if they are included in the general terms and conditions of the

contractual partner, shall not apply unless they are expressly accepted in writing by the hotel. II. Conclusion of Contract 1. The event contract (hereinafter referred to in short as "Contract"), shall only be valid upon

written acceptance of the hotel’s offer by the buyer. If the ordering party enters into the Contract on behalf of a third party, then it is not him/her but the third party who is the contractual partner of the hotel; The ordering party must advise the hotel of the name and address of the actual contractual partner in due time prior to the conclusion of the contract.

2. If the ordering party concludes the Contract in the name of or on behalf of the third party, or if

the third party has instructed a commercial agent/intermediary or organiser, then the ordering party, commercial intermediary or organiser are jointly liable along with the third party. The contractual partner is, for all obligations resulting from the Contract liable if the hotel is in possession of a corresponding declaration given by the ordering party, commercial agent/intermediary or organiser. Regardless of this, the ordering party is obliged to submit all relevant information, in particular for forwarding these general terms and conditions of business to the third party.

3. The subletting or re-letting of rooms, spaces or display cases as well as the invitation to

interview, sales events or other similar events require the prior written consent of the hotel. III. Services, Prices, Payment 1. The hotel is obliged to deliver the ordered and promised services in accordance with the

provisions of these general terms and conditions of business. 2. The contractual partner is obliged to pay for the use of these services at the agreed or

applicable rates of the hotel. This shall also apply to the 14 services and expenses linked to the event and requested of the hotel by the contractual partner and third parties, in particular, for claims requested by copyright exploitation companies. The prices agreed include the applicable statutory sales tax. If the time period between the date when the Contract comes into force and the conclusion of the Contract exceeds four months, and the statutory sales tax or local taxes or charges increase after the conclusion of the Contract, the hotel reserves the right to increase the agreed prices in order to make up the amount by which the applicable sales tax or local taxes and charges has increased. In addition, the contractual partner shall be liable for the payment of all of the event participants’ ordered meals and beverages as well as other miscellaneous items for participants of the event which have led to costs.

3. Upon receipt, invoices issued by the hotel shall become payable immediately without

deduction. The contractual partner is considered to be in default of payment at the latest if he/she does not make the payment within 30 days of the issue of the invoice; This applies to a contractual partner, who is the consumer only if these consequences were specified in the invoice.

4. In the case of default of payment, the hotel shall be entitled to claim default interest amounting

to 5 percentage points above the base interest rate. In commercial transactions the default interest rate is 8 percentage points above the base interest rate. The hotel reserves the right to assert claims for higher compensation. For each reminder sent after default occurs, the hotel may charge a reminder fee of EUR 5.00.

5. The hotel is entitled to demand at the time of conclusion of the Contract or later, a reasonable

advance payment or security deposit. The amount of the advance payment and its due date may be agreed in writing in the Contract, but the hotel is entitled, at the latest 49 days before the start of the event, to request 100% of the contractually agreed remuneration. The hotel is also entitled during the duration of the event to demand immediate payment of the accrued receivables by issuing an interim invoice at any time.

6. Only undisputed or legally valid counter claims entitle the contractual partner to reduce or

withhold payment to the hotel. IV. Rescission of the contractual partner, Cancellation 1. The hotel accepts the contractual partner’s right to revoke the contract at any time. For this

purpose, the following conditions apply: (a) in the case of withdrawal from the contract by the contractual partner (cancellation), the hotel

is entitled to reasonable compensation. (b) a cancellation is free of charge up to 57 days before the start of the event. After this the hotel

has the choice to claim calculated compensation instead of a specific flat-rate compensation against the contractual partner. In the event of a rescission within less than 57 days before the start of the event, the compensation rate is 90% of the contractually agreed prices, in particular for the transfer of the hotel facilities, hotel rooms and the provision of food and beverages. If a meeting package is agreed, as contractually agreed, the price of the conference package times the contractually agreed number of participants must be applied. If a menu price is agreed, as contractually agreed, the price of the menu times the contractually agreed number of participants must be applied. If no menu price has been contractually agreed, the lowest priced 3-course menu of the respective valid event packages shall apply. For lost drink sales, a surcharge of the contractually agreed price of 30% of total food sales shall be made. The contractual partner is free to prove that the hotel has incurred no damage or that the damage to the hotel is less than the required compensation charge.

(c) Unless the hotel has specifically calculated the compensation amount, the compensation

amounts to a maximum of the amount agreed in the Contract for the hotel services to be provided subject to the deduction of the value of the expenses saved by the hotel and any other uses of the hotel services.

2. The above provisions on compensation shall apply accordingly if the contractual partner does

not avail themselves of the booked services without the written consent of the hotel.

The hotel has given the contractual partner an option, within a certain period of time without obligation, to pay compensation to withdraw from the Contract (free right of rescission), the hotel shall not be entitled to compensation. The decisive factor for the timeliness of the rescission notice is its receipt by the hotel. The contractual partner must declare the rescission in writing.

V. Rescission by the hotel 1. If the contractual partner has been granted a free right of withdrawal according to section IV

paragraph 3, the hotel is also entitled within the agreed deadline to withdraw from the Contract, if requests from other guests and customers for the booked rooms and meeting rooms arise and the contractual partner does not relinquish their free right of withdrawal pursuant to paragraph IV paragraph 3.

2. If an agreed advance payment or provision of security, referred to in clause III paragraph 5, is

not paid within a time limit set for this purpose, the hotel is likewise entitled to withdraw from the Contract.

3. Moreover, the hotel shall be entitled to extraordinary revocation of the Contract for good

cause, in particular if • force majeure or other circumstances which are not within the responsibility of the hotel make

the fulfilment of the Contract impossible; • events are booked under misleading or false information regarding important facts, such as

the organiser of the event or the purpose; • the hotel has justified cause to believe that the event may endanger the smooth running of

business operations, the safety of the guests of the hotel or the hotel staff or damage the reputation of the hotel in the public’s opinion without jeopardising the domain or organisational area of the hotel;

• an unauthorised subletting or re-letting of rooms within the meaning of clause II paragraph 3; • the hotel has gained knowledge that the financial situation of the contractual partner has

considerably worsened after conclusion of contract, in particular if the contractual partner has not cleared due invoices due claims of the hotel or has not provides sufficient security deposits and as a result payment claims of the hotel appear to be endangered;

• the contractual party has filed an application for the opening of insolvency proceedings

or has suspended its payments; • insolvency proceedings against the assets of the contractual partner are opened or the

opening of the same due to lack of assets or are rejected for other reasons. 4. The hotel shall inform the contractual partner immediately in writing of their exercise of the

right of rescission. 5. In the above cases of rescission the contractual party is not entitled to any right for damages. VI. Arrival and departure 1. The contractual partner is not entitled to the provision of certain specific rooms unless the hotel

has confirmed the provision of certain rooms in writing. 2. Reserved rooms are available to the contractual partner from 3 p.m. on the agreed arrival day.

They have no entitlement to earlier availability, unless they have this in writing from the hotel.

3. Rooms reserved by the contractual partner or the event participants should be taken by 6 p.m. on the agreed day of arrival. If a later arrival time has not explicitly been agreed, the hotel reserves the right to re-allocate the reserved rooms after 6 p.m., without the contractual partner being able to derive any claims from this. The hotel also has a right to withdraw.

4. On the agreed day of departure, the hotel bedrooms should be vacated at the latest at 12 p.m. midday. Thereafter the hotel may charge the daily room rate for late cleaning of the room or if applicable for any resulting damage in addition to the additional use of the room until 6 p.m., after 6 p.m. the full valid room rate for board and lodging will apply. The contractual partner is at liberty to prove to the hotel that there is no damage or that they were lesser damages.

VII. Changes to number of participants and time of event 1. The contractual partner is obliged to inform the hotel at the time of conclusion of the contract

the estimated number of participants. The final number of participants must be communicated in writing to the hotel at the latest four working days before the start of the event in order to ensure careful preparation. A free reduction in the number of participants for up to 5% of the originally agreed number of participants is possible up to 4 working days before the start of the event. The reduction must be communicated in writing to the hotel.

2. If the reduction in the number of participants increases by more than 10%, the hotel shall be

entitled to increase the agreed prices appropriately and to exchange the confirmed rooms, unless the contractual partner cannot be expected to maintain this. The prices can also be changed by the hotel if the contractual partner wishes to make changes to the services needed of the hotel or the duration of the event after conclusion of the Contract and the hotel agrees. If an identifiable component of an event is not used, the hotel can require an appropriate remuneration for the unused part in accordance with the provisions of clause IV paragraph 1 a) to c).

3. In the case of an increase in the number of participants, the actual number of participants will

be charged for. 4. The contractual partner is free to prove that the hotel saved a higher proportion of

expenditure. 5. Moving the agreed start or end time of the event without the prior written consent of the hotel

entitles the hotel to charge additional costs for the provision of staff and equipment, unless the hotel has agreed to the time shift.

6. At events which run on past 11 p.m., the hotel may, unless otherwise agreed, from this point in

time invoice the personnel costs due to the itemisation of travel costs. The hotel can also invoice further for the itemised travel expenses of employees if this goes on past the end of public transport operating hours so that staff can make their way home.

VIII. Settlement of the event 1. If, at the contractual partner’s request, the hotel provides technical and other equipment from

third parties, it shall act on behalf, on the authority and on account of the contractual party. The contractual partner shall be liable for the careful handling and proper return. He or she shall indemnify the hotel against any third-party claims arising from the provision of such equipment.

2. Prior written consent is needed for the use of own electrical equipment and devices of the

customer or operator using the hotel’s network. Any equipment malfunctions or damage to the technical facilities of the hotel through the use of this equipment are to be borne by the contractual partner, to the extent that the hotel is not responsible.

The hotel may log the electricity consumed for the use of the equipment concerned and raise a flat rate charge to cover the costs incurred.

3. The contractual partner shall be entitled to use their own telephone, fax and data transmission

equipment with the consent of the hotel. The hotel may request connection charges to be paid for these. If the hotel's equipment remains unused on account of the contractual partner's use of his or her own equipment, the hotel may charge a deficiency compensation fee.

4. Any malfunctions in equipment provided by the hotel, whether technical or other equipment,

shall be remedied immediately where possible. Payments may not be withheld or reduced to the extent that the hotel is not responsible for these faults.

5. The contractual partner has to obtain all necessary official approvals and licenses for the

implementation of the event at their own expense. They are responsible for the compliance with these permits as well as all the other public law provisions in connection with the event.

6. The contractual partner has themselves arranged the necessary formalities and billing for

musical presentations and sound with the relevant institutions (e.g. AKM, GEMA etc.) 7. The contracting party may use the name and trademark of the hotel during the event only after

prior agreement with the hotel. IX. Bringing along of food and beverages

The contractual partner may only bring food and drink to events upon written agreement with the hotel. In these cases, the hotel charges a service fee to cover overhead costs.

X. Items brought to our premises 1. Any exhibition equipment or personal items are brought at the risk of the contractual partner,

including those items that are used in the event rooms or anywhere else in the hotel. The hotel assumes no liability for loss, destruction or damage, except in cases of gross negligence or intent on the part of the hotel.

2. Decorative materials brought along must conform to the safety and fire protection

requirements. The hotel is authorised to require official evidence of this. Due to the possibility of damage, the bringing along and installation of items must be previously agreed with the hotel.

3. Any exhibition equipment or other items must be removed immediately after the end of the

event. The contractual partner must bear the costs for any items left behind at the end of the event which need to be removed or stored. If the removal of such items carries disproportionately high costs, the hotel can leave the items in the conference room and charge the room rental charge for the duration said items remain therein. The contractual partner must prove that the costs were lower than the hotel maintains.

4. Packaging material (cardboard boxes, plastic, etc.) used in connection with the delivery of the

event by the contractual partner or third party must be disposed of before or after the event by the contractual partner. Should the organiser leave packaging material behind in the hotel, the hotel is entitled to ask for the disposal costs from the contractual partner.

XI. Liability of the Contractual Partner 1. The contractual partner shall be liable according to the legal regulations for all damage

caused to buildings or furnishings caused by participants or visitors to the event, employees, other third parties related to them or himself or his legal representatives.

2. The hotel may request the contractual partner to safeguard against possible damage by the

provision of reasonable securities (e.g. insurance, security deposits, and guarantees). XII. Liability of the hotel, Limitation period 1. Should disruptions or defects occur in the services provided by the hotel, the hotel

endeavours to remedy this upon immediate notification by the contractual partner. Should the contractual partner culpably omit to notify the hotel of the deficiency, there is no entitlement to claim a reduction of the contractually agreed price.

2. The hotel is liable according to the statutory regulations for all damages resulting from loss of

life, physical injury and damage to health and is also liable for any defects fraudulently concealed.

3. For all other damages, which are not covered by clause VII paragraph 2 and which are

caused by the slightly negligent behaviour of the hotel, its legal representatives or its vicarious agents, the hotel is liable only if the damage to the violation of an essential contractual obligation in a way that endangers the Contract. In such cases, liability is limited to foreseeable damage typical of the Contract.

4. The limits to liability above shall apply for all damage claims regardless of their legal basis,

including claims arising from tort. The limits to liability above shall also apply in cases of any claims for damages of a contractual partner against employees or vicarious agents of the hotel.

5. The hotel is liable for property brought in by the contractual partner in accordance with the

statutory provisions but up to a maximum of EUR3,500. For valuables (cash, jewellery etc.), the liability is limited to EUR800. The hotel recommends that valuables are kept in the hotel safe. Liability claims expire unless the customer notifies the hotel immediately after gaining knowledge of the loss, destruction or damage.

6. As far as a parking space is made available to the contractual partner for money in the hotel garage or a hotel car park, this does not constitute a safekeeping agreement. The hotel is not obliged to provide surveillance. The hotel assumes no liability for loss of or damage to motor vehicles parked or manoeuvred on the hotel's property, nor the contents thereof, except in cases of intent or gross negligence. This also applies to those employed by the hotel. The damage must be claimed reported to the hotel on departure from the Hotel at the latest.

7. Wake-up services shall be performed by the hotel with the greatest care. Claims for damages,

except for gross negligence or intent, are excluded. 8. Messages, mail and merchandise deliveries for the contractual party and the participants of the

event will be handled with care. The hotel accepts the responsibility for the delivery once in the hotel, safekeeping and, upon request and against payment, forwarding of the same as well as of found items upon enquiry. The hotel is entitled, after a storage period of one month at the latest and charging a reasonable fee, to hand over the aforementioned objects to the local lost property office.

9. Claims for damages of the contractual partner shall expire at the latest after two years from the

time at which the contract partner gains awareness of the damage, or, without consideration of this knowledge, three years from the time of the harmful event. This does not apply to the liability of damages resulting from loss of life, physical injury and damage to health as well as for any other damage, which is based on an intentional or grossly negligent breach of obligation on the part of the hotel, a legal representative or vicarious agents of the hotel.

XIII. Final provisions, Place of jurisdiction, Applicable law 1. Amendments or supplements to the Contract or to these General Terms and Conditions for

Events should be agreed in writing. 2. Place of performance and payment is the registered office of the hotel. 3. Legal actions arising from or in connection with this contract are the responsibility of the

district court of the inner city of Vienna. Legal actions against consumers within the meaning of the Austrian Consumer Protection Act, by way of derogation from the provisions of this Regulation will be brought at the court in the district, the residence, habitual abode, or the place of employment of the consumer.

4. The law of the Republic of Austria shall apply with the exception of the United Nations

Convention on Contracts for the International Sale of Goods (UN sales law). 5. Should individual provisions of these General Terms and Conditions for Events be invalid or

void, then the validity of the remaining provisions shall not be affected. In other respects, the statutory provisions apply.
