Single-Use License

The following is an Agreement between the parties ("Licensor") and ("Licensee") indicated in section 10 of this document. This Agreement shall be deemed effective (the "Effective Date") as of the date designated by the Licensor and indicated in Schedule A of this agreement.

Definitions:

The following terms in this Agreement shall have the meaning as defined below:

a. "Effective Date" - The date on which this Agreement takes effect as determined by the date Indicated in Schedule A of this Agreement;b. "Restrictions" Specific restrictions on use of the work as indicated in Schedule A of this agreementc. "Royalties" Performance royalties which are generated each time a work is performed in public or performed (broadcast) on television or radio.d. "Work" Song, Backing Track, Beat, Sample, Arrangement, Instrumental, Lyric.

1. Licensor's Grant of Rights:

Subject to all of the terms and conditions found herein, the Licensor grants the Licensee a non-exclusive and non-transferable license of Licensor's Works in the Territory and authorises Licensee to use the work as indicated in Schedule A of this Agreement. Licensee will comply with all the requirements of the applicable performing rights societies of the territory.

2. Compensation:

In consideration of the rights granted herein, the Licensee shall pay the Licensor a non-returnable fee for the amount indicated in 'Sub-Section ix' of Schedule A of this Agreement in allowing for the specific Public performance, synchronisation, transmission, communication or reproduction of the Work in connection with the Licensed Type of Work, as pertained to in 'Sub-Section ii' of Schedule A of this Agreement.

3. Reservation of Rights and Ownership of Copyright:

Nothing in this Agreement shall be interpreted as granting Licensee any ownership or copyright of/to any of Licensor's Works. These are entirely retained by the Licensor. In addition, all rights which are not specifically granted to Licensee within this Agreement are reserved by the Licensor. For purposes of clarity, as all rights granted by the Licensor under this Agreement are non-exclusive, there are no restrictions that would prevent Licensor from granting similar rights to other entities.

4. Warranties and Representation of Licensor:

The Licensor, (and each individual listed in Licensor Identification who have signed this Agreement) hereby warrant and represent that:

a. They have all the necessary rights and authority to enter into this Agreement and grant all of the rights herein; b. None of the Works designated by Licensor for use by Licensee under this Agreement violate or infringe the proprietary or contractual rights of any third party; c. Licensor has no agreements or understandings with any third party that would allow such third party to make a claim for payments by Licensee for any of the rights granted herein; d. During the term of this Agreement, Licensor has not, nor will not, enter into any other agreement that would prohibit or restrict the rights granted to Licensee herein.

5. Licensor's Indemnity:

The Licensor agrees to indemnify Licensee and their respective officers, directors, employees, agents, and contractors from and against any claims, actions, suits, damages, liabilities, costs, and expenses (including reasonable legal expenses), arising out of any alleged breach or breach by Licensor of any warranty, representation or agreement made by Licensor, and/or arising out of any claim by a third party that Licensor's Works violate or infringe their proprietary or contractual rights. In the event of a claim, Licensor shall be notified and shall have the option in participating in the defence directly or with its own counsel; with Licensee retaining the right to take all final decisions in all matters surrounding the claim including any settlement. In addition, upon receipt of such a claim, Licensee shall have the right to withhold any payments due to Licensor or demand a refund from Licensor for any payments made to Licensor under this Agreement.

6. Termination:

Licensor shall have the right to terminate this Agreement and terminate Licensee's right to use Licensor's Intellectual Property immediately upon breach of this Agreement by Licensee.

Upon termination, Licensee shall cease using the Intellectual Property and shall return to Licensor all copies of the Intellectual Property. Termination of this Agreement shall not limit Licensor from pursuing any other remedies available to it, including, but not limited to, injunctive relief, nor shall termination relieve Licensee of its obligations to pay Licensor all License Fees and other sums accrued prior to the effective date of termination.

7. Licensor's Designation and Delivery of its Works:

Licensor shall designate which of its musical compositions, i.e., Songs, Instrumental compositions, backing tracks, samples, beats or lyrics shall be considered Works under this Agreement. Such designation shall be indicated in Schedule A of this agreement. The delivery of Licensor's Works to Licensee shall be via digital or physical means in an audio format acceptable to Licensee. Licensee shall make available to Licensor all the information necessary for Licensor to be able to effect a successful delivery of its Works.

8. Licensor's Credit for a Licensed Use:

In the event that a Licensee uses a Work for a Licensed Use, Licensee will make all best efforts in appropriate circumstances to properly credit Licensor's artist name in the titling of Licensee's video/film/program/recording or wherever the Licensor's Work is being used.

9. General:

a. This Agreement shall ensure to and be binding upon both parties.b. In the event that any provision(s) of this Agreement are held to be illegal or otherwise unenforceable, such provision(s) shall be considered to be severed from this Agreement and the balance of the Agreement shall remain in full force and effect. c. The waiver of any term or condition of this Agreement by either party in any individual circumstance shall not be construed as a waiver of the similar term or condition for any future circumstance.d. This Agreement shall be governed by, and construed and enforced in accordance with the laws of England and Wales; and the courts of England will have exclusive jurisdiction to adjudicate any dispute arising under or in connection with this Agreement. e. Both Licensor and Licensee acknowledge having fully read this Agreement and have either consulted with legal counsel, or have voluntarily declined the right to legal counsel being satisfied that they both fully understand and accept the terms of this agreement.

10. By requesting that their names be added to the following section, the parties are indicating their acceptance of this Agreement.

ii. Work Details:

• If the lyric text is used outside of the stated License Type of Work, as pertained herein, 'Sub-Section ii' of Schedule A of this Agreement, the Licensor as copyright holder, is entitled to one hundred (100) percent of all royalties accruing worldwide from application of the work ('song' means a work containing musical instruments and/or melodic or chord based musical accompaniment) (Licensor=100% of Royalties).

iii. License Use:

Licensee may use the work for the specified commercial (for profit) or for any non commercial (not for profit) application worldwide.

The work may be used for a single application only. A separate license is required for each additional application of the work. For example, the purchase of a single-use license allows the work to be used for a variety of uses, e.g., for a song, a commercial, a movie, a website, a company promotional video, or a radio commercial. It is for one of these examples only, not for all. If a user wanted to use the work for all of these examples, they would need to purchase additional single-use licenses.

iv: Restrictions:

Work may be copied and distributed by all digital and non digital media, e.g., CD, DVD or Data disc, video tape or tape cassette, up to a maximum of 10000 copies. Licensee may not make or distribute further copies without first obtaining an additional 'multi distribution license'.

If the work is a 'Backing Track', 'Sample' or 'Beat', it may be altered or used to make a derivative work, including a work containing lyrics (either sung or spoken).

If the work is a 'Digital Download', it must not be altered, copied or distributed in any way.

Licensee must not do the following:• Re-sell or re-license the work.• Claim ownership of the work.• Use the work in theatrical productions without first obtaining

an additional 'theatrical use license'.

v. Territories: Worldwide.vi. Term: Unlimited.vii. Compensation: Any breach of these restrictions will incur a fee at the discretion of the Licensor.

viii. Purchase fee of this Single-Use License: £19.99 (including VAT).

ix. The Licensor, as copyright holder is entitled to All (100%) performance/ broadcast royalties accruing worldwide from application of the work listed in Schedule A of this Agreement, with the following exception:

• If the lyric text is added to a musical composition forming a song or part of a song, or as otherwise stated in the License Type of Work, as pertained to in 'Sub-Section ii' of Schedule A of this Agreement, the Licensor as copyright holder, is eligible to receive a forty (40) percent share of all royalties accruing worldwide from application of the work ('song' means a work containing musical instruments and/or melodic or chord based musical accompaniment) (40/60% share Licensor/Licensee).

Instructions

Upon purchase of the Single-Use License, pertaining to the lyrics entitled "Ethics and Morals", please follow the instruction below:

1. Take a look at the license and take note of the text typed in red. This will be the information in which you will need to provide to me.

2. In an email, please confirm your name and purchase details. Secondly, please include the information which I will need in order to finalise the license. Please be specific in the type of work/project in which you want to utilise the lyrics. Send the email to: [email protected]

3. Upon receiving your email, I will insert your details onto the license and I will add my details, including my signature and the date.

4. I will forward a copy of the license to your email address. Please allow up to 24 hours for this process.

5. Once you receive the detailed license, please check over all the details and if you are happy, print out another copy.

6. On the last page of the license and in the spaces provided, please write your full name, signature and date.

7. Scan a copy of the signed license and save in PDF format.8. Send a copy of the completed and signed license to:

[email protected]. Upon receiving your email and usually within 24 hours, I will check all

the details and will send you an email to confirm the validity of the Single-Use License.
