1 | All advertising orders placed by the advertiser and receivedby Rapid Life Sciences Ltd or its agents, hereafter “ThePublisher”, shall be governed by the terms and conditionsbelow.

2 | Advertisers and advertising agencies will agree to indemnifyand hold harmless the publisher from any claim arising out ofthe publication of any material or advertisement submitted toThe Publisher by the advertiser and published in EPM or in anyassociated products whether delivered on paper or inelectronic form.

3 | The Publisher has the right to reject any advertising materialsubmitted for publication in EPM in print and/or online. ThePublisher has the right to insert the word Advertisementalongside any copy/advertisement scheduled to appear in thepublication in print and/or online.

4 | Advertisements booked to appear in EPM in print and/oronline may only be cancelled by the submission in writing of acancellation note no later than 30 days before the print issuereservation closing date. Online orders may not be cancelledafter execution has commenced. It is the advertiser’sresponsibility to gain acknowledgement of receipt ofconfirmation of cancellation in writing.

5| The Publisher will not be held responsible for any costs ordamages beyond the agreed costs of the advertisement wheresuch cost has been prepaid by the advertiser or whereproduction quality of such advertisement is below standard.

6 | The Publisher will issue invoices in pounds sterling in everyinstance. If an advertiser wishes to pay in another currencythey must advise The Publisher at the time of booking. In thisinstance The Publisher reserves the right to protect themselvesagainst currency fluctuations between the time of order andpayment. In respect of this provision the exchange ratesapplicable, will be advised at the time of booking and theamount due in foreign currency clarified for the avoidance ofdoubt.

7 | All fees due for advertisements published are payable within30 days of the relevant publication date or date of upload towebsite. Where advertising is booked for or on behalf of anadvertiser by an agent or advertising agency then the client asprincipal is and remains liable for the liability incurred andparticularly for any monies still owing in the event of defaultby the said agent or agency.

8 | Where an advertiser has been granted a discount (forexample for a series booking) and the advertiser fails to settlewithin 40 days of publication either in print or online theadvertiser will automatically lose the discount for thatadvertisement and shall be liable to pay the full rate cardprice of the advertisement.

9 | The positioning of an advertisement is at the discretion of ThePublisher except when an advertiser has paid the preferredposition charge and the availability of this position has beenconfirmed in writing by The Publisher. Preferred andguaranteed positions are sold at an extra premium of £395per advertisement (this includes formats not specified in therates and data page and right hand page positions).

10 | This contract shall be governed by the laws of England andWales whose courts shall be the proper forum for any actioncommenced either by The Publisher or by the advertiser.

11 | The Publisher will not return any materials submitted forpublication in EPM in print and/or online, or any associatedproperties, unless prior agreement is issued in writing by ThePublisher. The Publisher has the right to destroy any materialssubmitted for publication in EPM in print and/or online, or anyassociated properties, after 12 months from their receipt.

12 | The advertiser shall lose the right to any compensation for anydeficiency of whatever nature in the publisher’s service inrespect of any edition unless the advertiser notifies thepublisher in writing within 30 days of publication of thatedition, or date of upload onto website, setting out thedeficiency. This clause applies retrospectively to all pasteditions and the advertiser explicitly accepts its retrospectiveeffect.

13 | The advertiser may incur additional charges where artworksupplied requires changes, amendments or alterations forpublication in EPM in print and/or online.

14 | Advertising agency commission is 10%, for accounts settledwithin 30 days of invoice date.

15 | The Terms & Conditions above shall form the entire contractbetween the parties, and other terms shall only be imported ifsubmitted in writing and agreed by the parties, suchagreement to be evidenced, on behalf of The Publisher, by thesignature of a competent director.
