NOMINATIONS FOR DIRECTORS

To All Member Banks

in the Eleventh Federal Reserve District:

In a c c o rd a n c e with the provisions of Section 4 of the Federal Reserve Act a n d my circular d a t e d S ep te m ber 11, 1 967 , in r e g a rd to the election of directors of this Bank to succeed Mr. J. Edd McLaughlin, Class A Director, a n d Mr.H. B. Zachry, Class B Director, w hose terms expire D ecem ber 31 , 1 967 , the re a r e given herein the nam es of the c a n d id a te s nom ina ted for such directors a n d the nam es of the banks which m a d e the nominations.

There is sent herewith to e ach bank in G roup 1 a bal lo t for use in voting for a Class B Director a n d to each ban k in G roup 3 a ballot for use in voting for a Class A Director. An env e lope b e a r in g on its fa c e the certif icate in r e g a rd to the vo te an d a co lored enve lope m arked “ Ballot — Directors’ Election,” in which the bal lo t is to b e se a led , a r e also enclosed.

The ballot a n d certif icate on the enve lope must be execu ted by an officer who has been au thor ized to cast the vote . A list of the d e s ig n a ted officers, revised to d a te , forms a p a r t of this circular. In o rd e r tha t the balloting may b e secret, the nam e of the bank an d of the voting officer should not be written on the bal lo t but only on the cert if icate enve lope . If the official s ignature of the officer casting the bal lo t has not been filed with this Federa l Reserve Bank, such official s igna ture should b e filed be fo re the polls close.

Please fo l low carefully the instructions which are printed on the ballot and on the en velopes .

The following procedure is required in the case of both the Class A and Class B ballots:

(1) The ballot should be marked.

(2) It should then be placed in the colored en ve lope marked “ Ballot — Directors’ Election” and that en velope sea led .

(3) Then after the certificate on the w hite certificate en ve lope is executed , the colored sea led en velope (containing the ballot) should be placed within the white certificate en ve lope and that en ve lope sea led .

(4) The sea led white certificate en ve lop e containing the se a led ballot en ve lop e should then be returned to me in the enclosed se lf-addressed envelope .

U nder the law, the ballot must be re turned so as to reach me within 15 d ays a f te r its receipt. The polls will open on October 19, 1967 and close at 2 p.m. on Novem ber 3, 1967. At tha t time the bal lo t box will be o p e n e d a t this Bank, the sea led envelopes contain ing the ballots will be o p e n e d , the votes counted , a n d the results of the election an n o u n ced . The c a n d id a te s a r e invited to b e presen t or rep re sen ted on tha t occasion.

While the banks in Group 2 will not vote in this election, this circular is sent to them, without forms, for their information. G roup 2 consists of m em ber banks with com bined cap i ta l a n d surplus of $ 5 0 0 ,0 0 0 an d over, but u nder $ 3 ,0 0 0 ,0 0 0 .

Mr. Newton w as born in July of 1 9 19 , a n d has spen t most of his life in San Antonio , Texas. He a t te n d e d Alamo Heights High School, the W h ar to n School of Finance an d C om m erce a t the University of Pennsylvania for two years , a n d then received his Business Administration d e g r e e from Duke University in 1941 .

In June 1941 Mr. Newton en te red the Navy as an enlis ted man, a n d w as d is ch a rg ed as a Lt. C om m an d e r in O c to b e r 1945 .

Mr. Newton b e g a n his business c a re e r in O c to b e r of 1 9 4 5 as Assis tant Production M a n a g e r of The Fox Comp a n y ’s h e a d q u a r te r s plant. Later he b e c a m e Vice President a n d then Pres ident in 1952 .

In la te 1 9 6 1 , The Fox C om pany a n d S tanley Photo Service of St. Louis m e rged into o n e com pany with Mr. Newton as President. Since tha t time, ex pans ion has been rap id , a n d the com p an y now o p e ra te s 16 plants a n d 32 retail stores from Atlanta to Los Angeles an d from St. Louis to the Dallas-Houston-Corpus Christi tr iangle .

Mr. N ewton has b een active in the Baptist denom ination a n d is a m em ber o f Rotary International.

He is m arried a n d has th ree sons a n d resides a t 2 1 0 El Rancho W a y in San Antonio.

Mr. Kelly w as born in Rosebud, Texas, on S ep te m b e r 13, 1910 . He w as g ra d u a te d from Marlin High School, Marlin, Texas, a n d a t te n d e d D rau g h o n ’s Business College in San Antonio , Tarleton S ta te College in Stephenville, an d the San Antonio School o f Law.

He b e g a n his business c a re e r with The Planters N ational Bank of Rosebud, Texas, in 1929 . From 1 930 to 1 9 3 5 he was em ployed by The Alamo N ational Bank of San A ntonio. He served as an Assistant N ational Bank Examiner from 1 9 3 5 until 1 93 9 , as a S ta te Bank Examiner from 1 9 3 9 until 1 9 42 , a n d as a Federa l Reserve Bank Examiner from 1942 until 1944 .

Mr. Kelly jo ined The Peoples N ational Bank of Belton in 1 9 4 4 as Executive Vice President, a n d has served tha t o rgan iza t ion continuously since tha t time. In 1 9 4 9 he was e lec ted President of tha t b ank , the position which he now holds.

He has b een active in civic affairs in Belton for many years . Mr. Kelly is presently serving as a m em ber of the Board of Trustees of M ary Hardin-Baylor College a n d as Vice Pres ident of the Belton D evelopm ent C orpora t ion . He is a fo rm er p res iden t o f the Belton C h am b er of Commerce, Belton School Board, Belton Rotary Club, a n d Belton Industrial Board. He is also a form er m em ber of the Board of Trustees of the Belton In d e p en d en t School District, which position he held for 15 years .

Mr. Kelly is a m em ber of the First Baptist Church in Belton.

He is married a n d has th ree sons.
