Fair Trading under Australian Law This booklet has been designed to help you understand how Australian law applies to trading within the Australian Bartercard exchange. Fostering a fair and equitable exchange promotes alignment of your expectations as a member which creates transparency and a positive experience every time you trade.

The Australian Competition and Consumer Commission (ACCC) promotes competition and fair trade in Australia to benefit consumers, businesses and the community. The ACCC administers the Competition and Consumer Act 2010. Members must not engage in ‘unfair practices’ in trades with other Bartercard members. To assist in defining what is fair, Bartercard Australia has issued this booklet which takes into account the rules of the Bartercard exchange that members agree to when they join Bartercard and recommendations for compiling your directory description.

10 Golden Rules of Trading Conduct

BELOW ARE THE KEY RULES FOR ALL MEMBERS TO FOLLOW:

1. Items being sold must be authentic i.e. not fake, imitation, counterfeit or an unauthorised copy as per Australian law

2. In Australia, it is illegal to: • sell or supply goods that breach safety standards • sell goods which have been temporarily or

permanently banned

3. Misrepresentation of goods is illegal under Australian law

4. Goods or services sold must be supplied within the timeframe indicated or if no time was specified, within a reasonable time as per Australian law

5. 100% Bartercard (including GST) only – All trades are to be conducted on a 100% barter basis (please see the ‘3 exceptions’ section on page 7)

Bartercard’s trading rules are designed to ensure businesses treat each other respectfully, honestly and fairly.

6. Refusal to trade – No member in debit may refuse to accept trade under any circumstances

7. Conduct business with members in the same manner as you would like to be treated. As a customer, do not take advantage of members by spending in excess of what you would normally spend in the cash market

8. Overpricing – Charging prices in excess of the normal cash price is a breach of the rules and is not in the spirit of the exchange. Overpricing impacts the integrity of the system and reduces your spending ability

9. Trade dollars must not be exchanged between members for any cash consideration

10. Transactions – By electronically processing a transaction, the buying and selling members have voluntarily entered into the transaction and are not disputing any part of the transaction

AS SUCH, THERE ARE 3 EXCEPTIONS TO 100% BARTERCARD:

1. Continual Supply Agreement (CSA)

This is where there is an on-going commercial transaction between two parties on a regular basis. These agreements should be approved by Bartercard. In such a case, a CSA may be used whereby a percentage is paid in cash and the balance in trade.

The criteria for a CSA is:

a. The transaction must be ongoingb. Prices must be at the market ratec. Both parties should sign a CSA and should be

endorsed by Bartercard

2. Large value transactions

We accept that in certain industries large value transactions which are in the ordinary course of business, may not always be possible at 100% Bartercard.

Some Bartercard members may request large value transactions above the normal average sales with a cash component. We recommend members discuss these deals directly with Bartercard and that the purchase is at best market rate.

3. Members Plus program

Bartercard is always looking for ways to add further value and provide cash savings to Bartercard members.

Under the Members Plus program, Bartercard has partnered with non-Bartercard members and negotiated exclusive cash offers and rates that may not be available within the Bartercard network.

In some instances there may be a cash and trade split or they may be cash only offers.

100% Bartercard & Pricing

International Trading

Transactions are to be 100% in Bartercard trade dollars (including GST) and charged up to or no greater than the normal pricing. Selling above your normal cash pricing is in breach of the Rules of the Trading Program. Protecting the trade dollar is critical to ensuring you receive value.

Members charge the same rate as a cash customer would be charged for the same product / service on the same day, as this will result in maximum customer appreciation, repeat business and cash market referrals.

Note that overpricing – charging in excess of prices of the normal cash price – is a breach of the Rules of the Trading Program.

Bartercard Members Working Together

Bartercard is a network designed to help businesses succeed. Through Bartercard you connect with fellow business owners to bring you additional customers, reduce your cash expenses and grow your business.

We recommend that you treat Bartercard customers just like cash-paying customers as they could become an excellent source of referral cash business.

Each country within Bartercard may have slight variations to the standard rules. In the event that you wish to buy or sell from someone overseas we recommend you refer to the respective country’s trading practices so no misunderstanding occurs.

Accommodation

Within hotels and resorts, Bartercard works as additional business to create income off spare capacity and keep rooms filled. Many business owners will use trade dollars to purchase products like wine which they sell to customers in the cash economy.

Whether a Bartercard booking is made online, via telephone or via an agent, the price charged can be up to, but no greater than your normal prices as disclosed on your website.

Fair trading guidelines for this industry:

» 100% Bartercard (including GST) for accommodation – minimum trading condition of room, with other services offered at your discretion

» Reduced pricing on third party or discounter websites is not applicable on Bartercard e.g. Bookings.com, Expedia

» Promotions offered on your website or marketing materials are not applicable when packages have been pre-negotiated by Bartercard

» Extended stays are by negotiation, dependent on availability

» Bookings are to clearly state minimum and/or maximum night stay

» Clear disclosure of availability and blackout dates on directory description and promotional materials is required

DIRECTORY LISTING EXAMPLE:

Stylishly furnished studio, 1 & 2 bedroom apartments situated in the heart of the city. All bookings are subject to availability.

Room Only blackout dates may apply e.g. school holidays.

We accept that in certain industries it is not obvious as to what the normal cash price is.

Hospitality & Restaurants

A busy restaurant, bar or eatery always attracts more customers. That’s because amazing food and service are conducive to a full house. Bartercard can help fill empty seats in your restaurant to capitalise on your spare capacity and really make you stand out from the competition.

Fair trading guidelines for this industry:

» 100% Bartercard (including GST) pricing for meals and drinks

» Group and function bookings by negotiation (please set the limit that is applicable to the size of premises e.g. 60 seat restaurant; any booking over 6 people is classed as a group)

» Bookings as per the directory listing availability which should clearly state the days and times you are open for Bartercard business.

DIRECTORY LISTING EXAMPLE:

A warm welcoming atmosphere and interesting menu awaits you. Open breakfast, lunch & dinner Monday – Saturday 7am – 11pm.

Families welcome. Bookings are preferred.

Tourism

Bartercard Tourism provides room nights and accommodation packages on trade in destinations world-wide to keep rooms and restaurants filled evenly throughout the year.

Fair trading guidelines for this industry:

» Tourism operators must be 100% Bartercard (including GST) on general bookings

» Group bookings can be by negotiation

» Accurate directory listings are important

» Blackout periods may be listed or state whether a standby service is available

DIRECTORY LISTING EXAMPLE:

Dolphin Tours – Luxuriously appointed purpose-built Catamaran cruising the pristine waters between Fraser Island and Hervey Bay. Wheelchair facilities.

Private charters and corporate functions by negotiation.

Car & Bus Rental

Through extra business, Bartercard will put your car and bus rentals on the road, generating extra income from downtime and increasing your fleet coverage in the marketplace.

Fair trading guidelines for this industry:

» Clearly list types of vehicles available

» Standard insurance is included

» Same as advertised price

» Wotif and other re-seller deals not applicable

» All accessories such as GPS, baby seats, airport pickup/drop-offs to be 100% Bartercard (including GST)

» Need to stipulate maximum distances and areas of service – as per standard conditions of rental companies

» Group and corporate bookings by negotiation

Latest model 4 cylinder small – medium size cars. Maximum of 2000km radius from Gold Coast.

Mechanical/Automotive/Marine

This section covers the mechanical/automotive industry, which includes the services of cars, boats and motorcycles. Panel beaters and marine mechanics are also included under this category.

These industries are reliant on referrals therefore the additional business that Bartercard brings you not only assists in filling gaps in your current bookings, but we can also drive cash referrals to your business.

As with all industries, a clear description of services should be set out in the directory description. Be clear as to what is or isn’t covered in your offering.

Fair trading guidelines for this industry:

» 100% Bartercard (including GST) on all internal labour for automotive, motorcycles and marine

» Pricing to be no more than your normal pricing

» Additional expenses such as upfront costs must be discussed with the client prior to proceeding – no hidden extras

» All major repair and specialised work by agreement

SERVICES, INSPECTIONS & REPAIRS

A clear description of services and/or inspections must be set out in the directory description.

Be clear if the service is a logbook service or not. A logbook service is a comprehensive service that examines the vehicle in the way that the manufacturer intended and will not void the manufacturer’s warranty.

Fair trading guidelines for this industry:

» 100% Bartercard (including GST) on all quality sundry items such as oil, fuses, wiper blades, filters, spark plugs, hoses and gas.

» 100% Bartercard (including GST) on all internal labour on repairs

» All parts and use of external services on repairs must be discussed with the buyer prior to work starting. Parts and use of external services to be supplied by agreement on a case by case basis. This applies to high ticket items such as exhaust pipes, shocks, brakes, clutches, gearboxes, etc

» 100% Bartercard (including GST) on minor mechanical repairs for emergency call outs and/or roadside assistance. The use of external services such as towing should be agreed to prior to services being provided.

» 100% Bartercard (including GST) on roadworthy and safety inspection certificates

DIRECTORY LISTING EXAMPLE:

Full service on 4 and 6 cylinder cars. We use quality oils and lubricants. Logbook services according to manufacturer’s requirements. All labour and basic utilities available. Major work by agreement. Bookings essential.

» A clear description of products and services must be set out in the directory description

» All work and costings to be clearly detailed in quotation

» Additional expenses such as upfront costs must be discussed with the client prior to proceeding – no hidden extras

» 100% Bartercard (including GST) on all labour and sundries

» Special paints, custom work and external items by agreement

» Outsourced labour may have additional cash costs

DIRECTORY LISTING EXAMPLE:

We offer minor dent repairs. Accidents, bumps, hail damage and cover insurance excess. Call us today or drop into our workshop for a quote.

We trade Monday to Friday from 7am – 4:30pm.

Freight, Transport & Logistics

A half-filled truck or van is lost income, but by utilising Bartercard to fill spare capacity, you are maximising your business potential.

Fair trading guidelines for this industry:

» A clear description of areas covered on 100% Bartercard (including GST), which must state if local, interstate or international. Must list the type of freight that the member wishes to promote and/or specialises in.

DIRECTORY LISTING EXAMPLE:

TRANSPORT – 15 Tonne truck servicing Gold Coast to Brisbane, tail gate lift loader, curtain sider, availability for 5 pallets, must be palletised freight.

Monday – Saturdays.

REMOVALS – Interstate transport, Melbourne to Cairns via the Gold Coast and anywhere along the way. Weekly, fortnightly or monthly, we have four trucks servicing the east coast of Australia.

Retail

As a retailer, walk in traffic is very important to your day to day business. Therefore you want all of your customers to feel valued when they visit or make purchases with you. Remember your best advertising comes from a happy customer.

Fair trading guidelines for this industry:

» 100% Bartercard (including GST)

» Goods / services should be sold up to or no more than your normal selling price

» Specials/discounts are encouraged to your fellow members but they are not expected

» Bait advertising is illegal. You cannot advertise a price to a Bartercard member and then charge a different price on completion of the sale e.g. checkout and payment or quoting and payment

» Retailers are also encouraged to utilise the MYBC website to list and promote items available on Bartercard

Note to customers:

Be respectful of your fellow business owners. Any high value purchases that would be considered in excess of a normal spend should be discussed with the retail business owner.

BARTERCARD SALE DAYS AND OPEN DAYS

» Bartercard Sale Days - Sale implies that products are ‘on sale’ and the member will be getting a discount that otherwise would not be available

» Bartercard Open Days - Product is available but doesn’t imply that stock is discounted

» The majority of the store/stock must be available on Bartercard - Products not available must be clearly stated - e.g. ‘GoPros not available’ or ‘excludes items already reduced’

This section covers businesses in the advertising and marketing industry, including but not limited to advertising, media, printing, signage, web design, web development and SEO.

By utilising Bartercard as a valuable business tool you can rapidly increase your customer database, fill capacity and drive cash referral business.

Fair trading guidelines for this industry:

» All advertising and marketing to be 100% Bartercard (including GST)

» An advertising promotion cannot be a form of bait advertising to win cash contracts through other channels

» Websites and hosting are to be payable in 100% Bartercard (including GST)

» SEO services are to be 100% Bartercard (including GST)

» Some Bartercard members may request large value transactions above the normal average sales with a cash component. Refer to the Large value transactions section (page 7)

» You must give the customer the opportunity to source products that you do not supply on Bartercard

DIRECTORY LISTING EXAMPLE:

PRINTER – Up to 20,000 copies large digital format of DL (210 x 99mm) flyers, printed full colour single sided on premium recycled 100gsm Laser Bond. Larger quantities by negotiation only. We service nationally.

» Sundry items and small value items – e.g. glues, washers, cables, and what is carried in the vehicle, at all times is 100% payable on Bartercard (including GST)

» You must give the customer the opportunity to source products or services that you do not supply on Bartercard

» Builders are not expected to accept payment on Bartercard for third party non-Bartercard contractors

Real Estate & Business Sales

By utilising the Bartercard Network to promote real estate and businesses for sale, members are able to access an additional marketing channel to a network of business owners.

All Bartercard property & businesses for sale should be listed on the Bartercard property site: bartercardproperty.com, to gain maximum exposure.

Fair trading guidelines for this industry:

» The vendor/agent provides all information via the ‘list your property’ button with the asking price matching that offered in the cash market

» Listings require a minimum trade component of 20% up to 100%

» Negotiations on price, terms and conditions are undertaken between vendor/agent and purchaser

» ‘For Sale’ promotions can be sent directing potential buyers to the bartercardproperty.com website to view

BUYING & SELLING REAL ESTATE

Buying

By using trade dollars for part of the purchase price you can reduce your cash borrowings, thereby reducing interest costs. This may result in the property being positively geared, providing both cash income and capital gain.

Because Bartercard members earn trade dollars by the provision of goods and services to other members, the actual cost of their trade dollar can be less than a cash dollar. This can result in a margin (or purchasing discount) to the buyer on the total purchase price when buying a property.

Bartercard may also be able to offer you an interest-free line of credit - this could give you a fantastic opportunity to purchase a property without major cash outlay.

Selling

Bartercard Property offers vendors a cost-effective marketing strategy that can achieve a quick sale and is more likely to achieve the asking price as the purchaser is already receiving a discount by using trade dollars as part of the purchase.

Size of standard listing

» A standard listing in Australia should be approximately 30 small words, which is equivalent to around 250 characters. This includes spaces and punctuation within the directory description

» This can be longer if required, however most businesses should be able to be accurately described in around 250 characters. The emphasis is on creating a concise directory description that accurately reflects your business, keeping in mind what your customers will be searching for

Description

The directory description/spiel is included in the International Online Directory, and in the search results for the mobile app. It is therefore important that the description must:

» Be an accurate description of your product or service

» List any keywords or unique features e.g. “award winning restaurant”, “wheelchair friendly”, “Spanish cuisine”

» The description can include opening and closing hours and booking arrangements such as “bookings essential”

Creating an Effective Directory Description

The aim of your directory description is to ensure other members can find you when they are looking for opportunities to trade. It will help them find out who is trading in their area and what they do. It is therefore important that your directory description is accurate and reflects your business.

Tips on writing a clean and concise directory entry

» Think about what your core deliverables are and what customers are looking for when they need your products or services

» Look at your competitors and see what is in their listings and on their websites

» Use keywords to help people find you and all the products or services you offer

» If your business has several separate offerings within Bartercard (for example, your business may be a restaurant with a catering business on the side), make sure that you create two directory entries that distinctly describe each side of your business

Directory categories

» You can have your business included in as many categories as required as long as the categories are relevant to your business and the products/services you offer

Transact with Confidence in Bartercard

Authorisation facility

We recognise that in Bartercard today, members are increasingly able to buy high value items and services that may require pre-payment.

To strengthen member confidence and also reduce the risk of potential disputes, Bartercard offers an authorisation facility that is available to all members via MYBC under ‘My Account’.

Authorisations allow you to secure the funds from the buyer prior to processing the payment.

Member Holding Account

In addition, for transactions over T$5,000, we have established a Member Holding Account, where a ‘buyer’ can deposit the full amount of any purchase and the ‘seller’ can access those funds only when both parties supply a signed release authority.

This facility is available to all members to protect them from the non-delivery of goods or services.

Paying a depositPaying a deposit will often make an agreement legally binding. The amount can be negotiated and depends on what service is involved. Ensure you get a receipt with the amount paid and the date, and be wary if a seller asks for a 100% deposit in advance.

Additional tips to help with fair trading and meeting your legal obligations

Bartercard strives to be a fair, ethical and completely transparent trade exchange in the best interests of members. By you, the member, being aware of how to deal with unfair traders, Bartercard will be more beneficial for everyone and enhance your trading experience.

Challenge unfair trading issues As a new customer, the best person to challenge any unfair trading issue in the first instance is you. As the purchaser you have the right to challenge the pricing or quote. So if you are uncomfortable with the deal, raise the point and if still unhappy, withdraw.

Do your homeworkBefore you look at buying an item through Bartercard, do a bit of due diligence and have a quick search of other products to see what the current market price is. If the item you are looking at is grossly overpriced, do not buy it. Advise the selling member that you feel the item is overpriced and give a few examples.

Notify your Trade Co-ordinator if you cannot obtain a fair price, but remember do not buy the item as then you have accepted the price.

Get a written quote If you are undertaking a sizeable job then ensure you get a quote.

If the seller is wanting to use a cash portion that falls within the guidelines or rules, ensure this is clearly stated in the quote. If you accept a quote with a trade/cash split then you cannot object to the pricing at a later date.

Contract for services Agreement for the provision of services with Bartercard payments.

This section will help you to protect yourself when entering into a formal agreement with another Bartercard member. This may be for a one-off agreement or a long term contract. This advice should also be applied when doing business in the cash market.

Parties wishing to use Bartercard should state in the agreement the amount and the fixed term that Bartercard trade dollars will be accepted under the contract. This can be done by inserting the following:

» Terms payment (clause 1): 100% Bartercard trade dollars and fixed for a term of x months/years.

» The above should be noted on the front of any agreement between members of Bartercard

Contract for serviceWe suggest that you follow the guidelines below when entering into a formal agreement with another member to ensure that the Terms of the Agreement are clarified and both parties agree. This will help prevent instances of payment terms not being met.

To supplement the suggested Terms of Payment (clause 1) we also suggest that the following term is inserted into the Terms of Trade or the Terms and Conditions of the agreement:

Terms BARTERCARD TRADE DOLLARS

Where payments for goods or service provided under this agreement are to be paid with Bartercard trade dollars, payments are to be accepted according to the Terms of Payment.

» Payment according to clause 1 shall be fixed as stated in the Terms of Payment. Neither party shall unilaterally amend the Terms of Payment without agreement in writing by both parties

Communicate with your Trade Co-ordinator

Bartercard is interested in being made aware of any dealings which you believe constitute unfair trading or are unlawful. Bartercard will then decide if the circumstances warrant a member being removed from the exchange. Holding members accountable can assist in maintaining a healthy trade exchange.

Protecting your Bartercard account

To protect your Bartercard account make sure you follow these tips.

» Never give your card or account details to anyone you don’t know or trust

» Keep your receipts

» Regularly check your Bartercard account and statements

» Report any unexplained transactions to 1300 BARTER

» Keep your Bartercard cards safe

Other items to consider

DisputesAny disputes that may arise between the buying member and the selling member need to be settled by the parties themselves, or escalated to the Disputes Tribunal (see page 34).

Bartercard may at its discretion offer the service of mediation or resolution of disputes between members involving trades between members.

Bartercard may suspend or restrict a members right to participate in trading and take further action to ensure fair dealings between members.
