PREAMBLE
We, the Law Enforcement Officers of the United States and of the State of Maryland, convinced that it is in the best interest of our members, hereby unite under the name of the MARYLAND TRANSPORTATION AUTHORITY POLICE LODGE #34, OF THE FRATERNAL ORDER OF POLICE, INC. This lodge is formed to promote more personal and efficient operation between the Law Enforcement Officers of this lodge and state, and to foster enforcement of law and order; to encourage social, charitable, and educational activities among Law Enforcement Officers.
We the members, do hereby pledge to increase the efficiency of the Law Enforcement profession and thus more firmly establish the confidence of the public in the services dedicated to the protection of life and property.

LODGE #34
BY-LAWS AND CONSTITUTION AND BY-LAWS
ARTICLE I
NAME
SECTION 1: This organization shall be known as the MARYLAND TRANSPORTATION AUTHORITY
POLICE LODGE #34, INCORPORATED, OF THE FRATERNAL ORDER POLICE INCORPORATED. OF
THE MARYLAND STATE LODGE.
SECTION 2: The rights to authorize, control, and restrict the use of the name and insignia of the lLodge shall
lie exclusively with the Board of Directors of the Lodge in accordance with the State and National Lodge
regulations. All items that represent the lLodge and/or its' logo shall be owned and controlled by the Llodge and
any proceeds shall be the right of the Llodge. All logos and the name of Lodge #34 shall be designed and used in
good taste bringing credit upon the Llodge, the Maryland Transportation Authority Police, and its members.

ARTICLE II
PURPOSE
SECTION 1: In its endeavors toward the founding purposes of the organization as set out in the corporate
charter, this lodge whose members have adopted the same profession and who are working in unison to
accomplish our worthy objectives, have banded together in this grand order to aid and assist one another and to
promote the common cause.
SECTION 2: The lodge shall at all times be non-sectarian, and shall have no affiliation, directly or indirectly,
with any labor union, political party, congress, federation, or committee of like nature, or political action
committee, or similar organization by whatever name known.
SECTION 2 3 : The Llodge is a vehicle of communication for the members among themselves and between the
members and police officials, and the elected or appointed officers of government at all levels. The Llodge
adheres to a doctrine or cooperation in its communications with its members, police officers, and the elected or
appointed officials of government at all levels. If the time arises when the Llodge must protect the individual
member’s rights through findings of fact and of law, or where injustice persists, the Llodge will prevail upon the

appropriate administrative or governmental process, and/or the courts until such grievances are adequately
redressed.
SECTION 3 4: The Llodge shall not, in any case, strike or by concerted action, cause, or induce other
members or lodges to do likewise, and any member so doing shall be expelled from the order.
SECTION 4 5 : The Fraternal Order of Police is a non-profit organization consisting of active and retired
members of the Maryland Transportation Authority Police as well asnd associate and honorary members
SECTION 5 6 : Theis Lodge shall adopt a Constitution and By-Laws as it deems necessary through the General
Membership for the governing of theis Llodge. This Constitution and By-Laws shall not be in conflict with the
State Lodge or the Grand Lodge.
SECTION 7 6 : The By-Laws shall govern the day to day operation and administration of the Lodge. The By-
Laws may only be promulgated, amended, and/or revised by a vote of two thirds (2/3) of the general membership
present at a regular meeting.
ARTICLE III
NAME AND INSIGNIA
SECTION 1: No member shall use the name, logo, or insignia of this Lodge or the State or Grand Lodges
except as authorized by the Constitution and the Board of Directors.
SECTION 2: The unauthorized use or the abuse of the name, logo, or insignia of this Lodge or the
infringement of the trademark thereof shall be grounds for discipline, including, suspension, expulsion, or removal
from office. Legal actions may be imposed.
SECTION 3: The name, logo, and insignia of this Lodge shall be only used for the purposes of this Lodge and
not for any personal use or gain.

ARTICLE IV
DEFINITIONS
SECTION 1: LODGE - Any reference within these By-Laws and Constitution Constitution and By-Laws to
the Lodge shall be understood to mean MARYLAND TRANSPORTATION AUTHORITY POLICE LODGE
#34, INCORPORATED, OF THE FRATERNAL ORDER POLICE INCORPORATED. OF THE MARYLAND
STATE LODGE. Any other references to the State Lodge or Grand Lodge will be so stated and stipulated.
SECTION 2: GOOD CAUSE - Shall mean nonfeasance, malfeasance, dishonesty, or refusal to carry out the
will of the Lodge.
SECTION 2 3 : CALENDAR YEAR - Shall be from January 1 through and until December 31.
SECTION 3 4: QUORUM - at any regular or special meeting of the General Membership of the Lodge, a
Quorum, legal capable of conducting the business of the Lodge, shall consist of those members present, provided
that proper notification of the meeting has been given, as elsewhere indicated.
SECTION 4 5 : GENERAL CONSENT - accept a motion without a vote.
ARTICLE V
MEMBERSHIP
SECTION 1: There shall be four classes of membership within the lodge:
a: ACTIVE - the active membership shall be comprised of regularly appointed, full-time, sworn police
officers of the MARYLAND TRANSPORTATION AUTHORITY POLICE.
b: RETIRED - the retired membership shall consist of members who have honorably retired from the
MARYLAND TRANSPORTATION AUTHORITY POLICE.
c: ASSOCIATE - the associate membership shall consist of members who are not employed as sworn
police officers of the MARYLAND TRANSPORTATION AUTHORITY POLICE, but who are of good character,

free of any criminal record, whose desires are to assist the active membership in accomplishing their worthy
objectives, and will be bring credit and good favor upon the lodge. Associate member may attend general
membership meetings, but may not vote or run for any office.
d: HONORARY – the honorary member shall consist of members who are not employed as sworn
police officers within the State of Maryland. These persons must be of good moral character, free of any criminal
record, whose desires are to assist the membership of FOP Lodge #34, and they will bring good credit and favor
upon the Llodge. These persons are those who it has been determined by the membership that have brought credit
and good favor upon the lodge through their efforts, their character, and stature in the community, . through
Through a resolution these persons Honorary Members will be made Honorary Members of the FOP Lodge #34
through resolution. There shall be no dues associated with the Honorary Membership.
SECTION 2: No person otherwise qualified shall be denied membership because of race, creed, sex, or
religion. No person shall be a member of more than one Lodge at the same time. No person who is affiliated with
a Communist party, or any party known under any other name which advocates the abolition, destruction, or
violent overthrow of the government of the United States or the Great State of Maryland shall be a member. Any
person will also be denied membership if found to be a convicted felon in any court of the United States once all
appeals have been exhausted.
SECTION 3: All classes of membership are recognized within the meanings in the Grand Constitution
of the Fraternal Order of Police and subject to the legal restrictions therein, or as otherwise defined herein, upon
written application and remittance of the proper dues.
ARTICLE VI
BENEFITS
SECTION 1: The benefits of membership in the Llodge shall include, but are not limited to:
(a) advice in departmental related matters.
(b) legal plans both on and off-duty. where the member has the option/right to go directly to and through
the law offices of the Lodge's selected attorneys. (NOTE: On-duty legal plans are only available to the active
membership.)

(c) grievance counseling and assistance.
(d) presentation to the proper legislative bodies of proposals beneficial to the membership and the field
of law enforcement.
(e) copies of such publications as may be provided by the Lodge, the State Lodge, or the Grand Lodge
from time to time.
(f) such other reasonable services as may be required from time to time as directed by the Board of
Directors and/or the membership.
SECTION 2: No member shall be denied any of their benefits as long as they are a member in good standing
and not suspended or on probation from the lodge.
ARTICLE VII
DUES AND ASSESSMENTS
SECTION 1: The dues of this Llodge are set in accordance with the Constitution and By-Laws those
fixed and definite charges of money applicable to all lodge members and paid toward the support of the Llodge to
retain membership therein.
SECTION #2:
(a) The dues of the Llodge are at least 1% of the starting salary of an officer’s pay or an amount
deemed by the Board of Director’s that has been voted on and approved. This amount shall not
be in excess, however, it will be an amount that will meet the needs of the Llodge. and shall be of

that amount so as to all bills be paid on time to include but not limited to; office supplies,
mortgages, taxes, utilities, and correspondence.”
(b) Dues for retired active members are $40.00 for calendar year 2011. Beginning Calendar year
2012 and beyond dues for retired active members are $50.00 per year, paid at the beginning of the
calendar year/annual meeting. If that member wishes to partake in the off-duty legal plan; it is
available to them at an amount set by the Board of Directors ($65.00/yr., payable at the
beginning the calendar year), in addition to the annual dues.
(c) Dues for Associate members for the calendar year of 2012 shall be $26.00. Effective 2013dues
for Associate Members shall be $40.00. Associate members who wish to in the off-duty legal
plan it is available to them (payable upon signup and at the beginning of the calendar year of
renewal), in addition to the annual dues.
(d) Dues for associate (Authority Employees Only) member are $5.00 per pay, payroll deducted. If
the Associate (Authority Employees Only) member wishes not to partake in the off-duty plan; the
cost is $2.50 per pay, payroll deducted.
(1) Retired Authority/?Non-Authority Employees Assiciate Members, annual dues of of
$15.00 (fifteen dollars) per year, payable at the beginning/first meeting of the calendar
year. These individuals are not eligiable for the Off-Duty Legal Plan.

(4) A lump sum to be paid by the member (Active Only) at the first meeting of the calendar
year, the annual meeting. This payment will be made to the lodge's treasurer by the form
of cash, check, or money order and a receipt will be given to the member.
(5)
SECTION 3: Any member who shall fails to pay the regular dues of the Llodge, or any duly levied fine or
assessment, by such dates as may be prescribed therein, shall be adjudged determined to be in arrears of payment
and not in good standing.
SECTION 4: Any member in arrears of payment of dues, fines, or assessments more than thirty (30) days and
less than ninety (90) sixety (60) days shall be deemed to be delinquent and not in good standing.
SECTION 5: Any member in arrears of payments of dues or assessments more than ninety (90) sixety (60)
days and less than six (6) three (3) months shall be automatically suspended.
SECTION 6: Any member delinquent or suspended, as provided described in this article in SECTION 5 and 6
of Article V, may be reinstated and restored to good standing by payment of all amounts due, and in addition

thereto pay a 15% reinstatement fee of the total amount for being in arrears, and payment of dues for the next 12
months in whole. At this point the member may be reinstated.
SECTION 7: Any member who is delinquent or who has been suspended loses all rights afforded to them as a
member of Llodge #34.
SECTION 8: Any member who is delinquent, or who has been suspended by a subordinate lodge for any
reason, shall not be eligible for membership in any other subordinate lodge until the suspension has been lifted.
SECTION 9: This Lodge shall adhere to the dues and taxes levied against it by the State and Grand Lodges.
These dues and taxes shall be paid for from this Lodge's funds. These dues shall be paid on May 1 and November
1 of each year, or in accordance with State or Grand Lodge requirements.
ARTICLE VIII
OFFICERS

SECTION 1: – The Board of Directors shall consist of the following: Current Lodge #34 President, 1st
Vice President, 2nd Vice President, Corresponding Secretary, Treasurer, Chaplain, State Trustee, Scribe,
Conductor, Guard/Sergeant atof Arms, Immediate Past President, and the Lodge Trustees.
SECTION 2: – The Executive Board of Directors shall consist of the following: Current Lodge #34
President, 1st Vice President, 2nd Vice President, Corresponding Secretary, and Treasurer.
SECTION 3: The order of rank for the officers of theis Llodge is as follows. PRESIDENT, 1st VICE
PRESIDENT, 2nd VICE PRESIDENT, SECRETARY, TREASURER, CORRESPONDING SECRETARY,
SCRIBE, CONDUCTOR, GUARD/SGT. OF ARMS SERGEANT AT ARMS, CHAPLAIN, STATE TRUSTEE,
IMMEDIATE PAST PRESIDENT.
SECTION 4: All officers of the Llodge shall serve a 2 (two) year term in office. All elections will be
conducted as set forth in the Constitution and By-Laws. All officers shall be elected at the annual meeting in the
month of January every 2 (two) years. This election shall be on the even calendar years. The nominations for
officers will be at the monthly meeting of November of the odd year. Each officer shall be qualified and installed
into office at the regular meeting the following month, normally February unless events dictate.
SECTION 5: All officers of the Llodge serving on the Board of Directors must attend at least 8
meetings a year. If that officer does not, the other members of the Board of Directors or any members from the
general membership may request that that officer be removed from their position. The officer in question has
until the next regular meeting to answer the charges of being absent from their position. If the rebuttal from the
officer is valid an extension may be placed on the officer. If it is found to be invalid then a vote from the quorum
either by the Board of Directors or the mMembership will be taken with a two thirds (2/3) vote required to make
the decision.
SECTION 6: Any aActive member who has been determined to be in good standing, is capable of, and
willing to hold an elected office for the Executive Board of Directors with FOP Lodge # 34 as outlined above in
Article V5 and Article VIII8 may be nominated and then elected. Other then the Executive Board of
Directors any Active or Retired member who has been determined to be in good standing, is capable of, and
willing to hold an elected office on the Board of Directors with FOP Lodge # 34 as outlined above in Article V5
and Article VIII8 may be nominated and then elected.
ARTICLE IX
BOARD OF DIRECTORS

SECTION 1: The Board of Directors for the Llodge shall consist of the PRESIDENT, 1st VICE PRESIDENT,
2nd VICE PRESIDENT, SCRIBE, CORRESPONDING SECRETARY, TREASURER, SCRIBE, CONDUCTOR,
GUARD/SGT. OF AT ARMS, CHAPLAIN and IMMEDIATE PAST PRESDIDENT, the member holding office
in the State or Grand Lodges, and the FIRST TRUSTEE. The Immediate Past President will be a member on of
the board of directorsBoard of Directors; however, the board of directors Board of Directors must make a vote
with a majority decision as to the Immediate Past President’s voting capacity. The board Board shall vote the
Immediate Past President in as a voting member of the board at the first meeting of the newly elected board.
SECTION 2: The Board of Directors shall be the administrative, managerial, and judicial body of the Llodge,
and is charged at all times to act in the best interests of the lodge and the professional law enforcement; to declare
the will of the lodge when required; and in all related things matters to obey the commands of the lodge.
In administering the affairs of the Llodge, the Board of Directors will at all times adhere to the
principles of conduct required by the constitutional authority of the Grand Lodge, the State Lodge, the Corporate
Laws of the State of Maryland, the authority of this Cconstitution and By-Laws of the Lodge, and the rules
adopted by parliamentary authority.
SECTION 3: Any lodge officer or member of the Board of Directors who resigned from active Law
Enforcement duties for any reason other than to retire on pension, for length of service, age, or disability, or
otherwise, becomes ineligible as a member of the FRATERNAL ORDER OF POLICE, shall automatically forfeit
their office as a member of the MARYLAND TRANSPORTATION AUTHORITY POLICE LODGE #34 board
of DirectorsBoard of Directors . Any vacancy in the offices of the Llodge shall be filled by a majority vote of the
Board of Directors.
SECTION 4: The Bboard of Ddirectors shall meet at least once each month, unless otherwise provided by
resolution of a majority of the Board of Ddirectors; to ensure the orderly flow of lodge business. A quorum shall
consist of those members present, provided that proper notification of the meeting has been given.
SECTION 5: After the annual meeting and before the installation meeting, the newly elected Board of
Directors shall meet at least once to formulate plans and policy, discuss candidates for appointed positions, and
estimate the budget requirements. This meeting shall be presided over by the president-elect.
SECTION 5 6 : The Board of Directors meeting following the installation meeting shall be designated as the
Budget Meeting whereas the Lodge Budget for the following year shall be adopted. At this meeting the
President's appointments shall be confirmed.
ARTICLE X

Discipline & Hearings
IMPEACHMENT, PROBATION & VIOLATION OF CONFIDENCE
SECTION 1: If it becomes found after an investigation that is chaired by the Guard/Sgt. of ArmsSgt. Sergeant
at Arms that any member of the Board of Directors, a Committee member, or any regular member, associate
member or honorary member from the general membership has acted in a manner that brings disrepute, disgrace
or dishonor discredit upon the Lodge and its members, or a has been convicted of a criminal or illegal act has been
committed; : disciplinary impeachment proceedings will commence. The Legal Advisory Board will hold
hearings as to the merit of the charges and their findings.
SECTION 2: An disciplinary impeachment process will be as follows:
(a) charges by any member of the lodge showing discredit, criminal, or illegal act by a Llodge
member must Charges of misconduct must be received by the President in the style of a formal letter signed by
the complainant and should contain all applicable facts of the alledged violations.. If the President is the person
being charged with the offenses, this letter will be addressed and presented to the 1st Vice President. (Future
references to the president within this article will be understood to mean either the President, 1st Vice President,
etc., if the President and so forth is the accused party.) If the allegations are believed to include other members, of
the Board of Directors, then the charges will be addressed to the next Board member in line who is not involved.
(b) The President will direct the contact the Guard/Sgt. of ArmsSgt. Sergeant at Arms and direct
the Guard to form form an an investigative committee, which will consist of the Sergeant-At-Arms, Conductor
and two (2) lodge members who hold no positions within the lodge that are selected by the President or his/her
designee.. The committee will consist of the Guard, Conductor, and two (2) lodge members who hold no
positions within the lodge.
(c) This committee will will conduct an investigation and report their findings to the
President in the form of a written report. report their findings to the President at the next monthly meeting. After
the report is filed with the President,
(d) tThe President will direct the Sergeant-At-Arms to inform the general membership of the
investigation under new business. The Sergeant-At-Arms Guard will report the investigation results to the general
membership. and the official report of the investigation results will be filed. The Board Member(s) being
investigated will be formally charged at this time.
(c)(e) If guilt has been established just cause is shown, the President will direct the Board of
Directors to recommend a punishment. Legal Advisory Board to determine if impeachment proceedings are
justified and report their findings at the next membership meeting.
(d)(f) The Legal Advisory Board of Directors will review the charges and the investigation
results. They will then recommend a punishment by a two-third (2/3) vote.take into account the totality of the
situation and by two thirds (2/3) vote they will present their findings to the general membership.
(e)(g) The Sergeant-At-Arms At the next meeting the Legal Advisory Board will present
thetheir findings to the general membership along with recommendations for disciplinary actions. The general

membership will vote at that time. if the Board Member(s) charged should be impeached. A majority vote will be
the deciding factor.factor/vote.
(f) If the Board Member(s) is impeached, they will be removed from office effective
immediately and they will be ineligible to hold an office within the Lodge for a period of ten (10) years.
(g) If the findings do not warrant an impeachment the matter will be formally closed.
SECTION 3: Disciplinary Action – Any member found guilty of violation(s) are subject to written reprimand,
probation, impeachment, or expulsion from the order.
SECTION 4: SECTION 3 : Probation - Any member who has been found guilty of any misconduct mayshall
be placed on probation. In matters other than an impeachment, whereas it has been found that probation will not
exceed a period of 10 years, the length of probation will be determined by the general membership and agreed to
by the Board of Directors.
(a) The members voting privileges will be suspended for the duration of the probationary
period.
(b) The member will be ineligible to hold any elected position while on probation.
(c) If the offense is severe and a vote is taken with an affirmative finding being reached, the
member may be expelled from the lodge and all Fraternal Order of Police privileges will be forfeited.
(d) It will be the duty of every member of this lodge to inform all fellow Lodge members that
the expelled member has been found guilty and to further disassociate themselves with this person except in the
performance of police duties.
SECTION 5: SECTION 4: ConfidencialityViolation of Confidence - the character of this lodge is such that at
times the business of the Lodge must be kept confidential, and it is imperative that all members shall have their
brother and sister members trust. Therefore, any member willfully or through negligence, divulges any
information in any form that is declared to be confidential at a meeting, that is detrimental to the security and well
being of another member, or is detrimental to the best interests and security of the Lodge, shall be in violation of
this section.charged with a breach of confidence. If such charges are substantial, the offending party shall be
charged and sections 2 and 3 above will be followed.
SECTION 5: A member who has been suspended or expelled from the Lodge may appeal to the State Lodge
by the filing of a written notice of appeal with the State President not more than thirty (30) days from the expelled
member’s notification. Proceedings will be in order with the Grand Lodge Constitution and By-Laws, ARTICLE
23, section 3.
SECTION 6: The intent of this article is not to act as a prohibition against a police supervisor taking
disciplinary action against a fellow member, not for one member to report a crime committed by another member,
or the like, but is to promote the success of grievances, legal actions, etc.

ARTICLE XI
DUTIES OF THE PRESIDENT
SECTION 1: The president shall be the Chief Executive Officer of the Lodge and shall exercise active control
of the general and administrative management of the affairs of the Lodge, under the supervision of the Board of
Directors.
SECTION 2: The President shall preside at all meetings of the general membership and the Board of Directors
unless otherwise provided by resolution of the bodies.
SECTION 3: The President shall sign with the treasurer all applicable valid orders for the disbursement of
Lodge funds before such orders may be negotiated.
SECTION 4: The President shall affix their signature to any documents passed upon by the lodge requiring
such signature for validation or authentication.
SECTION 5: With the advice and consent of the Board of Directors, the President shall appoint all committee
members and/or commissions or other delegations as are necessary to serve the best interests of the Lodge and to
insure an orderly flow of Lodge business, and the President shall be a member ex-officio thereof.
SECTION 6: The President shall be a delegate to the State and Grand Lodge Conferences with all expense
paid for by the Lodge.
SECTION 7: The President shall be the Chairman of the Publications Committee and all Special Committees.
SECTION 8: The President shall convey to the successor all unfinished business of the Lodge.
SECTION 9: The President shall carry out their duties and action for the good of the order.

SECTION 10: The President shall be the chairman and chief negotiator for the collective bargaining contract
negotiations. Should the President not be an Active Sworn Police Officer then the next position on the board of
directors where an Active Sworn Police Officer is shall be the chairman and chief negotiator for the collective
bargaining contract negotiations.
ARTICLE XII
DUTIES OF THE 1st VICE PRESIDENT
SECTION 1: The 1st Vice President shall assist the President in the administration of lodge affairs and
perform such duties as may be reasonable and required to insure the orderly flow of Lodge business.
SECTION 2: In the event of the absence of the President or removal from office the 1st Vice President shall be
vested with the powers of and perform the duties of the President.
SECTION 3: The 1st Vice President shall be the Chairman of the Finance Committee, the By-Laws
Committee, and the Lounge Committee. and the Legal Advisory Board.
SECTION 4: The 1st Vice President shall be responsible for the lodge budget with the assistance of the
Treasurer.
SECTION 5: The 1st Vice President Shall be a member of the Publications Committee the Negotiations
Committee.
SECTION 6: The 1st Vice President shall be a delegate to the State and Grand Lodge Conferences with the
expenses paid for by the Lodge.
ARTICLE XIII
DUTIES OF THE 2nd VICE PRESIDENT

SECTION 1: The 2nd Vice President shall assist the President and the 1st Vice President in the
administration of lodge affairs and perform such duties as may be reasonable and required to insure the orderly
flow of Lodge business.
SECTION 2: In the event of the absence of the 1st Vice President or removal from office the 2ndt Vice
President shall be vested with the powers of and perform the duties of the 1st Vice President.
SECTION 3: The 2nd Vice President shall be the Chairman of the Merchandise Committee and the Hall
Committee and the, Membership Committee.
SECTION 4: The 2nd Vice President shall be responsible for the lodge’s official web site.
SECTION 5: The 2nd Vice President Shall be a member of the Publications Committee Negotiations
Committee and the Legislative Committee.
SECTION 6: The 2nd Vice President shall be responsible for making all arraignments to the Biennial
Conferences for all Delegates. The Second Vice President shall be a delegate to the state and grand lodge
conferences with expenses paid by the lodge.
ARTICLE XIV
DUTIES OF THE SCRIBE/CORRESPONDING SECRETARY
SECTION 1: The scribe shall be a member of the board of directorsBoard of Directors .
SECTION 2: The scribe shall be the recording officer of the Lodge and custodian of its seal, books,
documents, and records, unless otherwise specified herein or by resolution.
SECTION 3: The Scribe/Corresponding Secretary shall be secretary of all meetings of the General
Membership and the Board of Directors.
SECTION 4: The Scribe/Corresponding Secretary shall keep an accurate recording of the business conducted
at such meetings and cause such record to be legibly entered in a book of minutes before the meeting following
that of which they are a record.
SECTION 5: The Scribe/Corresponding Secretary shall affix their signature and the seal of the lodge to all
documents that require such for validation or authentication.
SECTION 6: The Scribe/Corresponding Secretary shall conduct Special Correspondence of the Lodge which
is not a function proper to other officers or committees.

SECTION 7: The Scribe/Corresponding Secretary shall furnish all officers or committees whatever documents
or information they may require for the performance of their duties, and shall particularly assist the Conductor in
preparing an agenda for each meeting.
SECTION 8: The Scribe/Corresponding Secretary shall complete a written copy of the monthly general
membership meeting minutes. The Scribe will ensure written copies of the general membership meeting minutes
are made available at the entrance of the general membership meeting of FOP 34 one (1) hour prior to the start of
the following month’s general membership meeting.
SECTION 9: The Scribe/Corresponding Secretary, with assistance from the Secretary and the Conductor,
shall prepare an agenda for each meeting.
ARTICLE XV
ARTICLE XIV
DUTIES OF THE SECRETARY
SECTION 1: The Secretary shall be a member of the Bboard of Ddirectors.
SECTION 2: The Secretary shall conduct the general correspondence of the Lodge.
SECTION 3: The Secretary shall issue the call of meetings of the General Membership and the Board of
Directors not later than seven (7) days prior to say meetings.
SECTION 3: SECTION 4: The Secretary shall be a member of the Publications Committee.
SECTION 4: SECTION 5: The Secretary shall keep the official membership roll of the Lodge.
SECTION 5: SECTION 6: The Secretary, with assistance from the Scribe/Corresponding Secretary and the
Conductor, shall prepare an agenda for each meeting

SECTION 6: SECTION 7: The Secretary shall have custody and use of the Lodge's materials and office
equipment as is necessary to perform his/her their duties. Any additional documented costs incurred by the
Secretary shall be reimbursed. providing their is proper documentation. These expenditures will be authorized by
the Board of Directors after consideration and resolution.
SECTION 7: The Secretary shall be the custodian of all Lodge Seals, books, documents and records.
SECTION 8: The Secretary shall give an in-depth and accurate report of their office to the Lodge and deliver
to their successor any and all lodge books and properties when their term is over.
SECTION 9: The Secretary shall be responsible to ensure all members receive their FOP membership cards
annually.
SECTION 10: The Secretary shall ensure that all name and address changes are recorded at the Lodge level
and forwarded to the State and Grand Lodges.
SECTION 11: In the absence of the President, 1st and 2nd Vice Presidents, the Secretary shall call Lodge
Meetings to order and preside. until the election of a Chairman Pro Tem.
SECTION 12: The Secretary shall be delegate to the state and grand lodge conferences with expenses paid by
the lodge.
ARTICLE XV
ARTICLE XVI
DUTIES OF THE TREASURER
SECTION 1: The Treasurer shall be a member of the Board of Directors.
SECTION 2: The Treasurer shall be custodian and administrator of the funds of the Lodge under the
supervision of the Board of Directors with the exception of the Lodge Lounge Accounts, Lodge Hall Accounts
and Lodge Distress Fund Account. The Treasurer will have full oversight ability on the Lounge and Hall Account
but these two (2) specific accounts are maintained by the Lounge Manager & Hall Manager. The Distress Fund is
overseen by the Chaplain.

SECTION 3: The Treasurer shall keep full and accurate accounts of receipts and disbursements in books
belonging to the Lodge. The Treasurer shall obtain a monthly report from the Lounge Manager and Hall Manager
that shows Income, Expenditures and Reimbursements.
SECTION 4: The Treasurer shall receive all funds of the Lodge, with the exception of the Lodge Lounge
Account, Lodge Hall Account and Lodge Distress Fund Account, from dues, fines, and assessments of the
members or from any other source, and shall deposit such funds in the name of the Lodge only in Financial
Institutions which are insured by the Federal Deposit Insurance Corporation. The Lounge Manager, Hall Manager
and Chaplain shall deposit all funds related to the Lounge, Hall or Distress Fund in to the appropriate accounts.
SECTION 5: The Treasurer shall sign all financial disbursements with the President for all funds except those
dealing with the Lodge Lounge, Lodge Hall and/or Distress Fund..
SECTION 6: The Treasurer shall deliver a trial and balance report to the membership at each Board of Directors
Meeting and/or General Membership Meeting. A full report shall be on file with the Lodge Secretary. full and
accurate report at each Board of Director and General Membership meetings. These reports shall include as a
minimum, receipts, debits, disbursements, savings and checking accounts, any bonds and/or Certificates of
Deposit, and any other account balances.
SECTION 7: The Treasurer shall deliver to their successor in office all books and other Lodge Properties that
are in their possession at the end of their term of office.
SECTION 8: The Treasurer shall give the Auditing Committee a correct account of all moneys in their
possession, together with books, papers, and receipts belonging to the office, and at any time when ordered,
deliver all moneys, books, papers, and properties to the Board of Directors and/or the Auditing Committee.
SECTION 9: The Treasurer shall be a delegate to the state and grand lodge conferences with expenses paid
by the lodge.
ARTICLE XVI
DUTIES OF THE SCRIBE
SECTION 1: The scribe shall be a member of the Board of Directors .
SECTION 2: The scribe shall be the recording officer of the Lodge.
SECTION 3: The Scribe shall be secretary of all meetings of the General Membership and the Board of
Directors.

The Scribe will ensure written copies of the general membership meeting minutes are made available at the
entrance of the general membership meeting of FOP 34 one (1) hour prior to the start of the following month’s
general membership meeting.
ARTICLE XVII
DUTIES OF THE CONDUCTOR
SECTION 1: The Conductor shall be a member of the board of directors Board of Directors.
SECTION 2: The Conductor, with assistance from the Corresponding Secretary and the Scribe, shall prepare
an agenda for each meeting.
SECTION 2: SECTION 3: The Conductor shall be responsible for the physical arrangements of the meeting
rooms, insuring in advance that all preparations have been made. This will include as a minimum the podium,
name plates, and the flags.
SECTION 4: The Conductor shall be the keeper of the podium, name plates, and the flags.

SECTION 3: SECTION 5: The Conductor in conjunction with the Sgt. of ArmsSergeant at Arms shall check
the credentials and eligibility of those persons arriving at the meeting place and they shall deny entry to those
persons not authorized when occasion demands.
SECTION 4:SECTION 6: The Conductor shall assist the Sgt. of ArmsSergeant at Arms as the chair may
direct, in keeping order on the floor of the meetings, as directed by the chair.
SECTION 5: SECTION 7: The Conductor shall assist the Sgt. of ArmsSergeant at Arms with investigations.
This shall be accomplished in a confidential manner. All charges of improper conduct brought by one member
against another member of the Lodge shall be investigated and shall be reported upon. This testimony as to the
findings shall be presented in accordance with ARTICLE VIII, Articles of Impeachment's and Probation.
SECTION 8: The Conductor shall prepare an agenda for each meeting with the assistance of the Scribe and
the Corresponding Secretary. This will in turn be forwarded to the Publications Committee.
SECTION 6: SECTION 9: The Conductor shall be a member of the Publications Committee.
SECTION 7: SECTION 10: The Conductor shall perform such other duties as may be directed upon him by
the Board of Directors.
ARTICLE XVIII
DUTIES OF THE GUARD/SGT. of ARMS SERGEANT AT ARMS
SECTION 1: The Sergeant of ArmsSergeant at Arms shall be a member of the Board of Directors.
SECTION 2: The Sergeant of ArmsSergeant at Arms shall keep an accurate record of members and guests
attending each meeting and provide a copy thereof to the Corresponding Secretary.
SECTION 3: The Sergeant of ArmsSergeant at Arms shall take up all resolutions, written motions, reports,
correspondence, and other papers from the floor of the meetings and deliver them to the Conductor for reading or
filing.
SECTION 3. SECTION 4: The Sergeant of ArmsSergeant at Arms shall keep order on the floor of the
meetings as the Chair and / or Parlimentarian may direct.

SECTION 4: SECTION 5: The Sergeant of ArmsSergeant at Arms shall be the Chief Investigator of all
disciplinary preceedings. in company with the Conductor investigate in a confidential manner all charges of
improper conduct brought by one member of the Lodge against another member, and shall act as a prosecutor for
the Lodge in disciplinary proceedings.
SECTION 6: The Sergeant of ArmsSergeant at Arms shall be a member of the Legal Advisory Committee and
its Chief Investigator.
SECTION 5: SECTION 7: The Sergeant of ArmsSergeant at Arms shall perform such other reasonable duties
as directed by the President. may be related to the office of Sergeant of ArmsSergeant at Arms.
ARTICLE XIX XIX
DUTIES OF THE CHAPLAIN
SECTION 1: The Chaplain shall be a member of the Board of Directors.
SECTION 2: The Chaplain shall give the invocation at the opening and the benediction at the close of the
meetings.
SECTION 3: The Chaplain shall perform such other duties as directed by the President.
SECTION 4: The Chaplain shall be responsible for the oversight and dispersement of the Lodge’s Distress
Fund. The Chaplain shall provide guidance to members of the Lodge and/or their families.
ARTICLE XX
DUTIES OF THE STATE TRUSTEE
SECTION 1: The State Trustee shall be a member of the Board of Directors.
SECTION 2: The State Trustee shall be the representative of the Lodge on the Board of Directors , of the
Fraternal Order of Police of Maryland. (The Maryland State Lodge)
SECTION 3: The State Trustee shall present as directed by this Lodge, all business and correspondence
related to the affairs of the State Lodge . He/She and shall make a full and written report to this the membership

regarding as to any action taken by the Maryland State Lodge and shall participate in State Lodge affairs to the
best interests of the Lodge.
SECTION 4: The State Trustee shall be a delegate to the State Lodge Conferences and Grand Lodge
conference with the expenses paid for by the Lodge, as determined by the Board of Directors..
ARTICLE XXI
DUTIES OF THE IMMEDIATE PAST PRESIDENT
SECTION 1: The Immediate Past President may shall attend meetings of the Board of Directors.
SECTION 2: The Immediate Past President shall advise and assist the President and the Board of Directors in
the performance of their duties.
SECTION 3: The Immediate Past President shall pass down all materials owned by the Llodge to the new
president.
SECTION 4: The Immediate Past President shall guide the newly elected pPresident and Bboard of Directors
on all unfinished lodge business to include all bills, banking, and holdings.
SECTION 5: The Immediate Past President shall execute such assignments as may be ordered upon them.
SECTION 6: Where there is no living Immediate Past President, these duties shall be performed by the last
living Immediate Past President.
ARTICLE XXII
THE COMMISSION OF TRUSTEES OF THE LODGE
SECTION 1: There shall be six (6) elected Trustees. Three (3) of the Trustees shall be elected each year
while the other three remain in office. This election will be conducted in conjunction with the annual elections
for the Board of Ddirectors during the even years and the election for the National Conference during the odd
calendar years. This will provide a sense of stability within the ranks of the Trustees . AsThe officials of this
Lodge, these Trustees shall be apart from other officers, whose duties it shall be to insure that all moneys,
property, or other interests, held in the name of the Lodge are handled honestly, efficiently, and in the best

interests of the members of the Lodge. The Ttrustee shall also be a representative of the Board of Directors to the
membership of this lodge.
There shall be a total of 6 Lodge Trustees.(a) The Ttrustees shall hold their position for periods of 2 years.(b) The Ttrustees may be elected if:(c) The Ttrustee has conducted his duties in the best interests of the lodge.(d) The Ttrustee has the desire to be reelected to the position.(e)
SECTION 2: The Trustees shall be custodians of all deeds and records pertaining to Lodge properties and
shall audit all financial records and inventory Lodge property at least oncetwice a year, with the assistance of the
Lodge Treasurer and the Lodge’s Accounting Firm. The Trustees, and shall give a written report of their
findings at the next general membershipAnnual meeting upon the completion of the audit report..
SECTION 3: The Trustees shall have the power to investigate at any time, any matter concerning Lodge
holdings or Lodge funds, that in their opinion warrants such investigation and they may report their findings
directly to the membership for immediate action.
SECTION 4: The manner of the election of the Commission of the Trustees shall be as the same for Lodge
Officers, except that the Trustees shall serve for a term of three (3) years with the term of office of two Trustees
expiring each year.
SECTION 4: SECTION 5: Immediately after each election, the Trustees shall select one trustee from among
their number who shall be known as the First Trustee, and who shall act as chairman and voice of the
Ccommission.
SECTION 5: SECTION 6: No Trustee shall serve in any other capacity within this Lodge, but may hold a
position in the State and/or Grand Lodge.
SECTION 6: SECTION 7: Any vacancy occurring in the Commission of Trustees shall be filled in
accordance with filling vacancies within the as in the Board of Directors. for the expired vacated term.
SECTION 8: In addition to the duties prescribed herein, the threefour (43) Trustees not running for reelection
shall serve on the Election Committee and be the Co-Chairpersons.
ARTICLE XXIII
COMMITTEES
SECTION 1: There shall be two types of committees within the Lodge;
(a) Standing Committees: , which are constituted to perform a continuing function and which shall
remain in existence permanently or until dissolved by amendment of this constitution. Standing Committees ,

other than those describe herein may be created by a majority approval of the Board of Directors. After which
such Standing Committee may only be dissolved by a vote taken in the same manner. , and
(b) Special Committees: , which are appointed as the needs arise to carry out specific tasks at the
completion of which the committee ceases to exist.
SECTION 2: Standing Committees, other than those describe herein may be created by a majority approval of
the Board of Directors and ratifying approval of the Board action by the General membership, after which such
created Standing Committee may only be dissolved by a vote taken in the same manner and under the same
provisions as an amendment to this constitution.
SECTION 2 SECTION 3: With the advice and consent of the Board of Directors, the President shall create
all special committees and appoint all committee members. s, commissions, or other such delegations as are
necessary to serve the best interests of the Lodge. The President shall be and to insure an orderly flow of Lodge
business, except those appointed at General membership meetings, and the President shall be a member ex-offcio
thereof.
SECTION 4: The Standing Committees of this Lodge shall be:
(a) Finance Committee(b) Legal Advisory Committee(c) Membership Committee – (1) When members are added … (2)(d) Publications Committee(e) Legislative Committee(f) By-Laws & Constitution Committee(g) Merchandise/Fund Raising Committee(h) Scholarship Fund Committee(i) Donations Committee – the entire board of directorsBoard of Directors will sit on this
committee, and in December of each year determine the amount available to be donated in the following year.
(j) This list is not all-inclusive. Any member of the lodge may be a member of any of the committees. Any member of the lodge may be the chair of any of these committees. The chair and the members of the committees must be identified at any regular membership meeting.Lounge Committee-by a majority vote of the board of directors a lounge manager shall be appointed to oversee the daily operations of the lounge (including but not limited to: scheduling of volunteers for bar and kitchen, ordering of all necessary supplies). The lounge manager shall maintain a separate account for all lounge income/expenses and shall report same to the lodge treasurer and board of directors monthly in the form of a written report. The lounge manager shall develop an SOP for the lounge which shall be approved by a majority vote of the board of directors. The lounge manager shall have full authority for the daily operation of the lodge and enforcement of the SOP.
(k) Hall Committee- by a majority vote of the board of directors a hall manager shall be appointed to oversee the daily operations of the hall (including but not limited to: scheduling of volunteers, and scheduling of events.). The hall manager shall maintain a separate account for all hall income/expenses and shall report same to the lodge treasurer and board of directors monthly in the form of a written report. The hall manager shall develop an SOP for the hall which shall be approved by a majority

vote of the board of directors. The hall manager shall have full authority for the daily operation of the hall and enforcement of the SOP.
(l) Grounds Committee(m)
ARTICLE XXIV
MEETINGS
SECTION 1: Regular Meetings -- whereas the unstable working conditions of Police Officers requires
equal flexibility in calling meetings of this Lodge, the General Membership shall meet once each month on the
second Thursday of each month unless prior notification has been made of the change. at such times and places as
may be designated by a majority of the Board of Directors.
(a) The Publications Committee shall notify all Lodge members of the months meeting to include as a
minimum the agenda, the date, the time, and the location. This notice will go out to the
membership not later than 7 10 calendar days prior to the meeting.
(b) No change in a regularly established meeting procedure shall be made without notification of the
General Membership by mail, E-Mail (electronic mail), fax, flyer, bulletin, or phone call at least 5
days in advance of the changed meeting.
(c) In the event that an emergency arises, i.e. severe inclement weather (snow – Baltimore County
Schools are closed or the County enters into Snow Emergency – Phase 1), the Board of Directors
will vote to hold or postpone the meeting. The meeting will be canceled. This cancelation will be
posted on the Lodge’s Website www.mdfop34.org and an email notice will be sent. If the meeting is
postponed, all members of the Board of Directors will notify all members of the postponement.
Within 48 hours of the notification of postponement a new date will be scheduled for later within
the same month, if possible.
SECTION 2: Special Meetings -- these meetings may be called for special and unusual reasons. They
may be called by the President, or the Board of Directors, or by the Commission of Trustees, or by the signed
resolution of twenty-five members or more delivered to any officer or agent of the Lodge and provided that
Nnotification of the General Membership shall be made by any of the following methods mail, E-Mail (electronic
mail), fax, flyer, bulletin, or phone call at least five days in advance of the Special Meetings. Any regular
meeting of the Lodge may be designated a Special Meeting with proper notification.

SECTION 3: Annual Meeting -- the regular meeting in the month of January shall be designated the
Annual Meeting. At this meeting all officers and the Chairman of the Standing Committees shall report their
activities of the past year and give written statements thereof to the Scribe. The Trustees shall report the
inventory of Lodge property and the results of their financial audit. The election of officers shall also be
conducted at this meeting, the counting of the ballots, as provided in Article XXVI. The Annual Meeting shall
serve as the Installation Meeting as well. The new President shall outline his/her program of the Lodge’s Activity
for the upcoming year.
SECTION 4: Installation Meeting -- the regular meeting in the month of February shall be designated
the Installation Meeting. Those members of the Lodge elected in the month of January shall be qualified for
office as the first order of business at the Installation Meeting. Immediately following the installation of all
officers and the comments of any participating guests, the new President shall outline his program of Lodge
activity for the upcoming year and announce his designates for the various Standing Committees. Following the
President's comments, the meeting will revert to the regular agenda.
SECTION 5: Quorums -- at any regular or special meeting of the General Membership of the Lodge, a
Quorum, legal capable of conducting the business of the Lodge, shall consist of those members present, provided
that proper notification of the meeting has been given, as elsewhere indicated.
SECTION 6: Members to hold positions
a: Members to be eligible to hold a position on the Executive Board of Directors, members must have
attended a minimum of nine (9) regular or special meetings.
b: Members to be eligible to hold a position on the Board of Directors , members must have attended a
minimum of six (6)7 regular or special meetings.
c: To receive credit for attendance at a meeting, the member must be present stay at the meeting
through the conclusion of the officer’s reports.
SECTION 7: Excused from Meetings
Members may be excused from a regular meeting, but receive credit for their attendance for the
following reasons:a. Hospitalization – of self and/or a member of the immediate family, to include spouse, children, and
parents.b. Death – of a member of the member’s family, to include spouse’s family.c. Other Emergency – a member may request to be excused for a last minute emergency that was not
expected. The member must notify a member of the Executive Board of Directors, and the reason for the emergency. The E-Board will vote and determine if it is justified and if the member is to get credit for the meeting.
d. To be excused the member must notify a member of the Executive Board of Directors (E-BOD) that they are unable to attend the meeting, and they must provide their normally submitted report to a member of the E-BOD. Appropriate documentation must be made available as requested.
e. When these Members who members have met the above listed criteria they may be given credit for attendance.

that may be modified as needed with a resolution from the membership.
ARTICLE XXVI
CONSTITUTIONAL and PARLIAMENTARY AUTHORITY
SECTION 1: This Constitution and By-Laws shall be the fundamental law of the Lodge, governing the Lodge
in the conduct of business and all other things not inconsistent with the Law of the Land or the Constitutions and
By-Laws of the State and Grand Lodges. They provide members with the ability to: "get in their say", "take
action", "debate", and "make motions".
SECTION 2: The rules contained in the current edition of "Robert’s RULES OF ORDER shall govern the
Lodge in all cases to which they are applicable and in which they are not inconsistent with this constitution.
SECTION 3: Following these rules and procedures means:
(a) the protection of rights.
(b) democratic rule.

ARTICLE XXVII
NOMINATION and ELECTION OF OFFICERS
SECTION 1: Any member who wishes to be nominated and elected to the position as either a member of the
Board of Directors or a Delegate to the State or Grand Lodge Conferences must meet the following criteria to be
nominated & elected:
(a) Any member in good standing for a period of one (1) year or more immediately preceding the
holding of any election shall be eligible to hold office.
(1) A year prior to an election period for the purposes of FOP Lodge #34 is defined as November
1 to the following October 31.
(b)Any person seeking election as a member of the Executive Board of Directors must have shown an
interest in the Lodge by attending at least 98 meetings during the preceding year.
For those members that wish to be a Delegate to the State or Grand Lodge Conferences must have shown
an interest in Lodge affairs by attending at least eight meetings during the preceding year (appeals can be made to
the Board of Director’s on a case by case issue.
(c)Should two members be nominated and a count of the ballots results in a tie, the member with who has
attended more meetings in that calendar year will break the tie.
SECTION 2: No member shall be nominated, or be a candidate for more than one office at the same election.
No officer elect shall be considered for any other office. A person has the right to accept or decline a position that

they have been nominated for. If a person is nominated for two positions, or more, that person must decide which
office they will run for before the close of all of the elections. Once a position has been closed it can not be
reopened to add a person on that ballot.
SECTION 3: Nominations for all offices open for election will be received from the floor at the regular
meeting of the Lodge in the month of November. The nNominations for the positions on the Board of Directors
will be in reverse order of precedence, starting with the State Trustee and ending with the President. There will be
three calls for each position before the position is closed. The close of nominations at this meeting will not
operate a prohibition against write-in nominations for election of persons other than those nominated, and
provisions for write-ins shall be made on the official ballot. Members making such nominations should assure
that their candidates will accept the nomination prior to offering them as candidates.
(a) Immediately after all nominations have closed, those nominees must be prepared at this
time make formal notice of their intention to present a speech to the membership at the
NovemberDecember meeting.
(b) At the December meeting, the first order of business shall be set aside for any
(c) nominee for any position to have the opportunity to give a speech in reference
to the election.
(c) (b) The speech may not exceed 10 minutes by any person.
(d)(c) No debates will be allowed to take place, however; the same question may be asked to
both candidates and each candidate will have the opportunity to respond.
(e)(d) The A question and answer session will be allowed, but will be limited to 15 minutes per
nominee.
(f)(e) No further time will be allowed for speeches, questions, and answers, or debates
within the forum of the Lodge. Nominees may use their own time and place as they see it to be necessary.
SECTION 4: An Elections Committee composed of the trustees not having expired terms of office, and at
least one member not considered for election selected by resolution of the general membership following the close
of nominations, shall be charged with the verification of acceptance eligability of nomination by the nominees,
the preparation of the official ballot, distribution of the ballot, receipt and safeguarding of returned ballots, and the
counting and announcement of election results at the Annual Meeting. The Elections Committee shall elect a
Chairman from their numbers. This Chairman shall be one of the Trustees.
SECTION 5: Those nominees for office who indicate acceptance of the nomination shall be declared
candidates, and their names shall appear on the ballot in alphabetical order under the title of the office for which

they are considered in order of nomination. No ballot shall in any way be marked or numbered. This is to insure
that there is strict confidentiality and secrecy in the vote.
(a) One ballot shall be prepared for each active member of the Lodge and mailed out by
the Elections Committee within 10 calendar days of the December November meeting. This is to insure
sufficient time of handling by the Postal Service. All completed ballots will be placed in the sealed
envelope that is provided with the ballot. This envelope will have the Lodge address on the front of the
envelope and no other markings. These envelopes will then be placed by each member in the Lodges
official ballot boxes. Members may opt to mail ballots to the Lodge utilizing the US Postal Service. The
ballots must be postmarked 5 days prior to the meeting.
(b) These boxes will be placed at each Maryland Transportation Authority Police
(c) Detachment, by the Elections Committee, or their designee who is not nominated for any position
within the lodge. These Lodge Ballot Boxes will meet the following guidelines, the box will be 18" x
18" x 18". The boxes will be hinged on the top with a hasp and padlock on the opposite side. The Lodge
Logo will be on the four sides of the boxes and the top. A hole in the top of the box will be centered, 1
inch wide and 6 inches long. The hasp will have a key padlock and a seal through it. The key to the
padlocks shall be maintained by the Elections Committee. The seal numbers shall be verified and
recorded for each box

(f) before they are distributed to the Detachments. All members of the Elections Committee shall sign
the ledger where the seal numbers are recorded.
(g) The general membership has until 7 days prior to the January meeting to place their
ballots in the ballot box. Members not wishing to place their ballots in the Lodge's Ballot Boxes
may return their ballots to a member of the Elections Committee at the January meeting prior to the
start of the meeting.
(h) ( 5) five days prior to the meeting the Election Committee or their designees shall begin
picking up the ballot boxes for their return/presentation to the membership at the January December
meeting.
(i) All ballot boxes will be presented to the membership at the January meeting. Prior to
the boxes being opened and the count beginning, the seal numbers will be read off by the Chairman
of the Elections Committee to insure there has been no tampering.
(j) After verification of the seals, t The boxes shall be opened and by the elections committee and

shall count the ballots shall be counted and record the totals during the meeting. These totals and the seal
number papers shall be presented to the Secretary at the close of the meeting and shall be kept on file by
the Scribe/Corresponding Secretary Secretary for a period of one year after the election.
(d)The final order of business at the December Annual Meeting shall be an announcement of the election
results by the Chairman of the Elections Committee. The elections results shall be read starting with the
last numbered office on the ballot and working in reverse order towards the Presidency. Order of the
reading of the results, Delegates to Conferences, State Trustee, Chaplain, Sgt. of ArmsSgt. Sergeant at
Arms, Conductor, Treasurer, Scribe/Corresponding Secretary, Secretary, 2nd Vice President, 1st Vice
President, President.
SECTION 6: If it should ever become necessary to fill a position on the Board of Directors to complete a
term, should this be due to death, absence, resigning from office, new Board of Directors position, or any other
situation that may arise; the following guidelines will be met:(a) This person who desires to be considered for the position must submit their intention in writing to a
member of the Executive Board of Directors. Executive Board of Directors – the president may nominate an active member to fill the vacated position. The nomination will be taken before the Board of Directors at the next Board of Directors meeting. Upon a majority voteof the Board of Directors, the nominee will be placed into office.
(b) The vacant position will be announced at the general membership meeting. Board of Directors – The Executive Board of Directors may nominate an active member to fill the vacated position. The nomination will be taken before the Board of Directors at the next Board of Directors meeting. Upon a majority vote of the Board of Directors, the nominee will be placed into office.
The vacant position will be announced in the Official Lodge Newsletter and listed as an item of interest on the Lodge Agenda. This may be accomplished through use of the FOP Lodge #34 Website.
Any person interested in holding this office to complete the term will announce their interest at the next general membership meeting.
The Board of Directors will consider all persons.
The Board of Directors and the Lodge Trustees will vote on who will fill the position.
This person must be willing to conduct this office with respect, thoroughness & diligence, and they must conduct themselves to bring credit upon the Lodge.
This person will fill this position until the next general election.
The Board of Directors will interview this person.
ARTICLE XXVIII
DELEGATES TO THE GRAND LODGE and
STATE LODGE BIENNIAL CONFERENCES

SECTION 1: Each year in the month of November December the Board of Driectors Lodge will determine the
number of Delegates and, Alternate Delegates, and Fraternal Delegates that will best serve its interests at the
Biennial Conference of the State or Grand Lodge that fall within that year. An election shall take place in the
same manner as the balloting for the officers of the Lodge. The assignment announcement of the
elected Delegates to the Biennial Conferences shall be on the order of those receiving the highest number of votes.
SECTION 2: The expense of Delegates so elected to represent the Lodge at the Biennial Conferences shall be
accrued for by the Lodge in such amounts as are determined and approved by the Lodge/Board of Directors. no
later than June of each year.
SECTION 3: Delegates to the Biennial Conferences shall hold at least one meeting prior to departing for the
Conference, where they shall elect one voting delegate from among their number to act as the Chairman of the
Delegation, and where they shall be comprehensively briefed on the expected business of the upcoming
conference. This shall be conducted by officers of the Lodge who shall have or be designated to have acquired
special knowledge of expected business of the conference.
SECTION 4: All Delegates to the Biennial Conference are charged with maintaining the integrity and
good name of the Lodge in their conduct, and to always cast their votes in the best interests of the Lodge. These
votes are to be cast according to the dictates of logic and conscience.
SECTION 3 5 : Delegate Meeting Requirements – Each person being nominated to be a delegate to
either the Biennial State or Biennial National Conference must have attended a minimum of 7 6 (six) meetings
during the prior year.
(1) A year prior to an election period for the purposes of FOP Lodge #34 is defined as November
1 to the following October 31.
SECTION 4:6: Automatic Delegates to:
a: Biennial State Conference: The following members of the Executive Board of directors
Directors shall be automatic Delegates and their names/position shall not take place in the annual elections
providing they meet the requirements of each section within this Article :

b. Biennial National Conference: The following members of the Executive Board of directors
Directors shall be automatic Delegates and their names/position shall not take place in the annual elections:

c. The Immediate Past President will be the first Alternate Delegate for both the
National and State Conferences during the first term only of the newly elected President.
a) d. The official lodge sign-in book that is maintained by the lodge guard will be used to
verify the attendance for each meeting.
b) If a delegate is absent from any required vote or meeting, said member shall reimburse the lodge
for the expenses of the day and shall forfeit any administrative time for that day at the discresion
of the Executive Board of Directors.
ARTICLE XXIX
AMENDMENTS TO THE CONSTITUTION
SECTION 1: Proposed amendments to this Constitution shall be hand written or typed in resolution form stating the reason for the amendment. This is to be submitted at any regular meeting of the General Membership under resolutions, and may be debated for no longer than twenty (20) minutes. No vote shall be taken at this meeting. SECTION 2: The proposed amendment shall then be made a Special Order for the next General Membership Meeting, which is the meeting immediately following the initial proposal. Copies of the proposed amendment shall be displayed at each detachment so members can see the proposed changes by the by-laws committee. If it would not be cost restrictive, a copy of the amendment may be sent to each member of the Lodge. Additionally, tThe Publications committee will notify each and every member of the proposed amendment on the lodge website (www.mdfop34.org) and email the membership where they can obtain a copy of the proposed changes for their review. The membership will have until the next general membership meeting, which is the meeting immediately following the initial proposal to review the amendment. The Publications Committee will ensure the amendment will be placed on the Agenda under Special Order. SECTION 3: At the following meeting, which is the meeting immediately following the initial proposal,. aA debate on the amendment may take place for a maximum of 15 minutes. However, no member may talk more then twice on the issue. unless another member yields their floor time to that member. Then tThe quorum present at this meeting will vote on the amendment. A two thirds (2/3) vote is required to pass/adopt an amendment.
ARTICLE XXX
LEGAL COUNSEL
SECTION 1: There shall be a General legal Counsel designated by the President with direction from the
Board of Directors.

SECTION 2: All active members and participating retired and associate members have access to the
Legal Counsel that has been selected by the Board of Directors and designated by the President.
SECTION 3: An Associate Legal Counsel may be obtained by the President on the direction of the
Board of Directors to handle any litigation in which the Lodge may become involved. This counsel must be of the
Great State of Maryland.
SECTION 4: The costs of legal matters are often great and may incur many problems upon any lodge. If a member has followed all of the prescribed guidelines to gain representation from the lodge, the lodge will make every effort to assist the member if it has been determined that such assistance is in the pursuit of justice. for the member is great.
SECTION 5: It must be remembered that Tthe legal coverage provided by that FOP Lodge #34 has does not include all costs associated with many legal matters such as matters of a criminal nature, investigative costs, obtaining official reports, drug screening, expert witnesses, etc.. With that being said, a member may or may not be covered. Therefore, the member my incur some financial responsibility.
SECTION 6: The decision to cover or assist the member with legal fees will be made by the Board of Directors.
SECTION 7: The decision will be placed into the official minutes of the lodge with the justification for the decision.
SECTION 8: A decision will be made and the member will be notified without delay so as to not slow down the members’ legal proceedings.
ARTICLE XXXI
GENERAL
SECTION 1: Audits -- Where it becomes necessary, the Board of Directors, the Commission of Lodge
Trustees, or the General Membership with a write-in request from two thirds (2/3) of the active membership may
request an audit. This audit may be performed by the Commission of Trustees or an impartial private firm that is

hired by the Lodge. The audit may be for moneys, deeds, properties, and/or Lodge equipment. This is in addition
to the audits that are required to be conducted by the Lodge Trustees.
SECTION 2: Disbursement of Funds -- The President and Treasurer may disburse funds in the name of the
Lodge without consent up to and not exceeding $2500.00. This must be immediately reported to the General
Membership at the next monthly meeting. No amount of money at any time may be spent by the President and
Treasurer without consent of the Board of Directors that exceeds $2500.01 but is less than $10,000.00. Any
amount of moneys exceeding $10,000.01 must be voted on by the Board of Directors/General Membership.
SECTION 3: Lodge Merchandise -- All items that represent the Lodge and/or its logo shall be owned by the
Lodge and any proceeds shall be the right of the Lodge.
SECTION 4: Appeals by Membership for Legal Matters -- Any member who is in need of legal counsel or
representation will be granted such as long as the following guidelines are followed:
(a) The member must be in good standing with the lodge.
(b) The member must contact the PresidentChairman of the Legal Advisory Board
immediately. (As soon as the member is notified or as soon as the event takes place.)
The member has the right not to make any statements until they contact the services of an
attorney for departmental matters. This must be completed within 10 days and a member of the Legal
Advisory Board must be notified immediately after contacting the attorney, if the Lodge attorney is
utilized.
(c) The member has the option to be represented by a member from the Board of Directors or outside
legal counsel that the lodge has retained. The member must inform the President Chairman of the Legal Advisory
Committee which they prefer.
If a member waits to long and does not give the lodge adequate notification it will be considered
that the member does not wish representation and the lodge will not supply any.
Anytime the Lodge attorneys are contacted for issues that fall under the on-duty legal plan, the
Legal Advisory Board must be notified.
The general membership and/or the Legal Advisory Board has the right after a vote to refuse a
member representation for appeals if an only for good cause.
ARTICLE XXXII
LINE OF DUTY DEATH

SECTION 1: In the untimely and heartbreaking event that an officer of this agency and a member of
this lodge, FOP Lodge #34, dies in the line of duty, the Fraternal Order of Police Lodge #34 will initiate the lead
in ensureensuring that the immediate family of the fallen officer has all affairs taken care of. This will include,
but is not limited to, ensuring that an FOP Liaison is assigned to the family, a driver is assigned to the family
(usually the Liaison), meals in between viewings are coordinated, and family wishes, within reason, are followed.
SECTION 2: In the untimely and heartbreaking event that an officer of this agency and a member of
this lodge dies in the line of duty, the Fraternal Order of Police Lodge #34 will donate to their surviving spouse, a
check in the amount of $1,000.00. In the event the fallen officer does not have a spouse, the donation will
proceed following the guidelines as outlined:a. Surviving child(ren) – The money will be divided equally amongst the children.b. Surviving parentsc. Legal beneficiary listed on agency forms
SECTION 3: The Fraternal Order of Police Lodge #34 will pay for meals for the family in between viewings of the fallen officer, within reason as Established by the Executive Board of Directors. .
ARTICLE XXXIII
INELIGIBLE TO HOLD OFFICE
To maintain the best interests of the lodge and to preclude any member of this lodge from having any
conflicts of interest between the lodge and the agency:
a. A member of this lodge who attains the APPOINTED RANK of Captain or above and they currently
hold any position on the Board of Directors within this lodge, will resign their position in the lodge effective 60
days after their appointment.
b. No member of the agency that is in the APPOINTED RANK of Captain or above may “run” for any
position within the lodge.
c. All sworn members within this agency who are in good standing regardless of rank may be a member
of this lodge.
