Confidentiality & Registration Agreement
___________________(“Buyer”) has expressed interest to TONY M. AMATO (“Owner’s Rep”) regarding the potential purchase of MERCURYLIGHT CONVENIENCE CENTER AND CAR WASH (“Property”) owned by ____________________ (“Owner”) through Owner’s agent, Avison Young (“Broker”). The parties agree to the following:
1. Buyer is interested in obtaining proprietary information (“Confidential Information”), including but not limited to:
a. Current Marketing Package b. Year‐end and/or current YTD operating statement(s) and Current Rent Roll.
2. Buyer agrees not to:
a. Use the Confidential Information in any manner detrimental to the interests of the Broker or the Owner of the Property.
b. Disclose or make available any Confidential Information to any person or entity, other than Buyer’s partner(s) or legal council, without the written consent of Broker.
c. Contact or communicate with Owner’s employees without Owner’s prior consent.
3. Buyer agrees to direct all inquiries and purchase negotiations through the Broker. 4. Buyer understands and acknowledges that Broker does not make any representation or
warranty as to the accuracy or completeness of the Confidential Information, and that the Confidential Information was furnished to Broker by others and has not been independently verified by Broker. Buyer hereby indemnifies Broker and hold Broker harmless from any liability resulting from the use of the Confidentiality Information.
5. Buyer agrees to return all Confidential Information to Broker, after a decision by Buyer and/or Buyer’s Rep not to enter into a purchase agreement relating to the property.
