Introduction. » Today there is a greater awareness in New Zealand in respect to child safety; particularly when using a motor vehicle, hence why all Baby On the Move franchisees are Child Restraint Technicians (CRT). We specialise in training and installation of all child restraints.

» The Land Transport Safety Authority requires all babies and toddlers to be in safety approved car seats. This is a far cry from “the good old days” when children went unrestrained whilst travelling in motor vehicles.

» Prospective parents have the choice of hiring or purchasing a new car seat, and in due course upgrading as their babies needs grow. Baby On The Move provides both services to parents nationwide, with exclusive products and well known brands at competitive prices.

» Baby On The Move Franchisor, Gill Duncan, took over after Jill Allison in 2000, who founded the company in 1998.

» Since April 2007, former franchisees Claire Turner and Fena Bavastro have moved into management as Systems Director/Training Manager and Marketing/Director respectively.

» On 1 April 2008, Claire and Fena formed Baby On The Move (2008) Ltd. Having children of our own, we are very aware of the obstacles that young parents face with balancing financial interests and child safety. Hiring » A customer hires our nursery products on a short or long term basis

depending on need. The market for this service will continue to grow.

» As a franchisee you are entering into a fixed term contract for the use of the business idea and exclusive territory rights.

» You will be required to pay the franchisor between 8-10% + GST for all items purchased on aggregate price.

» Rental royalties between 8-10% + GST, or $25.00 per week + GST, paid monthly in arrears, whichever is the greater.

» National advertising and marketing fund is in turnover bands: $0 – $19,999 $250 $20,000 – $29,999 $350 $30,000 – $39,999 $450 $40,000 – $49,999 $550 Paid monthly in arrears, of your total turnover.

» Based on sales results to date, we have set our purchase price at $35,000.00 + GST.

» Additionally you are also given a required initial stock order to purchase, which will again be detailed in your Franchise Agreement, Schedule 1.

Deposit » A $3,000.00 + GST deposit is paid when the purchase of business

agreement is signed. It is held in a trust account until the final payment is received

Final Payment » Once the Purchase of Business Agreement is signed the parties have

14 days to sign the Franchise Agreement and pay the balance of the franchise fee.

» In the unlikely event that negotiations should fail within the 14-day period, the deposit will be refunded in full unless Baby On The Move (2008) Limited has incurred any additional expenses, as a result of the failed negotiations.

» The final balance is again put into a trust account until the Franchise Agreement is signed.

» Baby On The Move will take your franchise fee and invest it into more support for the franchisees. Our main reason for such a low franchise fee is to attract people at all income levels and not restrict us from finding the right person.

» Following a successful appointment, each new franchisee is trained in all aspects of the business operation. All franchisees are required to participate in a four - five day training course, with the Baby On The Move Training Manager (in Nelson).

We will arrange for a confidential interview if applicable.

Then on approval, you will be presented with a copy of our Draft Franchisee Agreement.

You then seek legal advice concerning our Franchisee Agreement.

Make full and final payment of your territory.

Sign and return two copies of the Franchise Agreement to Fena Bavastro.

RECITALSA. THE company operates a marketing business and is contemplating the franchising of the business. B. THE interested party wishes to evaluate a franchise proposed for the business.C. IN consideration of the Company supplying to the interested party information relating to the business and the prospective

Franchise, the interested party has agreed to be bound by certain duties of confidentiality and non-use in respect of the information provided.

IT IS AGREED as follows:1. ALL information acquired by the interested party shall be treated as confidential and shall not be disclosed in whole or part by

that party to any third person without the prior written consent of the company, except: a. Where it is necessary to disclose information to a bank or other lending agency to arrange finance. b. Where it is reasonably required for the purposes of review by any advisor, consultant or expert retained by the interested party. c. Where such information becomes part of the public domain.2. WHEN disclosure of information relating to the business to the parties referred to in Clause 1(b) the interested party shall ensure

that those parties are bound by equivalent agreements of confidentiality and non-use as those set out in this agreement.3. THE interested party expressly acknowledges the fact of the commercially sensitive nature of the marketing business owned by

the Company.4. THE interested party convenients that the interested party shall not for a period of 2 years be concerned or interested in any

capacity whatsoever in any business conducted in competition with the business of the company.
