    I.INTRODUCTION

    A.GeneralInformation

    Florida Rural Broadband Alliance, LLC (FRBA) is requesting bids from qualified firms to provide the

    requirednetworkSoftwaretocompletetheFRBAWirelessMiddleMileNetwork inFlorida. This isan

    SOFTWAREONLYbid,noinstallationservicesarebeingsoughtaspartofthisprocurement. ThisRFBis

    forthepurchaseofSoftwarefortheFRBAprojectasdescribedmorefullyherein.

    FRBA isanewly formedLimitedLiabilityCompany,establishedspecifically forthepurposeofbringing

    Broadband services to the region. The company formed through the regional cooperation of local

    governments, economic development agencies and community activists from rural disadvantaged

    communities located in15Florida countiesdesigned tomeet theessentialandadvancedbroadband

    network needs of unserved and underserved communities in the Northwest Florida Rural Area of

    Critical Economic Concern and the South Central Rural Area of Critical Economic Concern (RACECs).

    These RACECs consistofCalhoun, Franklin,Gadsden,Gulf,Holmes, Jackson, Liberty andWashington

    Counties in the Northwest Florida region and Desoto, Glades, Hardee, Hendry, Highlands and

    OkeechobeeCounties,aswellastheunincorporatedareaof Immokalee inCollierCounty inthesouth

    centralregionofFlorida.

    TheAmericanRecoveryandReinvestmentAct(ARRA)providedtheDepartmentofCommercesNational

    Telecommunicationsand InformationAdministration (NTIA)and theU.S.DepartmentofAgriculturesRural Utilities Service (RUS)with $7.2 billion to expand access to broadband services in the United

    States.Ofthosefunds,theActprovided$4.7billiontoNTIAtosupportthedeploymentofbroadband

    infrastructure, enhance and expand Comprehensive Community Infrastructure (CCI), encourage

    sustainable adoption of broadband service, and develop andmaintain a nationwide publicmap of

    broadbandservicecapabilityandavailabilitythroughtheBroadbandTechnologyOpportunitiesProgram

    (BTOP). FRBA was awarded a BTOP grant in the amount of $23,693,665 pursuant to BTOP award

    #NT10BIX5570122onAugust1,2010 to funddeploymentof theFRBARuralMiddleMileNetworks

    NorthwestandSouthCentralRegionalProjects. TheFRBAprojectwillbuildnewMiddleMilebroadband

    infrastructure,whichwillextendthehighspeedinternetbackbonecapacitytolocal lastmileproviders

    and community anchor institutions in order to serve vital public sector services and private sector

    commercialcustomerswithintheRACECs. TheProjectmustbecompletedandthegrantclosedoutby

    August1,2013. Asaresult,timeisoftheessenceinperformanceofalltasksnecessaryforsatisfythese

    deadlines,includingtheprocurement,deliveryandinstallationofthenetworkSoftware.

    Thisprocurementwillbe financedusing federalassistanceauthorizedby theAmericanRecoveryand

    ReinvestmentActof2009 (ARRA). Any contract resulting from this solicitationwill require that the

    vendorandanysubcontractorcomplywithallprovisionsoftheARRAandtheBTOPprogram.

    Respondentsmust certify, by submission of their bid, that neither the vendor nor its principals is

    presently debarred, suspended,proposed for debarment, declared ineligible,or voluntarily excluded

    The titleof theRFB, including theRFBNumbermustbe indicatedon theoutsideshippingordelivery

    labeltoallowsortingofresponsestobyvariousSoftwaretypes.Respondentswishingtosubmitbidsfor

    multiple FRBA SoftwareRFBsare required to submit separate responses foreachRFB. Anypackage

    containingresponsesformultipleRFBsmayberejected.

    Additionally, thevendorshallcompletethePricingWorksheetLabeledRFB201103,SOFTWARE and

    send via electronicmail to SabrinaWilliams at [email protected], alongwith an electronic

    copyoftheBidresponsebytheduedate.

    FRBA isnotresponsible for inconsistenciesbetween theelectronicversionandthehardcopiesofany

    respondent'sbid. By submissionof its electronic andoriginalbids, theBidderacknowledges thatall

    pricingcontainedthereinisaccurateandcanberelieduponbyFRBAinmakinganawardregardlessof

    theformofsubmissionoftheinformation.

    2. FRBAwillrecordresponsesto inquiriesandanyadditionalsubmittalinstructionsinthe

    formofwrittenaddendatothisRFBontheFRBAwebsite.

    3. If revision to the RFB becomes necessary for any reason, FRBAwill providewritten

    addendawhichwillbepostedontheFRBAwebsite.

    4. ItistheresponsibilityofallrespondentstovisittheFRBAwebsiteregularlytoobtainany

    updates. Each respondent should check thewebsite on a daily basis. Failure to acknowledge any

    addenda shall not relieve the respondent of compliancewith the terms thereof. FRBA assumes no

    responsibilityfororalinstructions.

    E. REVIEWPROCESS

    1. FRBAwillreviewallBidsreceivedbythedateandtimedueandwillselectoneormore

    qualifiedBiddersforcontractaward.

    2. FRBAwillevaluateall complete,on timeBidsandwill select theBid(s) that, solelyatFRBAsdiscretionare the lowest responsive and responsiblebidders thatbestmeet the interestsof

    FRBA.

    3. FRBA maintains the right to request clarifications of information submitted and to

    requestadditionalinformationofanyrespondent.FRBAshallbethesolejudgeofitsownbestinterest

    andthequalificationsofrespondents.

    4. FRBAmay requestadditional information froma respondentonly for thepurposeof

    clarifying the respondents Bid. Such additional informationwill be requested inwriting, (electronic

    and/orhardcopy) includinganexplanationastothenatureofthe inquiry, instructionsforresponding

    anddeadline for submittinga response. Information submittedafter thedeadline for respondingwill

    notbeconsideredbyFRBA.

    5. If FRBA determines that additional information should be obtained from all valid

    respondents, all respondentswill receive an identical request for information following the process

    describedabove.

    6. AllawarddecisionsmadebyFRBAwillbefinal.

    7. Finalselectionandcontractnegotiationswillbegovernedbythelawsandprocurement

    regulationsofFRBA,theBTOPandARRAProgramsandanyotherapplicableregulations.

    8. Each selected Bidder will enter into a Standard Software Purchase Agreement with

    FRBA.Aproposed formpurchaseagreement is includedherein forconvenience. Respondentsshould

    review theproposedcontract formand indicateanyobjectionsor requestedchanges tothestandardcontract termsandconditionswithin theirBid response. ThisRFBdoesnotconstituteandofferora

    contractwithanyrespondent. Acontractoragreementisnotimplieduntilacontractisapprovedand

    executedbyFRBA.

    F. GUIDELINESFORBIDDERS

    1. FRBA reserves the right to reject any or all bids submitted or to waive any non

    substantialirregularitiesinsubmittalswhereversuchrejectionorwaiverisinthebestinterestofFRBA.

    Intheeventallsubmittalsarerejectedorwaived,FRBAreservestherighttoresolicitforotherqualified

    respondents.

    2. FRBA reserves the right to retain all bids submitted and to use any ideas in a bid

    regardlessofwhether thatbid isselected. Submissionofbid indicatesacceptanceby the firmof the

    conditionscontained inthisRequestforBids,unlessclearlyandspecificallynoted inthebidsubmitted

    andconfirmedinthecontractbetweenFRBAandthefirmselected.

    3 There isnoexpressedorimpliedobligationforFRBAtoreimburserespondingfirmsfor

    anyexpensesincurredinpreparingbidsinresponsetothisrequest.

    4. The deployment of the FRBANetworks is contingent upon the continued receipt of

    ARRABTOPfunds. Althoughthedisruptionoffunds isunlikely,allprospectiverespondentsshouldbeawarethatthispossibilityexists. Intheeventoffundsdisruption:(a)theFRBAprojectschedulemaybe

    modified; (b) the projectmay be suspended, extended, or cancelled; and/or (c) FRBAmay delay or

    terminatecontractsorordersasnecessary.

    5. The vendormust identify all subcontractors thatwillbe paidmore than tenpercent

    (10%) of the overall project budget. Additionally, the vendor must provide the role of each

    subcontractor, the subcontractors experience in that role, and the vendors relationship with the

    subcontractor.Allsubcontractorsmusthaveatleastoneyearofexperienceintheservicestheywillbe

    providing.

    Inanysubcontractsenteredintobythevendorfortheperformanceofservices,thevendorshallrequire

    thesubcontractor,totheextentoftheservicestobeperformedbythesubcontractor,tobeboundto

    thevendorbythetermsoftheContractand/orPurchaseOrderandtoassumetowardthevendorallof

    theobligationsand responsibilities that thevendor,by theContractand/orPurchaseOrder,assumes

    towardtheproject.AllsubcontractorsshallbeboundbytheGrantregulationstothesameextentasthe

    vendor. FRBAreservestherighttoreceivecopiesofandreviewallsubcontracts,althoughthevendor

    maydeleteormaskanyproprietary information, includingpricing,contained insuchcontractsbefore

    providingthemtoFRBA.

    Themanagementofany subcontractorwillbe the responsibilityof thevendor,and thevendor shall

    remainresponsible fortheperformanceof itssubcontractorstothesameextentas ifthevendorhad

    notsubcontractedsuchperformance.Thevendorshallmakeallpaymentstosubcontractorsorsuppliers

    ofthevendor.ExceptasotherwiseagreedinwritingbyFRBAandthevendor,FRBAwillnotbeobligated

    for direct payments for the services other than to the vendor. FRBAs written approval of any

    subcontractorengagedbythevendortoperformanyobligationundertheContractshallnotrelievethevendorofanyobligationsorperformancerequiredundertheContract.

    6. Eachvendor(basedonfederaltaxID)maysubmitonlyonebidasaprimarycontractor.

    However,anysuchvendormaybenamedasasubcontractorinotherbids.

    7. A vendormay revise a bid on its own initiative at any time before the deadline for

    submission.Thevendormustsubmittherevisedbidinthesamemannerastheoriginalwassubmitted.

    Innocasewillastatementof intenttosubmitarevisedbid,orcommencementofarevisionprocess,

    extendthebidduedate.

    G. PRICINGANDDELIVERYREQUIREMENTS

    1. The vendor is responsible to deliver all items in new, unharmed and marketable

    conditiontoFRBA.Thevendor isresponsible forreplacingany itemsdamagedduringshippingorthat

    otherwisearrivenot ingoodworkingorder.Thevendor is responsible foranyandallcostassociated

    withdelivery.Shipmenttrackinginformationmustbesenttotheprojectteamonceitisavailable.

    All items shouldbe shipped freeonboard tooneof twoFRBAwarehouse locations foreach

    networkbuild. ApproximatelyhalfofthetotalSoftwareorderwillbeshippedtoeachlocation:

    AllpricingreflectedintheBidresponseshallbeinclusiveofshippingcostsandrequiredwarranties.

    2. AllSoftwaremustbedeliveredwithinfourweeksafterreceiptofapurchaseorder. The

    availabilityofSoftwarewithinthisrequiredtimeframeisarequirementforaresponsivebid.

    3. All Softwarewill become the property of FRBA once it is delivered and accepted by

    FRBA.

    4. Allprices,costs,andconditionsoutlinedinavendorsbidshallremainfixedandvalidfor

    acceptancefor1yearstartingupontheexecutionofaPurchaseAgreement.

    5. FRBA is aware that many hardware/Software manufacturers are offering special

    discountsfortheBTOPprojects.Vendorsshouldcontactthemanufacturer(s)toobtainthebestpricing.

    H. SOFTWARETECHNICALSPECIFICATIONS

    1. AcompleteSoftwarelistisprovidedinSectionIIIbelow.

    2. AllSoftware,transmissionmethods,andsystemsmustbeindustrystandard.Industry

    standard isdefined as themost current version of relative standard(s) set by anAmericanNational

    Standards Institute (ANSI)or InternationalOrganization forStandardization (ISO)accreditedStandards

    Developing Organization (SDO), such as the Institute of Electrical and Electronics Engineers (IEEE),

    TelecommunicationsIndustryAssociation(TIA),orElectronicIndustriesAlliance(EIA). AllSoftwaremust

    beRestrictionofHazardousSubstances(RoHS)compliant.

    3. AllSoftwaremustbenewandnotrefurbishedorused.

    Pricing

    reflected

    on

    the

    bid

    pricing

    form

    shall include the requiredwarranty. Failure toprovide this requiredwarrantywill result in yourbid

    5. All computer andnetworkinghardware, services, and applicationsmust support IPv6

    andmust conform to themandatory components of the Profile for IPv6 in theU.S.Government

    Version1.0 (USGV6) (or laterversion). If thereareanyexceptions, thevendormustprovideexplicit

    detailsofnonconformancebythecomponentalongwithagoodfaithestimateofwhenthecomponent

    willbefullyconformant.

    6. Brand Name or Equal: The overall reliability of the network is dependent on the

    reliability of its network Software and the compatibility of such Software with existing network

    elements. Therefore,thelistofSoftwarespecifiedinSectionIIIincludesspecificmanufacturersandpart

    numberstoensurethatallnetworkelementswillbecompatible. Anyrespondentofferingpricing for

    othermanufacturers equivalentpartsmustprovide the information specified in Section III forBrand

    NameEquivalentsandincludemanufacturerspecifications/datasheetsforallproposedalternatives. All

    Softwaremustbemanufacturedbyarecognizedmarketleaderwithatleastfive(5)yearsofexperience.Any proposed equivalent products not meeting the minimum criteria for compatibility and

    manufacturerhistory/experiencemaybe rejected fromconsideration. FRBA shalldeterminewhether

    anyBrandNameEquivalentmeetsthesecriteriaanditsdecisionshallbefinal.

    ThebidresponseshouldaddressallthepointsoutlinedintheRequestforBids Thebidresponseshould

    capabilities to satisfy the requirements of the Request for Bids. While additional data may be

    presented,thefollowingsubjectsmustbeincluded.Theyrepresentthecriteriafordeterminingifabidis

    responsive.

    Provideanexecutivesummarywiththefollowinginformation:

    firmsexperienceindeliveringtheproductsspecifiedintheRFB

    SectionC.

    BidPricingForm

    In this section vendorsmust complete the detailed bid pricing form for all requested Software. AcompleteSoftwarelist isprovided inSectionIIIbelow. Provideapriceforeachitem listed inclusiveof

    shippingandtaxes. Thepricequotemustbeafirmbideffectiveforaminimumofoneyear.

    B. SectionD.Implementation/ShippingSchedule

    ProvidedocumentationandassurancethatthevendorwillbeabletodeliverSoftwarewithin4weeks

    after receipt of a purchase order. Include an implementation/shipping schedule, byweek, showing

    wheneach itemwillbedelivered.Provideabriefoverviewofhow the implementation schedulewas

    All exceptions to the requirements of this RFBmust be delineated in this section of the vendors

    responsetotheRFB;otherwise,allrequirementsofthisRFBwillbeconsideredtobeacceptablebythe

    section. Anyexceptionsorproposedvariationsinthestandardcontractlanguageshouldbespecifiedin

    thissection.

    IV. REQUIREDCERTIFICATIONS

    GRANT AWARD CONDITIONS

    TheVendorandallsubcontractors,agreetocomplywithallprovisionsandtermsandconditionsof

    the award and all applicable federal and state statutes. They include, but are not limited to, the

    V. PROPOSEDCONTRACTFORM

    MASTERSOFTWAREPURCHASEAGREEMENT

    The following Master Software Purchase Agreement is entered into as of this _____ day of

    uponreceiptofsuchnotice.

    Section7. PurchaseOrders. The Buyer will not accept any Software pursuant to this

    Agreement unless a duly authorized and signed Purchase Order, in substantially the form attached

    heretoasExhibitBhasbeenissuedforsuchSoftware. ThePurchaseOrdernumbermustappearonall

    invoices,packingslipsandallcorrespondenceregarding theorder. Quantitiesspecified inaPurchase

    Order cannot be changedwithout the Buyerswritten approval. Software shipped in excess of thequantitydesignatedinaPurchaseOrdermaybereturnedatSellersexpense.

    Section9. PricingSchedule/ContinuityofSupply. Seller agrees to provide the Software at the

    fixedunitpricesstatedintheattachedPricingSchedule,includingthecostsofdeliverytoBuyer,forone

    yearfromthedateofexecutionofthisAgreement,withnoincrease.

    Seller shall provide continuity of supply of the Software and spare parts for a period of five years

    followingtheproductsendoflife.

    Section 10. License of Software. Seller hereby grants Buyer a nonexclusive, nontransferable and

    perpetual license to use any and all software that is embedded in the Software covered by this

    Agreement and any and all software that is otherwise preinstalled by the Seller on the Software

    covered by this Agreement at the time of delivery, together with the documentation under each

    programelementthereof.

    Section11.Invoices,DueDatesandPayments.TheSellermustsubmitan invoicetotheBuyerbefore

    anypaymentwillbeprocessed.The Sellers invoices shallbe forwarded to theBuyerat theaddress

    notedinSection4hereinandalllineitemsmustshowtheBuyersPurchaseOrdernumber,theSoftwarethatisthesubjectoftheinvoiceandanyotherrequiredinformation.

    Section12. ShippingandDeliveries. Allitemsshouldbeshippedfreeonboardtooneoftwo

    Section13. Acceptance. Softwaredeliveredhereundershallbedeemed tohavebeenaccepted

    (Acceptance)whenallof the followinghaveoccurred:a.The Software (includingany licensedand

    operating software acquired in connection therewith) has been properly received, inspected and

    deemed ready foruseby theBuyer.b.The Software (including any licensed andoperating software

    acquired in connection therewith) operates in accordance with the Sellers specifications and

    documentationprovidedtoBuyerandanyadditionalpublishedspecificationsoftheSellerandanyother

    manufacturer of the Software or developer of any licensed and operating software acquired in

    connectiontherewith.IntheeventthattheBuyerdoesnotaccepttheSoftwareinthemannersetforth

    above,theBuyermayrequesttheremovaloftheSoftwareandthesoftware,andtheBuyershallhave

    noliabilityunderthesetermsandconditions,andtheSellerwillreturnanymoniespaidtosuchdateby

    theBuyer.InnoeventshalluseofanypieceoftheSoftwarepriortoacceptance,constituteAcceptance

    ofanypieceoftheSoftwareorpartofthesoftwarebytheBuyer.

    Section14.NewSoftware.TheSellercovenantsandwarrantsthattheSoftwareandallofitspartsand

    componentsarenewandunused.

    Section15.SellersWarranties.TheSellerwarrantsthat(i)theSoftwarebeingpurchasedpursuantto

    these termsandconditionswillconform toandperform inaccordancewithanyandallperformance

    specifications and documentation published by the Seller, any and all warranties, performance

    specificationsanddocumentationotherwisedeliveredbytheSellertotheBuyerinconnectionwiththe

    ContractDocuments,securingtherelatedPurchaseOrderandanyandallexpandedspecificationsput

    forwardbytheBuyerandidentifiedbytheBuyer,andtotheextentthatagreedspecificationsmaynot

    becomplete,theSoftwarebeingpurchasedpursuanttothesetermsandconditionswillalsoconformto

    thespecificationsstandard in the industry, (ii) theSoftwarebeingpurchasedpursuant to these terms

    andconditionswillbe free fromdefects inmaterialandworkmanship,and (iii)allstatementson the

    packing lists shall be accurate and the Buyer may rely thereon. The Seller further represents and

    warrantsand guarantees that the Softwarebeingpurchasedpursuant to these termsand conditions

    complieswithallapplicableprovisionsoflaws,ordinances,codesandregulations,includingthoseofthe

    UnitedStates,thestatesoftheUnitedStatesandlocalitieswithinsuchstates.

    Section16. Remedies for Breach of Warranty. The Buyer may reject any Software and any

    softwarewhichdonotconformtotheSellerswarranties,includingthosesetforthinSection15,atany

    timeafterdeliveryandbeforeorafteracceptance,whensuchbreachofwarrantybecomesknownto

    theBuyer, in anymanner including recognition of latent defects (nonconforming goods); and the

    Sellershallbeliableforalldirectcosts,damagesandlossessufferedbytheBuyerbyreasonofsuchnon

    conforminggoodsbut,absentgrossnegligenceorwillfulmisconductonthepartoftheSeller,shallnot

    beresponsibleforany indirect,punitive,exemplaryorconsequentialdamages.IftheBuyer learnsthat

    nonconforminggoodshavebeendelivered,theBuyershallhavetherighttodoanyone,orall,ofthe

    following: (i)cancelanyundeliveredportionof thePurchaseOrderand,at theBuyersoption, return

    eitherallof theSoftwareandanysoftwareoronly thenonconforminggoodsat theSellers riskand

    expensefor(attheBuyersoption)creditorpromptreplacementattheinvoiceprice,(ii)repairanduse

    thenonconforminggoods,deductingthecost incurred insuchrepairandusefromanysumsduethe

    Seller,orondemand,theSellerwillreimbursetheBuyerforallsuchcosts,(iii)uponnoticetotheSeller,

    holdthenonconforminggoodsforareasonabletimeandresellorreturnthemaccordingtotheSellers

    instructions (the net proceeds of any such resale shall be credited to the Sellers account), and (iv)

    exerciseanyotherremediesthatmaybeavailableunderapplicablelaw.

    Section17. Indemnification IncludingPatent Indemnity.The Selleragrees to indemnify,defend and

    holdharmlesstheBuyer,itsofficers,agentsandemployees,againstandfromallclaims,suits,damages,

    costs, expenses and losses (including without limitation: all incidental and consequential damages,

    economicloss,propertydamage,personalinjuryordeath)(i)whicharisesoutofabreachbytheSeller

    of these terms and conditions or any warranties applicable to the Software and any licensed and

    operating software acquired by the Buyer from the Seller in connectionwith the Software acquired

    hereunder,orwhich result fromanynonconformingdelivery (including latedeliveriesor incomplete

    deliveries),orany infringementofanycopyright,patent, trademark,ordesignorthe like (whetheror

    not registered)basedon themanufacture,useor saleof anyof the Software and any licensed and

    operatingsoftwareacquiredbytheBuyerfromtheSellerinconnectionwiththeSoftware,or(ii)which

    inanymannerresultfromanydefectintheSoftwareandanylicensedandoperatingsoftwareacquired

    bytheBuyerfromtheSellerinconnectionwiththeSoftware,nonconformitytoornoncompliancewith

    anylaw,ruleorregulationrelatingtothesafety,qualityordesignoftheSoftwareandanylicensedand

    operatingsoftwareacquiredbytheBuyerfromtheSellerinconnectionwiththeSoftware,andanyand

    alloftheBuyersreasonablecostsandexpenses,includingprofessionalfeesandcosts,ofinvestigating,

    settlingordefendinganysuit,actionorclaim.Eachdefenseobligationstatedhereinisherebydeemeda

    separateanddistinctobligation,fullyseverablefromanyotherdutystatedherein. Thissectionofthe

    Section21.NonWaiver;RemediesnotExclusive.TheBuyerswaiverofanybreachorfailuretoenforce

    anyofthetermsorconditionsofthisAgreementatany timeshall innowayaffect, limitorwaive its

    rightshereaftertoenforcestrictcompliancewiththisAgreement.

    Section22.Assignment.TheSellershallnotdelegateorassignanydutiesorclaimsunderthiscontract

    withouttheBuyerspriorwrittenconsent.

    Section23. EntireAgreement;Amendment. This agreement represents the entire agreementof the

    parties.Noamendment,modificationorreleasefromanyprovisionhereof,shallariseoutofacourseof

    action or mutual agreement unless such agreement is in writing, signed by both parties.

    Notwithstanding any termsput forthby Seller (including anyonline terms and conditions on any of

    Sellerswebsites)thetermsofthisdocumentshallgovernalltransactionsbetweentheparties.

    Section 24. Governing Law and Venue. Any questions concerning validity, interpretation or

    performanceofthiscontractshallbegovernedbytheinternallawsoftheStateofFloridaandvenueof

    anylegalproceedingshallbeinthestateorfederalcourtsofLeonCounty,Florida.

    Section25. SpecialGrantAwardConditions. Seller acknowledges that Buyers purchase of

    SoftwarepursuanttothisAgreementisinconnectionwithaprojecttobefundedwithfederalstimulus

    grantfundspursuanttoGrantAwardNumberNT10BIX5570122awardedtotheNFBAonAugust1,2011

    (theGrant). TheSelleragreestobeboundbythespecialgrantawardconditionsoutlined inExhibit

    CattachedheretoandincorporatedhereinforanyPurchaseOrdersissuedpursuanttothisAgreement

    thatwillbefundedwithGrantmonies.

    SPECIALGRANTCONDITIONS

    1. Grant Provisions. For the purposes of Grant #NT10BIX5570122 awarded to Florida Rural

    BroadbandAlliance,LLConAugust1,2010,Selleracknowledges thatthisAgreement issubjectto the

    specialgrantawardconditionsoutlinedinthisExhibittotheextentsuchprovisionsareapplicabletothis

    Agreement.

    (a) Debarment. Sellercertifiesthatitiseligibletoreceivestateandfederallyfundedcontracts.Seller also certifies that no party, which is debarred from such contracts, will besubcontractedtoperformservicesunderthisAgreement.

    (b) Signage. AsrequiredbythetermsoftheStimulusActandtheGrant,FRBAshallhavetherighttoerectsignageatanyworksitetocomplywiththestimulusactsignagerequirements.

    (c) FederalAuditsandInspections. SellerwillcooperateinanyauditorinspectionofFRBAsnetwork,assets,Software installationoroperationsrequiredfororonbehalfofFRBA,the

    DepartmentofCommerce,theNTIA,NOAA,theOfficeoftheInspectorGeneraloranyother

    stateorfederalagencywithjurisdictionovertheBTOPgrant. Sellerunderstandsthatsuch

    auditsandinspectionsmayincludecontractspaidwithgrantfundssuchastheAgreement.Seller understands it is responsible for maintaining documentation pursuant to this

    Agreement. AllaccessrightstoSellerfacilitiesgrantedtoFRBAhereundershallalsoextend

    toanysuchfederalinspectorsorauditors.

    (d) AvailabilityofFunds. All payments to bemade by FRBA under this Agreement aresubjecttotheavailabilityofgrantfundspursuanttotheBTOPgrant. FRBApledgestotake

    allactionsnecessarytokeepitsBTOPgrantingoodstanding.

    (e) Invoicing. Notwithstandinganythingtothecontraryherein,paymentsmadebyFRBAshallbemadebymeansofacheckwithin30daysafterapprovalofaninvoice.

    2. CompliancewithFederalandStateStatutes. ByitsexecutionofthisAgreement,Selleragreesthat itwillcomplywithallapplicablefederalandstatestatutes ifandtotheextentthattheyapplyto

    SellerandtheAgreement,including,butnotlimitedto,thefollowing:

    DuringtheperformanceofthisAgreement,Selleragreesasfollows:

    i. SellerwillcomplywithallprovisionsofExecutiveOrder11246ofSeptember24,

    1965, as amended by Executive Order 11375 of October 13, 1967 and as

    supplementedinDepartmentofLaborregulations(41CFRChapter60).

    ii. SellerwillfurnishallinformationandreportsrequiredbyExecutiveOrder11246

    of September 24, 1965, and by the rules, regulations, and orders of the

    Secretary of Labor, or pursuant thereto, andwill permit access to its books,

    records and accounts by FRBA, or the State of Florida or the United States

    Secretaryof Labor forpurposesof investigation to ascertain compliancewith

    suchrules,regulationsandorders.

    iii. In theeventof Seller'snoncompliancewith theequalopportunity clausesof

    thisContractorwithanyofsuchrules,regulationsororders,thisContractmay

    be cancelled, terminatedor suspended inwholeor inpartandSellermaybe

    declared ineligible for further government contracts in accordance with

    proceduresauthorized in ExecutiveOrder11246of September 24,1965, and

    such other sanctionsmay be imposed and remedies invoked as provided in

    ExecutiveOrder11246ofSeptember24,1965,orbyrule,regulation,ororderof

    theSecretaryofLabor,orasotherwiseprovidedbylaw.

    iv. Seller will include the provisions of paragraphs (a) through (c) in every

    subcontractorpurchaseorderunlessexemptedbyrules,regulationsororders

    of the Secretary of Labor issued pursuant to Section 204 of Executive order

    11246ofSeptember24,1965,sothatsuchprovisionswillbebindinguponeach

    subcontractor or vendor. Seller will take such action with respect to any

    subcontractorpurchaseorderasthelocalgoverningauthority(s)representative

    maydirectasameansofenforcingsuchprovisions includingsanctionfornon

    compliance:Provided,however,thatintheeventSellerbecomesinvolvedin,or

    is

    threatened

    with,

    litigation

    with

    a

    subcontractor

    or

    vendor

    as

    a

    result

    of

    such

    direction by FRBA, Sellermay request the United States to enter into such

    litigationtoprotecttheinterestsoftheUnitedStates.

    (b) CivilRightsActof1964

    UnderTitleVIoftheCivilRightsActof1964,nopersonshall,onthegroundsofrace,color,

    or national origin, be excluded from participation in, be denied the benefits of, or be

    subjected to discrimination under any program or activity receiving federal financial

    assistance.

    (c) AccessandRetentiontoRecords

    FRBA,theDepartmentofCommerce,theComptrollerGeneraloftheUnitedStates,andany

    oftheirdulyauthorizedrepresentatives,shallhaveaccesstoanybooks,documents,papers,

    andrecordsofSellerwhicharedirectlypertinenttothisContractforthepurposeofmaking

    audit,examination,excerpts,and transcriptions. Seller shall retainall records relating to

    this Contract for five (5) years after FRBAmakes final payment and all other pending

    mattersareclosed.

    (d) CopelandAntiKickbackAct(18U.S.C874and40U.S.C.276c)

    All contracts and subgrants in excess of $2000 for construction or repair awarded by

    recipients and subrecipients shall include a provision for compliancewith the Copeland

    AntiKickbackAct (18U.S.C.874),as supplementedbyDepartmentof Labor regulations

    (29CFRPart3,ContractorsandSubcontractorsonPublicBuildingorPublicWorkFinanced

    inWholeorinPartbyLoansorGrantsfromtheUnitedStates).TheActprovidesthateach

    contractor or subrecipient shall be prohibited from inducing, by anymeans, any person

    employed in theconstruction,completion,orrepairofpublicwork,togiveupanypartof

    thecompensationtowhichheisotherwiseentitled.Therecipientshallreportallsuspected

    orreportedviolationstotheDepartmentofCommerceoperatingunit.

    (f) DavisBaconAct,asamended(40U.S.C.276atoa7)

    Allconstructioncontractsawardedbytherecipientsandsubrecipientsofmorethan$2000

    shallincludeaprovisionforcompliancewiththeDavisBaconAct(40U.S.C.276atoa7)and

    as supplemented by Department of Labor regulations (29 CFR Part 5, Labor Standards

    Provisions Applicable to Contracts Governing Federally Financed and Assisted

    Construction).UnderthisAct,contractorsshallberequiredtopaywagesto laborersand

    mechanicsata ratenot less than theminimumwages specified inawagedetermination

    madebytheSecretaryofLabor.Inaddition,contractorsshallberequiredtopaywagesnot

    unit.

    (g) ContractWorkHoursandSafetyStandardsAct(40U.S.C.327333)

    Whereapplicable,allcontractsawardedbyrecipientsexceeding$100,000forconstruction

    contracts and for other contracts that involve the employment ofmechanics or laborers

    shall includeaprovision for compliancewithSections102and107of theContractWork

    Hoursand Safety StandardsAct (40U.S.C.327333),as supplementedbyDepartmentof

    Labor regulations (29CFRPart5).UnderSection102of theAct,eachcontractor shallbe

    required tocompute thewagesofeverymechanicand laboreronthebasisofastandard

    workweekof40hours.Work inexcessofthestandardworkweek ispermissibleprovided

    thattheworkeriscompensatedatarateofnotlessthan112 mesthebasicrateofpayfor

    allhoursworkedinexcessof40hoursintheworkweek.Section107oftheActisapplicable

    toconstructionworkandprovidesthatnolaborerormechanicshallberequiredtoworkin

    surroundingsorunderworking conditionswhichareunsanitary,hazardousordangerous.

    These requirements do not apply to the purchases of supplies or materials or articles

    ordinarilyavailableontheopenmarket,orcontracts fortransportationortransmissionof

    intelligence.

    (h) RightstoInventionsMadeUnderaContractorAgreement

    Contractsoragreementsfortheperformanceofexperimental,developmental,orresearch

    work shall provide for the rights of the Federal Government and the recipient in any

    resulting invention in accordancewith 37 CFR part 401, Rights to InventionsMade by

    NonprofitOrganizationsandSmallBusinessFirmsUnderGovernmentGrants,Contractsand

    Cooperative Agreements, and any implementing regulations issued by the awarding

    agency.

    (i) CleanAirAct (42U.S.C. 7401 et seq.) and the FederalWater Pollution ControlAct (33U.S.C.1251etseq.),asamended

    Contracts and subgrantsof amounts in excessof $100,000 shall contain a provision that

    requirestherecipienttoagreetocomplywithallapplicablestandards,ordersorregulations

    issuedpursuanttotheCleanAirAct(42U.S.C.7401etseq.)andtheFederalWaterPollutionControl Act as amended (33 U.S.C. 1251 et seq.). Violations shall be reported to theDepartment of Commerce operating unit and the Regional Office of the Environmental

    ProtectionAgency(EPA).

    (j) ByrdAntiLobbyingAmendment(31U.S.C.1352)

    Contractors who apply or bid for an award exceeding $100,000 shall file the required

    certification.Each tiercertifies to the tierabove that itwillnotandhasnotusedFederal

    appropriated funds to pay any person or organization for influencing or attempting to

    influenceanofficeroremployeeofanyagency,amemberofCongress,officeroremployee

    ofCongress,oranemployeeof amemberofCongress in connectionwithobtaining any

    Federalcontract,grantoranyotherawardcoveredby31U.S.C.1352.Eachtiershallalso

    discloseany lobbyingwithnonFederalfundsthattakesplaceinconnectionwithobtaining

    anyFederalaward. Suchdisclosuresareforwardedfromtiertotieruptotherecipient.

    regulationsat15CFRpart26.This listcontainsthenamesofpartiesdebarred,suspended,

    orotherwiseexcludedbyagencies,andcontractorsdeclared ineligibleunder statutoryor

    regulatoryauthorityotherthanE.O.12549.

    3. Compliance with Applicable State and Federal Regulations. By its execution of this

    Agreement, Seller agrees that it will complywith the following State and Federal Regulations (the

    Inaddition,thefollowingrequirementswillbemet,asapplicable:

    Seller shall provide any information needed for FRBAs reporting to the NTIA, to meet allreporting deadlines. Failure to provide the information on a timely basis could impact the

    approvalofanypendingpayrequests.

    All procurement is to be conducted in compliance with state and federal procurementregulations.

    AllSoftwaretobeprovidedbySellerundertheAgreementtobepaidfromgrantproceedsshallbeeligibleforpaymentwithfederalfundsasspecifiedintheAwardDocuments

    PaymentoffundstoSellerunderthisAgreementissolelycontingentonthereceiptofgrantfunds

    as

    disbursed

    and

    made

    available

    to

    FRBA

    in

    the

    form

    of

    grant

    draws.

    Any past, present or potential conflicts of interest,whether real or in appearance shall beavoidedasprovidedin15CFRPart14.
