15.        TERMINATION 15.1 Without prejudice to any other rights and remedies that either Party may have under this Agreement or at law, either Party shall have the right at any time to immediately terminate this Agreement by written notice to the other Party on the occurrence of any of the following events: (a) if the other Party commits a material breach of any of the terms and conditions herein, and in the case of a breach capable of remedy, fails to remedy the same within thirty (30) after receipt of a written notice giving full particulars of the breach requiring it to be remedied; (b) if the other Party ceases or threatens to cease carrying on its business or enters into liquidation (compulsory or liquidation) or has a receiver, judicial manager, administrator or such similar officer appointed over any of its assets; (c) if the other Party becomes insolvent, fails or is unable to or admits its inability to pay its debts as they become due, or passes a resolution for its winding-up, or a court of competent jurisdiction makes an order for the winding-up or dissolution of the second-mentioned Party or has entered into any composition or arrangement for the benefit of its creditors generally;

15.        TERMINATION  (d) either Party is affected by a Force Majeure event in accordance with Clause 16. 15.2 In the event there are significant changes to the quality and content of the Channel in contravention of Clauses 3.1 or 3.2, or a persistent signal loss and/or transmission failure of the Channel, StarHub may, upon thirty (30) days’ prior written notice to Licensor, terminate this Agreement. 15.3 StarHub may terminate its rights granted hereunder in relation to any one or more (but not all) of the Systems by way of no less than one month’s prior written notice to Licensor. A partial termination under this Clause 15.3 shall not affect the Parties’ rights and obligations as regards Systems which have not been terminated. 15.4 The expiry or termination of this Agreement shall not affect any accrued rights or liabilities of the Parties nor the coming into or continuance in force of any provision herein which is expressly or by implication intended to come into or continue in force on or after such expiry or termination.

※To break a contract with no good reason will constitute a breach of contract. Breaching contracts will be covered under Singapore's commercial law.
