PLACING AN ORDER POST-SHOW To place an order at a later date, please email [email protected]. You may attach a PO of your own, list items, colors, sizes and quantities directly in email, or scan and attach a CastlesCouture sales order form. Once we have received your order, we will send a PO for confirmation. Please be sure to include your shipping carrier preference, or shipping account should you have one. Be sure your legal company name, billing and shipping address, phone number, and email are correct on the PO. Please attach your payment information, or request a time to give it to billing over the phone the day you confirm.

TERMS AND CONDITIONS OF SALE These “Terms and Conditions of Sale” constitute the terms of sale between CastlesCouture, L.L.C. (“CC”) and a purchaser of goods from CC (“customer”). These terms apply to, and are a condition of CC accepting, any Purchase Order (“PO”) and, on CC’s sales confirmation, replace any and all terms and conditions set forth in any documents issued by Customer other than the Purchase Order. To the extent that there is any discrepancy between these Terms and the terms stated in any Purchase Order, these Terms shall take precedence.

1. Prices. Billing for goods in a PO is non-negotiable, unless pre-approved by CC in the form of a discount or re-order in quantities of 50 or more. The customer is responsible for any duties, tariffs or taxes imposed by the U.S. or any foreign government. Prices in any other currency other than U.S. Dollars will be based on the rate of exchange at the time the PO is confirmed.

2. Terms of payment. Payment will be processed one day prior to the confirmed ship date. All major credit cards are accepted for payment. Bank wire transfer and check will be accepted if payment is remitted one week in advance of ship date. If your order total is greater than $1,500.00, the customer is required to pay a 30% deposit at time of confirmation. The remaining 70% will be processed as scheduled, the day prior to shipping, unless the payment is remitted in the form of a wire transfer or check. In which case, the remaining 70% is due one week prior to the confirmed ship date. Ship dates are non-negotiable once confirmed. If the customer operates under a 3-week ship “window” and order total is greater than $1,500, 30% deposit will be required at confirmation, and 70% remaining will be due two weeks before “end” date, unless pre-approved by CC in writing. If your card is declined, or wire transfer or check is more than 5 days late from confirmed ship date, customer will be required to pay 1% late fee per additional day the payment is late. Each individual shipment will be invoiced and paid as a separate and independent transaction. Failure to pay in accordance with these terms will result in suspension of further deliveries of goods both on the overdue PO and any other PO from customer.

3. Shipment Delivery. CC’s liability for delivery shall cease and all risk of loss or damage shall pass to customer upon delivery to carrier. Customer will pay for all shipping and insurance expenses. Confirmation of ship date is based on prompt receipt from customer of all necessary information. CC reserves the right to make partial shipments. CC may cancel part of any PO at any time prior to shipment. Packing slips will be included with each shipment. If the customer requires additional packing slips to be attached to the outside of the shipment, or if the customer requires additional invoices or forms for international customs, please let us know at the time of PO confirmation. All items will be packaged in individual clear bags, with hangtags attached and SKU fixtures on outsides of bags, including SKU and size. If the customer requires additional information on these fixtures, please let us know at the time of PO confirmation. CC hangtags must remain on all CC goods at all times.

4. Title to Goods. Once goods in a PO are paid for in full, ownership of goods passes to customer. Goods are sold or used in the order delivered to the customer. If at any time the customer is in breach of any obligation of CC, CC may require customer to return all or part of goods in a shipment and/or terminate the customer’s authority to sell or use the goods by written notice to customer.

5. Resale Restrictions. Customer acknowledges that CC sells its goods only to approved retailers for resale. Sale or offer to sell through any other medium (including mail order, catalog, internet) is prohibited unless authorized by CC in writing. Resale to any unauthorized location, business or medium other than Consumers is a violation of these terms. Goods are limited to a price variation of $10 dollars increase or decrease for resale by customer. An increase or decrease more than $10 dollars is a violation of these terms. Customer is prohibited to a “sale” mark down until 3 months after receipt of goods, unless otherwise authorized by CC in writing. Goods listed on any sale platform online must be listed as CastlesCouture (two words, no space). If the CC brand name is not listed with goods for resale, customer is in breach of these terms.

6. Limited Warranty of CC. CC warrants goods are free from defect in both material and workmanship. CC’s liability is limited to the replacement of goods not confirming to this warranty, or at CC’s discretion, credit or refund of the purchase price of the defective good(s), which are accepted of CC as being defective or not in accordance with the PO. All dimensions, sizes, colors or designs in sheets are not binding on CC, and may vary at any time without giving notice to customer. No claim under this warranty may be valid unless written notice is received from customer within 7 days of receipt of goods.

7. Returns. Returns are not accepted for wholesale goods. 8. Marketing. All goods promoted on any media, social or otherwise, must be promoted as CastlesCouture. Our instagram handle is @castlescouture.

Our twitter handle is @castlescouture, and our facebook page is listed under CastlesCouture. In the event of a post containing CC goods, a “tag” or mention is required. Our website is www.castlescouture.com should you need to refer to it. CC product images may be used by the customer if preapproved and provided by CC. CC promotional images may be used by the customer, so long as CC is “tagged” or mentioned on any media the images are shared on. All goods must be sold and promoted as CastlesCouture brand.
