Verkaufs- und Lieferbedingungen für Verkäufe innerhalb DeutschlandsDie nachstehenden Verkaufs- und Lieferbedingungen gelten ausschließlich. Sie werden Inhalt des Einzelkaufvertrages.Entgegenstehende oder von den Verkaufsbedingungen abweichende Bedingungen des Bestellers bzw. Käufers erkennen wir nur an, wenn wir ausdrücklich schriftlich der Geltung zustimmen. Sämtliche Vereinbarungen, die zwischen uns und dem Besteller im Zusammenhang mit der Ausführung des Vertrages getroffen werden, sind schriftlich niederzulegen. Unser Stillschweigen gilt nicht als Einverständnis. Durch Erteilung eines Auftrages gelten unsere Verkaufs- und Lieferbedingungen in allen Teilen als anerkannt. Bei fortlaufender Geschäftsverbindung gelten diese Liefer- und Zahlungsbedingungen für jeden einzelnen Auftrag, auch dann, wenn auf sie nicht Bezug genommen wird.1. Angebot Unsere Angebote sind bzgl. Preis, Menge, Lieferfrist und Liefermöglichkeit freibleibend, der Vertrag kommt erst durch schriftliche Auf-tragsbestätigung zustande. Angaben in Werbematerial dienen grundsätzlich nur der Umschreibung des Artikels; in keinem Fall wird dadurch eine Beschaffenheit oder Eigenschaft zugesichert noch eine Garantie übernommen.Muster sind für die zu liefernde Qualität unverbindlich; sie kennzeichnen den allgemeinen Charakter der Ware, nicht aber deren einzel-ne Eigenschaften. Technisch notwendige oder zweckmäßige Änderungen der Ware bleiben vorbehalten. Unerhebliche Abweichungen in Ausführung und Qualität sowie Toleranzen in den Abmessungen, die bei der Herstellung und Verarbeitung unvermeidlich sind, ge-ben dem Käufer kein Recht zur Beanstandung der Ware. Sofern eine Bestellung als Angebot zu sehen ist, können wir diese binnen 3 Wochen annehmen. Auskünfte, die von Mitarbeitern fernmündlich oder via E-Mail abgegeben werden, sind grundsätzlich unverbind-lich, solange keine Bestätigung in Schriftform auf Geschäftspapier erfolgt ist.2. PreiseDie in dieser Preisliste angegebenen Preise sind Nettopreise in Euro (EUR/€) soweit nicht anders angegeben, zzgl. gesondert ausge-wiesener jeweils gültiger gesetzlicher Mehrwertsteuer. Die Berechnung der Ware erfolgt zu unseren am Liefertag gültigen Preisen. Ist Zahlung in einer anderen Währung als Euro (EUR/€) vereinbart (Fremdwährung), so behält sich der Verkäufer vor, seine Kaufpreisfor-derung in Fremdwährung bei Rechnungserstellung so zu ermäßigen bzw. zu erhöhen, dass der in Faktura ausgewiesene Betrag dem Euro-Gegenwert entspricht, wie er sich aufgrund der Fremdwährungsschuld im Zeitpunkt des Vertragsschlusses errechnete.3. Abwicklungspauschale / Lieferung / GefahrenübergangSofern nichts Gegenteiliges schriftlich vereinbart wird, gelten unsere Preise ab Werk, ausschließlich Verpackung. Kosten der Verpa-ckung werden gesondert in Rechnung gestellt. Der Mindestauftragswert beträgt zur Zeit EUR 150,00 zuzüglich der jeweils gültigen gesetzlichen Umsatzsteuer. Bei Aufträgen unter dieser Wertgrenze berechnen wir, soweit nicht anders vereinbart, eine Abwicklungs-pauschale von EUR 12,50 zuzüglich der jeweils gültigen gesetzlichen Umsatzsteuer. Bei bestehendem und ausgeübten Widerrufs- oder Rücktrittsrecht des Käufers werden diesem die Kosten der Rücksendung bei einer Bestellung bis € 40,- auferlegt, es sei denn die gelieferte Ware entspricht nicht der bestellten. Wird die Ware auf Wunsch des Käufers an diesen versandt, so geht mit der Absendung an den Besteller, spätestens mit Verlassen des Werks/Lagers die Gefahr des zufälligen Untergangs oder der zufälligen Verschlechte-rung der Ware auf den Besteller über. Dies gilt unabhängig davon, ob die Versendung der Ware vom Erfüllungsort erfolgt oder nicht.Die Wahl der Versandart bleibt, sofern vom Käufer nicht ausdrücklich vorgeschrieben, uns überlassen. Schreibt der Besteller die Versandart vor, trägt er ggf. anfallende Mehrkosten. Das gleiche gilt für nach Vertragsschluss eintretende Erhöhungen der Fracht-sätze, etwaige Mehrkosten für Umleitung, Lagerkosten usw., sofern nicht frachtfreie Lieferung vereinbart ist. Die Ware ist vom Um-tausch ausgeschlossen, gesetzliche Bestimmungen bleiben hiervon unberührt. Bei auftragsbezogener Fertigung können Mehr- oder Mindermengen von bis zu 15 % zur Auslieferung kommen. Bei akzeptierter Rückführung von Produkten aus einem anderen Grund als aus Garantie / Gewährleistung behält sich MN – vorbehaltlich erfolgreicher Wareneingangskontrolle – in jedem Fall das Recht vor, eine Rückführungsgebühr zu erheben. Diese kann (a) für die Aufwendungen des Transports, der Warenkontrolle, der Verpackung, der Lagerung etc. 20 % vom Rechnungswert betragen oder (b) die Summe, die ein Zulieferer MN in Rechnung stellt, weil es sich bei den rückgeführten Produkten um Nicht-Katalogware handelt oder (c) den wirtschaftlichen Verlust, den MN aufgrund der Unverkäuflichkeit der Ware erleidet, weil dies eine auftragsbezogene OEM-Fertigung war.4. Liefertermin / Höhere GewaltWir sind bemüht, den von uns angegebenen Liefertermin einzuhalten. Als Tag der Lieferung gilt der Tag, an dem die Ware das Werk oder ein Lager verlässt, und, wenn dieser Tag nicht feststellbar ist, der Tag, an dem sie dem Käufer zur Verfügung gestellt wird. Bei Maßnahmen im Rahmen von Arbeitskämpfen, insbesondere Streik und Aussperrung sowie beim Eintritt unvorhergesehener Hinder-nisse, die außerhalb unseres Einflusses liegen (z.B. Rohstoffmangel, höhere Gewalt), verlängert sich die Lieferzeit entsprechend bzw. sind beide Seiten gegebenenfalls nach Ablauf von 8 Wochen berechtigt, vom Vertrag zurückzutreten. Bei Lieferverzögerungen aus den oben genannten Gründen stehen dem Käufer keine Ansprüche aus den Verzögerungen bzw. der Nichtlieferung zu. Der Verkäufer ist nicht verpflichtet, sich bei teilweisem oder vollständigem Wegfall seiner Bezugsquellen bei fremden Vorlieferanten einzudecken. In diesem Fall ist der Verkäufer berechtigt, die verfügbaren Warenmengen unter Berücksichtigung des Eigenbedarfs zu verteilen.5. BestimmungenGemäß § 3 der Chemikalienverbots-Verordnung dürfen sehr giftige und giftige Stoffe und Zubereitungen nur dann an Handelsgewerbe-treibende weiterverkauft werden, wenn diese im Besitz einer Erlaubnis nach § 2 Abs. 1 sind und eine Person mit Sachkunde beschäfti-gen. Diese Produkte dürfen nur zweckentsprechend benutzt werden. Dem Käufer ist dies bekannt. Der Käufer verpflichtet sich, im Falle der Nichterfüllung der vorgenannten Voraussetzungen uns vor Abwicklung des Kaufes schriftlich darüber zu informieren.Der Kunde willigt mit Abgabe der Bestellung in die geschäftsnotwendige Verarbeitung seiner Daten ein. Vorstehendes gilt als Benach-richtigung im Sinne des § 33 Abs. 1 Bundesdatenschutzgesetz (BDSG).6. ZahlungsbedingungenSofern nichts anderes vereinbart wird, ist der Kaufpreis immer (auch bei Vorkasse und Nachnahme) ohne Abzug innerhalb von 30 Ta-gen ab Rechnungsdatum zur Zahlung fällig. Im Falle der Scheckzahlung muss der Scheck auf eine deutsche Bank bezogen sein. Wir behalten uns das Recht vor, überhöhte Scheckeinlösungsgebühren an den Kunden weiterzuleiten, insbesondere, wenn der Scheck mit Gebühren ausländischer Banken belastet wird. Anderslautende Zahlungsbedingungen bedürfen unserer schriftlichen Bestätigung. Bei Überschreitung der Zahlungsfrist sehen wir uns gezwungen, Verzugszinsen in Höhe der banküblichen Debetzinsen, mindestens jedoch in Höhe der in § 288 Absatz 1 und 2 BGB genannten Sätze zu erheben. Zahlungsverzug oder unregelmäßige Begleichung der Rechnungsbeträge berechtigt uns, weitere Lieferungen ohne jede Vergütung an den Käufer einzustellen. Anstelle der vereinbarten Zahlungsweise kann jederzeit Vorauszahlung oder Sicherstellung verlangt werden, falls Zweifel an der Zahlungsfähigkeit des Käufers bestehen. Tritt eine Auflösung der Firma des Käufers ein, oder wird uns die Leistung eines Offenbarungseides oder ein im Zusammen-hang mit den Zahlungsschwierigkeiten etwa eintretender Wechsel des Firmeninhabers bekannt, so sind wir berechtigt, vom Vertrag zurückzutreten.Der Verkäufer behält sich vor, Zahlungen zur Begleichung der ältesten fälligen Rechnungsposten zuzüglich der darauf aufgelaufenen Verzugszinsen und Kosten zu verwenden, und zwar in der Reihenfolge: Kosten, Zinsen, Hauptforderung.Anzahlungen und Vorauszahlungen sind im Inland immer zuzüglich Umsatzsteuer zu leisten.



7. SchutzrechteWerden Produkte nach Angabe des Bestellers hergestellt, so übernimmt dieser die Gewähr dafür, dass durch die Anfertigung eines solchen Artikels etwaige gewerbliche Schutzrechte Dritter nicht verletzt werden. Für alle Schäden, die aus der Geltendmachung ge-werblicher Schutzrechte entstehen, ist der Besteller uns gegenüber haftbar.8. Schadensersatz / RückgriffsrechtSchadensersatzansprüche des Käufers – auch außervertraglicher Art – sind im Falle leicht fahrlässiger Pflichtverletzung des Verkäu-fers, der leitenden Angestellten und anderen Erfüllungsgehilfen des Verkäufers ausgeschlossen, es sei denn, dass die Pflichtverlet-zung einen Schaden aus der Verletzung des Lebens, des Körpers, oder der Gesundheit kausal hervorgerufen hat.Zwingende gesetzliche Haftungsvorschriften bleiben unberührt. Soweit dem Käufer, der gemäß § 14 BGB Unternehmer ist, Rabatte eingeräumt werden, die nicht unwesentlich den Listenpreis reduzieren, ist die Rabattgewährung gleichzeitig als Ausgleich im Sinne des § 478 Absatz 4 Satz 1 BGB zu verstehen. Die Ansprüche des Käufers aus §§ 478 Abs. 1,2 i.V.m. 437 BGB werden in einem solchen Falle auf das Recht zur Ersatzlieferung der mangelhaften Sache beschränkt. Die Verjährung dieses Anspruches tritt regelmäßig zwei Monate nach dem Zeitpunkt ein, in dem der Unternehmer die Ansprüche des Verbrauchers erfüllt hat. Soweit hier in den Verkaufs- und Lieferbedingungen vertragliche Aussagen über die Haftung getroffen werden, sind diese abschließend. Eine darüber hinausgehende Haftung wird ausgeschlossen.9. Technische Beratung, Verwendung und Verarbeitung, BeschreibungenDie anwendungstechnische Beratung des Verkäufers in Wort, Schrift und durch Versuche erfolgt nach bestem Wissen, gilt jedoch nur als unverbindlicher Hinweis, auch im Bezug auf etwaige Schutzrechte Dritter, und befreit den Käufer nicht von der eigenen Prüfung und ggf. Validierung der vom Verkäufer gelieferten Produkte auf ihre Eignung für die beabsichtigten Verfahren und Zwecke. Anwen-dung, Verwendung und Verarbeitung der Produkte erfolgen außerhalb der Kontrollmöglichkeiten des Verkäufers und liegen daher ausschließlich im Verantwortungsbereich des Käufers. Die beiliegenden Produktbeschreibungen, Gefahrenhinweise und Beipackzettel sind zu beachten. Jedwede eigenmächtige Änderung der beschriebenen Gebrauchsweise und/oder Veränderung der Ware oder des Hinweismaterials geschieht auf eigene Gefahr.10. MängelrügenAlle Sendungen sind unmittelbar nach Erhalt zu prüfen. Beanstandungen bei Warenmängeln können nur berücksichtigt werden, wenn sie innerhalb von 8 Werktagen nach Erhalt der Ware schriftlich angezeigt werden.Im Falle einer berechtigten Beanstandung kann der Käufer nur Ersatzlieferung verlangen. Kommt die Ersatzlieferung nicht zustande, hat er das Recht, nach seiner Wahl von dem Vertrag zurückzutreten oder Herabsetzung des Kaufpreises zu verlangen. Weitergehende Schadensersatzansprüche des Käufers sind ausgeschlossen. Beanstandete Ware darf nur mit unserem ausdrücklichen Einverständ-nis zurückgesandt werden. Die Gewährleistungsfrist beträgt für alle Ansprüche 1 Jahr ab Ablieferung der Ware. Abweichend davon verjähren Gewährleistungsansprüche aus Kaufverträgen, in denen der Käufer ein Verbraucher im Sinne des § 13 BGB ist, nach der gesetzlichen Vorschrift.11. EigentumsvorbehaltDie Waren bleiben bis zur vollständigen Bezahlung einschließlich aller Nebenkosten unser Eigentum.Der Verkäufer hat das Recht, ohne Rücktritt vom Vertrag die Ware zurückzufordern, anderweitig zu veräußern oder sonst wie darüber zu verfügen, solange der Kaufpreis nicht vollständig bezahlt ist. Solange die Ware nicht vollständig bezahlt ist, muss der Käufer die Ware treuhänderisch für den Verkäufer halten und die Ware getrennt von seinem Eigentum und dem Dritter aufbewahren sowie das Vorbehaltsgut ordnungsgemäß lagern, sichern und gegen Abhandenkommen und Beschädigung auf seine Kosten versichern und als Eigentum des Verkäufers kennzeichnen. Ist der Käufer „Kaufmann“ im Sinne des HGB hat er die dabei die Sorgfalt eines ordentlichen Kaufmannes anzuwenden. Der Käufer tritt seine An-sprüche aus den Versicherungsverträgen hierdurch im voraus an den Verkäufer ab. Bei Pfändungen oder sonstigen Eingriffen Dritter an der Ware hat der Käufer den Verkäufer unverzüglich zu benachrichtigen, damit dieser Klage gem.§ 771 ZPO erheben kann. Kommt der Käufer dieser Pflicht nicht nach, haftet er für den entstandenen Schaden. Kann der Dritte sämtliche Kosten der Klage gem.§ 771 ZPO nicht dem Verkäufer gegenüber erstatten, haftet der Käufer uns auf den Ausfall.Der Käufer ist zur Weiterveräußerung der Vorbehaltsware im normalen Geschäftsverkehr berechtigt, solange er seine Verbindlich-keiten dem Verkäufer gegenüber ordnungsgemäß erfüllt. Dies gilt jedoch dann nicht, wenn und soweit zwischen dem Käufer und seinen Abnehmern ein Abtretungsverbot hinsichtlich der Kaufpreisforderung vereinbart ist.Seine Forderungen gegen den Abnehmer der Vorbehaltsware tritt der Käufer bereits jetzt an uns in Höhe des mit uns vereinbarten Faktura-Endbetrages zzgl. eventueller Zinsen und Kosten (im Inland inkl. MwSt.) ab. Diese Abtretung gilt unabhängig davon, ob die Kaufsache ohne oder nach Verarbeitung weiterverkauft worden ist. Der Käufer bleibt zur Einziehung der Forderung auch nach Abtre-tung ermächtigt, was die Befugnis des Verkäufers zur Einziehung nicht hindert. Der Käufer hat beim Weiterverkauf den Eigentums-übergang von der vollen Bezahlung der Ware durch den Abnehmer abhängig zu machen. Zur Verpfändung, Sicherungsübereignung oder sonstigen Belastungen ist der Käufer nicht berechtigt. Die Verarbeitung oder Umbildung der Kaufsache durch den Käufer wird für den Verkäufer vorgenommen. Das Vorbehaltseigentum des Verkäufers wirkt insoweit fort. Sofern die Kaufsache mit anderen, nicht im Eigentum des Verkäufers stehenden Gegenständen verarbeitet wird, erwirbt der Verkäufer das Miteigentum an der neuen Sache im Verhältnis des objektiven Wertes der Kaufsache zu den anderen bearbeiteten Gegenständen zur Zeit der Verarbeitung. Dasselbe gilt für den Fall der Vermischung. Sofern die Vermischung in der Weise erfolgt, dass die Sache des Käufers als Hauptsache anzusehen ist, gilt als vereinbart, dass der Käufer dem Verkäufer anteilmäßig Miteigentum überträgt und das so entstandene Alleineigentum oder Miteigentum für den Verkäufer verwahrt.12. Erfüllungsort / Gerichtsstand / Klauseln / Anwendbares Recht etc.Ausschließlich zuständig ist das zuständige Gericht am Sitz des Verkäufers. Der Verkäufer hat jedoch das Recht, auch am für den Käufer zuständigen Gericht zu klagen, oder an jedem anderen Gericht, welches zuständig sein kann. Erfüllungsort ist der Geschäfts-sitz des Verkäufers. Es ist ausschließlich das in der Bundesrepublik Deutschland geltende Recht anzuwenden. Die Anwendung der internationalen Kaufrechtsgesetze ist ausgeschlossen. Handelsübliche Klauseln sind nach den jeweils gültigen Incoterms auszulegen. Falls vereinbart ist, dass der Verkäufer Zoll- und Einfuhrabgaben des Bestimmungslandes trägt, gehen zwischen Abgabe der Auftrags-bestätigung und Auslieferung der Ware in Kraft tretende Erhöhungen derartiger Ausgaben zu Lasten des Käufers. Alle übrigen mit dem Kaufvertrag verbundenen Gebühren, Steuern und Kosten trägt ebenfalls der Käufer.Sofern eine Bedingung dieser Verkaufs- und Lieferbedingungen unwirksam wird, berührt dies nicht die Wirksamkeit der übrigen. Die Parteien werden dann in Individualabrede die unwirksame Bestimmung durch eine solche ersetzen, die dem wirtschaftlich Gewollten am nächsten kommt.Mit Erscheinen dieser Preisliste verlieren vorherige Preislisten ihre Gültigkeit. Statements and any details in advertising materials shall not constitute any kind of warranty.Samples sent are not binding and without obligation; differences between samples (and earlier deliveries) to present deliveries will be avoided as much and as far as possible. It is impos-sible to exchange the goods except of binding governmental regulations.Where delivery of the goods is to be made by the seller in bulk or by special order, the seller reserves the right to deliver up to 15 % more or 15 % less than the quantity ordered and the quantity so delivered shall be deemed to be in the quantity ordered. Where our products are accepted to be returned for any reason other than warranty pursuant to Clause 8 below the Seller (MN) – subject to successful incoming quality control – reserves the right to make a charge against the Customer being the greater of (a) 20 % of invoice value towards the costs incurred by the Seller for carriage, inspection, packaging and the like as a result of such return or (b) such sums as MN may be charged by its suppliers in respect of the return of such products in the event that the products constitute non-catalogued items or (c) such sums as MN may suffer as loss due to the products being not for sale because of their quality as OEM products.4. Date of Delivery / Force MajeureWe try to comply with the agreed date of delivery. Date of delivery shall be the day the goods leave works or stocks and if this shall be impossible to fix, it shall be the date of delivery at the buyer.If the performance by either party of their respective obligations or undertakings under these terms and conditions or each single purchase contract is delayed by any occurrence not occasioned by the conduct of either party of this agreement, then the party so affected shall be excused from any further performance for whatever period of time after the occurrence as may be reasonably necessary to remedy the effects of that occurrence. Either party shall have the right to withdraw from the contract after 8 weeks of delay. If delivery is delayed due to the above reasons the buyer cannot claim any rights.5. RegulationsReferring to § 3 of the Council Directive relating to restrictions on the marketing and use of certain dangerous substances and preparations, poisonous and very poisonous goods or products are only to be sold to dealers who have the permission of § 2 section 1 and an employee with expert knowledge. These goods have to be used only for their special purposes. The buyer ac-knowledges this restriction and shall be obliged to inform us immediately if he does not have those qualifications set forth above.Referring to the Federal Data Protection Act of Germany you confirm your agreement to the storage of all relevant commercial data in our computer system by placing an order. The preceding sentence shall be construed as a notification required by § 33 Federal Data Protection Act of Germany.6. Terms of PaymentLetter of credit, irrevocable and confirmed, is the rule. Terms for customers with an open account are 30 days net. In case of cheque payment the cheque shall be covered and cashed by a German bank. If a handling fee is charged, we reserve the right to forward this bank fee in full amount to our customers. Other terms of payment require our previous written consent. For invoices unpaid over 30 days beyond maturity we will charge interest on arrears amounting to the usual bank rate, at least as set forth in § 288 section 1 and 2 of the German Civil Code. Irregular payments entitle us to discontinue delivery to the buyer without any compensation. Instead of the agreed terms of payment we can ask for advance payment or security deposit, should doubts as to the solvency of a buyer arise.In case of liquidation of a buyer´s company, an oath of manifestation or a change of ownership due to financial difficulties we reserve the right to withdraw from the contract. We reserve the right to use incoming payments for liquidation of the oldest debts, in sequence as follows: costs, interests and then debt claims.



7. Patents and Third Party’s RightsIf products are custom-made to specification, the buyer assumes the responsibility that the manufacture of these products does not infringe any patents or rights of a third party. The buyer is liable for all damages and claims resulting from such infringement and hold the seller free and harmless from all claims.8. Returns and Damage ClaimsAll goods have to be checked immediately on receipt. Damage claims are only acceptable in writing within 8 working days of receipt of all the goods. In case of legitimate claims the buyer can only require replacement of the goods. If replacement is not possible, the buyer has the right to choose between alternative products with same value or refund. The buyer cannot claim further compensation. All returns must first be authorized by us in writing. We offer a one-year warranty from date of delivery that our products will conform to applicable specifications set forth in the product specifications if not sold to persons set forth in § 13 of the German Civil Code. In such a case, the provisions of the German Civil Code shall be valid.The above warranty is given by the seller subject to the following conditions:• The seller shall not be liable in respect of any defect in the goods arising from any design or specification supplied by the

buyer;• The seller shall not be liable under the above warranty if the total price of the goods has not been paid by the due date for pay-

ment• The above warranty does not extend to parts, materials or equipment manufactured by or on behalf of the buyer unless such

warranty is given by the manufacturer to the seller.This warranty does not cover defects in or damage to the products which are due to improper installation or maintenance, misuse, neglect or any use other than ordinary commercial application.Any discharge from liability will be void if a defect results from a heavily negligent or intentional breach of contract or if the buyer will be bodily injured as a result from a negligent or intentional breach.The seller shall not be liable for the goods being fit for a particular purpose unless otherwise agreed upon, to which the buyer intends to put them.This warranty is strictly exclusive. Any further damage compensation is impossible.MACHEREY-NAGEL makes no other warranty of any kind whatsoever, and specifically disclaims and excludes all other war-ranties of any kind or nature whatsoever, directly or indirectly, express or implied, including, without limitation, as to the suitability, reproducibility, durability, fitness for a particular purpose or use, merchantability, condition, or any other matter with respect to MACHEREY-NAGEL products.In no event shall we be liable for claims for any other damages, whether direct, indirect, incidental, compensatory, foreseeable, consequential or special (including but not limited to loss of use, revenue or profit), whether based upon warranty, contract, tort (including negligence) or strict liability arising in connection with the sale or the failure of MACHEREY-NAGEL products.9. Retention of Title / OwnershipThe goods shall remain of our property until full payment as previously agreed has been made. In the event of non-payment, we shall have the right to re-sell the goods to a third party.The seller shall have the absolute authority to retake, sell or otherwise deal with or dispose of all or any part of the goods in which title remains vested in the seller.Until such time as the property in the goods passes to the buyer, the buyer shall hold the goods as the seller´s fiduciary agent, and shall keep the goods properly stored, protected, and insured on his own costs.If the goods are processed or reshaped by the buyer and if processing is done with goods that seller has no property in, seller shall become co-owner of the products.The same shall apply if seller´s goods are completely reshaped and mixed with other goods.If third parties take up steps to pledge to otherwise dispose of the goods, the buyer shall immediately notify the seller in order to enable the seller to seek a court injunction in accordance with § 771 of the German Code of Civil Procedure. If the buyer fails to do so in due time he will be held liable for all the damages caused.10. Applicable Law and Jurisdiction / Miscellaneous ClausesAll contracts are subject to the laws of the Federal Republic of Germany. In the case of a legal dispute the jurisdiction of the court in Düren (Germany) will be decisive and have exclusive jurisdiction over the seller. The seller shall have the right to bring a claim before a court at the buyer´s principal place of business or at his discretion before any other court being competent according to any national or international law.In the event that any provision of these Terms and Conditions is invalid or becomes invalid, the remainder of the Terms and Condi-tions shall remain unaffected thereby. The invalid provision shall then be replaced by such provision as comes as close as possible to the economic purpose of such invalid provision, taking reasonable account of the interests of both Parties.With the publication of this price list corresponding previous price lists are invalid.
