Rio Grande Golf Course Superintendents Association Bylaws

ARTICLE IMEMBERSHIP

Section 1 - Application for Membership:As of July 1, 1997, all new Class A and Superintendent Member member-

ship applicants must submit an application for membership or evidence of mem-bership with the Golf Course Superintendents Association of America.

Applicants for membership shall be approved by the Board of Directors. The Board of Directors shall be the sole judge of an applicant’s qualifications for membership. The Board of Directors of the Association shall have the authority to establish qualifications, privileges and dues for all classes of membership except AA, A, Superintendent Member, and C.

Section 2 - Membership ClassesThe membership of this Association shall be as follows:

Class AA - Life Member: To qualify for Life Membership, must: (1) have retired as a golf course superintendent, and (2) have reached the age of 55, and (3) meet one of the following criteria:

a) A voting member for twenty-five (25) years, orb) A former Board member, orc) A charter member

A Life Member shall have all the rights and privileges of the Association except that of holding office.

Class A - Golf Course Superintendent: To qualify for Class A membership, an applicant shall be a golf course superintendent who has, at the time of application for membership, at least three (3) years experience as a golf course superintendent and be employed in such capacity. Class A members shall have all the privileges of the Association.

Superintendent Member: To qualify for Superintendent Membership, an applicant shall have, at the time of application for membership, less than three (3) years experience as a golf course superintendent, and shall be presently employed in such capacity. Superintendent Members shall have the privileges of the Association.

Class C - Assistant Golf Course Superintendent: To qualify for Class C membership, an applicant shall be, at the time of application for membership, an assistant to a golf superintendent, and shall be presently employed in such capaci-ty. Class C members shall have all the privileges of the Association except that of holding office.

Class E - Educator: To qualify for Class E membership, an applicant must be an educator or extension officer. Class E members shall have such privileges of


the Association as the Board of Directors may specify, expect those of voting and holding office.

Associate: To qualify for Associate Membership, an applicant must be an indi-vidual interested in golf course management and/or in the growing or production of fine turfgrass. Associate Members shall have such privileges of the Association as the Board of Directors may specify, except those of voting and holding office.

Affiliate: To qualify for Affiliate Membership, an applicant must be an individ-ual, business form or governmental body interested in golf course management and or in the growing or production of fine turfgrass, either individually or through employment by, or other affiliation with, a company, proprietorship or association, and who does not qualify for membership in another class. Affiliate Members shall have such privileges of the Association as the Board of Directors may specify, except those of voting and holding office.

Honorary: To qualify for Honorary Membership, the individual must be recog-nized by the Board of Directors for contributing in an outstanding manner to this Association or profession or related field. This membership shall continue in effect unless otherwise revoked by the Board of Directors. Honorary Members shall not be required to pay dues or assessments of the Association and shall have such privileges of the Association as the Board of Directors may specify, except those of voting and holding office.

Student: To qualify for Student Membership, an applicant must be a fulltime turfgrass student enrolled in a formal course of education, or have completed his or her formal education less than one (1) year prior to the date of application for membership. Student Members shall have such privileges of the Association as the Board of Directors may specify, except those of voting and holding office.

Retired: Any member who has reached fifty-five (55), who is retired and no longer seeking employment, within the scope of activities of any membership class of the Association. He or she may apply to the Board of Directors in writing for Retired Membership. A Retired Member shall not be required to pay dues or assess-ments of the Association and shall have all the privileges of the Association afford-ed the member in his or her immediate previous classification, with the exception of holding office.

Inactive: An Inactive Member is an individual who, by reason of unemployment, illness or other adverse circumstances, has been placed in this class upon his or her application. The Board of Directors shall have the authority to act on such application and to place a member on Inactive status subject to terms and condi-tions as the Board of Directors may specify.

Section 3 - Approval or Rejection of Applicant:All applications for membership in this Association shall be approved or

rejected by the Board of Directors, and shall be notified by the Secretary of their election or rejection.


Classification of members: All reclassification of members shall be made by the Board of Directors, in accordance with bylaws, or pursuant to directives adopted by the membership at any annual meeting or any spe-cial meeting called for that purpose.

Voluntary reclassification: Any individual member may request a change in his or her membership classification to accord with a change in his or her qualifications for membership as set forth in Section 2 of this Article.

Mandatory reclassification: All Members, upon renewal of their annual membership, must clearly state their current employment status. This statement of employment status shall be based upon the Association’s officially accepted job titles and golf course organization chart, or other commonly accepted listings of job titles. The Board of Directors shall, upon receipt of this statement, determine the appropriate class of mem-bership for each individual and shall be empowered to alter the individu-al’s membership classification to properly reflect stated qualifications.

ARTICLE IIDUES AND SUPPLEMENTAL ASSESSMENTS

Section 1 - Annual Dues: The annual dues shall be sums fixed by the Board of Directors, except for Classes AA, A, Superintendent Member and C. Annual dues for Classes AA, A, Superintendent Member and C shall be the sum fixed at any annual meeting of the Association, as decided by balloting conducted under the regular voting procedures set forth by the Board of Directors, in accordance with Article V of these Bylaws. Dues shall be payable in advance for the fiscal year.

Section 2 - Assessments: Where necessary, in the opinion of a majority of members present at any annual or special meeting of the Association called for that purpose, for the payment of any existing deficit, there may be levied an assessment in addition to annual dues, to be paid by each Association member, provided, however that such assessment may not be levied more than once in any fiscal year and shall not exceed an amount equal to the annual dues fixed for such year.

In the event of grave emergency, the Board of Directors upon unanimous vote, by signed order, may levy an assessment to be paid by each Association member except Class AA Life, Retired, Honorary, Student, and Inactive, for the payment and discharge of any bona fide indebtedness, loss incurred, or for the payment of any judgment of decree rendered against the Association, provided however, that no more than an amount equal to the annual dues shall be levied as such assessment during any year. The vote of the Board of Directors on the question of levying an assessment may be taken by mailed ballot prepared by the Secretary.

Section 3 - Extension of Time for Payment or Temporary Dues Excuse: The Board of Directors may at its discretion, for good cause shown and assigned in writing, temporarily excuse or extend time of payments of annual dues or as-


sessments for any member, who from ill health, advance age or other good cause, shall be unable to make payment within fixed time.

ARTICLE IIICONDUCT OF MEMBERS

Section 1 - Nonpayment of Dues or Assessments: All members whose dues are not paid in advance of the fiscal year may have services and benefits sus-pended. All members whose dues shall remain in arrears more than ninety (90) days after due date, or after notification of any special assessment, shall be suspended from this Association without necessity of notice being given of such suspension and shall, upon the expiration of ninety days, be divested ipso facto of all rights, privileges and immunities connected with or appurtenant thereunto.

Section 2 - Prohibited Conduct: The following conduct is prohibited for mem-bers of the Rio Grande Golf Course Superintendents Association:

Violations of the current Code of Ethics as determined and published by the Golf Course Superintendents Association of America.

Use of the Association affiliation for the purpose of promoting schemes, ideas or objects that are detrimental to the Association.

Conduct unbecoming of a member or inimical to the Association.Submitting false information on an application for membership or on a dues

statement.Conduct that is prohibited shall be cause for disciplinary action or expulsion from the membership in accordance with procedure set forth in Section 3 of this Article.

Section 3 - Procedure for Disciplining or Expelling a Member: A member may be disciplined or expelled by a two-thirds (2/3) vote of the Board of Directors after compliance with the due process procedures, specifically notice and hearing, and upon a showing of just case. The Board of Directors shall establish rules to be followed to ensure protection of such member’s due process rights. And expelled member may reapply for membership no earlier than one (1) year after the date of such expulsion, in accordance with the provision of Article I.

ARTICLE IVVOTING

Section 1 - Election Committee: The President shall annually appoint an Election Committee consisting of three (3) voting members of this Association who shall conduct the election activities of the Association at the annual meeting under the direction of the chairperson. The identity of the persons so nominated by the President shall be revealed and notice of such identity shall be sent by the Secre-tary of the Association to each member at least 30 days before the annual meeting in each year. Whereupon any member hereof shall have leave to suggest and sub-mit to said Election Committee, members shall deem to be desirable candidates for the respective offices and such suggestions and submission of names shall be advisory to said Election Committee in the making of its list of nominees.


In addition to the slate of candidates recommended to and by the ElectionCommittee, nominations will be open from the floor. At the time of election of the Board of Directors, the Secretary shall, in addition to the nominees recommended, advanced and submitted by said Election Committee, ask for further nominations from the floor, and when said nomination shall proceed by secret ballot upon all of the nominations submitted and made.

When the nominations have been closed, the elections shall proceed in or-derly fashion by ballot for all elections of the Board of Directors. However, if there is but one candidate for any office, that election may be held by voice vote. All other issues shall be decided by majority vote of those present, except as other-wise stated in the Bylaws.

Section 2 - Election/Annual Meeting: There shall be elected at each annu-al meeting of this Association the following named officers, viz.: President, VP, Secretary, Treasurer; who shall hold office for a period of one year and who shall perform the duties hereafter prescribed for each said office.

The above mentioned officers shall be elected by a majority vote at such annual meeting. No person shall be elected to the office of President or VP unless they are a Class A or Superintendent Member in good standing with the GCSAA and RGGCSA. No person shall be elected to the office of Secretary or Treasurer unless they are a Class A or Superintendent Member in good stand-ing with the GCSAA and RGGCSA. The office of Secretary or Treasurer may be held and filled by one person who, if elected to both such offices, may thereafter be designated during his incumbency as Secretary-Treasurer.

There shall be elected Directors which shall be composed of four (4) per-sons who shall be Class A or Superintendent Member of which a majority shall be Class A members in good standing with the GCSAA and RGGCSA. Three (3) directors shall be elected to one year terms. The immediate past President shall serve as the fourth director member. All Directors shall hold their office until successors shall be duly elected and qualified.

The officers of this Association as herein above provided for, together with the Directors as above constructed, shall constitute the Board of Directors of this Association. Each member of such Board of Directors, constituted as above de-scribed, shall be entitled to a vote at the meetings thereof, and a quorum neces-sary for transaction of business shall not be less than a majority of said Board of Directors.

Section 3 - Vacancies of Any Office: If vacancies shall occur in any office except that of President, or if vacancies shall occur in the Directors, such va-cancies shall be filled by appointment by the President, subject to the approval of the Board of Directors, and such appointee shall serve the unexpired portion of the term for which the predecessor shall have been elected, and until his successor shall be duly elected and qualified.


ARTICLE VOFFICERS AND BOARD OF DIRECTORS

Section 1 - Duties and Powers of Board of Directors:The Board of Directors shall have general charge and management of the

affairs of the Association.Qualifications: Only members of the Association actively employed as golf

course superintendents. All officers and the majority of the Board of Di-rectors must be members of GCSAA and the RGGCSA. All Officers and Board of Directors must be Class A or Superintendent Members.

A two-thirds (2/3) majority of the entire Board of Directors shall be required for the passage of any resolution or decision that will cause or incur any indebtedness that includes the execution of a mortgage or loan docu-ment that will carry past the time of the next annual election and thus impact the fiscal responsibilities and options of the future Boards of Directors.

Said Board of Directors shall, at each annual meeting, make full report and present reconciliation thereof to the membership of such annual meeting. Copies of such reports shall be available to all members at said annual meeting.

Section 2 - Duties of the President:Preside over all Board of Directors and annual meetings.To appoint all committees subject to a simple majority approval by the

Board of Directors.To hire, fire, and set wages for employees, subject to two-thirds (2/3) of the

whole number of Board members.To see the records and books of the Association are properly kept.To serve as ex-officio member of all committees.To carry out the business of the Association with approval of the Board of

Directors.To have signatory authority on all affairs of the Association.

Section 3 - Duties of the Vice-President:To carry out all the duties of the President in their absence. In doing so, they

shall have all the authority and power of the office of President.To have signatory authority in all affairs of the Association.To carry out the duties commonly vested in the office of Vice-President.

Section 4 - Duties of the Secretary:To have and care, custody of all records of the Association, and to see to it

the books, reports, statements, certificates and all other documents and records required by law are properly kept and filed.

To have recorded, the minutes of all Board of Director and annual meetings, and shall keep a permanent record of all Meetings.

To give notice of all meetings as required by the Bylaws.


Section 5 - Duties of the Treasurer:The treasurer shall receive all monies, bills, notes, bonds and similar proper-

ty belonging to the Association and safely keep the same in the name of the Association, and shall deposit all monies to the credit of the Associa-tion in such depositories as may be designated by the Board of Directors and make current disbursements as shall be ordered by the Board of Directors, shall pay all bills subject to such rules as may be prescribed by the Board of Directors as well as make an annual report and such other reports as may be prescribed by the Board of Directors.

The books of the Treasure shall be bonded by a surety company in the amount approved by the Board of Directors, and the premium on said bond shall be paid by the Association.

To have signatory authority for all financial affairs of the Association.

Section 6 - Secretary/Treasurer:When the office of Secretary and Treasurer shall be consolidated and oc-

cupied by the same person, such incumbent shall perform all the duties imposed respectively for both such offices. The Secretary/Treasurer shall be bonded by a surety company in an amount approved by the Board of Directors, and the premi-um on said bond shall be paid by the Association.

ARTICLE VICOMMITTEES

Standing and special committees may be established by the President of the Association with the consent of the Board of Directors at any time with spec-ified authority and responsibilities as directed by the Board of Directors. Nothing herein contained shall be construed to prohibit the appointment of other commit-tees by the President with approval of the Board of Directors for the Advancement of the Association.

ARTICLE VIIMEETINGS

Section 1 - Board of Directors:The Board of Directors shall meet at such intervals at such times as deter-

mined by the Association but at least a minimum of twice a year at the time and location suitable to majority of the Board members of the Association. The Sec-retary shall give notice of at least thirty (30) days, written or printed of the time and place of such meeting. Special meetings of the Board of Directors may be called from time to time by the President or other such member of the Board upon request. The members may execute a waiver of notice thereby waiving any formal written notification requirements of such special meetings.

A majority of the Board of Directors shall constitute a quorum for transac-tion of business at any meeting of the Board of Directors.

Section 2 - Annual Meeting:The annual meeting of the association shall be held each year for the elec-

tion of the board of directors, receiving reports and transactions of other business.


Such meetings shall be open to all members. Notice of such meetings shall be issued by the Secretary and shall be mailed to the last recorded address of each member at least thirty (30) days prior to the time appointed for the meeting.

Including the annual meeting, there will be a minimum of one additional meeting per year. Time and date will be specified by the Board of Directors.

All issues presented shall be decided by a majority vote of those present, except as otherwise stated in the Bylaws.

Section 3 - Rules of Order:All meetings of the Association shall be conducted in accordance with the

latest addition of Robert’s Rules of Order, or such parliamentary authority as desig-nated by the President.

ARTICLE VIIIINDEMNIFICATION

The Association shall indemnify any and all persons who may serve or have served at any time as officers or directors, and their respective heirs, paid adminis-trators, successors and assigns, against any and all expenses, including amounts paid upon judgments, counsel fees and amounts paid in settlements (before or af-ter suit is commenced), actually necessarily incurred by such person in connection with the defense or settlement of any claim, action, suit or proceeding in which they, or any of them are made parties, or a party of which may be asserted against them or any of them, by reason of being, or having been, an officer or director of this Association, except in relation to matters as to which any such officer or direc-tor or former officer or director shall be adjudged in any action, suit or proceeding to be liable for those acts and omissions arising out of his or her willful malfea-sance. Such indemnification shall be in addition to any and all other rights to which those indemnified may be entitled including such immunities under any law, bylaw agreement or otherwise.

ARTICLE IXDISSOLUTION

In the event of dissolution of the Association, after all liabilities and respon-sibilities have been met, its assets shall be distributed in accordance with Internal Revenue Code concerning its exempt status or in accordance with the law of the State for which the Association is to be dissolved. The decision of distribution shall be made by the Board of Directors.

ARTICLE XAMENDMENTS

These bylaws made be amended at any meeting of the members provided the proposed amendments are written and such notice of such meeting shall be submitted to such members thirty (30) days in advance of the meeting in writing requiring (two-thirds majority) vote of all members present and voting.

Before any amendments to the bylaws are formally presented to the As-sociation for consideration the proposed amendments must be submitted and approved by the Golf Course Superintendents Association of America.


ARTICLE XIASSOCIATION CONTRACTS AND INSTRUMENTS

Execution of all bills, notes, contracts, checks, drafts, deeds, and deeds of trust, mortgages and other instruments pertaining to the Association shall be made in the name of the Association and shall be executed as authorized by the Board of Directors and bylaws. Except as otherwise provided in the bylaws, any agent or officer of the Association may be authorized to bind, execute or deliver any obli-gation which is in the name of the Association on behalf of the Association, only if, the authorization is made by duly enacted resolution of the Board of Directors and entered into the minute book of the Association. Unless so authorized, no agent or officer shall have the authority to so bind or represent the Association.

ARTICLE XIIINSIGNIA AND SEAL

The Secretary of the Association should procure for the use a Corporate Seal that should state the corporate name and shall contain such other additional insignia as the Board of Directors shall approve. (Optional)
