Contracten- 178 COOPERATIVE AGREEMENT ThisCOOPERATIVEAGREEMENT(the"Agreement")isenteredintobyandbetweenGoogleIreland Limited,a company incorporatedinIrelandwithitsregisteredofficeat 1 stand2nd Floors,GordonHouse, Barrow Street,Dublin4,Ireland("Goog Ie"),andtheNationalLibraryof theNetherlands,withitsprincipal officesatPrinsWillemAlexanderhof 52595BEDenHaag,TheNetherlands("Library"),andiseffective asof thedatesignedbyGooglebelow (the"EffectiveDate").GoogleandLibrary hereinaresometimes referred to hereinafter individually asa "Party"andcollectively asthe "Parties". RECITALS WHEREAS,Libraryisa leadingacademic institutionandhas amassedanenormouscollectionof works invarious media; WHEREAS,Googleprovides thepublic withaccessto webpagesontheInternet,amongother products and services; WHEREAS,Google andtheLibrary sharea mutualinterest inmakinginformationavailableto thepublic; and WHEREAS,GooglewilldigitizeworksfromtheLibrarycollectiontoincludetheminGoogle'sseNices, andprovide access to the digitized works to the Library as describedherein. NOW THEREFORE, inconsiderationof the mutual covenants set forthherein,Google andLibrary hereby agree as follows: DEFINITIONS 1.DEFINITIONS.Capitalized terms wil!have the meanings set forthbelow: 1.1"AvailableContent"meanstheLibrary'sprintcollectionasidentifiedbyGoogleandthe Library. 1.2"BrandFeatures"meansthetradenames,trademarks,seNicemarks,logos,domain names,andother distinctivebrandfeaturesof eachParty,respectively,assecuredby suchParty from time to time. 1.3"Digital Copy" means a set of electronic files,including(a) the image filesof the individual pagesoftheDigitizedSelectedContentalongwithtext(currentlygeneratedfromopticalcharacter recognitiontechnology"OCR"),(b)coordinateinformationforthetext(Le.,theimagecoordinates), copyright notice,year,andplace of publication for the text (if available throughGoogle's processes),(c) informationabout the orderingof pagesalongwithpage-levelmetadata suchaspagenumber andother similarinformation,(d)auniqueidentifierforthework,and(e)thedatetheworkwasDigitizedby Googie,regardlessofthemeansortechnologyusedtopreparesuchcopy,whethernowknownor hereafter developed,andany digitalcopyof suehset of electronic files.ADigitalCopyof a workmay beeonstruetedby Google fromoneor morephysicalworksintoacompositeversionof thework,which may includealternativepageimages fromdifferent eopiesof the work th at Googleobtainsfromsou rees other thanLibrary,providedthat theDigitalCopyof any suchcompositeversionof a workwil!contain metadataindicatingthattheDigitalCopycontainspagesfromdifferentcopiesoftheworkandthe sou reesof the different copies. Scannummer 1 van1 - Scanpagina1 van12 Contracten- 178 1.4"Digitize"meanstoconvertcontent froma tangible,analogformintoadigitalelectronic representationofthatcontent."Digitization","Digitizing"and"Digitized"shallhavecorresponding meanings. 1.5"Goog IeDigitalCopy"meansadigitalcopyretainedbyGoogleof theSelectedContent that isDigitized by Googie. 1.6"Goog IeServices"meansGoogle'sproductsandservicesthatareaccessiblethrough andotherwiseprovidedbyvariouscomputerandelectronictechnologies,networks(syndicatedand otherwise) and systems,including without limitation,mobile wireless services andInternet-based services accessible through the Google Sites and any Google syndication partner sites. 1.7"Go091eSite"meansanywebsitelocatedataGoogle-owneddomain,includingall subdomains anddirectories thereof,and all successor sites thereto. 1.8"Initial Term" shallhave themeaning set forthinSection 8.1. 1.9"Library Di9ital Copy" shall have the meaning set forthinSection 4.7. 1.10"Project" meansa project for digitizing certainSelected Content. f11"ProjectPlan"meansawrittenplanforimplementingaProject.TheProjectPlanshall includethefollowing:(a)timetableforDigitizingtheSelectedContent,(b)instructionsbyLibrary regardinghowtheSelectedContentistobecollectedandreturnedbyGoogie;(c)materialhandling processes for theSelectedContent,(d)if required,the amount of timeavailabletoLibrary for performing conservationefforts;(e) theamount of timeavailable toGoogle fromreceipt of theSelectedContent until it isdue tobereturned toLibrary;and(f) a budget for theProject. 1.12"Renewal Term" shallhave themeaning set forthinSection8.1. 1.13"SelectedContent"meanstheporti onof theAvailableContentthatGoogledesiresto DigitizeorincorporateintotheGoogleServices,bothcollectivelyanditscomponentparts. 1.15"StandardMetadata"meansoneormoreofthefOllowingitemsofinformationfora particularworkincludedintheSelededContent:uniqueidentifiers(includingoneormoreofLCCN, ISBN,ISSNandother uniqueidentifier trackinginformation),title,author(s)or editor(s)(or similar),dates (includingpublication,firstissueorotherdatesrelatingtopublicationorcreationofthework),issue, volume,referencesor citations,typeof material,number of pages(includingtotalnumberandnumber withinsections),publisher(andpublisherinformation),classificationinformation(includingLibraryof Congress classification,Dewey classificationor similar), subjects,language description andother types of bibliographicinformationnotsubjecttocopyrightprotection.StandardMetadatamayalsoincludeany other itemthat Google andLibrary may hereafter agree, in writing, will constituteStandardMetadata. 1.16"Term" shallhave themeaning set forthinSection8.1. 2 Scannummer 1 van1 - Scanpagina 2 van12 Contracten- 178 TERMS 2.DIGITIZATION OPERATIONS. 2.1Non-ExclusivityofAgreement.ThePartiesagreethattherightsandauthorizations grantedinthisAgreementarenon-exclusive.NothinginthisAgreementshallbeconstruedaslimiting Library'srightstoenterintoagreementswiththirdpartiestoDigitizeworksfromLibrary'scollectionin anyway,including waysidentical to thoseprovided in this Agreement. 2.2IdentifyingandCollectingContent tobeDigitized.ThePartiesshallingood faithidentify AvailableContent thatGooglemayelecttoDigitize;providedthatLibraryagreestocommitnolessthan 160,000volumestotheDigitizationeffortsunderthisAgreement.ThePartiesintendfortheSelected ContenttargetedforDigitizationtobeinthepublicdomainunderDutchcopyrightlaw.ThePartiesshall cooperateingoodfaithandwithdiligencetodevelopatimetableforcompletingtheProjectPlanfor Digitizing the Selected Content. 2.3CollectingtheSelectedContent.Libraryshallberesponsibleforlocating,pullingand movingtheSelectedContenttoandfromthedesignatedlocationontheLibrarypremiseswhereGoogle cancollectitasweilasre-shelvingtheSelectedContentwhentheDigitizationiscomplete.Upon commencementof aProject,Libraryshallperformany conservationeffortsth at thePartiesdetermineare requiredfor theassociatedSelectedContent.Onarollingbasis,asthisconservationeffort iscompleted, Library shall provide the conservedSelected Content to Google for Digitizing.If ag reedupon by theParties ina particular Project Plan, this collection functionmay instead beassigned to Googie. 2.4TransportingandStoringtheSelectedContent.Googlemay removesomeor allof the SelectedContent fromLibrary premises toperformDigitizationinfacilities controlledby Googleandlocated withinEurope.Google wil!provideandberesponsible for commercially reasonable transport methods and temporary storage areas.Google willcarry reasonableandsufficient insuranceinsuringagainst theriskof loss,damage or destruction of materials entrusted toGoogle during transport and while the materials arein Google's custody. 2.5ReguiredInformationfor theSelectedContent.Assoonaspossibleafter theEffective Date(but innoevent later than10 days after the Effective Date),Library willprovide Google (a)a good faith estimateof thevalueof anySelectedContentincludedintheprojectatalevelof detaildeterminedby Google(forexample,GooglemayrequiretheaveragevalueofalltheSelectedContentincludedinthe project, the valueof eachitemof SelectedContent,or both) and(b)a summary of theLibrary's collection to identifymaterialofparticularlyhighvalue(inexcessof$10,000.00peritemofSelectedContent)that Google may choosenot toremove fromthe Library premises.The Parties wil!discuss selectionparameters andapproachesforhighvaluecontent.IncaseswhereGoogleisconsideringshippingSelectedContent acrossaborder,Library willprovideGoogle(i)alistof allSelectedContent expectedtobeconsideredin theproject as soon as possible after theEffectiveDatetobeused for obtainingany appropriate government approvals(suchasthelocalMinistry of Culture)andthePartiesagree todiscuss approaches for obtaining anysuchgovernmentapprovalsand(ii)anitemizedcustomsmanifestofeachshipmentofSelected Contentprior toeachandevery shipment,ifGoogleisconsideringshippingSelectedContent acrossany borderregulatedbyCustoms.ThiscustomsmanifestwillbegiventoGoogleandtoGoogle'sagent,if Google assignsanagent,accordingtoprocedures that wiltbespecifiedby Googie.The customs manifest wil!includeforeachitemof SelectedContent,theTitle,Author,Publicationdate,Countryof Publication, andvalueof eachsuchitemasdeterminedby Library,andtheassignedbarcodeof theitem.TheLibrary agreestoassistGooglewithanyotherinformationthatmayberequiredbyCustoms,transportation officials,or by other government representatives(suchas the local Ministry of Culture). 2.6Digitizing theSelectedContent.Subject tohandlingconstraintsor proceduresspecified intheProjectPlan,GoogleshallinitssolediscretiondeterminehowbesttoDigitizetheSelected Content.WhiletheSelectedContentiswithinGoogle'spossession,Googleshallusecommercially 3 Scannummer 1 van1 - Scanpagina 3 van12 Contracten- 178 reasonableefforts tominimize damage totheSelectedContent,includinghandling theSelectedContent inaccordance withhandling instructions set forthintheProject Form,if any. 2.7ReturnoftheSelectedContent.GoogleshallreturntheSelectedContenttothe designatedlocationontheLibrary premiseswhereGoogleobtaineditandinthelikemanner inwhichit was collectedafter Google completesDigitizing the Selected Content. 2.8ProvisionofCatalogRecords.LibraryshallprovideGooglewithcompletecatalog records,includingallStandardMetadatafieldsforthecompleteLibrarycollectionwithin30daysof Google'swrittenrequest.GooglehasauthorizationtouseandreceivesuchrecordsfromtheLibrary pursuanttoaseparateagreementbetweenGoogleandOClC.Googie,LibraryandOClCwill collaborateanddefinethemostappropriatewayforLibrarytoprovidetoGooglecompletecatalog records. 3.COSTS 3.1Costspaidby Library.Inadditiontocostsmutually agreeduponby theParties,Library shallberesponsible for the followingcosts:(a) thoserelated tolocating,pullingandmoving theSelected Content toandfromthedesignatedlocationontheLibrary premisesasweilasre-shelving theSelected ContentwhentheDigitizationiscomplete,(b)thoserelatedtoLibraryemployeesandagentswhose participationiscontemplatedbythisAgreement,(c)networkbandwidthanddatastoragerequiredby Librarytoreceiveallof theLibraryDigitalCopy(d)eXistingbandwidthavailableforusebyGoogleto transferDigitizedfilesfromLibrary facilitiestoGoogle'sdatacenterstotheextent thatLibraryprovides theDigitizationfacility,(e)Libraryspaceth atmaybeavailableandacceptabletoGoogleforthe Digitization,(f)transportationofSelectedContenttoandfromtheLibraryfacilityinwhichtheSelected Content isnormally kept toandfromtheDigitizationfacility providedby theLibrary,(g)any conservation efforts that Library electstoundertakeontheSelectedContent prior toDigitizing,and(h)barcodingand associated data entry tobarcode the Selected Content. 3.2Casts borne by Googie.Inaddition to casts mutually agreed upon by theParties, Google shallberesponsible for the followingcosts:(a) thoserelatedtoGoogleemployees whoseparticipationis contemplatedby this Agreement, (b)hardware and softwarerequired to digitize theSelectedContent,(c) spacerequiredtodigitize theSelectedContent (totheextent not providedby Library),(d)transportation of SelectedContentfromtheLibraryfacilitywheretheSelectedContentisnormallykepttoaGoogle designatedfacility(totheextentnotprovidedbyLibrary),and(e)insuranceagainsttheriskofloss, damage,or destructionof materialsentrustedtoGoogleduringtransportandwhilethematerialsarein Google's custody. 3.3Budgets.Notwithstandingtheforegoing,LibraryandGooglemayjointlydevelopa budgetforeachProjectPlan,pursuanttowhichthePartiescanallocatethecostofresearchingand identifyingtheSelectedContent,conductingconservationassessments,performingconservationwork, andperformingany requiredcopyrightresearchandclearances.Any suchbudget willtakeprecedence over theprovisions of Sections 3.1and 3.2 above. 4.OWNERSHIP AND USE OF DIGITAL COPIES AND SERVICES 4.1CopyrightStatus.ThePartiesunderstandthat theSelectedContentmayincludesome worksthatwillbetreatedhereunderaspublicdomainworksandsomeworksth atwillbetreated hereunder asin-copyright works.BothGoogleandLibrary agree andintend to perform this Agreement in compliancewithcopyrightlaw.Eachpartywil Iberesponsibleforthedeterminationofhowtotreata workforeachjurisdictionatitssolediscretion.Notwithstandingsuchdetermination,ifeitherParty 4 Scannummer 1 van1 - Scanpagina 4 van12 Contracten- 178 believesa work(or porti onthereof)shouldbetreatedasanin-copyright workineither theUnitedStates or another jurisdiction,andsonotifiestheotherParty,then,withinforty-eight(48)hoursof suchnotice, suchwork(or portionthereof)shal!be treatedasanin-copyright work foruseintherelevant country.In addition,Googlewil!implementprocesseswherebyanypersonorentitycanrequestGooglenotto DigitizeanyAvailableContentortoceasethedisplayoruseofanyDigitizedSelectedContentwhich Google wil!comply withsolongasGoogledetermines that thepersonor entity makingtherequestisthe copyright holder or has apparent authority toact onbe half of the copyright holder. 4.2Ownershipanduseof Go091eDi9italCopy.NeitherLibrarynorGoogleshallhaveany ownershipor licenserightstotheAvailableContent thatisDigitized(Le.,tothematerialsunderlyingthe digitization process), except where Library already owns suchrights.As between Google andLibrary and subjecttotheprovisionsinthisSection4,Googleshallownallrights,title,andinterestinandtothe Google Digital Copy. 4.3Go091euseof Go091eDi9italCopy.Subject totherestrietionsset forthherein,Google mayusetheGoogleDigitalCopy,inwholeorinpartatGoogle'ssolediscretion,aspartof theGoogle Services.TotheextentportionsoftheGoogleDigitalCopyareeitherinthepublicdomainorwhere Googlehasotherwiseobtainedauthorization,Googleshallhavetheright,initssolediscretion,among otherthings,to(a)indexthefulltextorcontent,(b)serveanddisplayfull-sizeddigitalimages correspondingtothoseportions,(c)makeavailablefulltext of content for printingand/or download,and (d)makecopiesof suchportionsof theGoogleDigitalCopyandprovide,license,orsellsuchcopies (including,without limitation, toitssyndicationpartners).For allother portions of theGoogle DigitalCopy, Go091emay index the fulltext or content but may not serve or display the full-sizeddigital image or make availableforprinting,streamingand/ordownloadthefullcontentunlessGooglehasappropriatelegal authoritytodoso;Googleinsteadmayserveanddisplay(1)anexcerptthatGooglereasonably determines wouldbe incomplianee withDutchcopyright law and(2)bibliographic (e.g., title,author,date, etc)andothernon-copyrightedinformation.IntheeventthatGooglehasreceivedalicenseorother permissionfromtheapplicablecopyrightholdertousein-copyrightworksintheGoogleDigitalCopy, Google may use those worksinany manner permittedunder the terms of such license. 4.3.1Failure toPravide Access.Googleagreesthat to theextent that it or itssuccessors useaworkincludedinthe DigitizedSelectedContent thatGooglehasdeterminedtobeinthepublic domaininconnectionwithanyGoogleServices,itshallprovideaserviceatnocosttoendusersfor access to the display of the full text of theDigital Copy of that public domain work.If Google fails tooffer suchafreeservicetoenduserswithrespecttopublicdomainworks(unlesstheDigitalCopyofsuch work is excludedby Google for quality,technical,or legalreasons) for (a) any periodof six (6) contiguous monthsor (b)any two(2)periodsof ninety(90)contiguousdays,whichperiodsoccur inanyperiodof twenty-four(24)contiguousmonths,thenallrestrictionsandrequirementsset forthinSections4.7and 4.8of thisAgreementregardinguseor distributiontheDigitalCopy of that publicdomainwork for which Google failedtooffer suchservices wil!terminate,providedLibrary hasprovidedwrittennotice toGoogle of such failureandGoogle hasnot remediedsuch failurewithinthirty (30) days followingGoogle's receipt of such notice. 4.4OwnershipandContralofGo091eServices.AsbetweentheParties,theGoogle Servicesandallcontenttherein(exceptfortheSelectedContent)are,andatalltimeswil!remainthe exclusiveproperty of Googleor itspartners;nothinginthisAgreementimpliesany transfer toLibraryof anyownershipinterestintheGoogleServices.LibraryacknowledgesandagreesthatGoogleretains controlof theGoogleServices,andthat thedesign,layout,content,functionsandfeaturesof theGoogle Services are at Google's discretion. Notwithstandinganything to the contrary in this Agreement,Google is not required tomake any or all of theGoogle Digital Copy available through theGoogle Services. 5 Scannummer 1 van1 - Scanpagina 5 van12 Contracten- 178 4.5Library DigitalCopy.Google shallprovide theLibrary withaccesstodownloadonecopy of the Library Digital Copy ina timeframe mutually agreed by theParties.Unless otherwise agreed by the Partiesinwriting,the"LibraryDigitalCopy"meansDigitalCopiesoftheSelectedContentthatis DigitizedbyGoogie.GoogleshallprovidetheLibraryDigitalCopyviaanetworkconnection,orinany othermannermutuallyag reeduponbytheParties.Notwithstandinganythingtothecontraryherein, Googlemay withholdanyworksindispute fromtheLibraryDigitalCopyandtheLibrarywilldeleteany such works that werepreviously provided toLibrary aspart of theLibrary Digital Copy. 4.6Ownershipanduseof LibraryDigitalCopy.NeitherLibrarynorGoogleshallhaveany ownershipor licenserightstotheAvailableContent thatisdigitizedthroughthisAgreement(i.e.,to the materialsunderlying thedigitizationprocess),except whereLibrary already hassuchrights.Asbetween GoogleandLibrary andsubject totherestrictionsinthisSection4,Library shallownallrights,title,and interest to theLibrary DigitalCopy.Without Iimitingthe foregoing,Library shallnot display or otherwise use the Library Digital Copy except as expressly permitted in this Agreement. 4.7UseofLibrarvDigitalCopyonLibrary Website.Libraryshallhavetherighttouse the Library Digital Copy,inwholeor inpart at Library'ssole discretion,aspart of services offeredonLibrary's websites.Libraryshallhavetherighttoprovideaccessto(portionsof)theLibraryDigitalCopyto individualsindifferent formats(includingprint-on-demand) for research,scholarly,or academie purposes, allof whichmustbenoncommercial(unlessotherwiseagreeduponinwritingbyGoogie).Librarymay notcharge,receivepaymentorotherconsiderationfortheLibraryDigitalCopyinconnectionwith Library'swebsites;providedthat Library may charge to recover itsprintingandproductioncasts.Library shallimplement technologicalmeasures (e.g., through use of therobots.txt protocol) to restriet automated accesstoanyporti onof theLibraryDigitalCopyortheportionsoftheLibrarywebsiteonwhichany portionoftheLibraryDigitalCopyisavailable.Libraryshallalsopreventthirdpartiesfrom(a) downloadingor otherwiseobtainingany portionof theLibraryDigitalCopy for commercialpurposes,(b) redistributingany portions of theLibrary DigitalCopy,or (c)automatedandsystematic downloading from itswebsiteimagefilesfromtheLibraryDigitalCopy.Libraryshalldevelopmethodsandsystemsfor ensuringthatsubstantialportionsoftheLibraryDigitalCopyarenotdownloadedfromtheservices offered onLibrary's website or otherwise disseminated to the public at large.Library shall also implement security andhandlingprocedures for theLibrary DigitalCopy whichproceduresshallbemutually agreed bytheParties.Exceptasexpresslyallowedherein,Librarywillnotshare,provide,Iicense,orsellthe LibraryDigitalCopytoanythirdparty.AllrestrietionsandrequirementssetforthinthisAgreement regardinguseor distribution(includingwithoutlimitationthoseset forthinthisSection4.7)of theworks containedintheLibrary DigitalCopy shall terminate fifteen(15) years followingthe date that Googlehas made a Digital Copy of such work available toLibrary 4.8Non-Profit Uses.Library may provideallor any portion of theLibrary Digital Copy that is, atthetimeofsuchprovision,aDigitalCopyofapublicdomainworkto(a)academieinstitutionsor researchor publicIibraries,or (b) whenrequestedby Library and agreeduponinwritingby Googie,other not-for-profit or government entitiesthat arenot providingsearchor hostingservicessubstantially similar tothoseprovidedbyGoogie,includingbutnotIimitedtoth aseservicessubstantiallysimilar toGoogle BookSearch(provided,however,thatGoogleacknowledgesandagreesthatprint-on-demandservices arenotsubstantiallysimilartoanysuchservicesandLibrarymayprovidesuchportionsof theLibrary DigitalCopytoanentitysetforthinthisclause(b)sole!ytorsuchentitytoprovideprint-on-demand servicestorLibrarywithoutGoogle'sconsent),suchagreementnottobeunreasonablywithheldor delayed(eachentity inclauses (a)and(b)beingreferred toasan"Additionallnstitution"), ineachcase forresearch,scholarly,oracademiepurposes,allof whichmustbenoncommercial(unlessotherwise agreeduponinwritingbyGoogie).AnyAdditionalInstitutionmustenterintoawrittenagreementwith Googleprior toLibrary providingany porti onof theLibraryDigitalCopy tosuchAdditionalInstitution,the formof whichGoogle willprovide to Library.Suchagreement wil!prohibit such AdditionalInstitution from redistributingsuchporti onsottheLibraryDigitalCopytootherentities(beyondprovidingormaking contentavailabletoscholarsandotherusersforeducationalorresearchpurposes),prohibitsuch AdditionalInstitutionfromusingsuchportionsoftheLibraryDigitalCopytoprovidesearchorhosting 6 Scannummer 1 van1 - Scanpagina 6 van12 Contracten- 178 servicessubstantiallysimilartothoseprovidedbyGoogie,includingbutnotlimitedtothoseservices substantially similar toGoogleBookSearch,andrequiresuchAdditionalInstitution(i)tousereasonable effortstoprevent thirdpartiesfrombulkdownloadingsubstantialportionsof suchDigitalCo piesof such works,and(ii)toimplementtechnologicalmeasures(e.g.,throughuseoftherobots.txtprotocol)to restrictautomatedaccesstoanypartof suchentity'swebsitewheresubstantialportionsof suchDigital Co pies are available. 4.9Europeana.Forciarity,nothinginthisAgreementrestrictsLibraryfromallowing Europeana to crawl the Standard Metadata of theDigitalCopies provided to Library by Googie. 5.ACCESS,AUTHORIZATIONANDSUPPORT 5.1Access.GoogleshallhavetherighttoaccessSelectedContentduringLibrary business/staff hoursasrequiredtoexercise itsrightsandperformits obligationshereunder.If requested byGoogie,LibraryshallprovideGooglewithaccesstoSelectedContentoutsideofLibrarybusiness hoursprovidedthatGooglenotifyLibraryatleasttwo(2)daysinadvanceof itsintent toaccesssuch materiais. 5.2Authorization.TheLibraryprogrammanagerresponsiblefortheSelectedContent involvedinany Project Planshall have authority to agree withGoogle onthe time frames andprocedures (e.g.,collection,conservation,andhandling)associatedwiththatSelectedContent.If Googleingood faithbelievesthatthetimeframesandproceduresrequestedbytheLibraryprogrammanagerare unreasonable,GoogleshallescalatethemattertotheLibraryadministrativecontact;inwhichcase Googie, the Library programmanager, and the administrative contact shall meet to resolve theissue. 5.3Support.Libraryshallappointonepersontoserveastheadministrativecontactfor Googie,shouldadministrativequestionsorissuesariseduringthecourseofthisAgreement.This administrativecontactshallbeavailableduringregularLibrarybusinesshours(9:00a.m.to5:00p.m., MondaythroughFriday)atatelephonenumberande-mailaddresstobeprovidedbyLibrary.Library shallalso appoint onepersontoserveasthetechnicalcontact for Googie,for obtainingor regulatingthe useof theLibrary DigitalCopy.Thistechnicalcontact shallbeavailableduringregular Library business hoursatatelephonenumberande-mailaddresstobeprovidedbyLibrary.Uponexecutionofthis contract,bothGoogle andLibrary shall identify theseindividualsinwriting, whichmay be email. 6.CONFIDENTIALlTYjPUBLICITY 6.1Confidentiality"ConfidentialInformation"isinformationdisciosedbyoneparty tothe otherpartyunderthisAgreementthatismarkedasconfidentialorwouldnormallyunderthe circumstancesbeconsideredconfidentialinformationofthedisciosingparty.ConfidentialInformation doesnot inciudeinformation that therecipientalreadyknew,thatbecomespublic throughnofault of the recipient,thatwasindependently developedby therecipient,or thatwasrightfullygiventotherecipient byanotherparty.TherecipientwillnotdisciosetheConfidentialInformation,excepttoaffiliates, employees,andagentswhoneedtoknowit andwhohaveagreedinwritingtokeepit confidential.The recipient,its affiliates,employees and agents may use ConfidentialInformationonly to exercise rights and fulfillobligationsunder thisagreement,whileusingreasonablecaretoproteet it.Therecipientmayalso discioseConfidentialInformationwhenrequiredbylawaftergivingreasonablenoticetothediscloser. Furthermore,theAgreementmaybedisciosedbyeitherPartyprovidedthat thePartiescooperateand agree upon the timingand the manner of any suchdisclosure. 6.2Publicity.Except asmutuallyagreeduponby theParties,neitherParty maymakeany pressannouncementsregardingthisAgreementortherelationshipcontemplatedbythisagreement without the other's prior writtenapproval,which willnot beunreasonably withheldor delayed.Libraryand Googie,aspracticabie,willcoordinateregardingthetimingofanypressrelease(s)andwillmutually agree upon appropriate talkingpoints. 7 Scannummer 1 van1 - Scanpagina 7 van12 Contracten- 178 7.BRAND FEATURES 7.1Ownership.EachParty shallownallright,title andinterest relatingtoitsBrandFeatures. Some,butnotallexamplesofGoogleBrandFeaturesarelocatedat: http://www.google.com/permissions/trademarks.html(or suchotherURLsGooglemay providefromtime totime).Except to thelimitedextent expressly providedinthisAgreement,neither Party grants,andthe other Party shallnot acquire,any right,title or interest (including,without limitation,any impliedlicense)in ortoanyBrandFeaturesofthefirstParty;andallrightsnotexpresslygrantedhereinaredeemed withheld.Alluse by Google of Library BrandFeatures (inc\udingany goodwill associated therewith)shall inuretothebenefitof LibraryandallusebyLibraryof GoogleBrandFeatures(includinganygoodwill associatedtherewith)shallinuretothebenefitof Googie.NoParty shallchallengeor assistothersto chaUengetheBrandFeaturesof theotherParty(except toproteetsuchParty'srightswithrespecttoits ownBrandFeatures)ortheregistrationthereofbytheotherParty,norshalleitherPartyattemptto register any BrandFeatures or domain names that are confusingly similar to those of the other Party. 7.2LicensetoLibraryBrandFeatures.Subjecttothetermsandconditionsofthis Agreement,LibrarygrantstoGooglealimited,nonexclusiveandnonsublicensablelicenseduringthe Termtodisplay thoseLibraryBrandFeaturesexpresslyauthorizedforuseinthisAgreement,solely for thepurposesexpressly set forthherein.Googlemay inc\udeLibrary'sBrandFeaturesinpresentations, marketing materiais,andcustomer lists.UponLibrary'srequest,Google wiUfurnishLibrary witha sample of suchusage.Notwithstandinganythingtothecontrary,Library may revokethelicense grantedherein touseLibrary'sBrandFeaturesuponprovidingGooglewithwrittennoticethereofandareasonabie periodof time to cease suchusage. 7.3LicensetoGo091eBrandFeatures.Subjecttothetermsandconditionsofthis Agreement,GooglegrantstoLibraryalimited,nonexclusiveandnonsublicensablelicenseduringthe Termtodisplay thoseGoogleBrandFeaturesexpressly authorizedforuseinthisAgreement,solely for thepurposesexpressly set forthherein.Librarymay includeGoogle'sBrandFeaturesinpresentations, marketingmateriais,andcustomerIists.UponGoogle'srequest,Librarywil!furnishGooglewitha sample of suchusage.Notwithstandinganythingto the contrary,Googlemay revoke the Iicensegranted hereintouseGoogle'sBrandFeaturesuponprovidingLibrarywithwrittennoticethereofanda reasonableperiod of time to cease suchusage. 8.TERM ANDTERMINATION 8.1Term.This Agreement is effective as of theEffectiveDateandcontinues infull force and effect for a periodof six (6)years,unless earlier terminatedasprovidedherein (the "Initial Term").Upon theexpirationof theInitialTerm, thisAgreement shallautomatically renewforadditionaloneyear terms (eacha"RenewalTerm")unlesseitherPartynotifiestheotherParty tothecontraryatleast thirty(30) daysbeforetheendof either theInitialTermoraRenewalTerm.The"Term"of thisAgreementshall comprisetheInitialTermandanyRenewalTerms.ThePartiesacknowledgeitistheirintentto commence theDigitization activities contemplatedunder this Agreement by January 1,2013 8.2Termination.Either Party may suspendperformance and/or terminate this Agreement:(i) if theotherPartymaterially breachesanymaterialtermor conditionof thisAgreementandfailstocure suchbreachwithinthirty(30)daysafterreceivingwrittennoticethereof;(ii)if theotherPartybecomes insolvent or makes any assignment for thebenefit of creditorsor similar transfer evidencing insolvency,or suffersor permitsthecommencement of any formof insolvencyorreceivershipproceeding,or hasany petitionunder bankruptcy law filedagainst it,whichpetitionisnot dismissed withinsixty (60)days of such filing,orhasa trustee,administrator or receiverappointedforitsbusinessor assetsor anypart thereof. (a)Notices.Allnoticesmust beinwritingandaddressedto the attentionof theother party's LegalDepartment andprimary point of contact.Notice wil!bedeemedgiven(a)whenverifiedby written receiptif sentbypersonalcourier,overnightcourier,ormail;(b)whenverifiedbyautomatedreceiptor electronic logs if sent by facsimile or email. (b)Assignment.Neither Party may assignor transfer any part of thisagreement without the writtenconsent of the other party,except toanaffiliatebut only if (a) theassigneeagreesinwritingto be boundby the terms of thisagreement and(b) the assigningparty remains liablefor obligationsunder the agreement.Any other attempt to transfer or assignisvoid. (d)ForceMajeure.NeitherPartywil!beliableforinadequateperformancetotheextent causedbyacondition(forexample,naturaldisaster,aetofwarorterrorism,riot,laborcondition, governmental action,andInternet disturbance) that was beyond the party's reasonable contro!. (e)No Waiver.Failure to enforee any provision wil!not eonstitute a waiver.
