We note the requirement under section 5.2 that states that no respondent have any “pending litigation with the Government of Puerto Rico, or any other state.” We believe that this is an unreasonable requirement and presumes that any such pending litigation is not based on a fair and just claim by a contractor. It will also severely limit the competition pool and ability of PRIDCO to realize a best value from the source selection process. Therefore, we respectfully request that this requirement be removed.

13. Energtech In the event that our proposals are not selected in the first round, you said we would be advised. 1) Will you tell us the reasons why so that we can correct and take in consideration for other proposals once the pilot run is implemented?

All 1) PRIDCO will issue a public notice informing about the short-listing selection outcome. 2) Obtaining the necessary approvals and licenses is Selected Respondent’s responsibility. However, should a supplementary study be required, PRIDCO intends to assist Selected Proponents during the Project permitting process, to the extent possible.

2) For PREPA, all these projects would require a supplementary study. Our experience tells us that this evaluation may take months, years, depending on the project. Would you (PRIDCO) assist proponents to speed up this process as being both PREPA and PRIDCO government offices. 3) The cost of a supplementary study is unknown until PREPA makes their evaluation. We propose to leave that cost pending until the evaluation is completed so that all proponents would compete with valid and known numbers. Would that be possible.

3) Should a supplementary study be required; cost allocations shall be part of the Business and Financial Model proposed by Respondents for PRIDCO’s consideration. Please refer to Section 2.0 of the RFP.

Crescendo Power 1) If we provide a turn-key proposal that also includes financing with a local partner, is it possible for us to propose a Power Purchase Agreement or Microgrid Capacity Agreement with Baxter Healthcare directly versus contracting with PRIDCO? 2) If contracting with Baxter is not possible for some reason, is PRIDCO the specific legal entity planning to enter into contracts? 3) Is this a single building site and who legally owns the building?

RFP FY2018-2019 – 003

1) As part of this RFP, a Proposal offering a contract directly with the tenant will not be considered. 2) PRIDCO will be the specific legal entity that will enter into contracts with the Selected Proponent. 3) There are various buildings pertaining to the operations of one single tenant (Baxter Healthcare). Please refer to the location map included in Attachment A – Revised. PRIDCO is the legal owner of the referenced buildings.

15. Pxise Please advise if the rooftop area listed in each project is the true available area for potential solar PV. It appears that the Honeywell building in the Aguadilla project already has solar panels on the roof.

16. Pxise Please provide a list of backup or emergency generators currently owned and operated by tenants. Specifically, the fuel used, power output, and number of hours run each month.

All All installations have emergency backup generators. Other information regarding backup or emergency generators may be available after the short list selection.

17. NRG Energy, Inc. 1. Who will guarantee payment for the development and deployment of the 4 micro-grids in the RFP? Will PRIDCO, Territory of Puerto Rico, or PREPA sign guarantees of payment? 2. How often will the micro-grids be required to operate independently from the PREPA grid? 3. Given the time frame for deployment, how will PRIDCO accelerate required business permits and interconnection agreements? 4. Who is the project point of contact to facilitate coordination on this project and where are they located? 5. What guarantees will be given to exempt the micro-grids from future Government of Puerto Rico, PRIDCO, and PREPA changes in regulatory rulings and tariffs? 6. How will the appointment of the new CEO impact the RFP? Please explain how timing, project objectives, and requirements change in any way?

All 1. PRIDCO intends to be the guarantor of the Projects. Options available for providing such guarantee, will depend on the Business and Financial Model proposed by Respondents. 2. Microgrids should be capable of supporting indefinite “island-mode” operation, meeting full energy demand at all points of the year. Please refer to Section 2.0 of the RFP. 3. Obtaining the necessary approvals and licenses is Selected Respondent’s responsibility. 3. What happens upon expiration of the term … who then owns the installation?

4. Will PRIDCO renew the contract with the same provider?

All 1. The term of the lease contract between tenant and PRIDCO is ordinarily 10 years, although some contracts may have longer terms. 2. See response above. 3. 5. Is the current RFP limited to PRIDCO owned property or can additional privately-owned land in the immediate vicinity be incorporated in the project as well?

6. What will happen with the energy generated If one of the industries (HP, Honeywell, etc.) decides to reduce their consumption or leave the island … will PRIDCO guarantee the purchase of the resultant excess for the remainder of the term?

7. Will the installation be allowed to sell any excess energy to other energy consumers such as municipalities?

All 1. For the conceptual design, no thermal loads information is available. This information may be available after the short list selection. 2. No natural gas is available. 3. The delivery point voltage from the utility (PREPA) to the sites is the following: Aguadilla: 38 kV; Añasco 38 kV; Jayuya 4.16 kV; and Santa Isabel 38 kV. 4. Redundancy requirements will be proposed by Respondent and will depend on the services to be provided and the financial model. 5. 100% backup generation is required.

20. Energtech 1. Is there a monofilar diagram available for every project site? 2. The information of power on every package, does it represent the readings of the customers consumption? We would like to have access to a copy of their PREPA invoices. 3. Are there cooling towers and vapor/hot water needs on every site? 4. Do customers use DI or distilled Water? 5. A detailed energy consumption by facility would also be very helpful. Is it available? 6. In order to estimate PV size by site it is required the available space on their roofs. Is that available? A satellite view might not be enough unless a visit is done. 7. In order to work with permisology, every power generator (detailed info) is required to be included on diagrams. Is that info available? 8. Are there capacitor banks in these facilities? 9. Is there an immediate expansion plan on any facility? 10. Being an interconnected microgrid with PREPA, where is the connection point located?

1. Section 1.1 Referencing ten-year term: Please clarify if this commences at COD or commences at contract execution (i.e. includes construction period)? 2. Section 2.0, Proposed Solutions, Complete Independence Referencing “island-mode … full energy demand”, please confirm that the load profiles in Attachment A of the RFP represent the maximum demand. 3. Section 3.0, Site Visit and Proposed Microgrid Solution for Short-Listed Proponents, paragraph 2, sentence 3

All 1. For the first phase of the RFP, the ten-year term will commence on the Commercial Operation Date and the construction period timeline shall be defined at the Proposal. 2. 22. Tesla Energy 1. Can PRIDCO clarify the contracting structure? Will PRIDCO be the PPA offtaker? If so, do these projects require the commitment of each tenant to move forward? Will PRIDCO pay for produced energy regardless of whether the tenant changes during the term of the PPA? 2. Is the credit of the offtake going to be based on the tenant’s or PRIDCO’s credit rating? 3. If it is based on the tenant credit, is it possible to contract directly with the tenants?

All 1. Any agreement will be signed between PRIDCO and the Selected Proponent(s) and PRIDCO intends to be the guarantor. Options available for providing such guarantee, will depend on the Business and Financial Model proposed by Respondents for PRIDCO’s consideration. 2.Depending on the business model, the credit of the Tenant as guarantor of the payment under PRIDCO’s lease contract, could also be considered as the credit rating. 3. 4. If PRIDCO is the PPA contract counter party, will there be any additional credit support available for the PPA agreement? 5. Do these projects need to be tied to PREPA grid and therefore require PREPA interconnection approval? Or can/will these projects be off-grid systems with back-up generation sources? 6. What is the anticipated COD for these projects? 7. Will PPA terms longer than 10 years be considered? 8. Will there be a cost for the use of the site (ground, roof or parking lot)?
