INTRODUCTION
The Government of Tamil Nadu is implementing the scheme on construction of
60,000 Solar Powered Green Houses in rural areas for the benefit of the houseless poor
Under the Chief Minister’s Solar Powered Green House Scheme and energizing 20000
Street Lights both in Cluster and stand alone the year 2013-2014.
The Government of Tamil Nadu vide G.O.Ms.No. 98 RD & PR (SGS 1) Dept
dt.31.07.2013 has entrusted the task of installation of 60,000 SPV home lighting
systems in houses constructed through RD Department under Chief Minister’s Solar
Powered Green House Scheme and energizing of 20,000 SPV Street Lighting Systems
through Solar Power respectively to TEDA. Accordingly, TEDA has floated bids for
Supply, Installation, Commissioning and 5 year Comprehensive Maintenance of SPV
Home lighting systems at the first instance. Please refer the above tenders on
www.teda.in / www.tenders.tn.gov.in
While 19,000 grid backed Solar Street Lighting Systems will be inspected &
monitored through Remote Monitoring Units (RMU), 1000 Standalone SPV Street
Lighting Systems & 60,000 SPV Home Lighting Systems will be inspected & certified
after installation through competent Third party agencies. Hence TEDA invites open
tender for 100% inspection of 60,000 SPV Solar Home lighting systems & 1,000
Standalone SPV Street Lighting Systems as per Annexure 1.
The scope of work has been split up between 4 Zones of Tamil Nadu. Bidder
shall quote for one or more zones. The details of the districts coming under each zone &
the number of HLS & SLS are indicated in annexure 1.
The Successful bidder(s) will be required to set up an Office at the head Quarters
of every district covered in the allotted zone(s)
The Successful Bidder(s) work closely with the departments of Government of

Tamil Nadu involved in implementing this scheme and with the contractor(s) executing
the work and ensure successful completion of assignment within the stipulated time.
1. Eligibility:

zone and shall be multiplied by the no of zones to qualify for as many zones .

2. Scope of Work:
The Bidder shall deploy well qualified, experienced quality check Engineers capable
of doing the following activities at various identified locations of installation of SPV
home Lighting System and Street Lighting System(Standalone)
a) Inspection of SPV Home lighting systems, Standalone SPV Street Lighting
systems and its associated works. Certification for their conformity to the
technical specification of TEDA.
b) Measurement of critical parameters of various components used in the
system and certification for their compliance to guaranteed performance
output.
c) Submission of inspection report in the prescribed format(F6) through
Monitoring Software within 7 days from the date of availability of intimation
of installation on Monitoring Software.
d) The responsibility of appointing required technical persons competent to
complete the inspection within the time specified lies with the successful
bidder.
e) The required instruments / equipments needed for conducting the
inspection / testing will not be provided by TEDA and be procured by the
successful bidder only. The instruments tested / calibrated at any NABL
accredited laboratories only shall be used.
f) The successful bidder shall have bar code reader / scanner to meet the
specifications recommended by TEDA.
Note: The detailed list of locations to be inspected will be provided to the
successful bidder by TEDA through its Monitoring software.
3. The details of the total no of installation of solar systems and the system to be
inspected are given below. This inspection scope is split up in to 4 Zones spread
over various districts in the State of Tamil Nadu as per the list in the annexure-1.

4. Manpower deployment :
a) Sufficient competent, qualified & trained quality check engineers need to be
deployed to complete the inspection within the time schedule.
b) The quality checkengineers shall be Diploma holders in Electrical / Electronics
or ITI holders in related field.
c) Engineering graduates with qualification in management / experience in Project
Management shall be posted as Project managers in each zone to lead the
inspection team and to co-ordinate with the beneficiaries, vendors &
Government departments and finally apprise TEDA with documentation.
d) The details of manpower to be deployed shall be furnished as per the item no
F(1.4)
5) It will be imperative for each Bidder(s) to familiarise himself / themselves
with the prevailing legal situations for the execution of contract. TEDA shall not
entertain any request for clarification from the Bidder regarding such legal aspects
at the time of submission of the Bids.
6) It will be the responsibility of the Bidder that all factors have been investigated and
considered while submitting the Bids and no claim whatsoever including those of
financial adjustments to the contract awarded under this tender will be entertained by
TEDA. Neither any time schedule nor financial adjustments arising thereof shall be
permitted on account of failure by the Bidder to apprise themselves.

7) The Bidder shall be deemed to have satisfied himself / themselves fully before
Bidding as to the correctness and sufficiency of Bids for the contract and price quoted in
the Bid to cover all obligations under this Tender.
8) It must be clearly understood that the Terms and Conditions and specifications are
intended to be strictly enforced. No escalation of cost in the Tender by the Bidder will be
permitted throughout the period of Agreement or throughout the period of completion of
contract whichever is later on account of any reasons whatsoever.
9) The Bidder shall make all arrangements as part of the contract for deployment of
man power and provision of necessary tools & measuring instruments calibrated /
tested at any NABL accredited laboratories for inspection at various locations at their
own cost.
10) Bidder fulfilling eligibility criteria for One / Two / Three/Four zone (s) may participate
in all the four zones by remitting EMD ( applicable for as many zones or for which he
meets the prescribed eligibility criteria) for One / Two / Three/Four zone(s) respectively.
If the bidder is successful in more zone(s) than he is eligible, TEDA will allot the zone(s)
at TEDA’s discretion. After allotment of the zones, if the bidder does not want to execute
the work in that zone(s) and backs out from the tender, then the EMD/SD ‘as the case
may be will be forfeited besides the bidder being blacklisted by TEDA
11) The inspection shall be completed within 30 days from the date of issue of LoA (or)
7 days from the date of furnishing of list of locations of installed systems whichever is
later. Inspection report shall be submitted as per the format in Format F6. Successful
bidder(s) shall work in tandem with SPV Home light &Stand alone Street Lighting
system installers who shall be completing the installation within 180 days of issue of
LoA to them.
12) The bidder shall be fully and completely responsible to TEDA and state Government
for quality assurance and specification conformity of the installed Home lighting systems
/ standalone street lighting systems.

13) The bid prepared by the bidder as well as correspondence and documents relating
to the bid shall be in English only.
14) The price shall be quoted in Indian rupees ( INR ) and payment shall be made in
Indian Rupees only. Price quoted in any other currency other than INR will be rejected.
15. Letter of authorization from the Board of directors or Managing Director or CEO of
the bidder organization to authorize the Tender submitting authority or a power of
attorney shall be submitted along with the Techno commercial bid.
16). A prospective Bidder requiring any clarification in the Tender may address TEDA
by Registered post or by personal delivery under acknowledgement. No clarifications
will be offered by TEDA within 48 hrs prior to the time of opening of the Tender.
17). Before the closing date of the Tender, clarifications and amendments, if any, will be
notified in the government / TEDA website mentioned in the Tender Data sheet. The
Bidders shall periodically check for the amendments or corrigendum or information in
the website till the closing date of this Tender. TEDA will not make any individual
communication and will in no way be responsible for any ignorance pleaded by Bidders.
18) TEDA is not responsible for any misinterpretation of the provisions of this tender
document on account of the Bidder’s failure to update the Bid documents based on
changes announced through website.
19. Bidders shall be responsible for their stay, local travel and food arrangements
and other incidentals at inspection sites. Engineers shall NOT accept any
hospitality from the installers whose systems are to be inspected.
20. Bidder shall quote inspection charges per installation.
21. Payment Terms
1) All payments will be made in INR only.
2) Bills shall be raised through ERP for lots of 2000 inspections

3) 100% payment will be released on submission of inspection report and its
acceptance & super checks of the same by TEDA District Engineers
4) TEDA will make all efforts to clear the payment within 15 days from the date of
rising of bills through Monitoring Software for lots of 2000 inspections.
5) If the Duties and/or Taxes have been reduced retrospectively, the successful
bidder is liable to return the same.
6) The Successful Bidder will have full and exclusive liability for payment of all
Taxes and other statutory payments payable under any or all of the
Statutes/Laws/Acts etc now or hereafter imposed.
22. Earnest Money Deposit (EMD): a) Demand Draft / Banker’s Cheque in favour of “Tamil Nadu Energy
Development Agency” payable at Chennai as specified in Tender Data
Sheet shall be furnished . The EMD has to be kept in techno commercial bid
cover.
b) The Bids received without the specified EMD amount, in the prescribed form,
or proof for exemption as specified in Clause 31(IX to XI) will be
SUMMARILY REJECTED.
24. Bid submission: a) The Bids shall be submitted in two parts namely viz. (1) Techno commercial Bid and (2) Price Bid. The Techno commercial Bid and Price Bid shall be
submitted in two separate covers with superscription as Techno commercial bid
cover and Price-bid cover respectively.
b) Outer cover The Techno Commercial Bid cover (Envelope-A) and Price Bid cover
(Envelope-B) shall be sealed independently and shall then be put in a single outer

25) Mode of Submission of Bids:
a) The Bids shall be dropped in the Tender box kept at TEDA, 5th Floor, EVK
Sampath Maaligai, No.68 College Road, Chennai- 600 006, Tamil Nadu, India, on or
before the due date and time specified in the tender data sheet . The Bids will not be
received personally.
b) Alternatively, if the Bidder prefers to submit the Bid by post, the Bidders shall
ensure that the Bids reach TEDA on or before the due date and time. TEDA will
not be liable or responsible for any postal delay or any other delay whatsoever.
c) The Bids received after due date and time or unsealed or in incomplete
shape or submitted by Facsimiles (FAX), E-mails etc., will be summarily rejected.
26 . Bid Opening: The Techno commercial Bid cover will be opened at TEDA on the
date and time as specified in the Tender Data sheet or any other date published in
the website specified.
27 The Techno commercial Bid cover will be opened at TEDA on the date and time
as specified in the Tender Data sheet or any other date published in the website
specified. The Tender will be opened in the presence of the Bidders who choose
to be present. The representative(s) of the Bidder who choose(s) to attend Tender
opening shall bring an authorisation letter from the Bidder. Maximum of two
representatives for each Bidder will be allowed to attend the Tender opening
28 .Bidders who are qualified in Techno commercial Bid (Envelope-A) only will be
called for Price Bid opening. The Price Bids will be opened in the presence of the

Bidders at TEDA. The Bidders or their authorised representatives (maximum two)
will be allowed to take part in the Price Bid opening.
29. Security Deposit: The Successful Bidders will be required to remit the Security
Deposit equivalent to 5% (Five percent) of the value of the contract.. The SD shall
be paid by way of Demand Draft /Banker’s cheque drawn in favour of “Tamil Nadu
Energy Development Agency” payable at Chennai or in the form of unconditional
and irrevocable Bank Guarantee, valid for 24 months, The SD shall be paid within 10days from the date of issue of Letter of Acceptance by TEDA. After this, a firm
work order will be issued by TEDA .
30. Release of SD: The Security Deposit will be refunded to the Successful Bidder on completion of inspection and submission of report to the satisfaction of TEDA. Such completion will be arrived at when the inspection of entire systems is completed and report submitted by the Bidder as per the contract agreement and as per Work Order (s) issued by TEDA from time to time.
31. The EMD amount of the unsuccessful bidder will be refunded within a
reasonable time on written request.
The following categories of industries are exempted from payment of Earnest
Money Deposit:
i. The Small Scale Industrial units located within the State and Registered with the Tamil Nadu Small Industries Development Corporation.
ii. The Small Scale Industrial units located within the State and Registered with National Small Industries Corporation (NSIC).
iii. The SSI units holding Permanent Registration certificate from the District Industries Centers of Directorate of Industries and Commerce, Government of Tamil Nadu in respect of those items for which the Registration Certificate has been obtained.
iv. Departments of the Government of Tamil Nadu.

32. Execution of agreement:
a) The Successful Bidder shall execute a Contract in the INR 100 non-judicial
stamp paper bought in Tamil Nadu only, in the name of the Bidder, within 10 days
from the date of Letter of Acceptance issued by TEDA.
b) The Successful Bidder shall not assign or make over the contract, the
benefit or burden thereof to any other person or persons or body corporate for the
execution of the contract or any part thereof without the prior written consent of
TEDA. TEDA reserves its right to cancel the work order either in part or full, if this
condition is violated.
c) In case if the successful bidder fails to execute necessary agreement and
to furnish the Security Deposit as prescribed with in the stipulated period, , then
his EMD shall be forfeited and his tender will be held as non responsive and the
bidder will be blacklisted.
BID validity:
a) Bids submitted shall remain valid for a period of 180 days from the date of
Tender opening. If the bid validity is lesser than 180 days, the Bid will be rejected
as non-responsive.
b) In exceptional circumstances, TEDA may solicit the Bidders to extend the
validity. The Bidder shall extend price validity and Bid security validity.
33. Tender process will be governed by the Tamil Nadu Transparency in Tenders Act
1998 and the Tamil Nadu Transparency in Tenders Rules, 2000 as amended
from time to time.
34. All statutory obligations / liabilities like Salary, ESI, P.F., as per Labor Laws for
the persons employed for this contract will be the responsibility of the tenderer. TEDA will not make any direct payment thereof and will not be responsible for any lapses by the tenderer.

35. In case of absence, the tenderer shall provide alternate Engineer to carry out the
schedule already fixed without any delay. A standing instruction in this respect shall be issued to the Engineer.
36. The Engineer employed by the tenderer shall have thorough knowledge of
respective standards of the components, Capable of ascertaining the quality and standards of the components as stipulated in the respective IEC / BIS standards.
37. Termination For Insolvency: “TEDA” may at any time terminate the contract by
giving written notice to the contractor without compensation to the contractor, if it
becomes bankrupt or otherwise insolvent, provided that such termination will not
prejudice or affect any right of action or remedy, which has accrued or will
accrue thereafter to the “TEDA”. 38. Termination For Convenience: The “TEDA”, may by written notice sent to the
tenderer, terminate the contract, in whole or in part at any time for its
convenience without assigning any reason. The notice of termination shall
specify that termination is for the TEDA’s convenience in the interest of “TEDA”.
39. Termination for Corrupt or Fraudulent Practices: The Bidder shall observe
highest standard of ethics during bidding process and execution of the project.
The Tender accepting authority will reject a proposal for award or terminate the
contract, if it is determined in the judgment of TEDA, the Bidder recommended
for award, has engaged in fraudulent and corrupt practices in competing for or in
executing the Contract. 40. Arbitration: In case of any dispute, the matter will be referred to a sole Arbitrator
to be appointed by the Chairman & Managing Director of TEDA under the
"Arbitration and Conciliation Act 1996". The arbitration shall be held in Chennai,
India and the language shall be English only. Subject to the above, the Courts at
Chennai alone only shall have jurisdiction in the matter. 41. Workmen’s Compensation Insurance: This insurance shall protect the
Contractor against all claims applicable under the Workmen's Compensation Act, 1948(Government of India). This policy shall also cover the Contactor

42. Compensation : The contractor arrange to exercise effective supervision over the works so as to ensure safety to the men and materials. In the case of accidents to the workmen arising out of and in the course of employment, the contractor pay necessary compensation to them according to the workman's compensation act, besides arranging immediate medical aid. He shall indeminify TEDA against any liability whatsoever in this regard and execute a bond accordingly. In case, the contractor fails to pay the compensation within the reasonable time, the TEDA may settle the claim and arrange to recover the same from the contractor
43 Withdrawal from Tender (i) Under no circumstances, the successful tenderer shall not withdraw/refuse to accept the final allotted quantities to him ,failing which his EMD will be forfeited and the additional expenditure also to be incurred by TEDA for retendering shall have to be borne by the bidder .Also he will run the risk of being black listed by TEDA.

44. Banning of business dealing: The company or the bidder will be banned from business with TEDA if the particulars produced by the bidder such as Auditor Certificate, Annual account, VAT Clearance Certificate, are found to be false and breach of any of the conditions in the contract which leads to delay, additional cost to complete the awarded contract.
45. Notwithstanding anything contained in any of the contract documents, TEDA shall have the right to relax or waive any of the conditions of the contract wherever deemed necessary in the interest of TEDA.

AGREEMENT
This Contract is entered into at Chennai on the ............... day of between Tamil Nadu
Energy Development Agency, a wholly owned Government of Tamil Nadu Undertaking,
registered under the Societies Act 27 of 1975, and having its Registered Office at V
Floor, EVK Sampath Maaligai, 68 College Road Chennai- 600006, Tamil Nadu, India,
hereinafter referred to as "TEDA" (Which term shall mean and include its successors
and permitted assigns) on behalf of Government of Tamil Nadu, hereinafter referred to

identified locations in villages throughout Tamil Nadu and the Contractor was selected
as one of the Inspection Agencies as per the following terms and conditions:-

1) This document on having been signed by both the parties shall constitute a binding
contract between the parties and shall remain in force for a period of two years. But
in the event of any breach of the Contract at any time on the part of the Contractor,
the contract shall be terminated by TEDA without compensation to the Contractor.
The contract may also be put to an end at any time by the Beneficiary upon giving
7 days notice to the Contractor.
2) The Contractor agrees for inspection of solar lighting systems at a cost of
Rs......................../- (Rupees ..................................................................only.) per

3) The inspections shall be completed as per the Inspection Schedule as in tender by
engaging the following minimum technical personnel:

Systems shall be completed within 30 days from the date of issue of LoA(or) 7
days from the date of furnishing of list of locations of installed systems whichever is
later.
5) If the inspection is not effected as specified as above, TEDA shall have the full
authority to cancel the order and to take any such action that will be deemed fit in
the circumstances.
6) In case of failure by the Contractor to inspect the SPV Home Lighting systems &
Standalone SPV Solar Street Lighting Systems within the period specified, TEDA
shall have the power to reject any such inspections

7) Penalty for delay in inspection
a) This is a time bound project.
b) The Contractor performance will be reviewed on the first day of every week.
The shortfall in inspection schedule will be reduced from the overall orders
given to the Contractor. An equivalent quantity may be allocated to the
performing Contractor then and there as additional work order
c) Inspections & submission of inspection reports within 7 days of installation is a
mandatory requirement. TEDA may impose penalties as decided by TEDA in
case of delays. Also TEDA may cancel the orders & make alternate
arrangements and the cost incurred by TEDA for doing the same will be
recovered from the Contractor.
d) TEDA have a right to cancel the work order partially or in full and entrust the
orders to another Contractor if the work is delayed beyond a reasonable
period, say 15 days after the due date.
8) Payment Terms
1. All payments will be made in INR only.
2. Bills shall be raised through monitoring software for lots of 2000 inspections
3. 100% payment will be released on submission of inspection report and its
acceptance.
4. TEDA will make all efforts to clear the payment within 15 days from the date of
raising of bills through Monitoring Software for lots of 2000 inspections.
5. If the Taxes have been reduced retrospectively, the contractor is liable to return
the same.

6. The Contractor will have full and exclusive liability for payment of all Taxes and
other statutory payments payable under any or all of the Statutes/Laws/Acts etc
now or hereafter imposed.
9) Force Majeure
Neither the Beneficiary/TEDA nor the Contractor shall be liable to the other for any delay or failure in the performance of their respective obligations due to causes or contingencies beyond their reasonable control such as:
Natural phenomena including but not limited to earthquakes, floods and epidemics.
Acts of any Government authority domestic or foreign including but not limited to war declared or undeclared, priorities and quarantine restrictions.
Accidents or disruptions including, but not limited to fire, explosions, breakdown of essential machinery or equipment, power and water shortages.
10) The following documents shall be deemed to form and be read and construed as
part of this Contract.
a) Tender Terms and Conditions
b) Amendments issued by TEDA for the Tender document
c) Corrigendum/Clarifications issued by TEDA for the Tender document
d) Detailed final offer of the Contractor
e) Correspondence made by TEDA to the contractor from time to time during the
period of the contract.
Wherever the offer conditions furnished by the Contractor are at variance with
conditions of this contract or conditions stipulated in the work order, the latter shall
prevail over the offer conditions furnished by the Contractor.

11) Waiver of any terms and conditions by TEDA / Beneficiary in writing shall not have
the effect of waiving or abandoning other terms and conditions of the contract.
12) (a) Unless otherwise provided in the Contract, any notice, request, consent or other
communication given or required to be given hereunder shall be given by mailing
the same by registered mail, postage prepaid to TEDA at its registered office
(b) Any notice to the Contractor shall be deemed to be sufficiently served, if given
or left in writing at their usual or last known place of abode or business.
13. Termination of Contract 13.1 Termination for default
a) TEDA may without prejudice to any other remedy for breach of contract, by
written notice of default with a notice period of 7 days, sent to the Contractor,
terminate the contract in whole or part, (i) if the Contractor fails to inspect the
systems within the time period(s) specified in the Contract, or within any
extension thereof granted by TEDA; or (ii) if the Contractor fails to perform any
of the obligation(s) under the contract; or (iii) if the Contractor, in the judgment
of TEDA, has engaged in fraudulent and corrupt practices in competing for or in
executing the Contract.
b) In the event TEDA terminates the Contract in whole or in part, TEDA may opt
upon terms and in such manner as it deems appropriate, the services of the
other bidders and the Contractor shall be liable to TEDA for any additional
costs due to this. However, the Contractor shall continue the performance of
the contract to the extent not terminated.

13.2 Termination for Insolvency
TEDA may at any time terminate the Contract by giving written notice with a
notice period of 7 days to the Contractor, if the Contractor becomes bankrupt or
otherwise insolvent. In this event, termination will be without compensation to the
Contractor, provided that such termination will not prejudice or affect any right of
action or remedy that has accrued or will accrue thereafter to TEDA.
13.3. Termination for Convenience: TEDA by written notice, with a notice period of seven days sent to the Contractor,
may terminate the Contract, in whole or in part, at any time for its convenience.
The notice of termination shall specify that termination is for TEDA‟s convenience,
the extent to which performance of work under the Contract is terminated, and the
date upon which such termination becomes effective. On termination, the
Contractor is not entitled to any compensation whatsoever.
13.4 . Termination for Corrupt or Fraudulent Practices:
The Contractor shall observe highest standard of ethics during bidding process
and execution of the project. The Tender accepting authority will reject a
proposal for award or terminate the contract, if it is determined in the judgment
of TEDA, the Contractor recommended for award, has engaged in fraudulent
and corrupt practices in competing for or in executing the Contract.
14) If the inspection is not carried out as specified in the work order, TEDA shall have
the full authority to cancel the order and to take any such action that will be
deemed fit in the circumstances.

15) In case of failure by the Contractor to inspect the solar home lighting systems &
Stand alone street lighting systems within the period specified or in case of
inspection report submitted by them found to be fake or not being in the stipulated
format, TEDA shall have the power to reject any such inspection reports.
16) In case of any dispute, the matter will be referred to a sole Arbitrator to be
appointed by the Chairman & Managing Director/Tamil Nadu Energy
Development Agency in accordance with the Arbitration and Conciliation Act
1996. The arbitration shall be held in Chennai, India and the language English
only.
17) Subject to the above, the Courts at Chennai alone only shall have jurisdiction in
the matter.
