2.5 Global Power Solution, Inc Services Support Organization

Located in the GPS offices are in Atlanta, Georgia, specialists in

operations, engineering, accounting, personnel, marketing, purchasing,

and other disciplines assume responsibility for projects in an early stage. In

this way, both technical and regulatory expertise is provided in addition to

assistance with quality, safety, administration, training and environmental

programs. The concept behind this support is to 1) allow the project

personnel to focus on safely and efficiently performing their duties, and 2)

to minimize the staff required under each contract and allow the client to

share in economies of scale.

Our corporate staff reflects professionals from the energy industry, with engineering, construction,

maintenance, operations, and startup experience. The philosophy of the corporate staff is one of

immediate and comprehensive support for the projects and plants we provide services to; we remain

available 24 hours a day, 7 days a week, 365 days a year.

The business units inside of GPS have experience and knowledge to support any type of maintenance or

operational issues that arise. These groups can perform any type of service associated with the gas and

steam turbine generators, boilers, and balance of plant equipment. GPS can provide labor, supervision,

and tools to supplement other sub-contractors or provide a turnkey solution.

2.6.1 Field Services The field services group at GPS provides clients with the

resources and expertise to organize and execute planned and

unplanned maintenance work scopes. This includes routine or

major maintenance of the gas and steam turbine generators,

auxiliary systems and equipment, boilers and HRSG’s, and their control systems. The field services

group can provide skilled union or non-union craft labor, equipment and tools, technical supervision,

and project management to execute various work scopes. In addition, the group provides the interface

with maintenance managers at the plant for planning and support of major maintenance activities. The

field service group is available around the clock to respond to any emergency maintenance

requirement.




GPS will supply any portion(s) of the resources required or

provide a complete service to execute projects. From craft

labor and supervision, to technical advisors, project

management, or asset management, GPS will fit your need.

GPS works closely with client’s representatives during the pre-

outage planning period to define specific work scopes, develop

an outage schedule, and coordinate logistics for the outage.

GPS provides daily updates during the outage to communicate

work progress, address any issues, discuss planned work

activities, and request any other assistance required to support

work activities. After completion of the project, GPS will

promptly issue a detailed report containing all data,

photographs, sketches, and summary of the inspection.

GPS has also developed relationships with several engineering

companies that provide engineering resources for retro-fit or redesign projects. These resources will be

utilized as required to evaluate and execute projects.




2.6.2 Technical Services: The technical services group provides clients with subject matter

experts, proven processes, and techniques to evaluate plant

performance, provide evaluation of component repairs, provide

modeling via software, implement CMMS systems, perform

vendor selection, relay calibration, and generator or transformer

inspection & testing, and any technical evaluation of the

operating plant or its equipment. In addition, the technical

services group of GPS provides the technical support and

technical assistance for the field services group to execute major

maintenance and to resolve technical issues in the plant.

The Technical Services group performs services on a fixed price

or time and material basis as required by clients. We provide all

the resources such as calibrated test equipment, specialized

instrumentation, hand tools, and diagnostic equipment to perform our services.

The Technical Services group also develops detailed processes and procedures for plant operations

and administrative requirements; provides specialized training programs for operator certification;

provides for the development of specific administration, EH&S, and operations manuals for the plant.




2.6.3 Professional Services: The Professional Services Group within GPS provides technical

specialists and project management personnel directly to our

clients, and to the other groups of GPS. These consultants

provide our company and our clients with temporary staff to

execute projects and operate their plants.

By utilizing temporary staff for other businesses within GPS, we

can achieve lower costs for our projects and we can maintain

more expert resources. Our goal is to maintain as many

consultants as possible to achieve continuity, performance, and

loyalty.

We achieve this by offering full benefits, opportunities for

2.6.4 Operations & Maintenance:

The Operations and Maintenance Team provides a wide range of services

from total care, custody and control to peak season staff augmentation. GPS

’s operations and maintenance philosophy is one that focuses on safely

maximizing plant/equipment reliability, availability, and performance while

maintaining a balanced, cost effective approach over an asset’s life, so as to

protect its long-term value.

GPS operates and maintains the facility as if it were our own business

enterprise and adheres to the concept of performance based compensation

whereby any profit that is earned through the agreement should be tied to

the owner’s profitability and the contractor’s performance. These incentives

will be identified and based on measurable variables that drive plant

profitability, as well as, more subjective measurements that provide the

owner with means to provide incentives to the contractor to exceed goals in

areas such as availability, reliability, heat rate, safety, and adherence to budget.

GPS believes the best approach to use, in implementing this philosophy, is to hire and retain the right

people. To that end, our philosophy manifests itself most convincingly when the people we hire and
