Financial Institutions and Regulatory

Our Italian financial institutions group counts around ten professionals with extensive expertise in

advising financial institutions and intermediaries operating in Italy on the implications arising from

regulatory requirements at domestic and European level for all aspects of their business.

Our clients include management and investment companies, intermediaries, major international

and Italian commercial and investment banks, asset managers and investment funds, investment

companies, insurance companies, pension funds, securities dealers and brokers and other key

players in the financial markets.

Our lawyers can also offer their services in other locations via temporary transfers

(secondments) to our clients. This is particularly useful when - especially at the beginning of a

new project or during the opening a new area of activity - a thorough knowledge of the company's

operations is required.

The team works very closely with the Italian tax team, the banking and finance teams and the

international Financial Institutions Group. We are also supported by specialist lawyers advising

on real estate, corporate, employment and intellectual property matters.

As an international full service law firm we offer clients a comprehensive cross-practice and

cross-border regulatory assistance.

We also maintain good and steady relationships with various regulatory authorities (including the

major Italian regulators, CONSOB - the Italian National Securities Regulator - the Bank of Italy

and IVASS – the insurance regulator).

Administrative and Public Law

Hogan Lovells is one of the few international law firms to offer its clients the cutting edge legal

services of a dedicated, market leading team of administrative law lawyers.

Our team, which is based in both Milan and Rome, combines excellence in all aspects of the practice

of administrative law with a business-oriented approach and longstanding experience in advising

international clients, in fluent English, rendering the practice without parallel among other international

and domestic law firms in Italy.

Apart from advising its strategic clients on public law issues, our administrative law team works in

close cooperation with many of the firm’s practices, including in particular M&A, energy, real estate,

project and structured finance and EU and competition law, supporting clients in resolving issues

arising in their most complex commercial and financial transactions or in disputes with Public

Authorities.

Team members are business lawyers very familiar with commercial issues, international clients and

multi-jurisdictional transactions. Moreover our administrative law lawyers are skilled litigators, and two

of our more senior members enjoy rights of audience before the higher appeal courts. The

Administrative Law Department is an integrated part of the wider international Public Law practice of

Hogan Lovells, which excels in strategic advice to major players in regulated sectors, where

experience in the stress points created by regulation, and potential remedies, is essential in gaining a

competitive edge.

We employ well developed project management techniques to ensure that work is carried out in

accordance with the agreed scope, deadlines and fee budgets with regular client reporting as work

progresses, and this experience will be brought to bear in our work on the updating service.

Our team is particularly well known for its environmental law expertise, and Francesca Angeloni was

recognised by leading directory Chambers as a Leading Individual in Band 1 for this area.

Our administrative law team covers all areas of administrative and public law, including:

Corporate and M&A practice

A cross-practice team

At Hogan Lovells clients come first. With this in mind, we have developed a corporate practice

that breaks the traditional mould, with cross-practice sector-focused teams to enhance the advice

and service that we provide to our clients.

Corporate transactions are at the heart of our practice and we have gained an excellent

reputation for top quality transactional work. However, our practice also includes first class

commercial and regulatory lawyers, covering specialisms such as competition, outsourcing and

tax. This unusual combination of lawyers within one team enables us to provide a truly joined-up

service.

Our corporate M&A practice comprises about 30 professionals, who advise corporate clients,

financial institutions and funds on a broad range of transactions, both on and off market, and

advises them on their significant commercial contracts and agreements, including in the IT and e-

commerce fields, and on joint ventures and strategic alliances.

A leading player in M&A

Our M&A lawyers regularly structure, negotiate, and implement transactions of all forms and

sizes. We advise public and private companies, private equity firms and funds, investment banks,

financial institutions, boards of directors, special committees, supervisory boards, significant

investors and other clients on complex transactions, both at domestic and cross-border levels.

A full service firm

We have developed consolidated experience in assisting international companies in their

strategic investments in Italy, acquiring businesses or companies, and in working alongside our

clients in integrating, restructuring and developing their Italian activities.

Indeed our M&A team is supported on transactions throughout our global offices by their local

colleagues who focus on tax, antitrust, competition and EU law, employee benefits and share

incentives, finance, securities, intellectual property, pensions, dispute resolution, environmental

and real estate.

The combination of these elements means that clients can look to Hogan Lovells to fully support

their M&A activities wherever they occur.

Investigations and White Collar Crimes

investigations and white collar crimes (including bribery and corruption) to advise clients on white

collar crimes and on the civil law implications of criminal investigations or proceedings.

We assists clients in conducting internal investigations (including sanctions investigations), in

criminal lawyers and external experts.

Through a multi-disciplinary team (which includes lawyers from various practice areas), we also

advise companies across all sectors on the preparation, adoption and implementation of

organisational models.

We frequently train our clients' employees in relation to compliance issues, investigations by the
