Background: The IAS has been a technical co-sponsor of this meeting in the past. A conference representative has approved and signed the attached MOU. 2.2.2 Motion to provide electronic access to future IAS Executive Board Meetings through IEEE Web Conferencing at an estimated cost of $200 per meeting, excluding telephone and internet connection charges

2.2.3 Motion to allow the IEEE Product Safety Engineering Society to publish up to five of their conference papers in 2010 in the IEEE IAS Transactions or Magazine. The papers must be pre-selected by PSE and reviewed by the PSE and IAS Societies and forwarded to IAS EiCs prior to 17 July 2009. The IAS Transactions and Magazine EiCs can reject papers that fall outside the interests of our membership. Background: The PSE Society was formed five years ago and has no publications. They were encouraged to find a way to publish papers during their recent Society review. They sponsor one meeting per year. Almost all of the approximately 600 members are from industry. The PSE Society is similar in structure to some of our technical committees. This will not result in any XPLORE revenue sharing with PSE.

1. The vision statement includes vivid description of the organization as it effectively carries out its operations. �2. Developing a vision statement can be quick culture-specific, i.e., participants may use methods ranging from highly analytical and rational to highly creative and divergent, e.g., focused discussions, divergent experiences around daydreams, sharing stories, etc. Therefore, visit with the participants how they might like to arrive at description of their organizational vision.�3. Developing the vision can be the most enjoyable part of planning, but the part where time easily gets away from you.�4. Note that originally, the vision was a compelling description of the state and function of the organization once it had implemented the strategic plan, i.e., a very attractive image toward which the organization was attracted and guided by the strategic plan. Recently, the vision has become more of a motivational tool, too often including highly idealistic phrasing and activities which the organization cannot realistically aspire.

TECHNICAL CO-SPONSORSHIP

MEMORANDUM OF UNDERSTANDING

Between the

IEEE Industry Applications Society

and

2009 International Conference on Power Electronics and Drive Systems

THIS MEMORANDUM OF UNDERSTANDING (“MOU”) is made this 15 day of January,

2009, by and between The Institute of Electrical and Electronics Engineers, Incorporated, a New

York not-for-profit corporation (“IEEE”), on behalf of the Industry Applications Society (“IEEE

Unit”) and Conference Committee of the 2009 International Conference on Power Electronics

and Drive Systems (“Host” and together with the IEEE Unit collectively referred to as

“Sponsoring Parties”) and sets forth the relationship and obligations relating to the 2009

International Conference on Power Electronics and Drive Systems (PEDS 2009) 1 to be held

November 2-5, 2009, in Taipei, Taiwan (the “Conference”).

1. TERMS OF MOU

1.1 Purpose. The purpose of PEDS 2009 is to provide an opportunity to share the

knowledge of the state-of-the-art power electronics and motor drive technologies for academics

and industrial professionals worldwide.

1.2 Duration of MOU. This MOU addresses the rights and obligations with respect to

the Conference. Although the parties may presently be considering the possibility of future

conferences similar in theme or subject matter, no party shall be under any obligation to renew

this MOU.

2. SPONSORSHIP

2.1 The Sponsoring Parties shall be technical co-sponsors of the Conference. Technical

co-sponsorship indicates direct and substantial involvement by the Sponsoring Parties solely in

the organization of the technical program portion of the Conference. The Parties agree that the

revenues and expenses of the Conference are the sole right and responsibility of the Host.

2.2 The Sponsoring Parties shall encourage each party's members to submit papers and

attend the Conference. The proceedings for the Conference can be included in the IEEE

Conference Publications Program (CPP), which includes distribution via IEEE Xplore. The

Host shall assure compliance with IEEE Policy regarding format for inclusion of papers and/or

proceedings in IEEE Xplore and shall bear complete financial responsibility for all expenses

associated with the implementation of the papers and/or proceedings in IEEE Xplore. The

Industry Applications Society shall be responsible for all costs of distribution by the CPP of

such papers.

2.3 The Host shall submit conference papers to the IEEE within one (1) month after the

Conference ends. If the IEEE does not retain copyright to the papers and proceedings, then

IEEE shall have the right to sell copies of the papers and proceedings in paper, CD, DVD,

online or other such media, after the Conference. IEEE shall retain all proceeds from its own

sales.

Papers presented at this Conference may be eligible for review for inclusion in the IEEE

Transactions on Industry Applications or the Industry Applications Magazine provided

they meet certain requirements:

a. The subject of the paper must be within the technical scope of the IEEE

Industry Application Society.

b. The author of the paper must request that it be submitted for review.

c. A paper submitted to the conference, but not actually presented, will not be

eligible for review. It is the responsibility of the Host to verify the presentation of

all papers submitted for review.

It shall be the responsibility of the Host, with the guidance of the IAS Meetings Dept., to

create a committee to screen papers meeting the requirements given above. This

screening committee should, if possible, be made up of IEEE-IAS members familiar with

the requirements of IAS periodicals. Papers selected by the screening committee shall be

judged to have a “reasonable chance” of being accepted for one of the IAS periodicals.

Further, the selected papers within the scope of any one IAS Technical Committee (TC)

shall not number more than 20% of the total number of papers presented at the

conference. No paper submitted but not actually presented shall be included in the papers

selected for review. The screening committee shall prepare a list of selected papers,

including the paper’s title and the name and address of the corresponding author. This

list shall be forwarded to the Chair of the IAS Meetings Department promptly after the

conference.

Authors shall be advised of this procedure and shall not submit their papers for review

prior to the issuing of the list of selected papers. Papers on the list may then be sent to

the Editor-in-Chief of the IEEE Transactions on Industry Applications. The Host shall

instruct authors to submit their own papers.

The Host shall forward two (2) copies of the conference proceedings on CD-ROM to the

Chair of the IAS Meetings Department.

2.4 Each Sponsoring Party will appoint members from its respective society who will

represent the Sponsoring Party on the Technical Program Committee of the Conference.

3. SPONSORING PARTIES SUPPORT OF PROMOTIONAL ACTIVITIES

Each Sponsoring Party shall contribute their services toward the publicity for this

Conference. The Host will forward to the Chair of the IAS Meetings Department a URL for the

conference website as soon as it is available. A link to the Conference will be placed on the IAS

website as soon as the information is received.

4. INTELLECTUAL PROPERTY

4.1 The Sponsoring Parties agree and acknowledge that Host is the exclusive owner of

all rights, title and interest throughout the world to the names “2009 International Conference

on Power Electronics and Drive Systems” and “PEDS 2009”, including, without being limited,

to all rights in the trademarks, service marks, certification marks, and association marks

(“Conference Marks”). During the term of this MOU, IEEE shall have a non-exclusive, non-

transferable, royalty-free license to use the Conference Marks in connection with the

Conference. IEEE agrees to cooperate with Host in obtaining registration of the Conference

Marks and to execute any documents and take any actions that may be necessary to enable

Host to secure registration of and enforce rights in the Conference Marks.

4.2 All advertising materials, advance programs, final programs, and calls for

participation shall feature the names and/or logos of the Sponsoring Parties equally so as not to

suggest any priority or preemption as between the Sponsoring Parties. During the term of this

MOU, each Sponsoring Party grants a non-exclusive, royalty-free, worldwide license to the

other Sponsoring Party to use its name and logo in connection with the advertising and

promotion of the Conference. The graphic design in common use by each of the Sponsoring

Parties shall be used in an equal fashion on printed material in connection with the Conference

as well. Guidelines for use of the IEEE Master Brand Image and Logotype “IEEE” can be

found on the IEEE Web site at www.ieee.org/web/publications/rights/idstandards.html.

5. INDEMNITY

Each Sponsoring Party shall indemnify and hold harmless the other Sponsoring Party

from and against any and all claims, demands, liabilities, settlements, damages, costs, and

expenses, including reasonable attorneys’ fees and expenses, arising out of, or in any way

connected with, any default, breach or negligent non-performance of this MOU or any willful or

negligent act or omission on the part of itself, its agents and employees arising out of this MOU.

6. PROPRIETARY OR CONFIDENTIAL INFORMATION

“Confidential Information” as used herein means information identified by either party as

“Confidential” and/or “Proprietary,” or information that, under the circumstances, ought

reasonably be treated as confidential and/or proprietary. “Confidential Information” shall

include, but not be limited to, this MOU its Attachments, exhibitor lists, key contacts lists,

technical information, market research, membership data, analyses, studies, developments,

processes, present and/or future product information, pricing information, business plans or other

documents, information and materials that contain or reflect such information. Neither party

shall disclose to a third party Confidential Information of the other party. The receiving party

shall use the same degree of care as it uses to protect the confidentiality of its own confidential

information of like nature, but no less than a reasonable degree of care, to maintain in confidence

the Confidential Information of the disclosing party. Each party further agrees to act as trustee

for any Confidential Information jointly created or acquired through the parties’ participation in

this MOU. The foregoing obligations shall not apply to any Confidential Information that: (a)

can be demonstrated to have been publicly known at the time of the disclosing party’s disclosure

of such Confidential Information to the receiving party; (b) becomes part of the public domain or

publicly known, by publication or otherwise, not due to any unauthorized act or omission by the

receiving party; (c) can be demonstrated to have been independently developed or acquired by

the receiving party without reference to or reliance upon such Confidential Information; (d) is

provided to the receiving party by a third party who is under no obligation to the disclosing party

to keep the information confidential; or (e) is required to be disclosed by law, provided that the

receiving party takes reasonable and lawful actions to avoid and/or minimize such disclosure and

promptly notifies the disclosing party so that the disclosing party may take lawful actions to

avoid and/or minimize such disclosure.

7. TERMINATION

This MOU may not be terminated except by written consent of all parties. Upon

termination or non-renewal of this MOU, no Sponsoring Party may use, license, create derivative

works, or exploit in any way the jointly owned works without the written consent of the other

parties.

8. MISCELLANEOUS

8.1 Binding Effect. This MOU shall inure to the benefit of, and be binding upon the

Sponsoring Parties, their successors in interest, legal representatives, and assigns.

8.2 Assignment. None of the Sponsoring Parties may assign or transfer its interest in

this MOU, nor any interest herein or claim hereunder without the express written consent of

the other Sponsoring Parties.

8.3 Waiver. Any waiver of a breach of any provision of this MOU shall not operate or

be construed as a waiver of any subsequent breach.

8.4 Governing Law. This MOU shall be interpreted under and governed by the laws of

the State of New York, without reference to its conflicts of laws principles.

8.5 Dispute Resolution. Any controversy or claim arising out of or relating to this

MOU shall be settled by arbitration in accordance with the rules of the American Arbitration

Association. Such arbitration shall occur in New York City and be conducted by one

arbitrator, jointly chosen by the Sponsoring Parties. Any such decision of the arbitrator shall

be binding upon the parties.

8.6 Survival. All rights and obligations provided in this MOU which do not expressly

terminate pursuant to this MOU, shall survive the expiration or termination of this MOU and

shall remain in full force and effect after termination or expiration.

8.7 Headings. Headings used in this MOU are for reference purposes only and shall not

be deemed a part of this MOU.

8.8 Severability. If any provisions or portions of this MOU are invalid under any

applicable statute or rule of law, they are to that extent to be deemed omitted from this MOU

and replaced by provisions or portions thereof which are as close to the original provisions as

possible while being legally permissible. The other provisions or portions(s) of provisions of

this MOU shall remain enforceable and unaffected.

8.9 Complete MOU. This MOU constitutes the entire agreement among the parties and

supersedes all other prior MOUs of the parties for the period to which it applies and may not be

modified except in writing signed by the parties.

8.10 Notices. Any notice given under this MOU to any of the Sponsoring Parties may

be effected by : (i) personal delivery in writing, (ii) facsimile, receipt of which is confirmed by

facsimile confirmation, or (iii) registered or certified mail, postage prepaid, return receipt

requested, and shall be deemed communicated as of actual receipt. Mailed notices and any

other communications among the Sponsoring Parties shall be addressed as set forth below, but

any of the parties may change its address by giving written notice of such to the other parties:

8.11 Counterparts. This MOU may be executed simultaneously in two or more

counterparts each of which shall be deemed an original but all of which together shall

services that would make IEEE membership more valuable to practicing engineers. − Robert Hebner, our Division Director, sent out a call for nominations for a candidate for Division

Director Elect. The election will be in the fall of 2009. The term as Director will start in 2011.

Intersociety Cooperation Opportunities: − EMC Society Request – looking for areas such as joint sessions or seminars − PES Transactions on Renewable Energy – Looking for papers for this new publication. − Transition of Lynda to IAS – Working with PES. Lynda’s transition was presented to the TAB

Finance Committee in January as part of a PES request for new staff. The Committee rejected the entire request. The matter is listed as a motion on the TAB agenda for the February meeting.

General Items: − The 2007 IEEE IAS Annual Meeting closed in October 2008. The surplus for IAS was $88,144. − Volunteer training videos are available at www.ieee.org/go/volunteertraining. − I plan to attend the next IEEE TAB meeting on Feb. 13-14 in San Juan, P.R. − I asked Ranga Tallam, the Electronic Communications Chair, to prepare proposals to update the IAS

web site to focus more on member services. − The IEEE Foundation sent a letter formally announcing that Ron Harley is the 2009 Kaufmann award

IEEE INDUSTRY APPLICATIONS SOCIETY Bruno Lequesne President Elect February 14th, 2009 To: IAS Executive Board Subject: President-Elect Report to the IAS Executive Board Planning for the 2009 Annual Meeting is going smoothly. The following updates are of interest: Digest submission: A total of 161 digests were received, and 159 have been accepted. Two are within ECCE’s scope and will be redirected there or rejected. Excluding the special situation of Electrostatics Processes Committee, 159 digests constitute a reduction of 7% compared to 2008. The situation, however, varies greatly from committee to committee: 1) Appliance Industry sees a reduction of 55% (from 22 to 10); 2) Industrial Lighting and Displays: Reduction of 19%; 3) I&CPS Dept: Reduction of 6%; 4) Metals, Mining, and Industrial Automation & Controls are seeing increases of 20%, 8%, and 14%, respectively. 5) Electrostatics Process Committee has received 14 digests and will have 2 sessions, a departure from the past when this committee had no participation every three years, when co-sponsoring a separate conference. The good news from the PID department and from the IACC and EPC therefore compensate for reductions in I&CPS, Lighting and Displays, and especially Appliance Industry. A plenary session is being planned with papers of general appeal to the conference attendees, coming from the various committees (1 or 2 per committee or department). Tutorials: Deadline for proposal submission, March 15th. Budget: The budget has been submitted to the IEEE. The concentration banking account is open. been identified yet. − Jon Rokne sent a request for volunteers to serve on a committee to identify IEEE products and

services that would make IEEE membership more valuable to practicing engineers. − Peter A. Eckstein sent a request for appointments to various committees that lobby the U.S.

Government. − Roger Pollard is looking for TAB Committee members for 2010-2011 appointments. − Robert Hebner, our Division Director, sent out a call for a person to fill a seat on the Board of

Governors of the IEEE Society on Social Implications of Technology. − Robert Hebner sent out a call for nominations for a candidate for Division Director Elect. The

election will be in the fall of 2009. The term as Director will start in 2011.

Intersociety Cooperation Opportunities: − EMC Society Request – looking for areas such as joint sessions or seminars − PES Transactions on Renewable Energy – Looking for papers for this new publication. − Transition of Lynda to IAS – Working with PES. Lynda’s transition was presented to the TAB

Finance Committee as a part of a PES request for new staff. The Committee rejected the request in January but subsequently approved it on February 12, 2009.

IEEE TAB Meeting – Feb. 13-14, 2008 − IEEE Reserves dropped by about 40% in 2008 due to market loss, pension funding, and IEEE

initiatives. That is below the minimum level historically set by IEEE. As a result, rules that allow spending of reserves are blocked for 2009 and additional measurers to save costs are being put in place. Cash flow was positive for 2008.

− Societies need to guard against Hoax papers. There were four instances of hoaxes in 2008. This is particularly important for conferences that are technically co-sponsored. IAS may have to institute procedures to check each paper before publication in a conference record.

− IAS has an opportunity to help the Product Safety Engineering Society by publishing some of their conference papers in our Transactions and Magazine. They have about six papers ready to publish. Future publication could be covered via technical co-sponsorship of their yearly conference.

− IAS needs to supply data tags for our publications so they are visible in IEEE Navigator. Navigator is a new search tool that will be introduced at the end of 2009.

− TAB endorsed the IEEE Standards Association plan to add the Color Books to IEEE Explore. − TAB approved a proposal to transfer Lynda to a full time IAS administrator on February 14. The

target date to complete the transfer is May 2009.

General Items: − The 2007 IEEE IAS Annual Meeting closed in October 2008. The surplus for IAS was $88,144. − I prepared a list of reimbursements for the 2008 Annual Meeting using the Edmonton hotel bill. The

total reimbursements will be approximately $33,000. − Volunteer training videos are available at www.ieee.org/go/volunteertraining. − I asked Ranga Tallam, the Electronic Communications Chair, to prepare proposals to update the IAS

web site to focus more on member services. − Donald Novoty, an IAS member, will receive the 2009 Tesla Award. − The IEEE Foundation sent a letter formally announcing that Ron Harley, an IAS member, will

Read the By-Laws and Operating Guide to try and figure out what my new role and responsibilities are. Looks like long range planning is high on my list, but in today’s business climate that might be a bit of a crap-shoot. Will also need to see how the new format for the 2009 annual meeting goes and change the emphasis for 2011 and 2012 accordingly.

• We have about ten new members since the last annual meeting. Hopefully with the cancellation of PESC, we are likely to get more people joining us.

• However, there is a noticeable dis-interest in our committee because it is believed that it is too difficult to get published through IDC. We are closely looking at our paper review process to ensure that while not lowering standards, we give every paper a fair chance and work with authors for paper improvement.

Progress in Closing Old Conferences

I would like to thank Lynda Bernstein and Kevin Uherek for their work on closing some of the

older IAS conferences. Their assistance is greatly appreciated.

2007 IEEE-IAS/PCA Cement Industry Conference

The IAS Executive Board met at this conference held in Charleston, SC USA in May 2007. The

two people who have signature authority on the account have moved to Europe. However,

myself, Lynda Bernstein, Kevin Uherek, and Nola Fraley have been authorized by these

individuals to have access to the bank account. Nola Fraley has sent a box of documents related

to the conference to Lynda. My plan is to have the IEEE perform the audit.

2008 IEEE IAS Annual Meeting

The $20,000 conference loan has been repaid. The conference surplus will be in the range of

$90,000 to $100,000.

2009 Preliminary Conference Feedback

I have talked with Lanny Floyd about the the 2009 IEEE IAS Electrical Safety Workshop. He

indicated that the anticipated attendance was 400 and the approximate attendance was around

380. The conference planned for 70 exhibit booths but had only 60. Attendance for APEC 2009

is about 20% less than for APEC 2008. It has been a struggle to keep the exhibition sold out.

Several companies have cancelled over the last few months; some of these spaces have been

sold to other vendors.

2009 IEEE IAS Electrical Safety Workshop

An MOU has been signed between the IAS and IEEE Region 5 for this workshop. Region 5 will

provide a conference loan of $4,000.

2009 IAS Annual Meeting

An MOU has been signed between the IAS, IEEE Region 5, and the IEEE Houston Section for

this meeting. The conference loans for this meeting are as follows: $16,000 – IAS, $2,000 –

Region 5, and $2,000 – Houston Section. The concentration banking account has been opened.

The paperwork has been prepared to open a local bank account. The budget has been

submitted and approved by the IEEE. The IEEE has approved and signed the Courtesy

Associates contract for this meeting.

Subject: Publications Department Report to the IAS Executive Board, February 16th

IAS Transactions

The March/April 2009 issue of the IAS Transactions has been filled with 40 papers which were

forwarded to IEEE on January 5th. They arrived about two days ahead of the January 9th manuscript

due date. Attached is a table showing the source by technical committee of the papers that have been

published or scheduled for publication in 2009 as of January 17th. This table shows the number of

papers approved by each technical committee, either not yet processed or not yet received, for

publication. Of these 135 papers, we have already received 53 papers.

The March/April issue also contains the annual recognition of paper reviewers for both the lAS

transactions and tile IAS Magazine. We thank the Paper Review Chairs of the various technical

committees for providing us with this updated information. The issue also is the first in which an

electronic master CD of all papers was provided to IEEE publications. Carl will be working with

Keith Edick, our Staff Editor at IEEE, at the annual IEEE Panel of Editors Meeting in March to

further reduce the dependence of our publication process on paper documentation.

The enhanced page budget of 40 papers per issue that we have been using for the past five issues has

now reduced our backlog of received papers to about one and one-half issue. Our approved 2009 page

budget works out to about 35 papers for May/June and 30 papers per issue for the rest of the year.

IAS Magazine

Getting material from authors is proving to be more challenging this year than the four previous

years. So far,

o One feature paper scheduled for the March issue was rejected because the author was unable to

obtain permission to copy figures from a previously published source. Unfortunately, the author

had been promising to provide the permission letters, and by the time it became apparent that he

was not actually doing anything to obtain them, it was too late to substitute another paper in the

issue.

o The authors of the first prize Zucker paper ignored our invitation to publish their paper. It took

two separate e-mails to their professor to stimulate a response, and then they declined the

invitation on the basis that the sponsor of their project had some other (unspecified) objective for

the work.

o The author of the history article for the July/August special issue on automotive motors/sensors

advised today that he would not be able to complete the article by the closing date of the issue.

At the suggestion of Bruno Lequesne, Louie contacted Linos Jacovides about writing a short

piece on his recollections.

The March issue is at the printer and is scheduled to be mailed on Monday, 11 February. A new

feature in the issue is an Annual “Honoring our Colleagues” tribute to IAS members who are

recipients of major IEEE and IAS Awards. This feature also lists new Fellows for 2009. The 84 page

issue includes six feature articles (rather than the seven as indicated in the 2009 Publication Plan)

because one author was unable to satisfy publication requirements. On a year-to-date basis, we are

running about 4 pages over plan – with the deviation all occurring in the January issue. Here are the

numbers (green is actual):

The length of the feature articles drove the January issue to 11 signatures, so we took advantage of the

available space to move the special columns on the 2009 Annual Meeting and 2009 ECCE that were

scheduled for the March issue into the January issue. Then, we shifted some Calls for Papers that

traditionally have appeared in the May issue into the March issue.

Most of the content for the May/June issue is in hand. At this point, we are still waiting for a column

on the Annual Meeting technical program, and a report on ESW 2009, both of which have been

promised for Monday, 11 February.

The „dummy‟ for the May issue will be available in late March. Based on the actual page count from

that issue, I will develop a new year-end projection that will be the basis for the mid-year adjustment

that we will need to submit in April.

Louie has prepared the annual Magazine “Call for Papers” that he plans to distribute in late February

or early March. At this point, we already have eight papers „in the pile‟ for 2010 in addition to the

two reserve papers included in the 2009 plan.

Manuscript Central Update

A number of committees have recently jumped into Manuscript Central. At this point, it is easier to

list the committees that have NOT used the tool:

o Codes & Standards

o Pulp & Paper

o Cement Industry

o Appliance Industry

o Industrial Lighting & Displays

REPC and I&CPS have issued invitations, and the submitted manuscript files will be used to compile

their 2009 Conference Records. Pulp & Paper and PCIC have indicated that they plan to do this also.

We still have not received the CCC codes for the 2009 Cement and PCIC conferences.

A new release (4.1.2) became available about a week ago. Most of the changes in this release are not

significant to IAS. ScholarOne is planning an additional release within the next month that will

include a new report writer. This will be a significant improvement; most importantly, reports

produced by the new report writer will be based on near-real-time data and will not have the latency

issue that we have with current reports.

A list of 2009 papers review personnel has been prepared (attached). Changes have already been

made in the Committee Administrator assignments in Manuscript Central, and the list of Paper

Review Chairs was sent to ScholarOne on Monday to have the hard-coded ‘forwards’ updated. As

soon as I learn that those changes have been made, an FAQ e-mail will be sent to Admins and

TCPRCs.

Overview

I have begun the process of collecting the most recent versions of each of the documents maintained by

this committee. A long-term goal is to improve our collective ability to maintain a revision history for

each and easily identify the most current versions of each.

Constitution

A list of requirements for all Societies was supplied by TAB in 2008. These were presented to the

Executive Board in 2008. The next step in the formal approval process is the appropriate publication

of the proposed changes and the final approval ballot.

Bylaws

A list of requirements for all Societies was supplied by TAB in 2008. These were presented to the

Executive Board in 2008. The next step in the formal approval process is the appropriate publication

of the proposed changes and the final approval ballot.

Policy & Procedures

A policy regarding electronic “mass communication” was developed by the Electronic Communication

Committee and approved by the Executive Board in 2008. This policy is in the process of being

included in the Policy & Procedures Manual. All aspects of the Manual are under review for possible

changes to be presented in due course for Executive Board consideration.
