Overview of The Jakarta Stock Exchange Trading SystemTrading of Jakarta Stock Exchange (JSX) takes place in Jakarta Stock Exchange Building, Jl. Jendral Sudirman Kav. 52 - 53, Jakarta 12190. The instruments traded are shares, pre-emptive rights, warrants, bonds and convertible bonds. Technology plays a very important role as the backbone of share trading, and perfecting its implementation and use is a priority for the JSX. The JSXs current system is known as the Jakarta Automated Trading System or JATS, and this system has been adopted by the JSX since May 22, 1995. JATS was implemented with the basic aims to support a fair, transparent, efficient and cost-effective market for the investors. The reliability of JATS is a prime concern of the JSX members as well as other market participants. In 2004, JATS exhibited 100% system availability. Although JATS showed a good performance throughout 2004, the JSX decided to upgrade the hardware to meet the latest specification. The goal of this upgrading was to provide a faster and more efficient trading system. Such upgrading would enable JATS to process larger trading frequency and volume, in anticipation of future growth. To encourage market liquidity, on February 3, 2004, the JSX implemented pre-opening trading regulation. With regard new product development, on October 6, 2004, the JSX started trading KOS (Kontrak Opsi Saham/ Stock Options), a new derivative instrument. This new product complements the range of existing instruments traded on the JSX, such as shares, warrants and pre-emptive rights. Investors are expected to fully benefit from KOS, since investors can utilize this product as a hedging instrument. To support KOS trading, the JSX has developed a new system called the Jakarta Options Trading System (JOTS), which was fully integrated with the clearing and settlement systems. Since its launch on October 6 untill now, JOTS has achieved 99.9% system availability. As the underlying assets for KOS, initially five stocks were selected. These stocks were PT Telekomunikasi Indonesia Tbk (TLKM), PT Astra Internasional Tbk (ASII), PT HM Sampoerna Tbk (HMSP), PT Bank Central Asia Tbk (BBCA), and PT Indofood Sukses Makmur Tbk (INDF). The selection was based on fundamental factors that included trading frequency, price volatility and market capitalization. In the meantime, JSX Members also supported the launching of KOS. Until now, a total of 38 securities companies have actively signed up as KOS Brokers. Apart from KOS trading, on September 21, 2004, the JSX successfully completed and implemented the enhancements on JATS Remote Trading (JATS RT). This success was reflected by the fact that as of the end of 2004, tradings executed through JATS amounted to 26.39% of total trading in the regular market. Market surveillance is another priority in which technology plays an important role. Market surveillance on listed companies and JSX Members is managed by the JSX on the principles of creating orderly, fair and efficient trading activities. In this way, the JSX believes that market supervision should be preventive in nature, in order to keep the trust of market participants. Therefore, the form of market surveillance at the JSX is a mechanism that rely on risk management techniques. To conduct market surveillance, the system currently used by the JSX is the Security Market Automated Research, Training and Surveillance System (SMARTS). This system allows the JSX to quickly detect any suspicious trading patterns and therefore, enables the JSX to promptly take the proper course of actions. In the case of suspected violations, the JSX can take any of these actions: directly request listed companies for more information, internally disseminate information disclosure to market participants or as the last resort, apply cooling down suspensions10 JSXFact Book 2006

Order-Driven Market and Open-Auction SystemTrading in the Jakarta Stock Exchange is based on an order-driven market system. Investors must contact brokerage companies. Trading at the JSX can only be done by JSX Members who are already registered as the Members of the Indonesian Clearing and Guarantee Corporation (KPEI). Brokerage companies then execute their orders. A brokerage company may also buy and sell securities using its own name as part of its investment portfolio. Brokerage companies who are registered as Exchange Member appoint representatives to execute all orders. Those representatives who are assigned at the exchange floor are called JATS Traders and those at the office are called Order and Trading Authorizers. Both of these professions must be registered at the Exchange. Using the JATS, orders are processed by computers that carry out bids and asks matching processes based on price and time priorities. This open-auction system operates continuously during exchange hours.

Regular Market and Cash MarketStock trading at the Regular Market and Cash Market is based on fixed lot and fixed time of the continuous auction market mechanism. In the Regular and Cash Markets, trades are done in round lots, which is the minimum units of trades that can be executed. Currently, 1 lot is equal to 500 shares. However, trades in the Negotiation Market can be carried out in odd lots Prices resulting from orders and the continuous auction market as described above form the basis of the regular market. Pre-Opening System
The trading in the Regular Market is started with the Pre-opening session every trading day. This session allows Exchange Members to make the selling and buying orders to form the opening price. Pre-opening system began on February 3rd 2004. For the first stage, the priority is given to the LQ-45 stocks. Pre-Opening Trading: Only valid for the Regular Market Bargaining is based on the previous price or the offering price. Auto Rejection system is implemented and the percentage is based on the previous price or the offering price. If the Opening Price is formed: - The opening price on Windows Securities is not equal to 0. - Auto Rejection for sessions I & II is based on the Opening Price (not Previous Price) - Pre-Opening Orders that are not allocated and are out of the new Auto Rejection range will be withdrawn automatically by JATS (see Auto Rejection diagram) If the Opening Price is not formed: - The opening price on Windows Securities is equal to 0. - Auto Rejection for sessions I & II is based on the Previous Price - The status Order will remain Open and will be continued to the Trading Session I. Negotiation MarketThe JSX also provides stock trading based on the negotiation between buyer and seller. The Securities trading at the Negotiation Market is conducted through individual bid-offer process (direct negotiation) between the Exchange Members or clients through one of the Exchange Members or between a client and a Exchange Member or between the Exchange Member and KPEI, which afterwards the said bid-offer agreement shall be processed through JATS. 1. 2. 3. 4. 5. The rules for both markets are as follows: Stocks traded are using per share unit. The price fraction is not applicable, but it is recommended to base transactions on the stock price at Regular Market. The price is based on the agreement. Matched transactions do not influence the index calculation as they do in the Regular Market. The Settlement date is based on the agreement between sellers and buyers. If there is no agreement then it follows the rule T+3.
SettlementWhen a transaction occurs, delivery and payment must be settled through The Indonesian Clearing and Guarantee Corporation (PT Kliring dan Penjaminan Efek Indonesia/KPEI) and The Indonesian Central Securities Depository (PT Kustodian Sentral Efek Indonesia/KSEI). 1. 2. 3. Trading FacilitiesJakarta Automated Trading System (JATS)JSX provides 444 terminals for stock traders at Trading Floor, which are located at the Ground Floor of the JSX Building. These terminals, called Trader Workstations or booths are connected directly to the Trading Engine via The JSX network. Currently, the JATS has the capacity to process up to 300,0000 orders and 150,000 transactions daily. Transactions allocations are set based on price and time priority, and today, the response time to orders received and the related transactions allocations is 1 second at the most. To ensure that trading activities can run smoothly, the JSX also provides a hot backup for the current trading engine. The phase of JATS implementation has been concentrated more on system conversion from manual to computerized system. The JATS implementation can be divided into several stages: 1. 2. The integration of scripless trading with the Clearing and Guarantee System of PT. Kliring dan Penjaminan Efek Indonesia (Indonesia Clearing and Guarantee Corporation). In conducting the trading through JATS, the Exchange provides these facilities: Main Trading Engine and Backup Trading Engine that work simultaneously and support each other. The capacity of these machines are up to 300,000 orders and 150,000 matched trades (increasing the machines capacity will be based on the trend of daily transaction volumes) Trader Workstations, that are connected to the Windows NT Network System Environment (NT Server) and Windows NT Front-End based. The trading system application is called The Jakarta Automated Trading System (JATS). All Trader Workstations in the Jakarta Stock Exchange floor is connected to the Trading Engine through a gateway machine. The Ethernet Network connects the Trader Workstation, Gateway, and Trading Engine. All Trader Workstations on the remote site is connected to the Trading Engine through a gateway machine JONEC at Brokers site/ASPs (Application Service Provider) site and JONES at JSXs site). The WAN (Wide Area Network) connects the JONEC and the JONES.

Remote Trading Applications1. JATS Remote trading (JATS RT) at the JSX utilizes a host-to-host model, using FIX, an internationally-recognized standards of protocol, to support the open system. In this way, JSX Members can develop their businesses in the near future, for example, developing on-line trading. The JSX also integrated the front end of JATS RT with the back-end application of the JSX Members. To ensure safety and availability, remote trading at the JSX is also supported by a dedicated and redundancy link. The JSX also cooperates closely with the application service provider (ASP), to ensure that JSX Members receive full supports and services.

Margin TradingThe JSX has implemented the regulation on Margin Trading since 1 August 1997, under the Regulation No. II-9: 1. 2. Margin Trading is the stock exchange transaction implemented and settled by the Exchange Member in the interest of their customers. To implement the Margin Trading for the first time, the Exchange Member is obligated to submit the following documents to the JSX: a) A statement letter proving that they own the minimum Net Adjusted Working Capital (NAWC) of Rp 5,000,000,000,- with the monthly NAWCs compilation report enclosed. b) A statement letter from the accountant (registered in the BAPEPAM) appointed by the Exchange Member stating that the accountant has checked its books, notes and operational systems of the Exchange Member and that it has fulfilled all the requirements from the BAPEPAMs Regulation No. V.D.3 regarding the Internal Control and the exchange members accounting implementation. c) The sample of the margin contract between the Exchange Member and the customer. The JSX will announce the names of the Exchange Members who have fulfilled the Margin Trading requirements. The Exchange Member mentioned in the point 3 is obligated to submit the report to the JSX on the NAWCs position of the previous exchange day, at least 30 minutes before the beginning of the trading on the related exchange day. The Exchange Member mentioned in point 3 is prohibited to implement the Margin Trading in the interest of one customer, in which the Margin Trading may cause the debet balance and/or the short position of more than 20% of the NAWC, with the rule that the total of all Margin Trading values which can be implemented is maximum 10 times of the NAWCs value of the mentioned Eexchange Member. The Exchange Member is prohibited to implement the Margin Trading in the interest of the Board of Directors, Commissioners, Main Stockholders and/or the employees of the Exchange Member. The Margin Trading can be implemented by the Exchange Member only after its customer opened a Margin Securities Account based on the margin contract between the customer and the related Exchange Member. The margin contract mentioned in point 7 contains at least: a) The rights and obligations of the customer and the exchange member, including the submission of17

collaterals, costs, commissions and interests; b) The execution techniques (mechanisms) of the Margin Trading facilitys implementation. c) The margin contracts termination that is caused by either the customer or the Exchange Member which no longer meet the requirements of the Margin Securities Account or by other things that may be agreed on by both parties. 9. The sanctions are prepared by the exchange for violtions of the rules.
Under the BAPEPAM rule (Kep 09/PM/1997), the requirements of Margin Trading for the securities are as follows: 1. Listed in the JSX; 2. Traded on every stock exchange day for the last 6 (six) months with an average daily value of at least Rp 1,000,000,000,-; 3. Owned by more than 4,000 Parties for the last 6 months if the transaction causes the Short Position.
Transaction FeesBased on an agreement, an investor has to pay a commission to the brokerage company for every transaction. For the JSX, the commission must not exceed 1% (one percent) of the value of the transaction (buying or selling) made by the investor. Brokerage companies are obliged to pay the following fees: 1. The Exchange Member must pay the transaction fees to the Exchange, KPEI and KSEI which are calculated in accordance with the value per transaction of the relevant Exchange Member as follows: - 0.03% of the value per transaction for transaction, clearing, and settlement of the Securities transaction at Regular Market and Cash Market. - 0.03% of the value per transaction or pursuant to the Exchange policy for transaction at Negotiation Market. - the minimum transaction fees is Rp. 2,000,000,- per month as a contribution to the Exchange facility provision; - for bond transaction, the fee is 0.005% of the value per transaction. 2. 3. The Exchange Member must deposit the security deposit of 0.01% of the value per guaranteed transaction by KPEI. Guarantee Fund 0.01% is managed by PT Kliring dan Penjaminan Efek Indonesia (KPEI) The commissions and transaction fees do not include the 10% Value-Added Tax (VAT); the 0.1% Transaction Tax levied on cumulative selling transaction value (share only).

Foreign Investor InvolvementThe Jakarta Stock Exchange presents a detailed survey of market traits, particularly aimed at providing an accurate profile of investors in the JSX. However, it can be concluded quite straightforwardly that the JSX holds considerable attraction for foreign investors, as an average 70% of transactions involve foreigners. Foreign investor involvement is quite dominant, despite the restriction on foreign share ownership. Until August 1997, foreign investors might own a maximum of 49% of total listed shares. Later, in order to anticipate the market, on 11 September 1997, the Republic of Indonesias Finance Minister published the Decision Letter No. 467/KMK.010/1997 of 11 September 1997 and the BAPEPAMs letter No. S-2138/PM/1997 stating that there is no more buying limitation on the listed stocks in the JSX for the foreign investors, except for the banks stocks that allow the maximum of 49% of the paid-in-capital. In May 1999, the Indonesian government released a new regulation (Regulation No. 29/1999) on the (Buying of the Shares of Commercial Banks) stock purchasing of listed banks, which is an implementing regulation of the Law No. 10/1998 on the Amendment of the Law No. 7/1992 on Banking. It regulates the portion of ownership of foreign investors, as follows: 1. 2. 3. 4. The ownership of shares of banks by foreign investors and/or foreign institutions through direct placement or through the Stock Exchange is allowed for a maximum of 99% of the total shares. The purchase of shares by foreign investors or foreign institutions through the Stock Exchange can reach 100% of the total shares listed on the Stock Exchange. Banks can list their shares on the Stock Exchange to a maximum of 99% of the total shares. At least 1% of the banks shares, which are not listed on the Stock Exchange, must still be owned by an
