Indian Oil began operation in 1959 as Indian Oil Company Ltd. The Indian Oil Corporation

was formed in 1964, with the merger of Indian Refineries Ltd.

Indian Oil Corporation Limited, or Indian Oil, is an Indian state-owned oil and gas

corporation with its headquarters in New Delhi, India. The company is the world's 98th

largest public corporation, according to the Fortune Global 500 list, and the largest public

corporation in India when ranked by revenue. Indian Oil and its subsidiaries account for a

47% share in the petroleum products market, 34% share in refining capacity and 67%

downstream sector pipelines capacity in India. The Indian Oil Group of Companies owns and

operates 10 of India's 21 refineries with a combined refining capacity of 65.7 million metric

tons per year. President of India owns 78.92% in the company. in FY'11 IOCL sold 64.1

million tonnes of petroleum products and reported a PBT of Rs.9096 Crore, & Govt of india

earned an excise duty of Rs.25789.90 crore and tax of Rs.1650 Crore. It is one of the five

Maharatna status companies of India ,apart from Coal India Limited, NTPC Limited, Oil and

Natural Gas Corporation and Steel Authority of India Limited.

Indian Oil operates the largest and the widest network of fuel stations in the country,

numbering about 19,463. It has also started Auto LPG Dispensing Stations . It supplies

Indane cooking gas to over 62.4 million households through a network of 5,456 Indian

distributors. In addition, Indian Oil's Research and Development Center at Faridabad

supports, develops and provides the necessary technology solutions to the operating divisions

of the corporation and its customers within the country and abroad.

The volatility in the crude market & subsidy burden on the IOCL has dented the company

performance like other PSU oil companies. Moreover, bureaucratic hurdles in projects are

hurting company advancement. IOCL has one of the best technical manpower for execution of

jobs.

Mr. R.S. Butola is the Chairman of Indian Oil Corporation Ltd., India’s flagship oil & gas major and the largest commercial enterprise in India. He also heads IndianOil’s group companies - Chennai Petroleum Corporation Ltd. and IOT Infrastructure & Energy Services Ltd. – and industry organisations such as Petroleum Federation of India.

In a career spanning almost three decades, out of which two decades are in the hydrocarbon industry, Mr. Butola has gained versatile experience in all facets of hydrocarbon industry ranging from project development and execution to commercial closures.

At IndianOil, Mr. Butola is spearheading an enterprise wide exercise aimed at strengthening internal systems by optimising the supply chain and achieving zero process interruption. He is navigating the Company in times of unprecedented challenges being faced by oil & gas companies with particular focus on building bench strength in its core businesses besides acquiring competencies to manage new businesses such as E&P, Nuclear energy, renewables, etc.

Mr. Butola is widely travelled, an avid reader and an astute thinker in the energy industry with a rare insight into both upstream and downstream sectors.

IndianOil Foundation:

The IndianOil Foundation (IOF), a non-profit Trust was created in 2000 to protect, preserve and promote the National Heritage, in collaboration with ASI and NCF of the Government of India. In the first phase, the following sites have been identified for developing tourist friendly facilities in the monument complex:

Konark Sun Temple, Odisha in Eastern ZoneVaishali, Bihar in Eastern ZoneKanheri Caves, Maharashtra in Western ZoneKhajuraho, Madhya Pradesh in Central ZoneWarangal Fort, Andhra Pradesh in Southern Zone The projects for developing tourist friendly facilities at the above sites are in various stages of planning/execution.

The Corporation also supports a variety of endeavours in arts, culture, music and dance, apart from organising programmes on its own under the banners of IndianOil Art Exhibition, IndianOil Sangeet Sabha and IndianOil Kavi Sammelan.

Community Development:The Community Development Programme adopts a multi-disciplinary approach incorporating health, family welfare, education, drinking water and sanitation, empowerment of women and other marginalized groups in the vicinity of our major installations.

IndianOil Scholarship Schemes: IndianOil Educational Scholarship Schemes: IndianOil awards 2600 scholarships to meritorious students pursuing full-time courses in 10+/ITI, Engineering/Medical and Business Administration to nurture and support talent among the deserving students belonging to families with less than rupees one lakh as the gross joint annual income. Out of which 50% are reserved for SC/ST/OBC students, 25% of the Scholarship is earmarked for girl students and 10% for Physically Handicapped students.“IndianOil Scholarships Scheme” for Graduate and Post-Graduate students:– Under the scheme total 600 scholarships (300 for Engineering, 200 for MBBS and 100 for

National Causes and Natural Calamities: IndianOil responds proactively to provide aid and relief to the victims of any natural calamities like floods, tsunami, earthquake, cyclones etc. IndianOil also contributes for national causes in the benefit of the nation like setting up of educational institutions of national importance like the Rajiv Gandhi Institute of Petroleum Technology to promoting a cause like National Children’s Fund, Jansankhya Sthirtha Kosh etc.

Environment:As part of its environment-protection initiatives, IndianOil has invested close to Rs. 7,000 crore in state-of-the-art technologies at its refineries for production of green fuels meeting global standards. To further reduce dependence on precious petroleum products and secure the nation’s energy security, the Corporation is now in the process of commercialising various options in alternative fuels such as ethanol-blended petrol, biodiesel, and Hydrogen and Hydrogen-CNG.

In our opinion, based on test check carried out by us, verification of recordsproduced to us and according to the information furnished to us by theCompany, its Company Secretary and Officers, the Company has compliedwith the provisions of the Companies Act, 1956 (“the Act”) and Rules madeunder the Act and the Memorandum and Articles of Association of theCompany with regard to:

1) maintenance of various Statutory Registers and documents and makingnecessary entries therein;

2) filing of the requisite forms and returns with the Registrar of Companies,Maharashtra, Mumbai and Central Government within the time prescribedunder the Act and rules made there under;

3) service of documents by the Company on its Members, Auditors,Debenture holders and Debenture Trustees;

4) closure of Register of Members and Share Transfer Books of the Companyfrom 13th September, 2010 to 21st September, 2010 (both days inclusive);

5) convening and holding of the meetings of Directors and Committees of theDirectors including passing of the resolutions by Circulation;

6) convening and holding of 51st Annual General Meeting on 21stSeptember, 2010;

7) approval of shareholders obtained through Postal Ballot Process;

8) minutes of the proceedings of General Meeting and meetings of the Boardand its committees were properly recorded in loose leaf form, which arebeing bound in book form at regular intervals;9) appointment and remuneration of Auditors and Cost Auditors;

10) transfers and transmission of shares and issue and delivery of original andduplicate certificates of shares: dematerialization / re-materialization ofshares;

11) composition and terms of reference of Audit Committee;

12) declaration and payment of dividend;

13) transfer of amounts due under the Act to the Investor Education andProtection Fund;

14) payment of interest on debentures and redemption of debentures;

15) investment of Company’s funds including inter corporate loans andinvestments and investment and loans to others;

16) giving guarantees in connection with loans taken by subsidiaries andassociate companies;

17) borrowings and registration, modification and satisfaction of charges;

18) deposit of both the employees and employers contribution relating toProvident Fund with the Trusts created for the purpose;

19)contracts, Common Seal, Registered Office, and publication of name ofthe company; and

20) generally, all other applicable provisions of the Act and the Rules madethere under that Act.

21) The Company has complied with all the requirements under the ListingAgreement executed with the Bombay Stock Exchange Limited and.National Stock Exchange Limited except that of Clause 49(1)(A) pertainingto the Composition of Board of Directors regarding 50% IndependentDirectors on the Board of the Company;
