GENERAL TERMS AND CONDITIONSfor events organized by: untitled exhibitions gmbh | heilbronner straße 150 | 70191 stuttgart | germany

1. SCOPE OF APPLICATION

a) The following terms and conditions of contract shall apply to the leasing of stand space and stand packages by the exhibitor (hereinafter, the „counterparty“) for the all about automation trade exhibitions series.b) These terms and conditions shall form an integral component of all our offers and con-tracts, even in ongoing business relations, and shall also apply to all future transactions with the counterparty.c) Any terms and conditions of the counterparty shall not establish any obligations on our part, even if we have not expressly rejected them. Any earlier general terms and conditions of contract or other terms and conditions of our own shall be repla-ced by these Terms and Conditions, unless expressly agreed otherwise with the counterparty which must always be made in writing.

2. CONCLUSION OF CONTRACT

a) The stand package shall be ordered by sending in the completed and signed regis-tration form or by verbal order. The counterparty shall be bound to the offer three weeks from our receipt thereof.b)With our confi rmation of the stand, the lease agreement shall come about with the counterparty.c) If a stand confi rmation is issued after a verbal agreement and order, the content of the confi rmation shall form an integral component of agreement. If the counterparty is a merchant entered in the commercial register, the counterparty must lodge a written protest with us about any variations within 14 days.

3. STAND RENT AND PACKAGES

The prices per square meter and/or packages specifi ed on the application form shall apply. Each initiated square meter shall be rounded up to the next square meter. The supports and columns shall be included.

4. OPENING HOURS

For visitors, opening hours shall normally be from 9:00 hrs to 17:00 hrs on the fi rst exhibition day and from 9:00 hrs to 16:00 hrs on the second; for the counterparty, normally continuously from 8:00 hrs to 17:00 hrs. These hours are subject to change.

5. SET UP

Set up shall normally take place on the eve of the exhibition from 10:00 hrs until 22:00 hrs. These hours are subject to change.

6. DISMANTLING

Dismantling shall normally begin with the end of the exhibition. The stand must be fully dismantled prior to 22:00 hrs on the last day of the exhibition. These hours are subject to change.

7. PLACEMENT

We shall endeavour to provide the counterparty the space provisionally foreseen under Section 2. In order to distribute the exhibition space in an optimal fashion, however, we may allocate the counterparty other space of the same quality, cate-gory and size.

8. STAND DESIGN / RENTING STAND EQUIPMENT

a) To assure a sound overall impression, we have determined guidelines for the stand design which shall be binding for the counterparty; these stand guidelines shall form an integral component of this agreement. The guidelines are reprinted in the service manual and may be viewed there.b) The construction, design and safety of the stand shall be the responsibility of the counterparty. They must meet applicable law and the technical guidelines of the exhibition

venue. If the stand construction is provided by the organizer due to the booked stand package, the organizer is responsible that the stand constructi-on is set up according to the Technical Specifi cations of the respective exhibition location.c) Presentations and displays of any type, the set-up of exhibitions and the distri-bution of advertising materials may only be made from the stand in such fashion that visual, acoustic and other nuisances do not arise for other (particularly neigh-bouring) stands, and that there are no impediments in stand and walkway spaces.d) In the event of any infringement of b) or c) above, we shall be entitled to request he counterparty to discontinue the breach. If the breach is not discontinued imme-diately, we shall be entitled in accordance with Section 17 b). In such event, a cont-ractual penalty shall further be due in the amount of 10-times the rent for the stand.e) The stands must be occupied by personnel during the opening hours pursuant to Section 4 and contain the exhibited objects.f) Any items rented to the exhibitor are intended only for the purpose agreed (for use at the exhibition stand during the event) and for the time agreed (during the event including as-sembly and dismantling). The exhibitor is liable for any damages to and loss of the rented items, even if these are caused by a third party. The exhi-bitor’s liability commences on delivery of the items to the stand and fi nishes when they are handed back to or collected by the stand construction company, even if the exhibitor has already left the stand. Any unreturned items will be charged at the price of replacing them. Similarly damaged items will be charged at the replace-ment price. Any adhesive substances used by the contract partner must be removed fully before the stand is returned. If this is not done, it will be judged as damage. g) Manual or direct sales, particularly of exhibited goods or samples, shall be pro-hibited. „Manual or direct sales“ shall mean any remunerative issue of goods or provision of services by the exhibitor on the fair grounds. Goods may only be issued free of charge. Different rules apply to publishers; inquire with us for information.

9. TECHNICAL SERVICES

The organizer shall provide the general heating, cooling and lighting. The costs, as long as not included in the booked stand package, for the installation of water, electrical and telephone connections to the stand, the services used and materials consumed shall be billed separately to the counterparty.

10. TERMS AND CONDITIONS OF PAYMENT

a) The rent for the stand shall be due in two equal instalments. The fi rst instalment will be invoiced to the exhibitor after or at the same time as the stand confi rma-tion and shall be due immediately. The second instalment shall be charged, at the earliest, three months prior to the start of the event and shall likewise be due im-mediately.b) Invoices regarding other, separately ordered deliveries and performances shall be due immediately as of the invoice date.c) In the event of default, the interest rate stipulated by law shall apply at the rate of 8 percentage points above the base interest rate applicable on the default date (§ 288 (2) of the Civil Code).d) For each reminder to the counterparty after the occurrence of default, we shall be entit-led to demand a lump sum of EUR 8.00. The counterparty shall retain the right to prove that no damage was incurred or that much less damage than this lump sum was incurred.

11. RESERVATIONS

a) We shall be entitled to postpone, shorten, close in whole or in part or cancel the exhibition if compelled to do so due to grounds for which we are not responsible (e.g. labor dispute) or in the event of force majeure. The compensation payable by the counterparty shall then be adjusted accordingly or shall no longer be applicable in the event of a full cancellation.b) If, in accordance with our experience, it becomes evident that the trade fair can-not have the desired success for the exhibitor due to suffi cient participation in the exhibition or due to unexpectedly weak visitor interest, we may cancel the trade exhibition. The corresponding declaration must be received by the counterparty two months prior to the planned start of the exhibition. In the event of a cancella-tion in due time, we shall not be obliged to compensate any expenses or damage.c) In the event of a cancellation of the trade exhibition, we must repay the counter-party any advance payment rendered by it.

12. RECLAMATIONSa) The counterparty must lodge a complaint about obvious material defects or the absence or elimination of warranted features in such due time that we can procure redress.b) Only if we have procured redressed within a reasonable period or if redress is not pos-sible or is denied can the counterparty, at its choice, terminate the contract without notice or demand an adequate reduction of the compensation.c) Payment claims due to termination without notice or reduction of the rent shall lapse within 6 months after the origination thereof, except in the event of intenti-onal action.

13. JOINT LIABILITY

a) We shall be liable in accordance with the provisions of law for any injury to life, limb or body. With respect to any slightly negligence breach of contractual duties, our liability shall be limited to the damage typically foreseen in contracts. This shall not apply if a breach of material contractual duties is concerned.b) If our liability is excluded or limited in accordance with the above provisions, this shall also apply to the personal liability of our employees, collaborators and other vicarious agents and representatives.c)We have taken out cancellation insurance against common insurable risks, such as fi re, break-in, theft, water damage, etc. The counterparty shall be free to have risks covered by applying at its own cost using the form foreseen for this purpose in the Technical Documentation.

14. SUBLETTING/PROHIBITION OF ASSIGNMENT

a)Without our approval, the counterparty shall not be entitled to provide the stand alloca-ted to it in whole or in part to a third party for use, particularly to sublet it or accept orders for other companies, unless the third party is a co-exhibitor (=a party appearing at the stand of the counterparty with its own personnel and a range of products) or a represen-ted company (=a party not appearing at the counterparty‘s stand with its own personnel but indeed appearing with its own product range in order to have the counterparty offer such products). The counterparty must inform us in writing in due time regarding the person of the third party. The counterparty shall be liable to us for any breaches by the third party and that the general terms of contract is also valid for and accepted by the third party. Co-exhibitors and repre-sented companies are only such companies which are reported expressly in written form to the organizer with the separate form “Co-exhibitors and represented com-panies” from the application form or the exhibitor manual online as co-exhibitors or represented companies.b) The counterparty may not assign any claims against us to a third party.

15. SET-OFF/RETENTION

The counterparty shall only be entitled to set off claims if its counterclaims are undisputed or recognized by non-appealable judgment. This shall apply if the coun-terparty is a merchant entered in the commercial register.

16. LIEN

To secure our claims, we hereby reserve the right to exercise a lessor‘s lien and to have the object under lien sold after written notice pursuant to the provisions of law.

17. EARLY CESSATION OF LEASE AGREEMENT

a) Early cessation of the lease agreement shall only be possible with our approval. If the lease agreement is ended early, the counterparty shall remain obliged to pay us the full stipulated rent for the stand as damage compensation in lieu of performan-ce. The coun-terparty retains the right to prove that no damage was incurred or that much less damage than the stipulated rent for the stand was incurred.b) We shall have the right to terminate the stand lease agreement without notice if insolvency or composition proceedings or comparable proceedings in the legal sys-tem of the counterparty‘s country of origin are petitioned for or initiated concerning the assets of the counterparty or if it is no longer reasonable for us to adhere to the agreement due to the conduct of the counterparty. It shall „no longer be reasonable for us,“ for example, if the counterparty is in default with a not insignifi cant portion of its payment obligations towards us or the counterparty repeatedly breaches its other contractual obligations. In

the event of termination without notice, we shall also be entitled to demand compensation from the counterparty of the damage in-curred by us due to the conduct of the counterpar-ty entitling us to terminate the agreement without notice.

18. COUNTER-TRADES WITH SPECIALTY PUBLISHERS

a) If the counterparty is a specialty publisher, we may reserve the right to request in lieu of the normal rent for the stand advertisements in the publications of the specialty publisher with the corresponding countervalue. The parties shall invoice each other for their perfor-mances and may set off the mutual claims.b) Should an event for which the specialty publisher is booked not take place for one of the reasons mentioned in Section 11, we may cancel in writing the advertise-ments ordered from the specialty publisher as a result of the event and shall thereby be free of all obliga-tions to provide consideration for these cancelled orders. If it is no longer possible for us to cancel the ad orders in such cases, we shall be obliged to provide the specialty publisher a stand at another event with the corresponding countervalue of the ads that can no longer be cancelled. No payment for the ads need be made in such case.

19. PLACE OF PERFORMANCE AND JURISDICTION

Stuttgart, Germany shall be the place of performance and jurisdiction, provided the coun-terparty is a merchant entered in the commercial register or is a legal person in public law or a special public fund or has no general place of jurisdiction in Ger-many. We shall also be entitled to assert claims before the court competent for the registered offi ce of the counterparty. Any exclusive place of jurisdiction shall not be prejudiced hereby.

20. PRIVACY POLICY

The counterparty approvingly takes note that we store, transfer, alter and delete personal data in the terms of the federal data protection act, insofar as such data are necessary to process the business relation with ourselves. Data shall be trans-ferred to the companies involved in organising the exhibition only. Postal and email addresses and company details will be used to send out information about future untitled exhibitions events by post or by email. The counterparty may forbid at any time the use of their data for advertising purposes.

21. IMAGES, VIDEOS OR SOUND RECORDINGS

The organizer has the right to create videos, photographs, sound recordings, and drawings of display stands or individual exhibits for documentation purposes or for publication, on the Internet and for advertising purposes in particular, or have them created. This right also applies to the persons photographed or recorded.

22. MISCELLANEOUS PROVISIONS

a) The following shall form integral components of agreement: the building rules and the organizational, technical and other provisions viewable in the service ma-nual sent to the exhibitor before the start of the event.b)All covenants reached with us must be made in writing. This shall also apply to the simplifi cation or rescission of this requirement for the written form.c) Should any provisions of our agreement with the counterparty or other covenants with the counterparty or these general terms and conditions of contract be or be-come invalid in whole or in part, the other provisions of the agreement or other covenants or these general terms and conditions of contract shall not be affected.
