Passage Healthcare was founded in 2013 by Andrew Turner and William Lasky, two of the most experienced operators of health facilities for Older People in the world.

Together they have managed well over 2000 different facilities in nine countries with a combined 75-plus years of experience in the post-acute care industry.

Mr. Turner and Mr. Lasky have collectively raised over $5 billion of capital between them in purchasing and constructing senior care facilities.

Passage Healthcare International (Ireland) Limited was established in 2016 and aims to bring a high quality, international expertise and approach to operating Health and older people care facilities.

Our success relies on locating good quality homes and facilities and leading them into today’s ever-changing technology-enhanced and compliance-regulated market. Ireland remains one of the developed world’s only disjointed older people care markets, the “mam and dad” model of singular family run nursing homes across the island is unsustainable and lacks the capacity to meet the changing needs of today’s aging population.Adding to this failed model for future requirements has been government tax breaks policies, the economic crash of 2007 and resultant repossessions and/or lack of reserves in small inefficiently managed facilities to maintain the highest of standards required to care for our older people.

Our Executive TeamAndrew L Turner (Principal, Managing Director and Board Chair)Mr. Andrew Turner has been involved in the elder care industry since 1974 and has helped to guide and shape best-in-class global practice. In more than 40 years of gerontology and care, Mr. Turner has operated over 1600 different facilities, more than any other individual in the world today.

With an acknowledged track record in creating successful high quality residential living opportunities around the world, his expertise in elder care and memory care is significant.

Key experience:

*In 1989, Mr. Turner founded Sun Healthcare Group, operating in nine different countries with 600 acute, rehabilitation and long-term care facilities as well as related pharmacy and medical supply companies

*Operating 400 long-term care facilities in the United States as COO of Hillhaven.

*In 1986, he founded Horizon Healthcare, a company with 300 long-term care hospitals throughout the US.

Ronan Collins (Principal, Director and Executive Vice President)Ronan has worked across banking, finance and private wealth sectors building up a wealth of experience while working on a range of structured finance projects, securitization funds ($300-450 million under management) and Private Equity deals across multiple jurisdictions and is currently involved in the Funds, Healthcare and Financial consultancy industries. *Appointed Chair of a Luxembourg securitization company with $400m in assets at a time of huge regulatory issues in Luxembourg, Ireland and the UK. Over a 3-year period restructured the fund to achieve above market returns for its 4,000 investors.

William Lasky (Principal)Mr. William Lasky has owned and operated senior living and senior care facilities in 40 US states for more than 30 years.

He grew from a start up to the then largest publicly traded assisted living company with 475 facilities. He developed and built 300 of those facilities from the ground up with 30,000 employees and $800 million in annual revenue. He has served in anumber of executive and management roles with several companies, including AlterraHealthcare and EnduraCare Therapy Management, and he is the former chairman of the board for The Assisted Living Federation of America.

Sheila King (Chief Operating Officer and Director) Sheila is a vastly experienced health industry executive with deep understanding of public and private health systems. With over 20 years of experience in health and social care organizations – Britain’s statutory, private and voluntary sectors including two of the largest care operators – Sheila is uniquely placed to provide leadership in Older people health care. She believes the role of quality healthcare is to support people to live independently for as long as possible by maximizing the capacity of individual and community social support systems. Sheila is driven by a passion to deliver excellent care and treatment to all while maintaining the highest clinical, professional and ethical standards and delivering exceptional value to commissioners.

Key experience:

*Director within the Priory Group where Sheila increased occupancy levels by 6% plus within regions ofresponsibility and further increased EBITDAR while reducing costly embargos and agency staff usage to bring the business to an overall increased market strength both financially and from a care giving perspective.

Working within a senior role at Four Season’s Group Sheila introduced a program to train DON’s to be financially aware, increased occupancy levels, reduced costs and brought the operating profit of her area of responsibility to 32%.

With dual accountability and responsibility for directing, coordinating and evaluating all current and future operations of Passage Healthcare, Sheila oversees the operation of the business through the continuous improvement of quality, cost and access to care by the facilities. Providing overall direction, she will lead all future growth sectors that the Company enters and ensure that the Company maintains its objective in growth of overall market share. The COO role also includes key development work: the identification, creation and development of standardized processes and procedures to ensure the integration of newly acquired facilities and the delivery of high quality care that is scalable as the organization grows. Audrey will work collaboratively with other system and international executives on matters pertaining to care management, quality improvement, physician relations, managed care, business strategy, finance, human resources, legal, risk services, and compliance.

The COO will provide overall direction for all business departments including:

• develop goals and objectives consistent with the Company mission;

• establish a written organizational plan that reflects the management functions and organizationalrelationship of the assigned departments;

• develop, implement, and evaluate the personnel, supplies/equipment, and capital budgets for assigneddepartments in conjunction with relevant departmental heads;

• define departmental policies and procedures, and assist management personnel in their development andimplementation;

• provide guidance and direction to the management staff on issues of staff management, budgetimplementation and professional practice;

• develop a staffing plan that provides guidelines for the optimal utilisation of personnel, in accordance withestablished parameters.

In Ireland, the population of those aged 65 years and older has been increasing at a faster rate than that of our EU neighbors. As a result, Ireland is now exhibiting similar demographic trends to those prevalent in other European countries. Healthcare planners plan on the basis that 4.5% of the population aged 65+ will have a requirement for long-term residential care. This cohort alone, in Ireland, is due to increase by 38% by 2021. However, a new and emerging trend in Ireland’s demographic profile is the substantial increase that is taking place in our population over 85 years. This group is forecast to increase by 46% in the same period. The levels of frailty and complexity of the medical needs for those of that age increases, prompting a greater and often essential need for residential care. The current estimates for Ireland indicate that approximately 22% of our over 85’s require long-term care.

Currently, the market is undergoing a period of expansion, largely driven by the private sector. While public a n d not-for-profit facilities continue to dominate in some European Countries, their role has diminished in recent years. The Village Nursing Home

Currently there are 540,000 people aged 65+ in Ireland which accounts, for 12% of the total population. This is set to rise to 1.4m, or 22% of the total population, by 2041 (Central Statistics Office, 2013). While the projected changes in the population aged 65-and-over are striking, changes for the group aged 80 and over are even more dramatic. Over the same thirty-year period, the number of people aged 80 and over in Ireland is projected to rise from 130,600 to 458,000 – an increase of 250%. Ageing on this scale is unprecedented in Irish history (The Irish Longitudinal Study on Ageing (TILDA), 2014).
