TO

DEVELOP, OPERATE, MAINTAIN &

MANAGE INTEGRATED SOLID WASTE MANAGEMENT CENTRE (ISWMC)

1. Introduction Delhi International Airport Limited (“DIAL”), a company registered under the Companies Act, 1956, is a public private partnership venture, with equity participation by the GMR Group, Airports Authority of India (“AAI”) and Fraport AG Frankfurt Services Worldwide, has been granted concession by AAI vide an Operation, Management and Development Agreement dated April 4, 2006 to operate, maintain, develop, design, construct, finance, upgrade, modernize and manage Indira Gandhi International Airport, New Delhi (“IGIA”).

DIAL intends to “Develop, Operate, Maintain and Manage the Integrated Solid Waste Management Centre (ISWMC)” at IGIA (“Project”).

2. Scope of EOI In order to facilitate the implementation of the Project, DIAL invites submission of Expression of Interest (“EOI”), through this Invitation for Expression of Interest (“IEOI”) from interested parties (“Interested Party/ies)”), who satisfy the eligibility criteria set forth under the Eligibility/ Pre-Qualification Criteria and wish to qualify to tender for the Project, as Qualified Bidders.

Interested Party is invited to submit the EOI for entire Scope of Work, as mentioned in Annexure IV of this IEOI.

3. Brief Overview of the Bidding Process

3.1 In respect of the Project, DIAL has adopted a two-stage competitive bidding process (collectively referred to as the “Bidding Process”) for selection of the successful bidder for award of the Project (“Successful Bidder”). The Successful Bidder shall be invited for implementing the Project.

3.2 Qualification Stage: The first stage (“Qualification Stage”) of the Bidding Process

involves shortlisting and qualification of Interested Parties, who have submitted their EOI to undertake the Project in accordance with the provisions of this IEOI. In the Qualification Stage, the Interested Parties would be required to furnish all the information specified in this IEOI. DIAL shall receive the EOI, pursuant to this IEOI in accordance with the terms set forth herein, as modified, altered, amended and clarified from time to time by DIAL. Each EOI shall be prepared and submitted in accordance with terms of this IEOI, on or before the Due Date for submission of EOI. At the end of the Qualification Stage, DIAL shall shortlist the qualified bidders (“Qualified Bidders”), who shall be eligible for participation in the second stage of the Bidding Process (“Bid Stage”).

3.3 Bid Stage: The second stage of the Bidding Process shall comprise of the Request for

Proposal (“RFP”). At the initial level of the Bid Stage, the Qualified Bidders shall be called upon to submit their bid in respect of the Project, the details of which and the requirements whereof shall be more particularly set out in the RFP (“Bid”). Pursuant to participation of the Qualified Bidders in the Bid Stage, DIAL intends to select 1 (one) Successful Bidder, who shall undertake the implementation of the Project in accordance with the provisions of the definitive agreement/s executed between DIAL and the Successful Bidder.

4. Eligibility of Interested Party/ Pre-Qualification Criteria

4.1 IEOI is open to all valid legal entity under the existing laws of India or a foreign company duly incorporated under applicable legislation in the country of its incorporation.

4.2 Interested Party, on its own or through its Affiliate, may satisfy the Pre-Qualification Criteria,

under this IEOI. For the purpose of this IEOI, Affiliate shall mean “with respect to an entity, mean any person who, directly or indirectly: (i) Controls the entity; or (ii) is Controlled by the entity; or (iii) is Controlled by the same person who, directly or indirectly, Controls the entity; and Control shall have the same meaning as ascribed to the term under the (Indian) Companies Act, 2013; and “Controlling” and “Controlled by” shall be construed accordingly.

4.3 Interested Party may be a single entity/ joint venture/ consortium of companies.

4.4 Interested Party must mandatorily possess the requisite expertise, experience and financial capability to undertake the Scope of Work and should describe their expertise, experience and financial capability in the EOI. Interested Parties shall be required to submit necessary documents, in support with their qualification and experience, as listed hereunder:

*Please submit copies of the documents, as the case may be. ** The year shall mean and refer to the calendar year (1st January to 31st December) or the financial year (1st April to 31st March) as followed by the Interested Party. The number of years for the purpose of satisfying the Pre-Qualification Criteria shall be accordingly determined In addition- (a) Components/ Equipment to be deployed at the processing and treatment facility

should comply with approved/minimum Technical Standards as per International Electro-Technical Commission (IEC) and Bureau of Indian standards (BIS) or technical standards that are specified by Ministry of New & Renewable Energy (‘MNRE’)/ Ministry of Power (‘MoP)/ Ministry of Urban Development (‘MoUD’) as amended from time to time.

(b) The Interested Party must comply with and abide by the Solid Waste Management

Rules, 2016 and other acts, rules that may be imposed by Government Agencies/ Police and Control Board (PCB)/ Courts from time to time.

(c) All the relevant regulations/stipulations/guidelines etc. given by Central Public

Health and Environmental Engineering Organisation (CPHEEO)/ Integrated Plant Nutrient Management (IPNM) Task Force Report or any other scheme of State or Central Government must be met by the Interested Party.

4.5 The following parties would be disqualified/ debarred from applying:

a) Any entity which has been barred by the Central/ State Government, or any entity

controlled by it, from participating in project of similar nature, and the bar subsists as on the date of the application, would not be eligible to submit application.

b) In the last 5 (five) years, the Interested Party, should have neither failed to perform its obligations under any contract, as may be evidenced by imposition of a penalty by an arbitral or judicial authority or a judicial pronouncement or arbitration award against the Interested Party, nor has been expelled from any project or contract by any public entity or have had any contract terminated by any public entity for breach by such Interested Party.

c) A person black-listed/ barred by DIAL or AAI or any governmental authority in the past 5 (five) years from participating in any open/ competitive bidding/ tendering/ other contracting processes conducted by DIAL or AAI.

d) Has against it any pending litigation or proceedings, before any court or authority, in relation to bankruptcy, insolvency, liquidation, dissolution or winding-up; or is declared a sick company.

e) A person (including its promoters, directors, partners, beneficial owners or senior management or Affiliates) who is or has been either directly or indirectly involved in any pending or previous litigation, dispute or breach of contract with DIAL or AAI which would prejudicially impact the performance in relation to the definitive agreements that may be executed for the implementation of the Project.

f) Has materially breached its obligations under any past and/ or existing agreement(s) with DIAL or any governmental authority;

g) A person otherwise disqualified from participating in the bidding process.

4.6 The Interested Party shall bear all costs associated with the preparation and submission of its EOI and DIAL will, in no case, be responsible or liable for such costs.

4.7 In case of consortium/ joint-venture participating in this IEOI, the consortium/ joint-venture

must nominate one lead member. The lead member of the joint-venture must hold 51% or more equity and voting rights in such joint-venture and shall on its own satisfy the conditions applicable to joint venture.

4.8 In the event an Interested Party intends to form a consortium it shall provide details of such

consortium members and attach a memorandum of understanding/ joint venture agreement it has entered into with consortium members.

4.9 Every joint-venture partner/ consortium member shall be jointly and severally responsible and liable for satisfying the eligibility criteria, under this IEOI. No Interested Party or a member of consortium/ joint venture shall apply or participate, independently or through other consortium/ joint venture, in the submission of more than one (1) EOI.

5. Qualified Bidder

EOI received from Interested Parties, who are eligible as per para 4 and who are not debarred in accordance with para 4.5 shall qualify for Bid Stage.

6. Amendment of IEOI

6.1 At any time, DIAL may, for any reason, modify or amend the IEOI, including the timelines specified in the IEOI, by issuance of one or more addenda or amendments. Such addenda or amendments shall be posted on DIAL’s website. In order to give Interested Party reasonable time to take the above amendments into account in preparing their EOI, DIAL may, at its discretion, extend the Submission Deadline. Please check DIAL’s website up to the Submission Deadline for any update or notification.

6.2 DIAL reserves the right to change and/ or cancel the basis of or procedure relating to prequalification criteria and tender process without any prior notice or without assigning any reasons whatsoever and in such case no Interested Party shall have any claim arising out of such action. It also reserves the right to decline to discuss further with any party expressing interest. No reimbursement of cost of any type shall be paid to persons or entities expressing interest. Any decision taken by DIAL in this regard shall be final and binding on the Interested Parties. The IEOI does not give rise to any rights and is not an offer or an invitation to offer.

7. Submission of Expression of Interest

7.1 The EOI together with the above particulars and other information must be submitted in a sealed envelope to the address mentioned below, latest by 17:30 hours IST on or before

November 08, 2019 (“Submission Deadline”) and be clearly marked “Expression of Interest to Develop, Operate, Maintain and Manage Integrated Solid Waste Management Centre (ISWMC) at IGI Airport, New Delhi”.

7.2 The Interested Party is required to submit, along with EOI, salient features of the proposed

technology for treatment and processing of solid waste management, with least rejects post treatment adhering to applicable disposal standards laid out by relevant Government agencies as per prevailing regulations of pollution control and solid waste management requirements.

7.3 Any submissions made by any Interested Party after the Submission Deadline shall be

rejected as non-responsive. DIAL reserves the right to change the Submission Deadline, at its discretion.

7.4 Each of the envelope shall be addressed to:

7.5 DIAL shall not be responsible for the loss, late receipt or non-receipt of any submission sent by an Interested Party by post or courier.

7.6 If the envelope is not sealed and/ or not marked as instructed above, DIAL assumes no responsibility for the misplacement or premature opening of the contents of the application and consequent losses, if any, suffered by the Interested Party.

7.7 Interested Party may note that mere submission of EOI and/ or submission of additional information do not automatically entitle them to any claim.

7.8 After the Submission Deadline, up to the time of issuance of the RFP to the Qualified Bidders, the Interested Parties should not contact DIAL on any matter related to its application for EOI. Any effort on the part of the Interested Party to influence DIAL in the examination, evaluation of application for EOI and recommendation for selection as Qualified Bidders may result in the rejection of the application for EOI.

8. Queries/ Clarifications relating to IEOI/ EOI

8.1 DIAL may invite one or more Interested Party for discussions or making detailed presentation on the models proposed by such Interested Party in its EOI.

8.2 The Interested Parties may send in their queries, before the Submission Deadline, to

9. Right to Accept or Reject EOI

9.1 DIAL reserves the right to verify all statements/ information submitted to confirm the Interested Party’s claim on experience and to assess the Interested Party’s capability and capacity to perform the contract should the circumstances warrant such an assessment in the overall interest of the Project.

9.2 DIAL reserves the right to reject any EOI if:

a) at any time, it is found that the Interested Party has made any misstatement or

misrepresentation of facts, or b) the Interested Party does not provide, within the time specified by DIAL, the

supplemental information sought by DIAL for evaluation of the application.

9.3 It is clarified that DIAL reserves the right to disqualify an Interested Party from participation in the IEOI/ bidding process, in case DIAL becomes aware of any facts or circumstances, which would have rendered the Interested Party liable for disqualification under the qualification stage.

9.4 If such rejection occurs after the Submission Deadline and all or most of the Interested Parties get rejected, then DIAL reserves the right to:

a) extend the Submission Deadline to invite more Interested Parties; or b) take any such measure as may be deemed fit in the sole discretion of DIAL, including

annulment of the application process.

9.5 Notwithstanding anything contained in this EOI, DIAL reserves the right to accept/ reject the submissions made by any one or more of the Interested Parties/ or discontinue, withdraw or annul any part or whole of the prequalification process, reject all such submissions at any time, without any liability or any obligation for such acceptance, rejection or annulment without any reasons.

10. Request for Proposal

Based on the details furnished in the EOI by the Interested Party and as per the evaluation by DIAL, DIAL may issue the RFP document(s) to the Qualified Bidders, at its sole discretion. DIAL will dispatch the RFP document(s) by authorized e-mail id, but under no circumstances will DIAL be held responsible for late delivery of loss / non-receipt of the RFP document(s).

11. Acknowledgement by Interested Party

It shall be deemed by submitting the EOI, the Interested Party has:

a) Made a complete and careful examination of this IEOI, scope of work and associated risks thereto;

b) Accepted the risk of error, inadequacy or mistake in the information provided in this IEOI by or on behalf of DIAL; and

c) Agreed to be bound by the undertakings provided by it and in terms hereof.

12. Governing Law All matters relating to the application and/ or bidding process shall be governed by the law of the Republic of India. Only courts at New Delhi (with exclusion of all other courts) shall have the jurisdiction to decide or adjudicate on any matter, which may arise.

1.1 This invitation for expression of interest document (“Invitation for EOI”) has been prepared and issued by Delhi International Airport Ltd. 1.2 Whilst this Invitation for EOI document has been prepared in good faith, DIAL shall have no responsibility or liability whatsoever in respect of any statements herein or omissions here from. 1.3 DIAL expressly disclaim any and all liability for representations, warranties or statements contained in this Invitation for EOI document or in any other written material furnished or information orally transmitted to a interested party, excepting only those particular representations and warranties by DIAL, which will be made to the actual contracting party in a written agreement when, as and if such agreement is ultimately executed, and subject to such limitations and restrictions as may be contained therein. Until such written agreement is executed, neither DIAL nor any of its affiliates, or its or its affiliates' directors, officers or employees will have any obligations whatsoever to any interested party.

1.4 DIAL reserves the right in its sole and absolute discretion to consider any and all factors it deems relevant in the evaluation of any Expression of Interest; to reject any and all Expressions of Interest for further consideration without specifying the reasons therefor; to amend this process (including the instructions set out in this document); and, to terminate this process in its entirety (or with respect to any prospective investor) at any time from the date of this document without notice and without specifying the reasons therefor. Neither DIAL nor any of its affiliates or its or its affiliates' respective directors, officers or employees shall have any liability to any interested party as a result of the rejection of its Expression of Interest or acceptance of another Expression of Interest.

SCOPE OF WORK

A. Scope of Work for the Project:

Develop, Operate, Maintain and Manage an Integrated Solid Waste Management Center (ISWMC) for a capacity of 20 TPD (10 TPD biodegradable (food and grass) & 10 TPD non-biodegradable) upgradable to 40 TPD which includes: - Waste Processing & Treatment technology for generation of biogas, compost, any other

fuel and electricity etc. - Value Recovery from Material Recovery Facility (MRF) with automated weighment

system at the site for materials such as – Plastic, Paper, Can/Aluminum, Glass etc. - The agency will develop, operate, maintain and manage necessary infrastructures

including plant, building, machinery and other necessary utilities for the agreed period.

The Interested Party shall provide the following information while submitting their EOI in a booklet format (spiral binding)-

1. The Interested Party shall submit a proposal and facility & process layout for Integrated Solid Waste Management Centre for the above given scope of work. The proposal will include-

5 Mention proposed business models – Finance, Build, Operate, Manage, Own/ Transfer etc., Viability gap funding, Revenue Sharing etc. for the ISWMC covering the above scope of work taking account of capital investment, O&M and revenue from value creation. All the revenue sources shall be specified. However it will be evaluated during the RFP stage as well.

In addition:

1. The expense incurred for Water and Electricity consumption during the period of Construction and O&M of the plant will be the responsibility of the Interested Party. It can be incorporated in the proposed business model as a cost.

2. Ensure that the ISWMC meets stipulated pollution norms and guidelines and that the solid waste is handled and managed in compliance with the Solid Waste Management Rules 2016 or its subsequent amendments and the guidelines of the manual on solid waste management published by CPHEEO, State and or Central Pollution control Boards, DIAL, including any other Government requirements.

3. The Interested Party will obtain necessary statutory clearances/permissions. Ensuring compliance with the statutory requirements shall be the responsibility of the Interested Party during construction and operation of the Centre for the agreed timeline.

4. Interested Party are advised to visit and examine the site where the works are to be carried out and it’s surrounding with prior arrangement and obtain on their own all information and satisfy themselves as to the conditions prevalent there with respect to execution of works as per the scope of work. No claim in this regard, whatsoever on any account shall be entertained by DIAL under any circumstance.

5. The Interested Party may carry out waste characterization study in order to submit a proposal.

B. DIAL’s roles & responsibilities: DIAL will support and facilitate the following for installation, commissioning, O&M of the ISWMC at the Airport-

The selected agency post EoI and RFP process, will receive partially segregated waste at designated places in the terminal, airside and city side.

The land will be provided by DIAL and the agency will set up the ISWMC at the land provided by DIAL for the concession period as per the agreed business model.

The proposed land is adjacent to STP. DIAL has 16.6 MLD STP for waste water treatment, hence the requirement of waste water treatment of the “Project” scope need not to be considered.

Land area that is allowed for use for setting up the processing facility will remain Property of DIAL all the time.

DIAL will allot land for the project at free of cost, there will be an agreement between DIAL and the agency for the land and for the scope of work.

DIAL will ensure proper coordination with selected agency and other stakeholders for execution and O & M of the project.
