Sub: Request for proposals (RFP) for obtaining consultation service as a vetting consultant for theHVAC System for expansion ofORS production facility at SMC EL's premises in Bhaluka,Mymensingh

Dear Sir:

SMC Enterprise Limited (SMC EL) needs to commission commercial production from expansion of8, 9, 10th lines of ORS production facility at SMC EL's premises in Bhaluka, Mymensingh.Considering the time constraint of commissioning commercial production from expansion of 8, 9,io" lines of ORS production facility, SMC EL decided to engage a design-build HVAC contractorsfor desi~ning, supplying, installing, commissioning, and testing of HVAC System for expansion of8,9, io' lines ofORS production facility at SMC EL's premises in Bhaluka, Mymensingh.

SMC EL needs to design-build HVAC system of area 10,000 SFT class D, about 10,000 SFTclass Controlled not classified (CNC) i.e. human comfort at 1st floor and Ground Floor area.

SMC intents to obtain consultation service as a Vetting Consultant for the subject work. A CV ofHVAC designer who will render consu tation service as a vetting consultant for the subject workmust be submitted without which the proposal will be rejected.

A. Scope of work of Vetting Consultant is given below:

1. To review Layout Plan, Room Data Sheet (RDS), Equipment Schedule and Manpower Scheduleprovided by SMC EL.

2. To review and do technical evaluation of preliminary BOQ (Schedule of items of works and billof quantities), general technical specification, equipment schedule/ data, computer selection data,preliminary Design & drawing of HVAC System considering Room Data Sheet includingparameters in clause # A-I above, RH control, Temperature control, dust control, Pressure gradient,option for fresh air etc for tender/ re-tender submitted by design-build HVAC contractor in shorttime.

3. To prepare and submit Technical Evaluation Report for tender/ re-tender in short time for engaginga design built Contractor.

4. To review and suggest improvement of revised BOQ (Schedule of items of works and bill ofquantities), general technical specification, equipment schedule/ data, computer selection datasubmitted by SMC EL engaged successful design-build HVAC contractor in light of detailedDesign & drawing of HV AC System considering Room Data Sheet including parameters in clause #A-I above, RH control, Temperature control, dust control, Pressure gradient, option for fresh airsubmitted by design-build HV AC contractor in short time.

5. To review and approve Shop drawings supplied by the design-build HV AC contractor for tender/re-tender.

6. Site visit/supervision! Meeting at Head Office: Monthly average total two visits to site one visit toHead Office of SMC EL.

7. Checking and approving Proforma Invoice (PI) submitted by design-build HVAC contractor inshort time ensuring least wastage of imported materials.

8. To do Validation (For "D" Class), Qualifications Protocol and Documentation (validationequipment will be supplied by design-build HVAC contractor, validation will be done by the vettingconsultant; protocol and documentatiqu regarding Validation and Qualifications shall be done by thevetting consultant). If required by regulatory body such Drugs Administration etc the vettingconsultant to do Validation in any "CNC" class area, Validation, Qualifications, Protocol andDocumentation, the vetting consultant shall do it. Otherwise, ORS factory personnel of SMC EL willdo Validation, Qualifications, Protocol and Documentation in "CNC" class area.

Part-I: To prepare validation protocol for HVAC System Validation with followingdocumentation and execution:

Preparation & Execution of Validation (For "D" Class) Protocol as:I. Design QualificationII. Installation QualificationIII. Operational Qualification- HEPA Filters DOP / PAO Test Carried out byContractor.IV. Performance Qualification - Executed by QC Department of ORS factory ofSMC EL.

Part-II:a) Pressure gradient between inner corridor and production room/ Processing room.Pressure of air of inner corridor will be higher than production room/ Processing room.b) Fresh air management (5-10%)c) Compiling and preparation of Operational and maintenance manual

In connection with Validation, for hardware defect, the vetting consultant will not be responsible.

9. To take over projects from the submitted by design-build HVAC contractor with certificationsbefore the final payment by the Consultant to be engaged.

11. To approve the As-built-drawing submitted by submitted by design-build HVAC contractor.Checking, Review & Correction Design of Controls & BMS Design.

Please note that renting well calibrated validation equipment is to be accommodated in the design-build HVAC contractor's BOQ with list of equipment necessary including with the documentaryevidences in favor of recent calibration from well-known most reputed accreditation body. Thedesign-build HV AC contractor will bear cost of renting all necessary equipment for validation.

B. Scope of work of SMC Enterprise Limited is given below:

1. To Provide Layout Plan, Room Data Sheet, Equipment Schedule and Manpowerprovided by SMC EL.

2. To open irrevocable letter of credit (LC) for foreign currency part in favor of Principal(s) ofdesign-build HVAC contractor and pay.

The followings shall be borne by SMC EL:a) Taxes & duties on imported materials b) pre-shipment inspection charge c) insurance for importedmaterials and d) carrying charge from Chittagong port to Bhaluka

3. To pay design-build HVAC contractor for local currency part as running account bill within 21days of submission.

4. Brands for Chillers (Screw or scroll type with 2 to 4 compressors) including FCU Daikin, McQuay,Trane, YORK manufactured and shipment from UK, USA, Germany, France, Japan

5. Brands for Dehumidifier Bry-Air manufactured and shipment from Malaysia, and brands for AHUSaiver manufactured and shipment from Malaysia, Brands for DX condensing unit including VRF, SplitAC Acson manufactured and shipment from Malaysia.

6. SMC EL will install power line to control panel(s)[one control panel is preferable] of the design-buildHVAC contractor provided that immediately after detailed design by SMC EL engaged design-buildHVAC contractor, KW requirement of HVAC system with detailed breakdown in MS Excel.

7. SMC EL will provide power supply at control panel(s) of the design-build HVAC contractor 3 phase380 to 390 Vac, 50 Hz with phase to phase voltage difference maximum 10 Vac after line loss from thepower substation of SMC EL[At power substation of SMC EL, power is 3 phase 400 to 415 Vac, 50 Hz with phase to phase voltagedifference maximum 10 Vac, existing two three HVAC systems are running under this power]

F. AWARD CRITERIA

1.1Award Criteria1.1.1 The offer shall be evaluated on the basis of marks obtained through Technical

and Financial Evaluation giving 60% weight on Technical aspects and 40%weight on Financial aspects. The consulting firm obtaining highest marks inabove manner might be considered to award the work through contract. Thetechnical proposal will be evaluated and weighted on the basis of the followingcriteria:

Full Marks : 100 ,Qualifying Marks: 75

Marking basis of Technical Evaluation shall be on the basis of the followingparameters:

i) Experience ofthe vetting consultant to be engaged (50 marks).

ii) Ability and willingness of the vetting consultant to be engaged tocomplete the job within short time (20 marks).

iii) Experience in preparing and executing do Validation (For "D" Class),Qualifications, Protocol and Documentation (20 marks).

iii) Responding to phone calli call back by vetting consultant to be engaged,willingness to give time for having meeting with SMC EL Managementon time and willingness to give time in this project (10 marks).

For evaluation of the bid 60% of the total marks acquired in technical evaluationwill be considered.

The Owner will award the contract to the bidder who will acquire maximummarks out of the financial offer and technical evaluation. 60% of the mark

acquired in technical evaluation and 40% mark acquired in the financialevaluation shall be considered. Lowest bidder in financial offer will be given 100marks in financial evaluation and other bidders will be given marks on proratabasis. (Example: - Lowest amount x 100 / amount of the higher bidder = marks ofthe higher bidder).

1.1.2 If the Owner feels that the lowest evaluated price is high, the Owner maynegotiate with the lowest bidder to bring down his price to the acceptable limitof the Owner for award of work.

1.1.3 However, Social Marketing Company reserves the right to accept or reject anyor all the proposals without assigning any reason whatsoever.

G. GENERAL CLAUSES

1. All disputes, differences and claims arising out of or in connection with this agreement or inrelation thereto shall be resolved through arbitration. Each party shall appoint its own arbitratorand the arbitrators so appointed by the parties shall appoint a third arbitrator who shall act as theChairman of the Arbitral Tribunal. The award passed by the Arbitral Tribunal shall be final andbinding upon the parties. The arbitration shall be governed by the Arbitration Act, 2001. Thevenue of the arbitration shall be at Dhaka, Bangladesh. The language of the arbitration shall beEnglish.

2. If any work(s) is required by SMC EL to do by the vetting consultant beyond his scope of work,SMC EL will pay him additional amount upon mutual acceptance.

3. SMC EL may override any decision of the vetting consultant, vetting consultant shall not beliable for such overriding decisions.

4.COMPLETION TIME E:*pected time for completion: 8 month

PENALTY.

In case of delay in completing the work within thementioned time, up to 15 days delay 5% will bededucted from the bill. Inordinate delay will makethe order liable for cancellation. The consultant to beengaged can request for time extension and waivepenalty on genuine ground.

VALIDITY Validity of offer should be at least 90 days from thedate of submission.

PA YMENT PROCESS The bill will be paid after 21 days after submission

TAx/VAT Applicable VAT/ Taxes will be deducted at sourcefrom the bill as per Govt. rules.

PERFORMANCE BOND The vetting consultant shall have to furnish aperformance bond in form of bank guarantee in

favor of SMC Enterprise Limited amounting 5%(five percent) of total quoted amount from ascheduled bank of Bangladesh with initial validity 12(twelve) months extendable up to successfulcommissioning and must be submitted within 7 daysfrom issuance of Letter of Acceptance and beforeissuance of PO or signing Contract.

DRAFT OF BANK Draft of all bank guarantees shall have to beGUARANTEE approved by SMC/ SMC Enterprise Limited prior to

preparation and submission.ENHANCEMENT OF RATES No claim for enhancement of rates shall be

entertained due to price escalation or any otherreason except for increase of AIT & VAT due tochanges in legislation.

VALIDITY Validity of offer should be at least 90 days from thedate of submission.

PAYMENT PROCESS The bill will be paid within 21 days after submissionafter completion of work.

TAx/VAT Applicable VAT/ Taxes will be deducted at sourcefrom the bill as per Govt. rules.

H. OTHERS:

(a) RFP will be available from 02-13 October 2016 during office hours from 8.30am to 3.15pm (Sundaythrough Thursday). The sealed proposals in single envelop separating both technical and financialproposals with a forwarding letter (technical proposal i.e. CV with consent letter and supporting paperssuch as Work in hand with copies of Work Orders/ Contracts and copies of completion certificates inHVAC designing in Class C and D in Pharmaceutical Industries with particulars of work with name andTNT/ Cell Numbers of Contact persons of Pharmaceutical Industries or his Employers of the vettingconsultant and financial proposal i.e. this RFP with Table-C and Table-D filled in should be submittedwithin the timeframe mentioned in the advertisement 12.00 pm in the tender box kept on the 11th floorof SMC Tower, 33, Banani CIA, Dhaka on or before 3:00pm. "Technical Proposal" and "FinancialProposal" should to be boldly written on individual envelops by the vetting consultant.

This RFP Schedule (document) and its attachments must be signed, sealed on all pages and the CVof the vetting consultant must be attached along with a forwarding letter without which thesubmitted proposal will be rejected.

(b) The proposals will be opened on the same day at 3: 15pm in presence of the representatives of theConsultants, if any.

(c) SMC EL reserves the right to accept or reject any or all the proposals without assigning any reasonwhatsoever and not bound to accept the lowest proponent.
