In determining that a stop order should issue, the Commission found that the Advanced registration statement contained material misstatements. Among other things, the statement listed a $125,000 certificate of deposit as a company asset without disclosing that the certificate had been pledged to secure a bank loan to another firm, and that the bank had foreclosed its lien on the certificate when that firm defaulted. The registration statement also reflected non-existent interest income on the certificate, and included a fictitious transaction in the amount of $59,950 as part of total gross sales of $120,891. Ms. McCue, 36, is currently a public relations executive of a New York City invest-ment banking firm. She will assume her duties at the Commission on March 1.

Ms. McCue has had 15 years of experience with a variety of organizations and publicrelations agencies in the New York City area. She received a B.S. in Public Rela-tions from Boston University in 1969. (PR 84-8)

The Commission announced that Judge Charles L. Brieant issued a temporary restrainingorder granting injunctive and other equitable relief against MV Securities, Inc.,a/k/a Multi-Vest Securities, Inc. (MVS): James R. Stephens (the firm's President);and Joseph A. Geraci, III (the firm's sales Manager). MVS is a municipal securities dealer with offices in New York City.

COMPLAINT NAMES ASSOCIATED MEDICAL DEVICES, INC.

On February 14, the Commission filed a civil injunctive action in the U.S. District Court for the District of Columbia against Associated Medical Devices, Inc. (AMO) of Carlsbad, California. The Commission in its complaint alleges violations of the reporting provisions of the securities laws and seeks a judgment of permanent injunc-tion and other equitable relief.

The Commission alleges that AMO, as part of a continuing course of violative conduct extending over several years, failed to file: its Annual Report on Form 10-K for its fiscal year ended May 31, 1983; its Quarterly Reports on Form 10-Q for its fiscal quarters ended November 30 and August 31, 1983; various periodic reports in a timely manner; and required Notifications of Late Filing on Form l2b-25. The Commis-sion requests that the court order AMD to file its delinquent Annual Report and Quarterly Reports and enjoin AMO from further violations of the reporting provisionsof the securities laws. GULF RESOURCES, INC., OTHERS ENJOINED

The Commission announced that Judge Barefoot Sanders, U.S. District Court for the Northern District of Texas, signed final judgments of permanent injunction against:Gulf Resources, Inc. on December 28, 1983; Floyd D. Wallace on January 30, 1984; and Jerry D. Eutsler on January 31, 1984. In addition, Judge Sanders entered a prelim-inary injunction against Dean B. Wolzen on January 31, 1984. The court's orders permanently enjoin Gulf, Eutsler, and Wallace, and preliminarily enjoins Wolzen,from violations of the registration and antifraud provisions of the Securities Act of 1933 and the antifraud provisions of the Securities Exchange Act of 1934.

The orders require disgorgement from Eutsler and Wallace, including $130,000 from Wallace, and the common stock of Gulf and the Common stock and assets of certain other companies held by Eutsler. The Court's order with respect to Eutsler further prohi-bits Eutsler from becoming or acting as an officer, director, or control person of any public company, subject to future application to the Commission for permission to become associated with a public company in those capacities. Wolzen consented to a freeze of his assets pending final disposition of the action against him. Gulf,Wallace, Eutsler, and Wolzen consented to the entry of the foregoing orders without admitting or denying the allegations of the Commission's complaint. (SEC v.
