In this capacity, she will manage the Commission's enforcement, examination, bankruptcy and disclosure programs within the nine state juriSdiction of that region. Ms. Keefe is currently the Associate Regional Director in charge of the Midwest Region's enforcement program. Prior to assuming that post, she was the Associate Regional Director responsible for the Region's regulation functions. From 1985 to 1992, Ms. Keefe served in supervisory positions of increasing importance in the Region'S enforcement program. She joined the Midwest Regional Office in 1982 as an enforcement staff attorney. prior to her tenure with the commission, Ms. Keefe was in the private practice of law.     ADMINISTRATIVE PROCEEDING AGAINST WILLIAM FRITZ On June 2, the Commission modified its August 29, 1988 Order Institutingproceeding pursuant to section 203(f) of the Investment Advisers Act of 1940 and Findings and Order against william E. Fritz to change the period of time he is barred from association in any capacity with anybroker, dealer, investment company, investment adviser or municipalsecurities dealer from the greater of twelve months or any period of probation to five years from the date of the August 29, 1988 Order.     WILLIAM COOPER, VESTCORP SECURITIES, INC., FIRST PENSION CORPORATION, ROBERT LINDLEY AND VALERIE JENSEN PRELIMINARILY ENJOINED

    On June 6, the Court issued an Order of Preliminary Injunction againstWilliam B. Cooper (Cooper), vestcorp securities, Inc. (vestcorp), First pension corporation (First Pension), Robert E. Lindley (Lindley) and valerie Jensen (Jensen) preliminarily enjoining them from future violations of the antifraud provisions of the federal securities laws. The Commission's complaint alleges that Cooper, vestcorp, First Pension,Lindley and Jensen violated the antifraud provisions of the federal securities laws in connection with the sale of real estate limited partnerships and the operation of First Pension. The complaint allegesthat up to $124 million in investor funds are at risk, including $25 million misappropriated from First Pension and $99 million raised through the sale of the partnerships through vestcorp.     INVESTMENT COMPANY ACT RELEASES

    WESTERN-SOUTHERN LIFE ASSURANCE COMPANY, ET AL. An order has been issued pursuant to Section 6(c) of the Investment Company Act exempting Western-Southern Life Assurance Company, Western-southern Life Assurance Company separate Account I (Account) and Touchstone Securities, Inc. from the provisions of sections 26(a) (2) (C) and 27(c) (2) of the Act. The order provides exemptions to the extent necessary to permit the deduction of a mortality and expense risk chargefrom the assets of the Account under certain variable annuity contracts. (Rel.   • HOLDING COMPANY ACT RELEASES

    SENECA RESOURCES CORP., ET AL. A supplemental order has been issued authorizinq a proposal by Seneca Resources Corporation (Seneca) and Empire Exploration, Inc. (Empire),both wholly-owned, non-utility subsidiaries of National Fuel Gas Company (NFG), a registered holding company. By order dated April 26, 1994 (BCAR No. 26036), Seneca was authorized to merge Empire with and into Seneca, with Seneca emerging as the surviving corporation. Seneca and Empire now propose that Seneca be qranted Empire's existingauthorization, qranted pursuant to HCAR No. 25964 (December 29, 1993), to borrow from the NFG intrasystem money pool (Money Pool) up to a maximum principal amount at anyone time outstanding of $30 million through December 31, 1995. This will provide Seneca with the authorization to borrow a total of $130 million from the Money Pool throuqh December 31, 1995. (Rel. 35-26074)

    APPROVAL OF PROPOSED RULE CHANGES The Commission approved a proposed rule change filed by the Pacific Stock Exchange (SR-PSE-g4-8) to amend its fees for listed companies.(Rel. 34-34276) The commission approved a proposed rule chanqe filed by the National Association of Securities Dealers (SR-HASD-92-12) creatinq, on a temporary basis for eighteen months, a short sale rule or "bid-test" for Nasdaq stock Karket National Karket securities that will, with certain exceptions, prohibit short sales at or below the current inside bid as shown on the Nasdaq screen when that bid is lower than the previous inside bid. (ReI. 34-34277) The Commission approved a proposed rule change filed by the National Association of Securities Dealers (SR-NASD-g3-58). The proposedInterpretation to the NASD's Rules of pair Practice would prohibitmember firms that hold their own customer limit orders from tradingahead of those orders, reqardless of whether the practice has been disclosed, and would make tradinq in disregard of the prohibition a violation of just and equitable principles of trade. Publication of the order is expected in the Federal Register durinq the week of July 4. (ReI. 34-3427g)
