NOTICE OF THE 75th ANNUAL GENERALMEETING, BOOK CLOSURE AND REMOTE E-VOTING INFORMATION

Notice is hereby given that the 75th Annual General Meeting (75th AGM) of the members ofJyoti Limited will be held on

Thursday, 28th November, 2019 at 9.00 a.m. at the Registered Office at Nanubhai Amin Marg, Industrial Area, P.O. Chemical

Industries, Vadodara - 390003to transact the Business,as setout ifthe Notice of the 75th AGM.

Electronic copies of the Notice of 75th AGM and the Annual Report for the Financial year 2018-19 have been sentto all the

Members whose e-mail IDs are registered with the Company's Registrar & Share Transfer Agents, M/s MCS Share Transfer

AgentLtd./Depository Participant(s). Physical copies of the same have beensentto all the Members at their registered address

as per the permitted mode.

Pursuant to section 91 of the Companies Act, 2013, the Register of Members and Share Transfer Booksof the Companywill

remain closed from Thursday, 21st November, 2019 to Thursday, 28th November, 2019 (both daysinclusive) for the purpose of

75th AGMof the Company.

Pursuantto the provisions of Section 108 of the Act and Rule 20 of the Companies (Management and Administration) Rules,

2014 as amended and pursuantto Regulation 44 of the SEBI (LODR) Regulation, 2015, members are provided with the facility

to cast their vote electronically through e-voting services provided by the Central Depository Services (India) Limited (CDSL) on

all resolutions as setforth in the 75th AGM Notice.

During this period, members holding shareseither in physical form and dematerialized form, as on the cut-off date i.e. 21st

November, 2019 can cast their vote electronically in the manner and process set out in the AGM Notice.

All the Members are informed that: |

1. The business as setoutin the Notice of 75th AGM maybe transacted through remote e-voting;

The E-Voting shall commence on Monday, 25th November, 2019 at 10.00 A.M.(1.5.1);

The E-voting shall conclude on Wednesday, 27th November, 2019 at 5.00 P.M.(I.S.1);

Thecut-off date for determining the eligibility to vote byelectronic meansor at the 75th AGM is 21st November, 2019.

Any person who becomes a memberof the Companyafterdispatch of the Noticeofthe meeting and holds shares as on the

cut-off date ie. 21st November, 2019 may obtain the user ID and password by sending e-mail request to

helpdesk.evoting@cdslindia.com. However,if such a personis already registered with CDSLfor e-voting, than the existing

user ID and password can be used forcasting their vote.

Members mayalso notethat:

4. Remote e-votingthrough electronic modeshall not be allowed beyond5.00 p.m. on Wednesday, 27th November, 2019.

2. Once the vote on a resolution is cast by the member, the memberwill not be allowed to change it subsequently. A

membercan participate in the 75th AGM evenafter exercising theright to vote through remote e-voting but will not be

allowedto vote again at the 75th AGM. Members notopting for e-votingwill be offered thefacility to vote at the venue of

the 75th AGM;

3. Amembercanopt for only one modeofvoting i.e: either through remote e-votingor at the 75th AGMvenue.

4. The Notice of 75th AGM is available on the Company's. website www.iyoticom and on CDSL’s website

Theresult declared along with the Scrutinizers’ Report shall be placedon the website of the Company
