Perseroan menyadari bahwa kinerja perusahaan yang baik bukan sekadar tumbuhnya pendapatan maupun laba usaha, namun lebih dari itu, harus diimbangi dengan kinerja yang berkualitas. Dari sisi kredit misalnya, tidak sekadar tumbuh di atas rata-rata industri, tetapi rasio kredit bermasalahnya harus manageable.

Hal itulah yang dilakukan oleh bank bjb. Pertumbuhan kinerja usaha senantiasa diikuti dengan penerapan manajemen risiko dan tata kelola perusahaan yang baik agar momentum pertumbuhan dapat menjadi fundamental yang kokoh.

Perseroan memandang bahwa fundamental yang baik dan kokoh, pada akhirnya akan menjadi penunjang pertumbuhan kinerja usaha Perseroan yang telah ditargetkan, yaitu seperti tertuang dalam Kebijakan Umum Direksi sebagai acuan kerja tahunan serta Visi dan Misi Perseroan yang menjadi acuan jangka panjang.

The Company is aware that a good performance of a company is not merely about the growth of income and profit, however, above all, it has to be balanced with a good quality of business performance. From the perspective of credit for example, the ratio of credit does not just grow above the average, but it also has to be manageable.

Such goals are what bank bjb is currently trying to achieve. The growth of its business performance is continually followed by the implementation of risk and top quality company management to allow the momentum of growth forming a strong foundation.

The Company is of the view that a strong and good foundation at the end will be the support to the targeted growth of the Companys business performance, such as those that have been covered in the Board of Directors General Policy as the yearly reference of work and the Companys Vission and Mission as the long term reference.

Laporan Tahunan 2015 disusun dengan sistematika untuk memudahkan pembaca dalam menelusuri informasi yang termuat di dalamnya. Adapun Laporan Tahunan ini memuat 8 (delapan) bab besar, yaitu Ikhtisar Utama, Laporan Manajemen, Profil Perusahaan, Analisis dan Pembahasan Manajemen, Tinjauan Pendukung Usaha, Tata Kelola Perusahaan, Laporan Tanggung Jawab Sosial Perusahaan, serta Laporan Keuangan Auditan.

Bab Laporan Manajemen, memuat laporan yang disampaikan oleh Komisaris Utama dan Direktur Utama. Laporan tersebut memuat beberapa informasi mengenai pandangan dan penilaian terhadap kondisi perekonomian nasional, pencapaian pada tahun buku, serta langkah-langkah strategis yang ditetapkan untuk masa mendatang.

Laporan Tahunan bank bjb diterbitkan dengan mengacu pada peraturan dan ketentuan yang berlaku. Acuan peraturan yang secara umum digunakan oleh perusahaan-perusahaan di Indonesia baik yang berstatus terbuka maupun tidak adalah:

The 2015 Annual Report of bank bjb is prepared in a systematic order for the reader to easily track information herein. This Annual Report is composed of 8 (eight) main chapters, namely Overview, Management Report, Company Profile, Management Discussion and Analysis, Business Support, Good Corporate Governance, Corporate Social Responsibility and Audited Financial Report.

The Management Report contains reports from the President Commissioner and President Director, elaborating on information concerning the outlook and assessment on the national economic condition, achievements in the fiscal year, and strategic steps to be implemented in the future.

The 2015 Annual Report of bank bjb was published with reference to prevailing regulations and stipulations. The regulation framework commonly used by listed and non-listed companies in Indonesia are:

As a form of commitment on the implementation of good company management, bank bjb receives the award of Best Unit of Gratification Management for State-Owned Enterprise/Regional State-Owned Enterprise in the Year of 2015 from the Corruption Eradication Commission (KPK).

Collection of Third Parties Funding of bank bjb in 2015 was at the amount of Rp72.637 trillion. This number shows an increase at 19% compared to its preceding year that is in the amount of Rp61.040 trillion.

Sebagai wujud komitmen atas penerapan tata kelola perusahaan yang baik, bank bjb mendapatkan penghargaan BUMN/D dengan Unit Pengendalian Gratifikasi Terbaik Tahun 2015 dari Komisi Pemberantasan Korupsi (KPK).

Penghimpunan Dana Pihak Ketiga bank bjb pada tahun 2015 sebesar Rp72.637 triliun. Meningkat sebesar 19% dibandingkan tahun sebelumnya yang sebesar Rp61.040 triliun.

The role of bank bjb in Development

bank bjb as a business entity that runs its business activities in the banking sector has given many contributions to development not only at provincial level, but also at national level, considering the operation field of Company is not limited to West Java and Banten.

In the finance sector, the contribution of bank bjb is by becoming a public company in 2010. Therefore, the Company has opened access to the people to own shares of bank bjb, including to encourage the financial sector in Indonesia.

From the performance side, the role of bank bjb in particular is shown in its distribution of credit that allows them to get involved in developing the national economy. In the year of 2015 for example, the credit consumption that was distributed reached Rp38,22 trillion. As we are all aware, up to the 4th - 2015 Quarter, the household consumption is the biggest support to the economy with a contribution in the amount of 56,64%.

Nevertheless, the Company also supports business activities through credit distribution. For corporation credit, in the year of 2015 it reached the amount of Rp4,67 trillion and for Small and Medium Micro Businesses (UMKM) it reached the amount of Rp506 billion. Through support of funding to business players, bank bjb, among others, has executed its role in creating work fields, and was involved in developing the national economy.

Dari sisi kinerja, peran bank bjb terutama terlihat pada penyaluran kredit, sehingga ikut berperan dalam mengerakkan perekonomian nasional. Pada tahun 2015 misalnya, kredit konsumsi yang disalurkan mencapai Rp38,22 triliun. Seperti kita ketahui, hingga kuartal IV-2015, konsumsi rumah tangga merupakan penopang perekonomian terbesar, dengan kontribusi 56,64%.

Kendati demikian, Perseroan juga ikut mendorong dunia usaha melalui penyaluran kredit. Untuk kredit korporasi, tahun 2015 nilainya Rp4,67 triliun dan UMKM sebesar Rp506 miliar. Melalui dukungan pendanaan kepada dunia usaha, bank bjb antara lain ikut berperan dalam penciptaan langan kerja, sekaligus ikut menggerakkan perekonomian nasional.

Untuk meningkatkan transparansi mengenai karakteristik produk perbankan termasuk manfaat, biaya dan risikonya dalam rangka memberikan kejelasan kepada nasabah, dan mendorong persaingan yang sehat dalam industri perbankan melalui terciptanya disiplin market yang lebih baik untuk memudahkan penilaian oleh masyarakat dan pelaku pasar, berdasarkan POJK nomor 6/POJK.03/2015 tentang Transparansi dan Publikasi Laporan Bank, perseroan telah melaksanakan publikasi Suku Bunga Dasar Kredit di surat kabar harian dan juga pada website bank bjb di www.bankbjb.co.id

Keterangan: Suku Bunga Dasar Kredit (SBDK) ini belum memperhitungkan komponen premi risiko yang besarnya

tergantung dari penilaian Bank terhadap risiko masing-masing debitur. Dengan demikian, besarnya suku bunga kredit yang dikenakan kepada debitur belum tentu sama dengan SBDK.

Dalam kredit konsumsi non KPR tidak termasuk penyediaan dana melalui kartu kredit dan kredit tanpa agunan.

Informasi SBDK yang berlaku setiap saat dapat dilihat pada publikasi di setiap kantor bank bjb dan/atau website bank bjb(www.bankbjb.co.id).

Tingkat suku bunga yang disajikan adalah efektif p.a.

Description: This Credit Interest Base (SBDK) has not considered the component of risks premium in which amount

depends on the valuation of the Bank against the risks on each borrower. Therefore, the amount of credit interest base imposed against a borrower may not be equal to SBDK.

In the consumption credit non-mortgages (KPR) there is an exlusion of fund providence through credit cards and loans with no collaterals.

The information of SBDK prevails at all times and may be seen in the every publication at every office of Bank BJB and/or the wesite of Bank BJB (www.bankbjb.co.id).

The level of intersest provided is an effective interest per annum.

To increase transparency on the characteristics of banking products including the benefits, costs and risks, in order to provide clarity to customers, and to promote healthy competition in the banking industry through the creation of a better market discipline to enable public and market participants in assessing the bank based POJK no. 6/POJK.03/2015 on Transparency and Publication of Bank Report, the Company published prime lending rate in daily newspapers and also on the banks website namely www.bankbjb.co.id.

We extend our best wishes and sincerely hope for goodness always to all in carrying out their activities. On this occasion, allow us to submit our report pertaining to the obligation and authority granted to the Board of Commissioners as one of the Banks organs, namely to oversee and provide advice on business activities carried out by management.

Throughout our supervision, we realized that 2015 was not an easy period for management. There were many challenges that potentially can hinder the Banks performance. On a macro level, the countrys economic growth underwent a slowdown. Economic growth in 2015 was only 4.79%, which was far below the previous year of 5.02%.

Pressure also derived from the value of the Rupiah against the US Dollar wherein the Rupiah reached a position of above Rp14,000 to the US Dollar, which was the lowest level since 1998.

Bank Indonesias benchmark rate or BI Rate also remains high at 7.50% at the end of 2015. Amidst this unfavorable economic situation, high interest rates will likely be a burden for businesses as well as peoples purchasing power. These conditions will subsequently have negative implications on the banking industry.

Amidst this situation, bank bjb is also confronted by increasingly fierce business competition. However, we would like to extend our utmost appreciation to the management for despite this unfavorable situation, the company was able to produce exemplary performance, with pretax profit of Rp1.8 trillion and grow 25.5% above that of the industrys average.

ASSESSMENT OF MANAGEMENTS PERFORMANCE

The Bank has a complete board as of early 2015, namely a seven-member Board of Directors that includes the President Director and a seven-member Board of Commissioners, which includes the President Commissioner. However,

Pada kesempatan ini, izinkan kami menyampaikan laporan terkait kewajiban dan wewenang yang diberikan kepada Dewan Komisaris sebagai salah satu organ perusahaan, yaitu melakukan pengawasan dan memberikan nasihat atas kegiatan usaha yang dijalankan manajemen.

Sepanjang pengawasan yang kami lakukan, kami menyadari bahwa tahun 2015 bukan periode yang mudah untuk dihadapi oleh manajemen. Banyak tantangan yang berpotensi menghambat kinerja perusahaan. Secara makro, pertumbuhan ekonomi di dalam negeri sedang mengalami perlambatan. Pada tahun 2015, pertumbuhan ekonomi hanya sebesar 4,79%, jauh di bawah tahun sebelumnya yang mencapai 5,02%.

Tekanan juga datang dari nilai tukar Rupiah terhadap Dolar Amerika. Kurs Rupiah sempat menyentuh posisi di atas Rp14.000 per Dolar AS, yaitu posisi terendah setelah tahun 1998.

Suku bunga acuan Bank Indonesia atau BI Rate juga masih tinggi. Hingga akhir tahun 2015, posisinya masih 7,50%. Di tengah situasi perekonomian yang sedang tidak bersahabat tersebut, tentu suku bunga tinggi menjadi beban bagi dunia usaha maupun daya beli masyarakat. Pada akhirnya, kondisi ini berimplikasi negatif terhadap industri perbankan.

Di tengah situasi tersebut, bank bjb juga harus dihadapkan oleh persaingan bisnis yang semakin ketat. Namun di tengah situasi yang tidak mudah itu, kami memberikan apresiasi yang sangat tinggi kepada manajemen, karena telah menyajikan kinerja perusahaan yang sangat baik, dengan laba sebelum pajak sebesar Rp1,8 triliun dan dapat tumbuh diatas rata-rata industri sebesar 25,5%.

PENILAIAN ATAS KINERJA MANAJEMEN

Di awal tahun 2015 komposisi pengurus perseroan sudah lengkap yaitu Direksi terdiri dari 7 (tujuh) orang termasuk Direktur Utama dan Dewan Komisaris terdiri dari 7 (tujuh) orang termasuk Komisaris Utama. Namun demikian pada

the President Commissioner subsequently resigned his position as the President Commissioner of bank bjb following his special appointment as the Acting Head of the Anti-Corruption Commission (KPK) in February 2015. An Independent Commissioner of the Bank temporarily holds the position of Acting President Commissioner of the Bank.

Within the same month, a Commissioner passed away leaving the Board of Commissioners with only 5 (five) members. At the Annual General Meeting of Shareholders for Financial Year 2014 and the 2015 Extraordinary GMS, 1 (one) Independent Commissioner and 1 (one) Director, namely the Director of Compliance and Risk Management, who completed his term of office and was not reappointed at the Annual GMS, while 4 (four) others were reappointed.

As a result, the composition of the Board of Directors and the Board of Commissioners are 6 (six) Directors and 4 (four) members of the Board of Commissioners whereby not long afterwards 1 (one) Director was reappointed in May 2015 to fill the vacant position of Director of Compliance and Risk Management, thereby bringing the composition to 7 (seven) Directors and 4 (four) members of the Board of Commissioners.

In these challenging conditions, the Board of Directors and management team implemented a number of appropriate strategies that had a positive effect on bank bjbs performance. This is reflected in a number of indicators, which include:

The Bank successfully booked a net profit of Rp1.38 trillion. This is important, given the difficult situation at hand. The same goes for assets that continue to grow, which in 2015 amounted to Rp88 trillion, or 16.10% higher compared to 2014.

The managements strategy to reinforce existing products as well as banking product development successfully increased Third Party Funds to Rp63.31 trillion, or 18.4% higher compared to Rp53.49 trillion in 2014. In fact, in the last three years, the average Third Party Fund growth amounted to 6.5%, which is indicative of the positive trend.

At the same time, management was able to suppress NPL (Non Performing Loan) increase by virtue of a selective growth strategy. As a result, one can surmise that the Bank has grown in terms of quality. In terms of disbursement, in average growth in the last three years

Pada bulan yang sama salah satu Komisaris telah dipanggil oleh yang maha kuasa sehingga pada saat itu Dewan Komisaris tinggal 5 (lima) orang. Pada RUPS Tahunan Tahun Buku 2014 dan Luar Biasa Tahun 2015 terdapat 1 (satu) orang Komisaris Independen dan 1 (satu) orang Direksi yaitu Direktur Kepatuhan dan Manajamen Risiko yang telah berakhir masa jabatannya dan tidak diangkat kembali dalam RUPS sedangkan 4 (empat) orang lainnya diangkat kembali.

Sejak saat itu komposisi Direksi dan Dewan Komisaris menjadi 6 (enam) orang Direksi dan 4 (empat) orang Dewan Komisaris yang tidak lama kemudian yaitu pada bulan Mei 2015 diangkat kembali 1 (satu) orang Direksi untuk mengisi kekosongan Direktur Kepatuhan dan Manajemen Risiko, sehingga komposisi pengurus menjadi 7 (tujuh) orang Direksi dan 4 (empat) orang Dewan Komisaris sampai saat ini.

Dalam kondisi yang penuh tantangan tersebut, Direksi serta jajaran manajemen telah menerapkan sejumlah strategi yang tepat, sehingga berpengaruh positif terhadap kinerja bank bjb. Hal itu bisa dilihat dari sejumlah indikator, yang di antaranya adalah:

Bank berhasil mencatatkan laba bersih sebesar Rp1,38 triliun. Hal ini penting, mengingat situasi yang dihadapi tidak mudah. Begitu juga dengan aset yang terus tumbuh, sehingga pada tahun 2015 menjadi Rp88 triliun atau naik 16,10% dibandingkan tahun 2014.

Strategi memperkuat produk yang telah ada serta pengembangan produk perbankan yang dilakukan manajemen juga telah berhasil meningkatkan penghimpunan Dana Pihak Ketiga (DPK), menjadi Rp63,31 triliun atau naik 18,4% dibandingkan tahun 2014 yang sebesar Rp53,49 triliun. Bahkan dalam tiga tahun terakhir, rata-rata pertumbuhan DPK mencapai 6,5%, yang bermakna terus bergerak secara positif.

Pada saat bersamaan, manajemen berhasil menekan peningkatan kredit bermasalah (Non Performing Loan/NPL), melalui strategi selective growth. Dengan demikian, bisa dikatakan pertumbuhan Bank telah direalisasikan secara berkualitas. Dari sisi penyaluran,

amounted to 18.9% per year or above the national banks average loan growth of 16.5%.

Development of information systems features and applications that were developed by management was a very positive step that supports bank bjbs business performance. The Board of Commissioners believes this strategy was able to enhance efficient operational performance and ease of use for the customer.

Meanwhile, managements policy to develop human resources capacity is the right step, since without the support of adequate human resources, its competitors will easily surpass bank bjb. Therefore, the Board of Commissioners fully supports efforts towards developing human resources, including allocating the proposed funds.

CORPORATE GOVERNANCE PERFORMANCE

We believe that management has also performed well in regards to Good Corporate Governance (GCG) implementation. This is clearly reflected in terms of regulatory compliance, such as applying integrated corporate governance and integrated risk management.

It is our view that management has provided adequate assurance in regards to corporate compliance of internal regulations and the Banks compliance of external regulations. This is carried out by, among others, ensuring that the Banks products and operations are in accordance with prevailing regulations.

The application of good corporate governance does not merely reflect the managements exemplary level of compliance. Moreover, the application of GCG at all levels of the Banks organization shows that management views the implementation of Good Corporate Governance as an important part of its efforts to manage business performance on a sustainable basis.

The Board of Commissioners has, in accordance with OJK Regulation No. 33/POJK.04/2014 on the duties, responsibilities and authority of the Board of Commissioners, conducted oversight and guidance to the Board of Directors that includes:

Strategi tersebut, dalam pandangan Dewan Komisaris telah mampu membuat kinerja operasional lebih efisien serta sangat memudahkan nasabah.

Pada saat bersamaan, kebijakan manajemen mengembangkan kapasitas sumber daya manusia merupakan langkah yang sangat tepat. Sebab tanpa dukungan SDM yang memadai, bank bjb akan dengan mudah dilampaui oleh para pesaingnya. Dengan demikian, Dewan Komisaris memberikan dukungan penuh atas upaya pengembangan SDM, termasuk penyediaan alokasi dana yang diajukan.

KINERJA TATA KELOLA PERUSAHAAN

Dari sisi penerapan tata kelola perusahaan yang baik (Good Corporate Governance/GCG), kami memandang bahwa kinerja manajemen juga sangat baik. Hal ini, terutama dapat dilihat pada unsur kepatuhan terhadap ketentuan regulator, seperti penerapan tata kelola terintegrasi dan manajemen risiko terintegrasi.

Kami memandang bahwa manajemen telah dengan baik memberikan assurance atas terciptanya ketaatan perusahaan terhadap ketentuan internal dan kepatuhan bank terhadap ketentuan eksternal. Hal itu, di antaranya diimplementasikan melalui kepastian bahwa produk dan kegiatan operasional bank sesuai dengan ketentuan yang berlaku.

Penerapan GCG yang baik ini tentu tidak hanya mengindikasikan tingkat kepatuhan manajemen yang sangat baik. Lebih dari itu, penerapan GCG pada semua level organisasi perusahaan mengisyaratkan bahwa manajemen memandang penerapan tata kelola perusahaan yang baik sebagai bagian penting dari upaya untuk mengelola kinerja usaha secara berkesinambungan.

Sesuai dengan POJK Nomor 33/POJK.04/2014 yang terkait dengan tugas, tanggung jawab dan wewenang Dewan Komisaris, Dewan Komisaris telah melakukan pengawasan dan arahan kepada jajaran Direksi yaitu diantaranya:

Pengendali pada BPR hasil merger di Majalengka, yaitu PD BPR LPK Panyingkiran, PD BPR LPK Cigasong, PD BPR LPK Cingambul dan PD BPR LPK Banjaran;

Dewan Komisaris telah memberikan arahan kepada Direksi agar dapat memetakan potensi-potensi bisnis di seluruh cabang sehingga cabang dapat bekerja dengan fokus salah satunya adalah memberikan kredit dibidang perkebunan dan kemaritiman. Oleh karena itu Dewan Komisaris meminta Direksi untuk menyiapkan proses bisnis terkait penyaluran kreditnya dan mempersiapkan SDM yang handal dibidangnya termasuk memberikan saran mengenai pergeseran SDM dari supporting ke bisnis sehingga SDM yang ada akan mampu menopang pertumbuhan usaha;

The Board of Commissioners has advised the Board of Directors to map out the potential of businesses in all of its branches so that the branches can work of which one of its focus is to extend loans to the plantation and maritime fields. As a result, the Board of Commissioners requested the Directors to prepare a business process pertaining to its loan disbursements and prepare reliable human resources in their fields, including providing advice on reallocating human resources from support to business so that existing human resources will be able to sustain the growth of the business;

The Board of Commissioners advised the Board of Directors to strengthen the Banks IT infrastructure to strengthen the banks business;

PANDANGAN ATAS PROSPEK USAHA

Menghadapi tahun 2016 Dewan Komisaris telah menyetujui target keuangan melalui Rencana Bisnis Bank (RBB) yang diselaraskan dengan arahan Otoritas Jasa Keuangan. Untuk mencapai Rencana Bisnis Bank yang telah ditetapkan Dewan Komisaris mendukung berbagai strategi yang telah dirancang baik dari sisi penghimpunan dana, perbaikan kualitas kredit, permodalan, pengembangan produk dan layanan serta strategi penunjang lainnya.

Dewan Komisaris memandang bahwa pertimbangan yang dijadikan alasan dalam menyusun target tersebut sangat rasional. Pijakan terhadap proyeksi yang dibuat oleh pemerintah adalah keputusan yang sangat baik, mengingat pada tahun 2016 perekonomian Indonesia akan bergerak melalui dorongan belanja pemerintah, terutama untuk sektor infrastruktur.

Pergerakan ekonomi itu akan berdampak positif terhadap kegiatan dunia usaha serta pendapatan masyarakat. Respon manajemen dengan strategi mengembangkan variasi produk perbankan serta perluasan pangsa pasar merupakan langkah yang tepat dalam mengembangkan usaha Bank. Selain itu, posisi bank bjb saat ini juga sudah memiliki sejumlah keunggulan, yang antara lain: Merupakan salah satu bank yang termasuk dalam

kategori systemic important bank. Memiliki image yang kuat sebagai bank umum yang

sedang berkembang dengan pesat dan menjadi bank nasional.

Memiliki basis nasabah yang loyal dalam jumlah besar yaitu PNS, para pensiunan dan masyarakat setempat serta mengenal dengan lebih baik potensi ekonomi dan bisnis di daerahnya.

Berada di Provinsi Jawa Barat dan Banten yang mempunyai sumber daya alam yang luas, sumber daya manusia, dan kawasan industri besar serta kegiatan ekonomi yang terus berkembang.

Memiliki jaringan kantor yang relatif menyebar di 14 provinsi di Indonesia terutama Jawa Barat dan Banten serta Jakarta yang merupakan pusat perekonomian Indonesia.

OUTLOOK ON BUSINESS PROSPECTS

As we approach 2016, the Board of Commissioners has approved the financial targets set within the Bank Business Plan (RBB), which has been aligned with the directives of the Financial Services Authority. To achieve the set Bank Business Plan, the Board of Commissioners supports the various strategies that have been designed both in terms of raising funds, improving credit quality, capital, development of products and services and other supporting strategies.

The Board of Commissioners believes that the considerations used as the basis for preparing these targets was quite rational. The basis for the projections made by the government was a good decision, in view of Indonesias expected economic growth in 2016 that will be driven by government spending, particularly in infrastructure.

These economic trends will have positive impact on business activities as well as public incomes. Managements response through a strategy to develop various banking products and expand markets is a step in the right direction for developing the Banks business. In addition to this, bank bjbs position today already has a number of advantages, namely: One of the banks included in the category of systemic

important banks. Possess a strong image as a rapidly growing commercial

bank that is to become a national bank.

Possess a sizeable loyal customer base, namely civil servants, pensioners and local communities, and are familiar with the economic and business potential of its region.

Komisaris senantiasa menekankan agar manajemen tetap menjaga keseimbangan antara rencana pertumbuhan bisnis dengan implementasi tata kelola perusahaan yang baik.

Melihat Kondisi Kinerja Keuangan bank bjb yang cukup baik di tahun 2015 maka fase pertama dari road map bank bjb diharapkan berjalan sesuai dengan rencana yang telah ditetapkan pada tahun sebelumnya yaitu menjadi titik balik dalam memperkokoh fundamental bank sebagai fondasi (Build Strong Foundation) untuk mencapai kinerja perusahaan lebih baik di masa akan datang melalui pertumbuhan kinerja yang berkualitas (Quality Growth). Catatan pencapaian selama tahun 2015 menjadi momentum untuk merefleksikan perjalanan transformasi yang telah dan akan dilakukan hingga tahun 2019.

PENILAIAN TERHADAP KOMITE DI BAWAH KOMISARIS

Dalam rangka meningkatkan peran Dewan Komisaris dalam menjalankan fungsi pengawasan, Dewan Komisaris telah membentuk 5 (lima) komite yaitu diantaranya adalah:1. Komite Audit;2. Komite Pemantau Risiko;3. Komite Remunerasi dan Nominasi;4. Komite Tata Kelola Terintegrasi;5. Komite Pemantau Bisnis dan Perkreditan.

Sesuai dengan POJK Nomor 34/POJK.04/2014 tanggal 8 Desember 2014 Tentang Komite Nominasi dan Remunerasi Emiten atau Perusahaan Publik, Dewan Komisaris bank bjb telah mengeluarkan Keputusan Nomor 02/SK/DK/2016 tanggal 4 Februari 2016 Tentang Pembentukan Komite Nominasi dan Remunerasi dan Nomor 03/SK/DK/2016 tanggal 4 Februari 2016 Tentang Pedoman Komite Nominasi dan Remunerasi.

Anggota komite-komite tersebut memiliki kompetensi sesuai bidang kerjanya masing-masing. Karena itulah, sepanjang tahun 2015, komite-komite tersebut telah menunjukan kinerja yang sangat baik. Komite-komite yang berada di bawah Dewan Komisaris telah menjalankan tugasnya secara independen dan telah memberikan analisa yang memadai serta merekomendasikan kepada Dewan Komisaris.

Masukan dan rekomendasi tersebut, di antaranya disampaikan melalui rapat Dewan Komisaris dengan komite-komite. Melalui rapat yang dilakukan secara berkala, Dewan Komisaris telah mendapatkan informasi, masukan, dan evaluasi yang sangat berguna dari masing-masing komite,

APPRAISAL OF THE COMMITTEES UNDER THE BOARD OF COMMISSIONERS

To enhance the Board of Commissioners role to carry out supervisory functions, the BOC has established five 5 (five) committees, which includes:1. Audit Committee;2. Risk Oversight Committee;3. Remuneration and Nomination Committee;4. Integrated Governance Committee;5. Business and Credit Monitoring Committee.

In accordance with OJK Regulation No. 34/POJK.04/2014 dated December 8, 2014 on the Nomination and Remuneration Committee of a Public-Listed Company, the Board of Commissioners of bank bjb issued Decree No. 02/SK/DK/2016 dated February 4, 2016 on the Establishment of a Nomination and Remuneration Committee and No. 03/SK/DK/ 2016 dated February 4, 2016 on Guidelines for the Nomination and Remuneration Committee.

The Committee members are competent in their respective fields and have, throughout 2015, shown exemplary performance. The Committees under the Board of Commissioners have carried out their duties independently and provided adequate analysis and recommendations to the Board of Commissioners.

These input and recommendations are, among others, submitted through the Board of Commissioners meetings with the committees. Through these regularly held meetings, the Board of Commissioners are informed, as well as receive useful feedback and evaluation from each
