TENDER NOTICE TENDER FOR REGISTRATION OF SUPPLIERS & SERVICE PROVIDERS KENYA RAILWAYS invites sealed applications from eligible candidates for purposes of registering suppliers & service providers pursuant to Section 57 and 71 of the PPADA, 2015. A complete set of registration documents may be viewed and downloaded from the Kenya Railways website: www.krc.co.ke or tenders portal www.tenders.go.ke and www.supplier.treasury.go.ke free of charge.

Interested eligible firms may obtain further information from the Kenya Railway’s Procurement office, Block C, Workshops Road off Haile Selassie Avenue.

Completed Tender Documents in plain sealed envelopes must be clearly marked with the ‘Tender No.’ (CATEGORY) and the ‘Description of the Tender’ and be deposited in the tender box provided at The Kenya Railways Headquarters, Block C, Workshops Road off Haile Selassie Avenue Nairobi or be addressed to:-

SECTION 1 – INFORMATION TO APPLICANTS 1. INTRODUCTION Kenya Railways (KR) is a State Corporation established in 1978 under the Kenya Railways Act (Cap 397) of the Laws of Kenya. The overall mandate of the Corporation then was to provide a coordinated and integrated system of rail and inland waterways transport services and inland port facilities within Kenya. The Act was amended through The Kenya Railways (Amendment) Act 2005 to make it possible for the Board of Directors to enter into concession agreements or other forms of management for the provision of rail transport services. Following this Amendment, KR conceded railway operations to Rift Valley Railways Ltd (K) from November 1, 2006 for 25 years for freight services and 1 year for passenger services. At the time, Kenya Railways was mandated to promote, facilitate and participate in the National and Metropolitan Railway development through: v Developing a Standard Gauge Railway network within the country and

connected to neighbouring countries v Developing rail commuter services within and around major towns in Kenya

(Nairobi, Mombasa, Nakuru, Eldoret and Kisumu) The Corporation has since undergone numerous developments, with the 2006 Concession agreement signed with the Rift Valley Railways (Kenya) being terminated in July, 2017. Subsequently, the Corporation has taken back the role of management of the concession and operations of the Commuter Rail, in addition to that of management of non-conceded assets. Another development is the Corporation's recent completion of the implementation of the first phase of the country's mega-flagship project, the Standard Gauge Railway (SGR), with operations of the Madaraka Express on course. Further to this, the Corporation recently revised its Strategic Plan, now guided by the SP of 2017-2022, with our new Vision “To be a provider of world class rail services” and our new Mission “To develop an integrated rail network and provide efficient and safe rail services”. With this, KR serves as a blueprint that will catapult the sector towards world-class railway infrastructure, operations and services, making KR a pace setter and reference point on railway matters in the region. In pursuit of our new strategic vision, the purpose of KR is:

• To develop new railways projects and rehabilitate existing infrastructure and facilities through proper planning and effective project implementation.

• To ensure that efficiency is a hallmark of our operations. We ensure that available resources are deployed in providing freight and passenger services to our customers. Railway undertakings are carried out in a safe and sustainable manner for the sake of our environmental conservation, financial wellbeing of the Corporation and our customers for the overall economic prosperity of our country in the long term.

1.2 Suppliers are invited to apply to be registered for various categories for

provision of Goods, works or services in accordance to the Corporation’s needs. The Kenya Railways (KR) will register and enlist suppliers from among those who will have submitted applications, in accordance with the tender requirements.

1.3 The tender Document and the Applicants response thereof shall be the

basis of supplier registration. Applicants must familiarize themselves with the requirements described in this document and take them into account while preparing their responses.

1.4 KR does not bind itself to assign services but shall endeavor to ensure

that Applicants are treated equitably when opportunities arise. 1.5 Applicants will be informed in writing of the results of their

applications, immediately after completion of the process.

1.6 Applicants will meet all costs associated with preparation and submission of their applications.

1.7 It is KR’s policy to require that Applicants observe the highest standard of

ethics during the selection and execution of such contracts. In pursuance of this policy, KR: a) defines, for the purpose of this provision, the terms set forth below as

follows:

(i) “Corrupt practice” means the offering, giving, receiving or soliciting of Anything of value to influence the action of an officer of the Procuring Entity in the pre-qualification process; and

(ii) “Fraudulent practice” means a misrepresentation of facts in

order to influence the pre-qualification process to the detriment of KR, and includes collusive practices among Applicants (prior or after submission of the applications) designed to establish

prices at artificial, non-competitive levels and to deprive KR of the benefits of free and open competition.

(b) The Corporation will reject an application for pre-qualification if it determines that an Applicant has engaged in corrupt and fraudulent activities in competing for the contract in question and initiate debarment proceedings against the Applicant(s);

(c) The Corporation will declare an application ineligible, for registration

if at any time it determines that the Applicant has engaged in corrupt or fraudulent practices in competing for, or in executing, a similar contract;

(d) The Corporation will have the right to examine financial records

relating to the performance of such services to determine capability;

(e) The Corporation will have the right to inspect the business premises of the Applicant.

1.8 Applicants shall furnish information as described in the prequalification

document 2. OBJECTIVE OF THE ASSIGNMENT 2.1 The main objective of registration of suppliers/service providers is to

maintain and update lists of the Corporation’s registered lists of suppliers, contractors and consultants in the categories of goods, works or service according to its procurement needs.

3. CLARIFICATIONS 3.1 Applicants may request for clarification on the tender document up to

seven (7) days before the submission date. Any request for clarification must be sent in writing by mail, or hard copy to Procurement Manager, Kenya Railways address. KR will respond in writing by normal postal mail, facsimile, or electronic mail to such requests and will send copies of the response to all known applicants who intend to submit applications. Clarifications sought outside this time frame will not be responded to.

4. PREPARATION OF REGISTRATION DOCUMENTS 4.1 Applicants are requested to submit an application written in English

language. 4.2 Applicants are expected to examine the documents comprising this

Request for registration in detail. Material deficiencies in providing the information requested will result in rejection of the application.

4.3 Applicants are required to meet the qualification criteria stipulated in clause

7 of these Instructions to Applicants. Those who do not meet requirements need not submit applications. Only applicants who fulfill these requirements will be registered.

4.4 The registration documents shall not include any financial proposal

information other than either audited accounts for the last two (2) years for firms that have been in operations for more than two years or Certified Management Accounts by a Certified Accountant or last six months Certified Bank Statements for businesses that have been in operation for less than two years.

4.5 Period of Validity

The request for registration must remain valid for not less than 120 days from the date of submission and the list will be updated periodically as prescribed in the regulation and in accordance with PPADA 2015.

KR will make the best effort to complete the evaluation and communicate within this period.

5 SUBMISSION, RECEIPT AND OPENING OF APPLICATIONS 5.1 The original tender Documents shall be prepared in indelible ink. It shall

contain no interlineations or overwriting, except as necessary to correct errors made by the Applicant. Any such corrections must be initialed by the person who sign(s) the tender Document.

5.2 The tender documents should be prepared and submitted in one original

and one (1) copy in a plain sealed envelope clearly marked with the individual tender/category:

6 DEADLINE FOR SUBMISSION 6.1 The closing date and time for submission of the tender document shall be

Any tender document received after the deadline pursuant to clause 6.3 shall be rejected as a late application and shall not be considered.

6.3 Opening of Applications 6.3.1 A Committee of officials from KR shall open the applications immediately

after the closing time for submissions of the tender Documents’ in the presence of applicants’ representatives who choose to attend.

(b) Registration will be based on meeting the minimum criteria.

(c) The applicants must have registered offices and KR reserves the discretion of visiting physical premises from which the applicant conducts business if so desired to confirm existence and capability to deliver the services.

(d) KR does not bind itself to assign services but shall endevour to

ensure that Applicants are treated equitably when opportunities arise.

(e) The applicant shall submit documents that are current and valid. All documents submitted as copies shall be certified as true copies of originals by a Commissioner of oaths.

(f) Applicants should not submit Company Profiles at this time but filled Tender Document for Registration and Certified Copies of the Documents listed as Mandatory requirements only.

8 CONFIDENTIALITY 8.1 Information relating to evaluation and recommendations concerning the

tender shall not be disclosed to the applicants until the specific firms have been advised accordingly.

UNDERTAKING BY TENDERER ON ANTI – BRIBERY POLICY / CODE OF CONDUCT AND COMPLIANCE PROGRAMME 1. Each Tenderer must submit a statement, as part of the Tender

documents, in either of the two given formats which must be signed personally by the Chief Executive Officer or other appropriate senior corporate officer of the Tendering company and, where relevant, of its subsidiary in the Kenya. If a Tender is submitted by a subsidiary, a statement to this effect will also be required of the parent company, signed by its Chief Executive Officer or other appropriate senior corporate officer.

2. Tenderers will also be required to submit similar No-bribery commitments from their subcontractors and consortium partners; the Tenderer may cover the subcontractors and consortium partners in its own statement, provided the Tenderer assumes full responsibility.

3. a) Payment to agents and other third parties shall be limited to

appropriate compensation for legitimate services.

a) Each Tenderer will make full disclosure in the Tender documentation of the beneficiaries and amounts of all payments made, or intended to be made, to agents or other third parties (including political parties or electoral candidates) relating to the Tender and, if successful, the implementation of the contract.

b) The successful Tenderer will also make full disclosure [quarterly or

semi- annually] of all payments to agents and other third parties during the execution of the contract. Within six months of the completion of the performance of the contract, the successful Tenderer will formally certify that no bribes or other illicit commissions have been paid. The final accounting shall include brief details of the goods and services provided that they are sufficient to establish the legitimacy of the payments made.

c) Statements required according to subparagraphs (b) and (d) of this

paragraph will have to be certified by the company's Chief Executive Officer, or other appropriate senior corporate officer.

4.Tenders which do not conform to these requirements shall not be

considered.

5. If the successful Tenderer fails to comply with its No-bribery commitment, significant sanctions will apply. The sanctions may include all or any of the following:

a) Cancellation of the contract;

b) Liability for damages to the public authority and/or the unsuccessful

competitors in the Tendering possibly in the form of a lump sum representing a pre-set percentage of the contract value (liquidated).

6. Tenderers shall make available, as part of their Tender, copies of their

anti-Bribery Policy/Code of Conduct, if any, and of their-general or project - specific - Compliance Program.

7. The Government of Kenya has made special arrangements for adequate

oversight of the procurement process and the execution of the contract, and has invited civil society and other competent Government Departments to participate in the oversight. Those charged with the oversight responsibility will have full access to all documentation submitted by Tenderers for this contract, and to which in turn all Tenderers and other parties involved or affected by the project shall have full access (provided, however, that no proprietary information concerning a Tenderer may be disclosed to another Tenderer or to the public).
