P-saico is a project developed by Studio Irvine based on the material and modularity concept of Sticks.It consists of 10x30 mm stick fragments – 6 mm thick – mounted on fiber glass mesh in irregular patterns to create 315x320 mm modules. Quilt nasce da un quadrato 94x94 mm in grès porcellanato a tutta massa inciso in maniera da separare visivamente, una volta stuccato, uno spicchio dal resto della materia.

Quilt si sviluppa su tre toni base, ognuno disponibile nella variante liscia e nella variante strutturata (RAW). La gamma si arricchisce con alcune varianti in cui lo spicchio assume colorazioni diverse.I quadrati possono essere posati in maniera regolare per creare una sequenza di figure geometriche, o in maniera irregolare, ricordando un seminato contemporaneo.Nella posa irregolare suggeriamo di utilizzare al 50% Quilt a tinta unita e al 50% la versione con spicchi colorati*. Quilt è adatto all’uso a pavimento e rivestimento per interni e esterni e per immersione (piscine).

Quilt is produced as a 94x94 mm square of through-body porcelain stoneware scored so that a segment can be broken off from the rest of the material after grouting.Quilt is available in three base shades, and each colour is available in smooth and structured (raw) variants. The range includes variants in which the detachable segment is in different colours.The squares can be installed in a regular pattern to create a sequence of geometrical figures, or unevenly in a contemporary form of Venetian Seminato.In random layouts, we recommend use of 50% whole-colour Quilt and 50% coloured segment version*. *Sintering is a process in which the glass is ground and compressed; it provides a product of excellent mechanical strength and chemical resistance, ideal for floors even with heavy traffic. The chips’ size and thickness may vary, and slight depressions in the surface are also possible. Very small color intrusions, non-right angles in chips and the resulting crooked joints are intrinsic characteristics of this product. In the anti-slip Grip version, significant variations in shade are possible due to the special production processes required to obtain the surface finish.

condizioni generali di fornitura

1. PAGAMENTII pagamenti dovranno avvenire esclusivamente presso il domicilio del creditore. I termini e le mo-dalità di pagamento indicate nella conferma d’or-dine e/o nella fattura sono da intendersi perentori ed essenziali. Pertanto, in caso di mancato paga-mento nel termine assegnato, l’Acquirente dovrà intendersi costituito in mora a tutti gli effetti di legge e saranno dovuti interessi convenzionali per il ritardo nella misura annua prevista dal D. Lgs. n°231/02. Al termine di ogni anno solare Mosaico+ S.r.l. sarà autorizzata ad emettere nota di addebito per gli eventuali interessi fino ad allora maturati. Qualora fosse convenuta per ogni fattura una dila-zione di pagamento in rate successive ovvero più fatture con scadenze successive, il mancato paga-mento di anche una sola delle scadenze compor-terà l’automatica decadenza dell’Acquirente dal beneficio del termine concesso e pertanto questi dovrà provvedere all’immediato pagamento di tut-ta la merce ricevuta. I costi per effettuare il pagamento (per emissione Ri.Ba., fissato bollato delle cambiali, presentazio-ne effetti ecc.) saranno a carico dell’Acquirente salvo diverso accordo scritto. La venditrice potrà sospendere l’esecuzione della prestazione se le condizioni patrimoniali dell’Acquirente saranno di-venute tali da pregiudicare il conseguimento della controprestazione. Si intendono casi di evidente pregiudizio, a tito-lo esemplificativo e non esaustivo, l’apertura di procedure concorsuali, la messa in liquidazione dell’azienda, l’esistenza di protesti, pignoramenti, iscrizione di ipoteche giudiziarie e volontarie, revo-ca degli affidamenti bancari, insolvenze.

2. IMBALLOIl materiale è consegnato con imballo standard idoneo al trasporto. Diverso imballo verrà addebi-tato al costo e dovrà essere concordato per iscritto.

3. CONSEGNA E TRASPORTOLa consegna verrà effettuata franco fabbrica ai sensi dell’art. 1510 c.c. e la merce dovrà essere là ritirata dall’Acquirente.Qualora, su richiesta dell’Acquirente, la venditrice provvedesse a inviare la merce a mezzo di un pro-prio veicolo ovvero di un vettore o di uno spedizio-niere, la merce si intenderà comunque consegnata franco stabilimento e viaggerà a rischio e pericolo dell’Acquirente. Mosaico+ S.r.l. dovrà intendersi autorizzata a concludere il contratto con vettori o spedizionieri nell’interesse dell’Acquirente e con oneri e spese a carico di quest’ultimo.Pertanto in tutte le ipotesi sopra descritte, qua-lora si verificassero furti e/o danni alla merce trasportata, la venditrice non ne sarà ritenuta re-sponsabile. I prezzi indicati nei cataloghi si inten-dono franco stabilimento di Sassuolo (MO), I.V.A. esclusa.I termini di consegna indicati nella proposta e/o nella conferma d’ordine dovranno intendersi indi-cativi e non tassativi. Ogni diverso accordo, per essere efficace, dovrà risultare per iscritto.

4. GARANZIA – RESPONSABILITÀ CONTRATTUALEIl materiale consegnato è garantito per eventuali vizi o mancanze di qualità per mesi 12 dal momen-to della consegna se correttamente conservato e

correttamente applicato. Il mosaico in legno e i mix contenenti tessere in legno devono essere tassativamente stuccati con stucco epossidico maturato almeno 7 (sette) gior-ni prima di essere a contatto con l’acqua, e non possono essere posati su supporti o superfici in immersione frequente o costante (p.es.: piatto doccia, vasca da bagno ecc). Il materiale, conser-vato negli imballi originali e integri, deve essere protetto dalla pioggia o dall’eccessiva umidità sia durante il trasporto che nello stoccaggio in cantie-re o in magazzino.In caso di denuncia di vizi dei prodotti entro i ter-mini di cui al successivo art. 4bis, la venditrice sarà tenuta esclusivamente a sostituire la merce difettosa nel minor tempo possibile e non rispon-derà per alcun motivo di danni di qualsiasi natura, direttamente o indirettamente subiti dall’Acqui-rente o da terzi.Mosaico+ S.r.l. non è responsabile per vizi e/o di-fetti che dovessero essere imputabili a negligenza nella conservazione dei prodotti, alle operazioni di posa, a carenze progettuali o a fattori non ricondu-cibili ai prodotti forniti.

4 Bis. CONTESTAZIONIAi sensi dell’art. 1495 c.c., eventuali vizi, a pena di decadenza, dovranno essere formalmente de-nunciati a mezzo raccomandata a.r. o PEC entro 8 (otto) giorni dalla consegna del materiale ovvero, nel caso di vizi occulti, dalla scoperta.La segnalazione di reclamo per eventuali danni ar-recati alla merce durante il trasporto, sia a mezzo vettore o spedizioniere che mittente, dovrà essere effettuata al momento della consegna e indicata sul documento di trasporto e controfirmata dal conducente del mezzo.In ogni caso, i materiali dovranno essere controlla-ti prima della posa in opera e non si accetteranno contestazioni su materiale già installato. In parti-colare, Mosaico+ S.r.l. non risponderà per ritardi di consegna dell’opera da parte dell’Acquirente o per costi relativi al montaggio ed allo smontaggio di merce difettosa. Qualora le procedure sopra esposte non siano espletate nei modi e nei termini stabiliti, il recla-mo non sarà accettato e l’Acquirente decadrà dal diritto alla garanzia. Ai sensi dell’art. 1462 c.c. l’Acquirente non potrà opporre alcuna eccezione al fine di evitare o ritar-dare l’adempimento alle proprie obbligazioni.

5. TOLLERANZEMosaico+ S.r.l. specifica espressamente che il co-lore delle tessere di mosaico non è mai uniforme e che il riferimento ai campionari è puramente indi-cativo e suscettibile di variazioni nell’ambito delle tolleranze di fabbricazione del colore stesso, così come indicative e suscettibili di variazione sono le percentuali dei colori nelle cromie.La presenza di toni diversi mescolati costituisce una peculiare caratteristica del mosaico. Mo-saico+ S.r.l. precisa che fra le diverse partite di materiale sono possibili variazioni di tonalità ri-entranti nei limiti di tolleranza della produzione, così come piccole inclusioni e/o scheggiature in alcune tessere.Le dimensioni delle tessere sono indicative delle misure nominali al netto delle tolleranze di produ-

zione. Altresì dicasi per le fughe varianti in fun-zione della dimensione reale della tessera. Alcune collezioni per la loro specificità assumono, con la irregolarità della tessera, la valenza di mosaico artistico.Pertanto l’Acquirente dichiara di essere a cono-scenza che i prodotti possano avere variazioni di tonalità e/o di altre caratteristiche sopra menzio-nate, oltre a eventuali microporosità, e di accetta-re tali caratteristiche.Mosaico+ S.r.l. non risponde di variazioni di colori/toni del mosaico per ordini formulati o eseguiti in tempi diversi.

6. RESINon si accettano resi se non espressamente auto-rizzati per iscritto dalla direzione di Mosaico+ S.r.l. Il documento di reso dovrà contenere i riferimenti del documento di trasporto emesso al momento della consegna.I materiali resi dovranno essere contenuti negli imballi originali, integri e spediti in porto franco a rischio dell’Acquirente, se non diversamente con-cordato.Al ricevimento della merce, e successivamente alla verifica della stessa, Mosaico+ S.r.l. emetterà relativa nota di accredito pari al 90% del valore della merce.

6 Bis. PRODOTTI PERSONALIZZATIPer prodotti personalizzati e/o realizzati su specifi-che fornite dall’Acquirente, non saranno accettati resi né variazioni in diminuzione. Pertanto, verrà addebitato all’Acquirente il relativo costo a pre-scindere dal loro ritiro.

7. PROPRIETÀL’Acquirente acquisterà la proprietà del materiale con la consegna della merce ai sensi dell’art. 3 che precede. Se la merce sarà consegnata a mezzo vettore, l’effetto traslativo della proprietà si veri-ficherà in ogni caso con la consegna al vettore o allo spedizioniere.

8. LEGGE APPLICABILE E FORO COMPETENTELe presenti Condizioni Generali sono regolate dalla legge italiana.Per tutte le controversie concernenti l’interpreta-zione e/o l’esecuzione delle presenti condizioni e dei contratti di compravendita, ivi comprese quelle relative alla loro validità, sarà competente in via esclusiva il Foro di Milano con esclusione di ogni altra competenza o giurisdizione alternativa o con-corrente.

general conditions of sale

1. PAYMENTSPayments shall only be made to the creditor’s domicile. The payment terms and procedures stated in the order confirmation and/or invoice are essential and binding. Therefore, in the event of failure to pay within the stated term, the Purchase shall be considered in default to all legal intents and purposes and interest shall be due on the overdue amount at the annual rate specified by Italian Decree Law n. 231/02. At the end of each calendar year Mosaico+ S.r.l. shall be authorized to issue a debit note for any interest accrued up to that date. In the event that payment by instalments is agreed for each invoice, or several invoices with due dates in sequence are issued, failure to pay even just one instalment or invoice shall automatically lead to forfeiture on the Purchaser’s part of all right to make delayed payments, and therefore it shall be obliged to make immediate payment for all the goods received.All costs relating to the payment (issue of bank payment orders, stamp duty on bills of exchange, presentation of bills, etc.) shall be for the Purchaser’s account unless otherwise agreed. The Vendor shall be permitted to cease the supply of goods in the event that the Purchaser’s financial situation is such as to cast doubt on its ability to meet its financial obligations.Circumstances indicating inability to meet financial obligations include, by way of example and without limitation, the opening of bankruptcy or insolvency procedures, placing of the company in liquidation, protested bills, attachments, the registration of mortgages by court order and voluntary mortgages, the cancellation of bank credit lines and insolvency.

2. PACKAGINGMaterial shall be delivered with standard packaging suitable for the means of transport. Any other form of packaging shall be charged for at cost and shall be agreed in writing.

3. DELIVERY AND TRANSPORTGoods shall be delivered ex-works pursuant to art. 1510 of the Italian Civil code and the Purchaser shall collect them at the Vendor’s premises. In the event that, on the Purchaser’s request, the Vendor sends the goods using its own vehicle or through a carrier or forwarding agent, the goods shall still be considered delivered ex-works and shall travel at the Purchaser’s risk. Mosaico+ S.r.l. shall be authorised to stipulate a contract with carriers or forwarding agents on the Purchaser’s behalf, with costs and expenses for the latter’s account.Therefore, in all the hypotheses described above, in the event of theft of and/or damage to the transported goods, the Vendor shall not be held responsible. The prices stated in the catalogues are ex-works Sassuolo (Modena, Italy), not including V.A.T.The delivery times stated in the order proposal and/or confirmation of order are guideline and not binding. Any different agreement must be confirmed in writing.

4. WARRANTY-CONTRACTUAL RESPONSIBILITYThe material delivered is guaranteed against defects or failure to meet quality standards for

12 months from the moment of delivery if properly stored and correctly installed.Wood mosaics and mixes which contain wooden chips must only be grouted with epoxy grout left to cure for at least 7 (seven) days before contact with water, and cannot be laid on substrates or surfaces which are often or always wet (e.g.: shower trays, bathtubs, etc.). The material, in its intact original packaging, must be protected from rain or excessive damp during both transport and storage on the installation site or in the warehouse.In the event of complaints concerning defects of the products made within the terms specified in art. 4bis below, the Vendor shall be obliged solely to replace the faulty goods in the shortest possible time, and shall not be liable, for any reason, for damage of any kind incurred directly or indirectly by the Purchaser or by third parties.Mosaico + S.r.l. shall not be held responsible for faults and/or defects caused by negligence in the storage of products, by the installation operations, by failings in the architectural design or by any factors unrelated to the products supplied.

4 Bis. COMPLAINTSPursuant to art. 1495 of the Italian Civil Code, any faults shall be formally reported by registered letter with return receipt or certified email within 8 (eight) days after delivery of the material, or in the case of hidden defects, after their discovery.Complaints for damage to goods in transit, whether by carrier, forwarding agent or the sender, shall be made at the moment of delivery and reported on the transport document, with the driver’s signature in confirmation.In all cases, materials must be inspected before installation, and no complaints shall be accepted with regard to material already installed. Mosaico + S.r.l. shall not be responsible for delays in consignment of the completed works by the Purchaser, or costs relating to the installation and/ or removal of defective goods.In the event that the procedures set out above are not completed by the stated manners and terms, the complaint shall not be accepted, and the Purchaser shall be deprived of the right of warranty.Pursuant to art. 1462 of the Italian Civil Code, the Purchaser shall not make complaints for the purposes of avoiding or delaying the fulfilment of its obligations.

5. TOLERANCESMosaico+ S.r.l. specifically states that the color of mosaic chips is never uniform and reference to samples is purely guideline and subject to variation within the color’s manufacturing tolerance range. The color percentages stated for the various shades are also purely guideline and subject to variation.The presence of a mixture of different color shades is a distinctive feature of mosaics. Mosaico+ S.r.l. points out that variations of shade, within the tolerance limits for production, are possible between different lots of material, and small inclusions of different materials and/or splintering of some chips are also normal features.Stated chip sizes refer to nominal dimensions net of production tolerances. The same applies to joint

widths, which vary depending on the actual chip size. In some collections, the irregularity of the chips used is crucial to the artistic value of the mosaic.Therefore, the Purchaser declares that it is aware that the products may have slight variations in shade and/or other characteristics referred to above, as well as possible microporosity, and accepts these features. Mosaico + S.r.l. shall not be liable for variations in colors/shades in the event of orders placed or fulfilled at different times.

6. RETURNSNo returns of goods shall be accepted unless specifically authorised in writing by the management of Mosaico+ S.r.l. The return document shall contain the references to the transport document issued on delivery of the goods. Returned materials shall be shipped in their original intact packaging, freight prepaid, at the Purchaser’s risk, unless otherwise agreed. On receipt and subsequent inspection of the goods, the Mosaico + S.r.l. shall issue the relative credit note for 90% of their value.

6 Bis. CUSTOMIZED PRODUCTSNo reductions in quantities or returns will be accepted with regard to customized products and/or products manufactured according to the Purchaser's specifications stated in the order confirmation. Their cost will therefore be charged to the Purchaser's account regardless of whether or not the latter takes delivery of them.

7. PROPERTY RIGHTSThe Purchaser shall acquire ownership of the material on delivery of the goods pursuant to art. 3 above. If the goods are delivered by a carrier, the transfer of ownership shall still occur on consignment to the carrier or forwarding agent.

8. APPLICABLE LAW AND JURISDICTIONThese General Conditions are governed by Italian law.Any dispute arising out or in connection with the validity, interpretation, performance of these conditions and of sales contracts will be submitted to the exclusive jurisdiction of the court of Milan, with exclusion of any alternative or concurrent jurisdiction.

1. ZAHLUNGENDie Zahlungen haben ausschließlich am Domizil des Gläubigers zu erfolgen. Die auf der Auftragsbestätigung u/o Rechnung angegebenen Zahlungsfristen und –modalitäten sind als endgültig und essentiell zu verstehen. Daher ist der Käufer bei Nichtzahlung innerhalb der angegebenen Fristen mit voller rechtlicher Wirkung in Verzug gesetzt und muss für die Verzögerung gemäß it. Gesetzesdekret N° 231/02 vertragliche Zinsen zahlen. Am Ende eines jeden Kalenderjahrs, wird Mosaico+ S.r.l. befugt sein, für die bis zu jenem Zeitpunkt angefallenen Zinsen eine Lastschrift auszustellen. Sollte für jede Rechnung ein Zahlungsaufschub mit anschließenden Ratenzahlungen oder mehrere Rechnungen mit anschließenden Verfalldaten vereinbart worden sein, so werden dem Käufer bei Nichtzahlung an auch nur einem der Fälligkeitstermine, automatisch die ihm gewährte Fristvorteile aberkannt, und er muss unverzüglich die Zahlung für die empfangene gesamte Ware leisten. Der Verkäufer kann die Erbringung der Leistung einstellen, wenn durch Verschlechterung der Vermögensverhältnisse des Käufers der Anspruch auf Gegenleistung gefährdet ist.Als Fälle von offensichtlicher Gefährdung sind u.a. die Eröffnung von Konkursverfahren, die Liquidation des Unternehmens, das Vorliegen von Wechselprotesten, Pfändungen, die Eintragung von Zwangs- und freiwilligen Hypotheken, die Aufhebung von Dispositionskrediten und Zahlungsunfähigkeiten zu verstehen.

2. VERPACKUNGDas Material wird mit einer für den Transport geeigneten Standardverpackung geliefert. Eine andere Verpackung wird zum Kostenpreis belastet und muss schriftlich vereinbart werden.

3. LIEFERUNG UND TRANSPORTDie Lieferung erfolgt gemäß Art. 1510 c.c. (it. BGB) frei Werk, und die Ware ist dort vom Käufer abzuholen. Sollte der Verkäufer die Ware auf Anfrage des Käufers mit einem eigenen Fahrzeug oder mit dem eines Transportunternehmens oder Spediteurs versenden, versteht sich die Ware in jedem Fall als frei Werk geliefert und reist auf Gefahr des Empfängers. Mosaico+ S.r.l. gilt als befugt, den Vertrag mit Frachtführern oder Spediteuren im Interesse des Käufers abzuschließen, der die entstehenden Lasten und Kosten zu tragen hat. Der Verkäufer ist bei Eintreten von Diebstählen u/o Schäden an der transportierten Ware in allen oben beschriebenen Fällen nicht haftbar zu machen. Die in den Katalogen aufgeführten Preise verstehen sich frei Werk Sassuolo (Modena, Italien), MWST ausgeschlossen. Die im Angebot u/o Auftragsbestätigung angegebenen Lieferfristen sind als richtungsweisend und nicht bindend zu verstehen. Jede anderweitige Vereinbarung, muss, um wirksam zu sein, schriftlich erfolgt sein.

4. GEWÄHRLEISTUNG – VERTRAGLICHE HAFTUNGFür das gelieferte Material besteht in Bezug auf eventuelle Fehler oder Qualitätsmängel eine Gewährleistung von 12 Monaten ab Lieferung, sofern es ordnungsgemäß aufbewahrt und ordnungsgemäß verlegt wurde. Das Mosaik in Holz und der Materialmix mit

Mosaiksteinen in Holz müssen unbedingt mit Epoxidmörtel ausgefugt werden, der mindestens 7 (sieben) Tage vor dem Kontakt mit Wasser gereift ist. Sie dürfen nicht auf häufig oder dauerhaft unter Wasser befindlichen Untergründen oder Flächen (z.B. Duschtasse, Badewanne etc.) verlegt werden. Das Material muss bei Transport, auf der Baustelle oder im Lager in unversehrter Originalverpackung vor Regen oder starker Feuchtigkeit geschützt werden.Bei Anzeige von Produktmängeln innerhalb der im nachfolgenden Art. 4bis aufgeführten Fristen ist der Verkäufer ausschließlich dazu verpflichtet, die fehlerhafte Ware so schnell wie möglich zu ersetzen. Aus keinem Grund übernimmt er die Haftung für direkte oder indirekte Schäden jeglicher Art, die dem Käufer oder Dritten entstehen können.Mosaico+ S.r.l. haftet nicht für Mängel und/oder Defekte, die auf die Nachlässigkeit bei der Lagerung der Produkte, auf die Verlegearbeiten, auf Planungsmängel oder auf nicht mit den gelieferten Produkten in Zusammenhang stehende Faktoren zurückzuführen sind.

4 Bis. BEANSTANDUNGENGemäß Art. 1495 ital. ZGB sind eventuelle Mängel innerhalb von 8 (acht) Tagen nach Lieferung des Materials (versteckte Mängel unmittelbar nach ihrer Entdeckung) förmlich per Einschreiben mit Rückschein oder per PEC anzuzeigen, da sonst jegliche Ansprüche verfallen. Die Anzeige einer Beanstandung für eventuelle während des Transports entstandenen Warenschäden, sei es beim Transport durch ein Transportunternehmen, Spediteur oder den Absender, muss bei der Auslieferung erfolgen und auf dem vom Fahrer des Fahrzeugs gegengezeichneten Transportschein angegeben sein. Die Materialien müssen in jedem Fall vor ihrer Verlegung überprüft werden, und es werden keine Beanstandungen für bereits installiertes Material akzeptiert. Insbesondere haftet Mosaico+ S.r.l. nicht für Lieferverzögerungen bei den Arbeiten von Seiten des Käufers oder für Kosten, welche die Montage/Demontage fehlerhafter Ware betreffen. Sollten die obenangeführten Verfahren nicht auf die festgesetzten Art und Weise und innerhalb der vereinbarten Fristen erledigt werden, wird die Beanstandung nicht angenommen und der Käufer hat kein Recht mehr auf Garantie. Der Käufer kann gemäß Art. 1462 c.c. (it. BGB) zum Zweck der Verzögerung oder Verhinderung der Erfüllung seiner Pflichten keinerlei Einwendungen erheben.

5. TOLERANZENMosaico+ S.r.l. weist ausdrücklich darauf hin, dass die Farbe der Mosaiksteine niemals einheitlich ist. Die Farbmuster sind Richtangaben. Abweichungen im Rahmen der Herstellungstoleranzen der jeweiligen Farbe sind möglich. Auch die Farbanteile der einzelnen Nuancen sind Richtangaben und können Abweichungen erfahren. Der Mix mehrerer verschiedener Farbtöne ist als besonderes Merkmal des Mosaiks anzusehen. Mosaico+ S.r.l. präzisiert, dass zwischen den einzelnen Materialpartien Farbtonabweichungen innerhalb der Herstellungstoleranzen sowie kleine Einschlüsse und/oder Splitterungen an einzelnen Mosaiksteinen möglich sind.Die Abmessungen der Mosaiksteine entsprechen

richtungweisend den Nennmaßen zuzüglich der Herstellungstoleranzen. Das gilt ebenfalls für die Fugen in Abhängigkeit vom Istmaß des Mosaiksteins. Einige Kollektionen nehmen aufgrund ihrer Besonderheit durch die unregelmäßigen Mosaiksteine den Charakter eines künstlerischen Mosaiks an.Der Käufer erklärt daher in Kenntnis zu sein, dass die Produkte Abweichungen in der Farbe und/oder anderen oben genannten Merkmalen sowie etwaige Mikroporositäten aufweisen können und diese Umstände zu akzeptieren. Mosaico+ S.r.l. haftet nicht für Farb-/ Tonabweichungen von Aufträgen, die zu unterschiedlichen Zeitpunkten erteilt oder abgewickelt werden.

6. RÜCKGABENEs werden keine zurückgesandten Waren angenommen, die von der Direktion von Mosaico+ S.r.l. nicht schriftlich genehmigt wurden. Der Rücksendeschein muss die Bezugsdaten des bei der Auslieferung ausgestellten Transportdokuments enthalten.Die Ware ist in der unversehrten Originalverpackung zurückzusenden. Der Versand des zurückgegebenen Materials hat, sofern nicht anderweitig vereinbart, frachtfrei und auf Gefahr des Käufers zu erfolgen.Die Gutschrift in Höhe von 90 % des Warenwertes wird von Mosaico+ S.r.l. nach dem Empfang und der Überprüfung der Ware ausgestellt.

6 Bis. PERSONALISIERTE PRODUKTEFür personalisierte und/oder nach in der Auftragsbestätigung aufgeführten Vorgaben des Käufers hergestellte Produkte werden weder Rückgaben noch nach unten korrigierte Änderungen der Liefermenge akzeptiert. Die entsprechenden Kosten werden also dem Käufer in Rechnung gestellt, ungeachtet davon, ob sie abgeholt werden oder nicht.

7. EIGENTUMDer Käufer wird gemäß Art. 3 dieser Lieferbedingungen mit der Auslieferung der Ware Eigentümer des Materials. Wenn die Ware von einem Transportunternehmen ausgeliefert wird, erfolgt die rechtsübertragende Wirkung in jedem Fall mit der Übergabe an das Transportunternehmen oder an den Spediteur.

8. ANWENDBARES RECHT UND GERICHTSSTANDDiese Allgemeinen Geschäftsbedingungen werden durch das italienische Recht geregelt.Für alle Streitigkeiten bezüglich der Auslegung und/oder Ausführung der vorliegenden Bedingungen und der Kaufverträge, auch bezüglich ihrer Gültigkeit, wird ausschließlich das Gericht Mailand zuständig sein. Dies schließt jede andere Zuständigkeit bzw. konkurrierende oder alternative Gerichtsbarkeit aus.

conditions générales de fourniture

1. PAIEMENTSLes paiements se feront exclusivement au domicile du créancier. Les délais et les modalités de paiement indiqués dans la confirmation de commande et/ou dans la facture s’entendent péremptoires et essentiels. Par conséquent, en cas de non-paiement dans le délai fixé, l’Acheteur devra être mis en demeure comme le prévoit la loi et des intérêts conventionnels seront dus pour le retard dans la mesure annuelle prévue par le décret-loi n°231/02. À la fin de chaque année solaire, Mosaico+ S.r.l. sera autorisée à émettre une note de débit pour les intérêts moratoires éventuels. S’il a été fixé pour chaque facture un échelonnement des paiements ou bien plusieurs factures avec des échéances successives, le non-paiement, même d’une seule échéance, entraînera la déchéance automatique pour l’Acheteur du bénéfice du délai obtenu ; par conséquent, ce dernier devra effectuer immédiatement le paiement de toute la marchandise reçue. Les frais de règlement (pour émission de reçu bancaire (LCR), papier timbre des effets, présentation des effets, etc.) seront à la charge de l’Acheteur, sauf accord écrit différent. Le Vendeur pourra suspendre l'exécution de la prestation si les conditions patrimoniales de l'Acheteur sont devenues telles de mettre en danger la contre-prestation. Sont réputés des cas de risque évident, à titre d'exemple non limitatif, ouverture de procédures de concours, mise en liquidation de l'entreprise, existence de protêts, saisies, inscription d'hypothèques judiciaires et volontaires, révocation des concessions de crédit, insolvabilités.

2. EMBALLAGELe matériau est livré dans un emballage standard approprié au transport. Pour un emballage différent, il faudra le spécifier par écrit et cet emballage sera débité à prix coûtant.

3. LIVRAISON ET TRANSPORTLa livraison sera faite franco usine aux termes de l’art. 1510 du Code Civil italien et c’est là que l’Acheteur devra retirer sa marchandise. Si, sur demande de l’Acheteur, le fournisseur expédie la marchandise avec un de ses véhicules ou bien par un transporteur ou par un expéditionnaire, cette marchandise s’entendra livrée franco usine et voyagera aux risques et périls de l’Acheteur. Mosaico+ S.r.l. devra s'entendre autorisée à conclure le contrat avec des transporteurs ou commissionnaires de transport dans l'intérêt de l'Acheteur, et les frais seront à la charge de ce dernier. Par conséquent, dans toutes les hypothèses ci-dessus, si la marchandise est volée ou endommagée au cours du transport, la responsabilité du fournisseur ne pourra en aucun cas être mise en cause. Les prix indiqués dans les catalogues s’entendent franco usine de Sassuolo (Modena. Italie), T.V.A. non comprise. Les délais de livraison indiqués dans la proposition et/ou dans la confirmation de commande ne sont donnés qu’à titre indicatif et ne sont pas des délais de rigueur. Tout accord différent, pour être valable, devra être écrit.

4. GARANTIE – RESPONSABILITÉ CONTRACTUELLELe matériau livré est garanti contre les vices éventuels ou le manque de qualité pendant 12 mois à partir de la livraison, dans la mesure où il est conservé et appliqué correctement.La mosaïque en bois et les kits avec tesselles en

bois doivent être obligatoirement posés avec un mortier époxy qui doit reposer au moins 7 (sept) jours avant tout contact avec l'eau. Ne pas les poser sur des supports ou surfaces en immersion fréquente ou permanente (p. ex. : receveur de douche, baignoire, etc.). Le matériel, conservé dans son emballage d'origine intact, doit être protégé contre la pluie et contre l'excès d'humidité pendant le transport et pendant le stockage sur chantier ou en entrepôt.Si la dénonciation des vices est faite dans les délais visés à l'article 4 bis ci-après, le Vendeur sera tenu exclusivement à remplacer la marchandise défectueuse dans les plus brefs délais et ne répondra en aucun cas de dommages de n'importe quelle nature subis, directement ou indirectement, par l'Acheteur ou par des tiers.Mosaico+ S.r.l. n'est pas responsable des vices et/ou défauts imputables à des négligences au niveau de la conservation des produits ou de leur pose, à des carences conceptuelles ou à des facteurs non liés aux produits fournis.

4 Bis. CONTESTATIONSAux termes de l'art. 1495 du Code Civil italien, les vices éventuels devront être formellement dénoncés, sous peine de déchéance, par lettre recommandée avec avis de réception ou par PEC dans les 8 (huit) jours suivant la livraison du matériau ou bien, en cas de vices cachés, à compter de leur découverte. Toute réclamation pour des dommages éventuels causés à la marchandise pendant le transport, par le transporteur, l’expéditionnaire ou le fournisseur, devra être faite au moment de la livraison, indiquée sur le document de transport et contresignée par le chauffeur du moyen de transport. Les matériaux devront être contrôlés avant la pose en chantier et aucune contestation ne sera acceptée sur du matériau déjà installé. En particulier, Mosaico+ S.r.l. ne répondra pas pour les retards de livraison de l’ouvrage par l’Acheteur ou pour des coûts relatifs au montage et au démontage de marchandise défectueuse.Si les procédures exposées ci-dessus ne sont pas suivies dans les modes et les délais fixés, la réclamation ne sera pas acceptée et l’Acheteur n’aura droit à aucune garantie. Aux termes de l’art. 1462 du Code Civil italien, l’Acheteur ne pourra opposer aucune exception afin d’éviter ou de retarder l’accomplissement de ses obligations.

5. TOLÉRANCESMosaico+ S.r.l. précise expressément que les tesselles de mosaïque n’ont jamais une couleur uniforme et que les échantillonnages ont un caractère purement indicatif et peuvent subir des variations dans les limites des tolérances de fabrication de la couleur. De même, pour les tonalités, les pourcentages de couleur sont donnés à purement indicatif et ils peuvent subir des variations.Les différentes tonalités mélangées constituent un trait distinctif de la mosaïque. Mosaico+ S.r.l. précise également que les lots de produits peuvent présenter des variations de tonalités qui restent dans les limites de tolérance de la fabrication, ainsi que des petites inclusions et/ou des ébréchures sur quelques tesselles. Les dimensions des tesselles sont indicatives de la valeur nominale après déduction des tolérances

de fabrication. Il en va de même pour les joints qui varient en fonction des dimensions réelles de la tesselle. L’irrégularité des tesselles procure une valeur de mosaïque artistique aux collections qui présentent des caractéristiques particulières.Par conséquent, l’Acheteur déclare être au courant que les produits peuvent présenter les variations susvisées relatives aux tonalités et/ ou aux autres signes distinctifs, ainsi que des microporosités éventuelles, et il déclare accepter ces caractéristiques.Mosaico+ S.r.l. ne saurait être tenue pour responsable des variations de couleurs/tonalités pour les commandes passées ou préparées à des moments différents.

6. RETOURS DE MARCHANDISELes retours ne sont pas acceptés sauf s’ils ont été expressément autorisés par écrit par la direction Mosaico+ S.r.l. Le document relatif à ces retours devra reporter les références du document de transport émis au moment de la livraison. La marchandise retournée devra être expédiée dans son emballage d’origine intact, franco de port aux risques de l’Acheteur, sauf toute autre disposition contraire. À la réception de la marchandise et après sa vérification, Mosaico+ S.r.l. émettra une note de crédit égale à 90 % de la valeur de la marchandise.

6 Bis. PRODUITS PERSONNALISÉSPour les produits personnalisés et/ou réalisés d'après le cahier des charges fourni par l'Acheteur, les quantités stipulées ne pourront pas être modifiées par défaut, et les produits ne pourront pas être retournés. Par conséquent, nous facturerons à l'Acheteur le prix de ces produits, même dans le cas où ceux-ci restent dans nos magasins.

7. PROPRIÉTÈL’Acheteur acquiert la propriété du matériau à la livraison de la marchandise aux termes de l’art. 3 précédent. Si la marchandise est livrée par un transporteur, l’effet translatif de la propriété aura lieu avec la remise de cette marchandise au transporteur ou à l’expéditionnaire.

8. LOI APPLICABLET TRIBUNAL COMPÉTENTLesdites conditions générales sont régies par le droit italien.Pour tout différend relatif à l'interprétation, la validité et/ou l'exécution des présentes conditions et des contrats de vente, le Tribunal de Milan aura la compétence exclusive, excluant toute autre compétence ou juridiction alternative ou concurrente.

1. PAGOSLos pagos deberán efectuarse exclusivamente en el domicilio del acreedor. Los términos y las modalidades de pago indicadas en la confirmación de pedido y/o en la factura deben entenderse como improrrogables y esenciales. Por lo tanto, en caso de no efectuarse el pago dentro del plazo previsto, el comprador deberá entenderse constituido en mora para todos los efectos legales y serán adeudados intereses convencionales por el retardo en la medida anual prevista por el De-creto Leg. n° 231/02. Al concluirse cada año natural, Mosaico+ S.r.l. estará autorizada para emitir nota de adeudo por los eventuales intereses hasta ese mo-mento devengados. En caso de acordarse para cada venta/factura un pago en cuotas sucesivas o la emi-sión de varias facturas con vencimientos sucesivos, el incumplimiento en el pago incluso de uno solo de tales vencimientos comportará automáticamente para el comprador la cancelación del beneficio consisten-te en los plazos concedidos, por lo que éste deberá efectuar inmediatamente el pago de toda la mercan-cía recibida. Los costes para efectuar el pago (emitir recibos ban-carios, sellado fiscal de letras de cambio, presenta-ción de efectos, etc.) quedarán a cargo del comprador salvo acuerdo escrito en contrario. La parte vendedo-ra podrá suspender la ejecución de la prestación si las condiciones patrimoniales del comprador se han vuelto tales que ponen en peligro la ejecución de la contraprestación. Se considerarán como casos de evidente peligro, entre otros, la apertura de procedimientos concursales, la puesta en liquidación de la empresa, la existencia de protestos, embargos, inscripción de hipotecas judicia-les y voluntarias, la revocación de créditos bancarios en cuenta corriente y las insolvencias.

2. EMBALAJEEl material se entrega con embalaje estándar adecua-do para el transporte. Otros tipos de embalaje serán cobrados al costo y deberá establecerse por escrito la respectiva confirmación.

3. ENTREGA Y TRANSPORTELa entrega se efectuará franco fábrica, según lo di-spuesto por el art. 1510 c.c. y la mercancía deberá ser retirada por el comprador. En caso de que, bajo pedido del comprador, la parte vendedora se encargue de enviar la mercancía utilizando un vehículo propio o los servicios de un transportista, la mercancía se en-tenderá igualmente entregada franco establecimiento del vendedor y viajará bajo riesgo y peligro a cargo del comprador.Mosaico+ S.r.l. se entenderá autorizada para contra-tar los servicios de transportistas en el interés del comprador, con costes y gastos a cargo de este último. Por lo tanto, en todas las hipótesis recién indicadas, de verificarse robos y/o daños a la mercancía tran-sportada, la parte vendedora no será considerada como responsable. Los precios indicados en los ca-tálogos se entienden franco establecimiento de Sas-suolo (Modena, Italia), IVA excluido. Los plazos de entrega indicados en la propuesta y/o en la confirmación de pedido deberán entenderse como genéricos y no fatales. Todo acuerdo en contrario, para ser eficaz, deberá hacerse constar por escrito.

4. GARANTÍA – RESPONSABILIDAD CONTRACTUALEl material entregado está garantizado contra posi-

bles vicios o faltas de calidad por 12 (doce) meses a contar de la fecha de entrega, siempre que haya sido conservado y aplicado correctamente. Tanto el mosaico de madera como las mezclas que contengan teselas de madera deberán estucarse ne-cesariamente con estuco epoxídico bien asentado, madurado durante al menos 7 (siete) días antes de entrar en contacto con el agua, y no podrán colocarse sobre soportes ni superficies sometidos a inmersión frecuente o constante (como, por ejemplo, platos de ducha, bañeras, etc.). El material, guardado en sus embalajes originales e íntegros, debe preservarse de la lluvia o de la excesiva humedad tanto durante el transporte como a lo largo de su depósito en la obra o el almacén.En caso de denuncia de defectos de producto dentro del plazo señalado en el siguiente art. 4 bis, la parte vendedora estará obligada únicamente a sustituir la mercancía defectuosa en el menor tiempo posible y no responderá en ninguna circunstancia por daños de cualquier naturaleza sufridos directa o indirectamen-te por el comprador o por terceros.Mosaico+ S.r.l. declina toda responsabilidad por vi-cios y/o defectos imputables a negligencia en la con-servación de los productos, a las operaciones de colo-cación, a la inadecuación del proyecto o a factores que no son atribuibles a los productos proporcionados.

4 Bis. CUESTIONAMIENTOSSegún lo dispuesto por el art. 1495 del Código Civil italiano, pena caducidad del derecho, eventuales vi-cios deberán ser formalmente denunciados mediante carta certificada con aviso de recibo o mediante men-saje de correo electrónico certificado dentro de los 8 (ocho) días sucesivos a la entrega del material y, en el caso de vicios ocultos, a su descubrimiento. El reclamo por eventuales daños sufridos por la mer-cancía durante el transporte, efectuado tanto por transportista como por el remitente, deberá presen-tarse en el momento de la entrega, con anotación en el documento de transporte contrafirmada por el con-ductor del vehículo. En todo caso, los materiales deberán ser controlados antes de su colocación, ya que no se aceptarán cue-stionamientos relativos a material ya colocado. En particular, Mosaico+ S.r.l. no responderá por retrasos de entrega de la obra de parte del comprador ni por costes relativos al montaje y al desmontaje de mer-cancía defectuosa. En caso de no aplicarse los procedimientos de la ma-nera y dentro de los plazos establecidos, el reclamo no será aceptado y el comprador perderá el derecho de garantía. En conformidad con lo dispuesto por el art. 1462 c.c., el comprador no podrá oponer ninguna excepción a fin de evitar o retardar el cumplimiento de sus propias obligaciones.

5. TOLERANCIASMosaico+ S.r.l. especifica explícitamente que el color de las teselas de mosaico nunca es del todo uniforme y que las referencias de los muestrarios son meramen-te orientativas y susceptibles de variaciones dentro de los márgenes de tolerancia de fabricación de los tintes. La presencia de tonalidades distintas mezcladas con-stituye una característica peculiar del mosaico. Mo-saico+ S.r.l. precisa que entre las diversas partidas de material pueden darse variaciones de tono, den-

tro de los límites de tolerancia de la producción, así como pequeñas impurezas y/o melladuras en algunas teselas. Las dimensiones de la teselas se refieren a las me-didas nominales sin tener en cuenta desviaciones mínimas por defectos admisibles de fabricación. Lo mismo vale para las juntas, que pueden variar en función de la medida real de la tesela. Con la irre-gularidad de su tesela, algunas colecciones, por su especificidad, adquieren valor de mosaico artístico. Por consiguiente el comprador declara saber que los productos pueden presentar variaciones en el tono y/o en otras características, como las mencionadas más arriba, además de posibles microporosidades, y de-clara asimismo que acepta tales características. Mosaico+ S.r.l. no responderá por variaciones de color ni tonalidad en relación con pedidos cursados o de-spachados en períodos diferentes.

6. DEVOLUCIONESNo se aceptarán devoluciones sin la previa y expresa autorización por escrito de la Dirección de Mosaico+ S.r.l. El documento de devolución deberá contener las referencias del documento de transporte emitido en el momento de la entrega.Los materiales devueltos deberán ser restituidos en su embalaje original íntegro y enviados en porto pre-pagado a riesgo del comprador, a menos que se haya acordado de otro modo. En el momento de la recepción de la mercancía y tras la revisión de la misma, Mosaico+ S.r.l. emitirá la correspondiente nota de abono del 90% del valor de la mercancía.

6 Bis. PRODUCTOS PERSONALIZADOSNo se aceptarán devoluciones ni reducciones de can-tidad en productos personalizados y/o realizados con-forme a características específicas solicitadas por el cliente. Por lo tanto, se cobrará al comprador el costo correspondiente, independientemente de si se retiran o no.

7. PROPIEDADEl comprador adquirirá la propiedad del material con la entrega del mismo, según lo dispuesto por el pre-cedente art. 3. En caso de mercancía entregada por transportista, el efecto trasladador de la propiedad se verificará en todo caso con la entrega al transportista.

8. LEY APLICABLE Y FUERO COMPETENTELas presentes condiciones generales se ajustan a lo dispuesto por la ley italiana.Para toda posible controversia relativa a la interpre-tación y/o la ejecución de las presentes condiciones y de los contratos de compraventa, incluidas las que se refieran a su validez, será competente única y exclu-sivamente el Tribunal de Milán, quedando excluida cualquier otra competencia o jurisdicción alternativa o concurrente.

1. ОПЛАТА Оплата должна производиться исключительно по адресу кредитора. Сроки и условия оплаты, указанные в подтверждении заказа и/или фактуре, являются окончательными и основными. Поэтому, в случае невыполнения оплаты в указанные сроки по закону считается что Покупатель имеет задолженность, на сумму которой начисляются предусмотренные годовые проценты за задержку платежа в соответствии с Указом №231/02. В конце каждого календарного года компания Mosaico+ S.r.l. будет иметь право выписать дебетовое авизо по накопленным на текущий момент процентам. В случае если по каждой фактуре достигнута договоренность об отсрочке оплаты в последующих взносах или дополнительных фактурах с последующим сроком оплаты, несоблюдение даже одного срока оплаты автоматически ведет к потере права Покупателя на предоставленную отсрочку, и в этом случае Покупатель обязан произвести немедленную оплату всего полученного товара.Расходы по выполнению платежа (по выписке банковской квитанции, договорной записке по векселям, предъявлению долговых обязательств и т.д.) будут за счет Покупателя, если не предусмотрено иное письменное соглашение. Продавец может приостановить выполнение услуги, если имущественное положение Покупателя становится таковым, что оно может ущемить право на получение платы за выполненную услугу. В качестве неисчерпывающего перечня примеров приводятся следующие случаи очевидного ущемления права на получение платы: начало конкурсного производства, объявление о несостоятельности предприятия, существование опротестования, наложение ареста на имущество, наличие судебной и добровольной ипотеки, отзыв банковских гарантий, неплатежеспособность.

2. УПАКОВКА Материал поставляется в стандартной упаковке, пригодной для транспортировки. Иной тип упаковки будет включен в счет и должен быть согласован письменно в подтверждении заказа.

3. ПОСТАВКА И ТРАНСПОРТИРОВКА Поставка выполняется на условиях франко фабрика в соответствии со статьей 1510 Г.К., и товар должен забираться Покупателем на фабрике. В любом случае, если по заказу Покупателя Продавец обеспечит отправку товара собственным транспортным средством или через транспортное агентство или через экспедитора, товар считается поставленным на условиях франко предприятие и все риски, связанные с транспортировкой, будут за счет Покупателя. Компания Mosaico+ S.r.l. будет считаться уполномоченной на заключение контрактас транспортными агентствами или экспедиторами в интересах Покупателя, с возложением на него всех обременений и расходов.Поэтому, при всех вышеназванных вариантах, в случае обнаружения краж и/или повреждения перевозимого товара Продавец не считается за это ответственным. Цены, указанные в каталоге, следует понимать как франко предприятие Sassuolo (MO), Н.Д.С. не включен.Сроки поставки, указанные в коммерческом предложении и/или в подтверждении заказа, считаются ориентировочными, а не обязательными. Любое иное соглашение, чтобы оно было действующим, должно быть оформлено в письменном виде.

4. ГАРАНТИЯ - ДОГОВОРНАЯ ОТВЕТСТВЕННОСТЬПри условии правильного хранения и правильной укладки поставленного материала, на него предоставляется гарантия от возможного брака или дефектов качества сроком на 12 месяцев с момента поставки. Мозаика из дерева и смеси с элементами из дерева должны обязательно заделываться эпоксидными затирками и выдерживаться не менее 7 (семи) дней перед тем, как вступить в контакт с водой. Кроме того, они не могут укладываться на основы или поверхности, которые часто или постоянно погружаются под воду (напр.: душевой поддон, ванна, и т.д.). Материал, хранящийся в заводской, ненарушенной упаковке, должен быть защищен от дождя или от чрезмерной влаги, как во время перевозки, так и во время хранения на месте выполнения работ или на складе.В случае поступления заявлений о дефектной продукции в сроки, указанные ниже в ст. 4bis, Продавец обязан лишь только заменить бракованныйтовар в кратчайшие сроки, и он не несет никакой ответственности за любой ущерб, понесенный Покупателем или третьими лицами прямым или косвенным путем.Компания Mosaico+ S.r.l. не несет ответственности за брак и/или дефекты, вызванные небрежностью при хранении продукции, работами по укладке, недостатками проекта или другими причинами, не связанными с поставленной продукцией.

4 BIS. РЕКЛАМАЦИИ В соответствии со ст. 1495 Г.К. о выявленном браке должно быть официально заявлено посредством заказного письмас уведомлением о вручении или сертифицированной электронной почты в течение 8 (восьми) дней с момента поставки материала или, в случаях скрытого брака, с момента его обнаружения, в противном случае гарантия отменяется. Заявление о рекламации на выявленные повреждения, нанесенные товару во время перевозки транспортом транспортного агентства, экспедитора или отправителя, должно быть оформлено в момент поставки и отмечено в транспортной накладной, подписанной водителем транспортного средства.В любом случае, материал должен быть проконтролирован перед тем как начать его укладку, жалобы на уже уложенный материал не принимаются. В частности, Mosaico+ S.r.l. не несет ответственности за задержки в сдаче работ со стороны Покупателя или за расходы, вызванные укладкой и демонтажом бракованного материала.В случае если вышеописанные процедуры не будут проведены согласно установленным методам и срокам, рекламация не будет принята, а Покупатель теряет право на гарантию. В соответствии со ст. 1462 Г.К. Покупатель не вправе требовать каких-либо исключений с целью избежать или задержать выполнение собственных обязательств.

5. ДОПУСКИ Компания Mosaico+ S.r.l. обращает внимание на то, что цвет элементов мозаики никогда не однороден, а ссылка на образцы является лишь только приблизительной и зависящей от изменений, которые могут возникнуть во время приготовления красителя. Аналогично, приблизительными и подлежащими изменениям являются проценты отдельных цветов в цветовых смесях.Наличие различных смешанных друг с другом оттенков является отличительной характеристикой мозаики. Mosaico+ S.r.l. уточняет, что в разных
