LTE HealthCare is a dynamic Professional Service Provider to the health care industry positioned to serve both the public and private sector with particular focus on Infrastructure Development, Medical Equipment Supplies, Consultancy and Management. LTE HealthCare is a subsid iary of LTE Group, a South African based Holding Company with a diverse portfolio of vibrant entities with extensive operations across Africa.

 The formation of LTE HealthCare came about through the culmination of three exceptional companies being LTE, Medceptional and Afrilectrix. Medceptional is a health care consultancy and management company providing comprehensive and professional yet pract ical solutions within the health care environment. Afrillectrix Healthcare Solutions is a 100% Black female o w n e d company wi th var ious s k i l l s and expertise from an array of industries, including business development, healthcare: private and public market, and infrastructure development. LTE provides professional services across different sectors but are renowned for their extensive experience within the Engineering environment having completed projects worth well over R5bn. LTE HealthCare will as a result be well resourced to offer a one stop solution in the development and management of health care facilities. The Company will provide the following services;

  OVERVIEW

 The Republic of South Africa (RSA) is located at the southern tip of Africa. The country's first multi-racial elections were held in 1994 and brought an end to apartheid. The government was then faced with addressing imbalances created by apartheid including the provision of quality housing, education, and health care.

The healthcare industry is challenged by legislation and highly specialized expertise is needed to run these businesses profitably and sustainably. Specialists and hospitals are most often accused of being the drivers of higher healthcare costs. Regulatory attempts to minimize profits might lead to the exodus of more specialists and further support the current drive of some major hospital groups to rather expand overseas than local hospital investments. Doctors' best care approach is under pressure from managed care because funders of care are urgently trying to prevent rising healthcare inflation.

 With especially the private healthcare market under pressure from the emerging National Health Insurance, potential investors seek assurance that any new venture will not follow the approach of the fading current business models but would put new initiatives in place to successfully address the growth in predominantly low cost plans and funding models.

 We believe that the answer is a locally adapted version of the typical overseas physician-hospital organization model where doctor involvement is crucial for any downstream cost management initiatives. Costing models must allow for improved reimbursement models for any successful delivery of quality services.

 We also believe that the Public and Private sector should work in symbiosis in order to cater for the healthcare need of South Africans.

HEALTHCARE FACILITY DEVELOPMENT LTE HealthCare can provide a full turnkey service for hospital or day clinic facilities - from demographic studies, initial needs analysis, land identification, design, engineering pro fess iona l services to license application. Once approved, a comprehensive doctor participation evaluation gets done in order to develop a feasible model going forward.

 PROJECT MANAGEMENT The equipping and commissioning of the medical business inside the building remains an expert field. LTE HealthCare as an associated entity to LTE Group has access to resources from within the Group that enable it to provide a project coordinator or manager to oversee this process, as well as to ensure that all is aligned with the infrastructure of the building and that it remains within the project timelines and budget.

STRUCTURING OF FUNDING DEALS In conjunction with LTE Capital, LTE HealthCare can assist with the design of an investment proposition for a healthcare facility. We believe that there should be no differentiation in share type and that shares should be made available in both the property and business entities - all within the ambit of regulatory guidelines.  CURRENT PROJECTS

 JOHN DUDE MEMORIAL HOSPITAL The KZN Department of Health is engaged in the development of a high tech 450-bed hospital in Goqakazi Township (lnanda) within the eThekwini Metropolitan Area. The 31 964m2 hospital is planned to serve communities north of Durban Central, an area which has experienced rapid urbanization in the last couple of years. The site has good linkage and access to the broader metropolitan area, which is an important aspect on the overall provision of health care for this district.

 LTE, as Project Managers, will implement this development in phases over a period of 5 years. In the Preliminary Stage, feasibility studies and concept designs will be done as well as compilation of a preliminary report, which will be given to the client for approval. On the Design Development Phase, the team will focus

-_.,;;, ---- ----' on final specification drawings for submission to local authorities, detail estimate construction costs and submit a final design report. The remaining stages will consist of Procurement, Contract Administration and Implementation, Project Handover, Close out report, Maintenance and Monitoring.

 KURUMAN HOSPITAL Kuruman is a town in the Northern Cape a Province of South Africa, and is still the main local town for most communities surrounding the area, including some that live in the North West Province. LTE has been appointed by the Kuruman Provincial Government to design and develop a 250 bed hospital to augment the health facilities in the area. The hospital will be developed in phases over a 5 year period. LTE HealthCare will be instrumental in ensuring that LTE delivers a world class facility to the Government and Community of Kuruman within budget and agreed time frames.

 EAST RAND N17 PRIVATE HOSPITAL A 170-bed hospital, including Intensive Care Units, Maternity, Pediatric, Medical, Surgical Wards, five Theatres (two laminar flow) and a 24-hour Trauma Unit.

 BOUGAINVILLE PRIVATE HOSPITAL A 60-bed private hospital with an Intensive Care Unit, Surgical and Medical Wards with 3 modern equipped Theatres (1 Laminar Flow) and a 24 Hour Casualty Service.

 KUILSRIVER P R I V A T E HOSP ITAL A 176-bed private hospital, including Intensive Care Units, Maternity, Pediatric, Medical and Surgical Wards. It also has a 24-hour Casualty Service and numerous specialized services to offer.

 UCT PRIVATE ACADEMIC HOSPITAL A 130 -bed hospital situated within Groote Schuur Hospital as part of a PPP initiative that include an Intensive care Unit, Maternity, Pediatric, Medical, Surgical Wards, Rehabilitation, three Theatres and Cathlab

DR THANDEKA M. MAYEKISO (CEO) Thandeka Mayekiso is the Co- founder and Managing Member of Afrilectrix Health Care Solutions. Her involvement in Afrilectrix was sparked by her passion for medical transformation & rural economic and infrastructural development. She is also the Founder & Director of the Karoo Butterfly Centre in Beaufort West (KBC}, a Safe House that is in the process of being established to cater to the needs of destitute, sexually abused, homeless, street, and orphaned children (mostly through H IV /AIDS) in Beaufort West and the Central Karoo area. The long term objective is to expand the service offering of the KBC throughout the Western Cape. Prior to going to the United States (on a merit scholarship: USAID}, she worked for the former Department of Education and Training, as a high school teacher in both the Free State and the Western Cape Province. Thus, being a native of the rural Central Karoo, her passion for the environment and an advocate for sustainable rural infrastructural and economic development, it was only natural for her to become part of a company passionate about advancement of the cause. On completion of her MSc. in Medical Nutrition and Dietetics, she continued to enroll for a fulltime Ph.D., also in Clinical nutrition, while working part-time at Howard University Hospital in various medical related departments, later branching out to Medical School.

ASOGAN PILLAY (ACTING CHAIRMAN) Asogan Pillay has since 2000 been instrumental in growing the LTE Group to its current status of being one of the leading emerging Engineering Consulting firms in South Africa. He is the Chairman of the board of the LTE Group. He has up-to-date presided over the implementation of over 300 projects including those of roads and storm water, water and sanitation, GIS, Infrastructure Analysis and Infrastructure Backlogs. Asogan Pillay also played a crucial role in the award winning design of the Moretele Gardens Bridge at Hammanskraal. He also served as Assistant Provincial Program Manager on the consolidated Municipal Infrastructure Program, directly responsible for the delivery of funding to local Municipalities from National Treasury. He is also a certified Professional Construction Manager.

 THULANI MAJOLA (GROUP CEO) Thulani Majola is the Group Chief Executive Officer and Director of the LTE Group of Companies. He has been involved in a number of high profile projects coordinating and managing their planning and implementation. Thulani has in excess of 10 years’ experience in Strategic Management and the Planning field.  RAY BISNATH

Ray Bisnath is the Group Chief Operating Officer of the LTE Group of Companies and sits on the LTE Group of Companies Board of Directors. He brings to the Company a wealth of experience in Strategy Development, Project Management and Administration. Ray gained over twenty- three years' experience in the telecommunications industry with Telkom SA Ltd, of which the last ten were in various senior management positions. In 2006 he joined KPMG as a Senior Manager where he successfully contributed to and coordinated several proposals, the biggest being The Independent Social Economic Monitor (ISEM) for the Gautrain Project then valued at R70 million. Whilst at KPMG he headed several Internal Audit Projects including Dept. of Defense, Various SETAs and Prudential Health, a division of Discovery Holdings. In March 2010 Ray joined EON Consulting as a Management Consultant: Business Development before he joined the LTE Group. In 2011 Ray attended an exclusive In ternat ional Leadership Program hosted by Denmark.

 NONKULULO MAQUNGO Nonkululo Maqungo is a Managing Member and Co-founder of Afrilectrix Healthcare Solutions. She is also the founder of Revolution HR Solutions as well as the co-founder of Sena Investments. She has over 10 years' experience in the health care industry. Prior to going independent, she worked for a world renowned accounting firm, Ernst & Young International, as a Business Development Manager. Her portfolio included overseeing the Business Development Division. In this position Ms. Maqungo was tasked with responsibilities such as the assessment of marketing opportunities and target markets, intelligence gathering on customers and competitors, generating leads for possible sales, follow-up sales activity, formal proposal writing and business model design. She headed the marketing sector that dealt with parastatal and municipal infrastructural accounts. Given her vast experience in finance, management, rural development and a passion for renewable healthcare resources and her keen interest in parastatal development, it was only natural for Ms. Maqungo to focus her attention on renewable healthcare projects, tapping in the unchartered territory of the Western Cape.

WALTER HEPPLE Walter Hepple is a Legal Practitioner. Walter has a huge range of expertise which makes him an extremely valuable attribute to various components relevant to the healthcare range of services. He first qualified as an electrical engineer before he obtained his legal degree. He lectured at Bloemfontein Law Department and then spent several years focusing on copyright and patents (intellectual property). He moved to Pretoria and started up a very successful property development firm which gave him the necessary insight and skill set to manage the much needed work at MedCeptional when land has to be procured, zoning issues tackled, project and construction costs determined, legal documentation drafted, funding entities approached for financing and the most appropriate contractors and professionals identified and contacted. Over the years he has assisted many individual and groups of doctors with establishing their own companies within HPCSA requirements, as well as certain doctor-owned hospitals and clinics where doctors wanted to increase their ownership and/or input.

DR GERHARD FERREIRA Dr GC Ferreira is a Director and CEO of MedCeptional. He was co-founder, shareholder and Executive Director of Community Hospital Group from June 2001 until 2007 when the Group was sold to Netcare Healthcare Holdings. He was the Chief Operating Officer for the Group since 2001 and played a substantial role in the success and growing of the group to the fourth largest Hospital Group in South Africa with 580 private beds. Dr Ferreira also served on the boards of the Hospital Association of South Africa and National Hospital Network. Dr Ferreira's main role at MedCeptional is to provide strategic guidance f o r projects, strategic business partnerships, industry relations and identification of key staff. He has the ever-important role of establishing fair, transparent, realistic and trustworthy feasibility studies.

 DR JOHAN OELOFSE

Dr Oelofse is the Healthcare Director of SpesNet. He worked locally and in numerous oversees countries in various surgical disciplines. He has built up extensive knowledge on the various private and nationally insured funding models in countries like Wales, England and New Zealand. In 2001, he was co-founder of SpesNet and assisted to grow the company to a range of commercial, practice management and clinical services to which more than 3,300 specialists subscribe to. Innovative and market leading initiatives including the first clinical call centre and support services to the medical specialists and their practice staff, designed specialist-medical scheme fee-for-service payment arrangements, established successful channels through which doctors could have their complaints resolved at the Council for Medical Schemes. Practice and medical business printed en electronic training and informational products where designed and registered with the World Health Organization - these are used in specialists' and GP practices, public and private hospitals as well as in SITA. Dr Oelofse presents regularly at local and international conferences on topics like specialists contacting, billing policies and optimizing medical business management He was also the founder of the range of business, practice management. research and medico-legal courses being presented to all newly qualified specialists at all 8 South African medical faculties.
