1 Definition of the advertisement contract The conditions for publication of advertisements regulate the
confidential relations between the advertiser or the appointed advertising agency and the publisher, inasmuch as nothing else has been agreed upon in writing. The oral or written closu-re of an advertising contract obliges the publisher to publish one or several adverts in the publication stipulated, where the advertiser has to pay the insertion costs.
2 Legal norms applicable The contractual agreement is regulated primarily by the terms and conditions of business and the requirements of the Swiss Code of Obligations.3 Transactions in francs and repeat advertising orders3.1 Reliability
Transactions in francs and repeat orders are permissible for adverts of a single advertiser. For concerns and holding compa-nies, the special regulations of SZW/VSW apply.
3.2 Transactions and their duration The amount agreed on for the transaction must in principle be known at the time of the first schedule plan, but in any case before the first advertisement has been published. The term of the agreements and repeat advertising orders commences at the latest on the date of the first insertion, inasmuch as no other date was determined at the time the agreement was made. This term is 12 months and cannot generally be altered. If the agreement commences up to and including the 15th of any month, it will run until the end of the previous month of the following year.3.3 Rates and rate changes One contract is made per publication at the basic rate. All
discounts applicable to the different advert categories are applied, according to the rate valid at the time. Changes in price, discounts and VAT will be applicable immediately, even in the case of agreements already running. The advertiser has the right to withdraw from the contract within two weeks of being informed of the new price. In this case, he only has the right to the discount that corresponds to the effective quantity already utilized, according to the discount rate.
4 Discounts4.1 Discount for transactions in francs With every transaction concluded in francs, the advertiser
has the right to the appropriate discount stipulated by the discount rates.4.2 Retrospective discount If the volume of adverts submitted exceeds the amount agreed
upon within one year, then the discount is calculated according to the actual, total volume. The advertiser is then accorded a retrospective discount at the end of the settlement period, according to the discount rate.
4.3 Discount for repeat advertising orders The discount for repeat advertising orders is given where the
number of adverts placed and scheduled at the same time (wi-thin a maximum of 12 months) corresponds to the number gi-ven in the discount rate. The size may not be altered; texts or images may only be altered in the case of ready-to-use art-work. A repeat advertising order may be extended or renewed as long as the corresponding order is made before the date of the final insertion (in the previously mentioned forms) and wi-thin a time-span of 12 months. The discount will be calculated retrospectively, according to the new total volume and according to the appropriate discount rate, taking into conside-ration the adverts already billed. Repeat advertising orders are to be restricted to those publications whose tariffs foresee this possibility.
4.4 Discount adjustments In general, the same discount rate applies for the whole dura-
tion of the contract.4.5 Reduced discounts If the amount received does not reach that agreed upon by the
end of the term of contract, the advertiser’s discount will be re-duced, corresponding to the discount rate. Such an additional charge is usually not made if the missing volume does not ex-ceed more than 3% of the amount agreed upon. In the event of the conditions of payment not being met, any adviser’s com-mission fee or annual turnover bonus will be demanded back.
4.6 Agency commission, turnover bonuses. Agency commission (‘BK’): in the case of advert orders from
marketing and media agencies eligible for discounts, an agency commission (‘BK’) will be granted of 15% of the net in-voice value. The basis for the calculation is in this case the gross basic price. An agency commission of 5% is granted on supplements and banderoles. Annual turnover bonus JUP II: An
annual turnover bonus of 15% of the net invoice value will be granted to all direct clients whose number of adverts compri-ses at least three pages annually. The basis for calculation is the gross basic price. An annual turnover bonus of 5% is gran-ted on supplements and banderoles. Agency commission and annual turnover bonus: These cannot be cumulated. In the event of the conditions of payment not being met, any adviser’s commission fee or annual turnover bonus will be demanded back.
5 Premature termination of the contract5.1 Suspension by the advertiser The termination or postponement of a fixed schedule can only
be accepted up to the deadline for submitting adverts, even if there are compelling reasons.
5.2 Cancellation of contract by the publisher Should a publication be cancelled during the duration of a con-
tract, the publisher can withdraw from the contract without any obligation to provide compensation. The advertiser is in such a case not released from the obligation to pay for adverts that have already been published. In the case of a premature cancellation of contract by the publisher, the discount condi-tions remain, based on the original, fixed amount of the agreed transaction.
6 Conditions of payment6.1 Payment deadline As long as no other agreement is made, invoices are to be paid
within 30 days without any deductions. In the case of legal coll-ection, every right to discount is annulled for all bills not yet paid. For such discounts, a retrospective invoice will be made.
6.2 Default interest If invoices are not paid within 30 days, default interest may be charged. The default interest is 5% (Article 104 of the Swiss Code of Obligations). 6.3 Del credere risk The del credere risk of a third party is to be borne by the adver-
tiser. I.e. the contractual partner of the publisher commits himself to make the payments due by any third party, or to fulfil any other liability in appropriate fashion.
7 Extra services Extraordinary expenditures plus VAT will be invoiced according to the tariffs usual in the business. The services in question are

creating print copy, designing adverts, writing texts, trans- lations, media statements and evaluations etc. that go above and beyond the norm (e.g. simple distribution plans, expense reports etc.), plus DTP costs, express charges, repeated changes to the order, regrouping of invoices after the fact, interim messages for running adverts, third-party services etc.8 Placement requests Requests by the advertiser for specific placement can only be
accepted in non-binding fashion. If for technical reasons the advert appears in a position different from the one determined or requested, neither may payment be denied nor compensation demanded.
9 Complaints Should the appearance on publication be incorrect in a manner that compromises fundamentally the sense or impact of an advert, compensation is made in the form of advertising space in the size of the incorrect advert. The advertiser is responsible for telephone orders, changes or annulations of adverts; Any further liability is denied. Printing mistakes that alter neither the sense nor the impact of the advert do not entitle the advertiser to discounts. The publisher is responsible for a technically good reproduction in print of the adverts. The condition is that the advertiser supplies flawless, print-ready originals. Deviations from the standard required may be made known to the adver- tiser. Minor deviations in tone can be explained by the range of tolerance of the printing method, the paper and colours used and do not entitle the advertiser to discounts. A late delivery of the edition on grounds of technical faults does not entitle the advertiser to discounts. In the case of print originals that do not meet the magazine’s technical norms, all responsibility is denied. Notice of defects must be made within one month after receipt of the invoice. After this deadline, they cannot any longer be accepted. Paying one or more parts of the invoice does not release the advertiser from his duty to pay the re- mainder of the invoice in question according to the deadlines listed under the point ‘Conditions of payment’. 10 Rejection of adverts The publisher has the right to reject adverts without giving any
reasons. The publication of editorial content cannot be made a condition of submitting adverts.
11 Observance of the legal regulations The advertiser has sole responsibility towards the publisher, the
authorities and the readership for the content of his adverts. If the magazine is made liable by any third party, the advertiser is obliged to free the magazine of any and all such claims. Criminal and civil law: Subject to the mandatory conditions of press law, the advertiser carries the sole responsibility (and must bear the costs) if the publication of his advert infringes any legal regulations. He undertakes to free the publisher com-pletely from any and all claims of third parties in connection wi-th the content of his adverts and to ensure that the publisher is indemnified. Law against unfair competition: The advertiser en-sures that his adverts do not contravene the law against unfair competition. In the case of an infringement of this law, the ad-vertiser bears full responsibility for any and all consequences borne by the publisher. In particular, the advertiser commits himself to take on any expenses that might arise to the publis-her from any legal action pertaining to the law against unfair competition. Adverts whose design means that they are not clearly identifiable as such are made obvious by the addition of the word ‘Anzeige’ (‘Advert’). For adverts designed by the edi-torial team, neither the basic font of the magazine nor the ma-gazine title may be used (neither font nor publisher’s mark).
12 Right of reply According to Art. 28f etc. of the Swiss Civil Law Book, the par-
ty who by means of presentation of facts in periodically appea-ring media is directly and personally affected, has the right of reply. The publisher can, however, refuse the reply if it is clear-ly incorrect, or if it contradicts either the law or good conduct. The advertiser who has occasioned the presentation of facts commits himself to bear the costs that may be incurred by car-rying out the right of reply.
13 Intangible transfer of printing media Any and every liability is denied for data supplied by the adver-
tiser (via data carriers, modem or ISDN) that are inaccurate in content or incomplete. Furthermore, the publisher rejects any liability if data delivered cannot be processed or used in the standard manner, meaning that deficiencies arise in the printed product. Any further work that thereby arises will be billed at cost. The publisher is only liable in the case of mistakes resul-ting from gross negligence on his part.
14 Ready to print Only in the case of adverts made by us (with separate invoice)
from copy-ready originals will a proof be sent to the advertiser before publication with instructions on the deadline by which corrections may be submitted. If the publisher receives no word by the date given, he is entitled to assume that the advert is ready to print. Corrections that deviate from the original and require a reworking of the litho can only be accepted if there is the necessary time and if the advertiser pays for the costs in-curred. No proofs are made in the case of data received in a form ready to print.
15 Print material The client is solely responsible for delivering the print material
or inserts by the deadline. Unless such an agreement be made specifically, neither the publisher nor the advertising agency is obliged to archive or return print material or data that has been delivered.
16 Rate changes The right is reserved to change the rates charged and such changes apply to all advertisers at the same time. The ad- vertiser nevertheless has the right to withdraw from the con- tract within two weeks of being informed in writing of the new price. In this case, he only has the right to the discount that corresponds to the effective quantity already utilized, according to the discount rate. 17 Place of jurisdiction The place of jurisdiction is the appropriate court in the city of the administrative office of the company that concluded the advert contract. In this case, the place of jurisdiction is Zurich.
These conditions for the publication of advertisements are valid as of 1.1.2012 and replace all earlier versions.
