STATUTESINTERNATIONAL ASSOCIATION WITH PHILANTHROPIC, RELIGIOUS, SCIENTIFIC,

ARTISTIC OR PEDAGOGIC GOALS

Article 1 : Name An internationalnon-profitmakingassociationunderBelgian law isherebyestablished,governedby theLawof27thJune1921(twenty-seventhofJune,nineteenhundredandtwenty-one),dealingwithnon-profit makingassociations,non-profitmakinginternationalassociationsandfoundations,asamendedbytheLawof2ndMay2002(secondofMay,twothousandandtwo),entitled“The European Regional Information Society Association” abbreviated as “Erisa”. Article 2 : Registered Office TheregisteredofficeoftheAssociationislocatedin1000Brussels,Boulevarddel’Empereur24inthejudicialdistrictofBruxelles–Halle–Vilvoorde. TheregisteredofficemaybetransferredtoanyotherplaceinBelgiumfollowingadecisionoftheBoardofDirectorspublishedintheMoniteurBelge(theBelgianStateGazette). Article 3 : Objectives TheAssociationisaninternationalnon-profitmakingorganization.AllfundsavailabletotheAssociationwillbedevotedtothepursuitoftheAssociation’saimsandobjectives. Its main objective is to promote the exchange of information and experience between members particularlywithregardtothedevelopmentoftheInformationSocietyandthetakeupofICT(informationand communicationtechnologies)basedapplications,servicesandmethodologies.WithaviewtoparticipatingintheEuropeanAgendaonthedevelopmentoftheInformationSociety, itwillput inplaceapermanent forumforpoliticaldiscussionsonregionaldevelopmentandinformationsocietyissues.

It will mobilize any system, service or activity which may directly or indirectly assist its members in achievingtheirobjectiveswithoptimumprofessionalismandefficiency. Article 4 : Duration The Association is established for an indefinite duration andmay be dissolved at any givenmoment in accordancewiththelawanditsStatutes. Article 5 : Membership and Membership Fees TheAssociationisopentomembershipfromallregionalentitiesand/orpublicorprivatebodieswhichhavealegalidentityandareconcernedwiththeeconomicandsocialdevelopmentofaEuropeanregion(“RegionalorFullMembers”,notlimitedtomembersoftheEuropeanUnion).MembershipissubjecttotheapprovaloftheGeneralAssembly,signatureoftheMemorandumofUnderstandingandStatutes,andpaymentoftheAssociation’smembershipfee,fixedannuallybytheGeneralAssembly. Paymentoftheannualsubscriptionisdueeachyearwithin90daysofthedateofissueoftheinvoiceor31stMarchwhicheveristhelater.FailuretopaytheannualsubscriptionbytheduedatemayresultinsuspensionofmembershiprightsatthediscretionoftheBoardofDirectors. The Association is also open to a second category of membership to be called “Associate Members”. Associate Membership is reserved for specific entities such as research institutes, universities, scientificparks,otherterritorialentitiesandpublicorganizationsetc.thatwillbeabletocontributetoandtakefulladvantageoftheactivitiesoftheAssociationbutwillnothavevotingrightsattheGeneralAssembly. AssociateMembershipissubjecttotheapprovaloftheGeneralAssembly,signatureoftheMemorandumofUnderstandingandStatutes,andpaymentoftheAssociation’sAssociateMembershipfeefixedannuallybytheGeneralAssembly. Private companies may also apply to become Corporate Members of the Association. Corporate Membership will also be subject to the approval of the General Assembly, signature of the MemorandumofUnderstandingandStatutes,andpaymentoftheAssociation’sCorporateMembershipfeefixed annuallybytheGeneralAssembly.Corporatememberswillagreebetweenthemtheselectionofoneofficial representative. The official representative of CorporateMemberswill not have voting rights atGeneral AssemblymeetingsbutwillbeentitledtoaseatontheBoardofDirectors Article 6 : Resignation, Transfer of Membership & Exclusion AllmembersareentitledtoresignfromtheAssociationbuttherewillbenorefundof feesalreadypaid.Members may resign with effect from the end of a calendar year by providing written notice to the Associationatleastsixtydaysbeforetheendofthecalendaryear.NoticeofresignationmustbemadebyregisteredposttotheAssociation’sregisteredoffice.

TheexclusionofamemberfromtheAssociationcanbeproposedbytheBoardofDirectorstotheGeneralAssemblyonceithasheardthemember’sdefense.SuchexclusionwillbepassedbytheGeneralAssemblyifamajorityoftwo-thirdsofmemberspresentorrepresentedvoteinfavorofit. Memberswhichcease(followingexclusionorotherwise)tobepartoftheAssociationdonothaverightstotheAssociation’sassets. RegionalMembersmaytransfertheirmembershiptoanotherorganizationorinstitutionwithintheirregion.In this case,bothpartieshave toprovidewrittennotice to theAssociation, signedby representativesofbothbodiesandstatingfromwhichdatethetransferofmembershipwillbeoperative.Theorganizationor institution to which membership rights pass will be required to sign of the Memorandum of UnderstandingandStatutes,andmakepaymentoftheAssociation’smembershipfeefixedannuallybytheGeneral Assemblywitheffectfromtheagreeddate. Article 7: Members’ obligations. Eachyear,alongwithpaymentoftheannualsubscription,RegionalMembersarerequiredtocomplywithrequestsforupdatestoregionaldataandindicatorssoastomaintaintheAssociation’sinformationsystemsinanup-to-datemanner. Article 8: General Assembly - Composition and Voting Rights TheGeneralAssemblyoftheAssociationiscomposedofallfullypaid-upmembersoftheAssociation. Representatives of each member, moral person, individuals working for Member Regions, Corporate MembersandAssociateMembersareentitledtoattendandspeakatmeetingsoftheGeneralAssemblybutonlytheofficiallynominatedrepresentativeofeachMemberRegion(orhisorhernominatedwrittenproxy)mayvote. Article 9 : General Assembly - Authority TheGeneralAssemblyisthegoverningbodyoftheAssociation.ItwillhavetheauthoritytoexecuteanylegaldeednecessaryorconducivetotheachievementoftheobjectivesoftheAssociation.Thefollowingmattersinparticularcomewithinitsremit:

» electionofPresidentforaperiodtobedetermined, » electionofaVice-Presidentforaperiodtobedetermined, » electionanddismissalofaBoardofDirectors(seeArticle13),andthedeterminationofthe durationofit’smandate; » approvalofthebudgetandtheaccounts; » determinationoftheamountoftheannualsubscriptions;

» approvalanddischargeoftheBoardofDirectors; » amendmenttotheStatutesanddissolutionoftheAssociation.

Article 10 : General Assembly - Ordinary and Extraordinary General Meetings TheGeneralAssemblywillconveneatleastonceayear,withinsixmonthsofthecloseofthefinancialyear. The President of the Board of Directors will convene an Extraordinary General Meeting at the written requestofthenominatedrepresentativesofaminimumofonethirdoftheRegionalMembers.TheBoardof DirectorscanconveneanExtraordinaryGeneralAssemblywhenthe interestsof theAssociationdemandsuchameeting. Awritteninvitationstatingthedate,time,placeandagendawillbesenttoallmembersoftheAssociationbyletter,faxorelectronicmailatleastfourweeksbeforethedatesetforanOrdinaryGeneralMeetingandatleasttwoweeksbeforethedatesetforanExtraordinaryGeneralMeeting. Article 11 : General Assembly - Quorum and Majority AquorumataGeneralMeetingisformedbythepresenceorproxyofaminimumofonethirdofthememberregions. Resolutionsarepassedbyasimplemajorityofthevotespresentorrepresentedbywrittenproxy,unlessthelawortheseStatutesstatesotherwise. EachmembercanberepresentedattheGeneralAssemblybyanothermember;however,eachmembercanonlyholdoneproxyvote. Intheeventofatiedvote,thePresidentorhis/herDeputywillhavethedecidingvote. ItemsnotappearingontheGeneralAssemblyagendacannotbetaken. Exceptionally,attheinstigationoftheBoardofDirectors,decisionsbytheGeneralAssemblymaybetakenbymeansofanelectronicvote.Insuchcases,Assemblymemberswillfirstbeaskedtovoteelectronicallytotakeadecisionbyelectronicmeans.Providedthatmemberssoagree,theresolutioninquestionshallbedeterminedbyanelectronicvote.Thosenotcastingtheirvoteshallbedeemedtofavourtheresolution. Article 12 : General Assembly - Minutes TheresolutionsoftheGeneralMeetingareenteredintheminutebookandsignedbythePresidentorhis/herdeputy.Thisminutebookiskeptattheregisteredofficeandmaybeconsultedtherebyallmembers,butmaynotberemoved.Acopyoftheminuteswillbesenttoallmembers.

Article 13 : Board of Directors - Composition TheAssociationisadministeredbyaBoardofDirectorswithaminimumof3membersincludingaPresidentandVice-PresidentelectedbytheGeneralAssembly. ThefirstBoardofDirectorswillbenominatedforaperiodofoneyear.TheycanbedismissedatanytimebytheGeneralAssemblythroughasimplemajorityvoteofmemberspresentorrepresented. ThedutiesoftheBoardofDirectorsaretosupportandassisttheGeneralAssemblyinsettingthestrategicdirectionoftheAssociationandtoensurethatthestrategicobjectivesagreedbytheGeneralAssemblyareachieved.TheBoardofDirectorsshallmeetasfrequentlyasrequired,andcommunicateelectronicallyorbyothermeans,soastofulfillitsduties. Article 14 : Board of Directors - Authority TheBoardofDirectorsshallberesponsibleforallmattersdelegatedtoitbytheGeneralAssembly.Itcan delegatedailymanagementtothepresident,adirectororanyotherproposedindividual.ItcanconferononeormorepersonsspecialdefinedauthoritynotablytorepresenttheAssociationinlegalmatters. Anysuchdelegationofspecialauthoritywillbecommunicatedinwritingtoallmembers. Article 15 : Meetings, Quorum and Majority AquorumataBoardofDirectorsisformedifatleastthePresidentorVicePresidentand1othermemberaredirectlyrepresented. DecisionmakingbytheBoardofDirectorsshallordinarilybeachievedbyconsensus.Whenitisnecessarytomakeadecisiononthebasisofvoting,eachmembershallhaveonevoteanddecisionswillbebasedonasimplemajority.Inthecaseofatiedvote,thePresidentorVicePresidentshallhaveacastingvote.ADirectormayberepresentedbyanotherDirector;however,eachDirectormayonlyholdoneproxyvote. Exceptionally,attheinstigationofthePresident,decisionsoftheBoardofDirectorsmaybetakenbymeansofanelectronicvote.Thosenotcastingtheirvoteshallbedeemedtofavourtheresolution. Article 16 : Representation of the Association AlldeedswhichbindtheAssociation,exceptinspecialcases,aresignedbythePresidentandonememberoftheBoardofDirectorswhoarenotrequiredtojustifytothirdpartiestheauthorityconferredonthemforthispurpose. Legal action, be it as plaintiff or defendant, is conducted by the Board of Directors, represented by its PresidentorVicePresidentoramemberappointedforthepurposebytheGeneralAssembly.

Article 17 : Minutes TheresolutionsanddecisionsoftheBoardofDirectorsarerecordedinminutessignedbythePresidentorVicePresidentandkeptinaminutebookattheAssociation’sregisteredoffice.Theminutebookcannotberemovedfromthoseoffices.Asummaryoftheminuteswillbemadeavailabletomembersonrequest. Article 18: Patrons ThepositionofPatron iscreatedso that theAssociationmaybenefit fromtheexpertiseandadviceofasmallnumberofvoluntary individuals,motivatedtohelpingtheAssociationconsolidate itspresenceand influence.PatronsarenominatedbytheBoardofDirectorsandapprovedbytheGeneralAssemblyforatermoftwoyears.OnanadhocbasisdecidedbytheBoardofDirectors,PatronsmaybeinvitedtoparticipateinorrepresenttheAssociationatmeetingsincludingtheGeneralAssemblyandBoardMeetings,etc.,inwhichcasetheywillhavenovotingrightsbutwillhavefullaccesstothedocumentationpreparedfortheBoardMembers. Article 19 : Accounts Thefinancialyearcloseson31stDecemberofeachyear. TheAssociation’saccountswillbeexaminedatthecloseofeachfinancialyearbyaCompanyofAuditorsappointedforthispurposebytheBoardofDirectors,whichwillalsostipulatethefees. TheBoardofDirectorsisrequiredtosubmittheaccountsofthepreviousfinancialyearandthebudgetfortheforthcomingfinancialyearfortheapprovaloftheGeneralAssembly. Article 20 : Funds TheAssociationwillbefundedbytheannualmembershipsubscriptions,privateorpubliccontributionsandpaymentsforservicesrenderedwithinthecontextoftheAssociation’sobjectives. TheBoardofDirectorswillproposetheamountsofmembershipsubscriptionsandtheexpenditurebudget,whichmustbeapprovedbytheGeneralAssembly. Anyamendmentstotheamountpayableinsubscriptionswillcomeintoeffectthirtydaysafterwrittennoti-ficationthereoftothemembers.

Article 21 : Amendment to the Statutes Without prejudice to Article 50 § 3 of the law of 27th June 1921, any proposal having for object a modification with the Statutes or the dissolution of the Association must emanate from the Board of

DirectorsoratleasttwothirdsoftheFullMembersoftheAssociation. TheBoardofDirectorsmustmakeitsproposal(s)availabletothemembersoftheAssociationatleastthreemonthsinadvanceofthedateoftheGeneralAssemblywhichwillruleontheaforementionedproposal. TheGeneralAssemblycanvalidlydeliberateonlyifitjoinstogethertwothirdsofthemembersbeingentitledtovote,presentorrepresentedintheAssociation. Nodecisionwillberequiredifitisnotvotedbyamajorityoftwothirdsofthevotes. However,ifthisGeneralAssemblydoesnotjointogethertwothirdsofthemembers(havingvotingrights)oftheAssociation,anewGeneralAssemblywillbeconvenedunderthesameconditionsasabove,whichwillruledefinitivelyandvalidlyontheproposalinquestion,bythesamemajorityoftwothirdsofthevoiceswhateverthenumberofthememberspresentorrepresented.ThemodificationsmadetothesocialsubjectoftheAssociationwillbeeffectiveonlyaftertheapprobationbyroyaldecreeandpublishedinaccordancewiththearticle50ofthelawof27thJune1921. TheGeneralAssemblywillfixthemodeofdissolutionandliquidationoftheAssociation.Theinheritanceresultingfromliquidationwillbeaffectedatanotinvolvedend. Article 22 : Dissolution ThedissolutionoftheAssociationmaybedecreedonlybyaGeneralMeetingspeciallyconvenedforthepurpose,whichmeetsundertheconditionsgoverningamendmentstotheStatutes,asmentionedinArticle21above. Intheeventofdissolution,theGeneralMeetingwillappointoneormorereceivers,agreetheirfees,definetheirpowersanddeterminethedistributionoftheAssociation’sassetsinaccordancewiththefollowing: Thefunds,investmentsandotherassetsoftheAssociationwillbedistributedamongstthemembersoftheAssociationonthebasisofthenumberoffullyearsduringwhichtheyhavebeenmembersoftheAssociation,oncealldebtsandobligationsofwhatsoevernaturehavebeendischarged,ifnecessarybythemembers. Article 23 : General Regulations AllmattersnotexpresslygovernedbytheseStatutes,includingadvertisementformalities,willbegovernedinaccordancewithBelgianlegislation.

MEMORANDUM OF UNDERSTANDING1. Background

TheEuropean2020StrategyandDigitalAgendaaimsatdeliveringsustainableeconomicandsocialbenefitsfromadigitalsinglemarketbasedonfastandultra-fastinternetandinteroperableapplications.Erisaregions,therefore,agreetoestablishcloserlinksinordertoshapetheirwaystotheInformationSocietyataregionallevelasameanstopromotetheireconomicandsocialdevelopment.

2. Objectives

TheoverallobjectivesoftheEuropeanRegionalInformationSocietyAssociationwillbe:

•topromoteuniversalaccessto ICT-basedservicesandapplications intheregionswithaviewto generatingnewemploymentopportunities, improvingqualityof lifeandaddressing thechallen-gesofstructuraladjustment,socialinclusion,economiccohesion,democraticdecisionmakingand sustainabledevelopmentinlessfavouredregions.

•toenhancetheeconomicandsocialdevelopmentofmemberregionsbyimplementingnewICT-basedapplicationsandservices,throughsharingofgoodpracticeinbenefitingfromnewopportunitiesand reducingrisks.

•toprovideaplatformtoexchangeinformationandexperiencewithothermemberregionsofthe AssociationinvolvedindevelopingtheInformationSociety;

•toprovideaforumtodiscusspolicyrelevanttoregionaldevelopmentandtheInformationSociety.

3. Commitment

ThememberregionsoftheEuropeanRegionalInformationSocietyAssociationwill,sofarasispossible,give:a) a commitment to follow, within their region, an approach based on organised dialogue, partnership and shared visions, strategies, policies and actions between key regional players, by

• promoting a wider awareness of the potential of new ICT applications and services and to ensurethatthesereflectabalancebetweeneconomiccompetitivenessandsocialneeds,intermsof contributing to employment growth and the improvement of the quality of life and the environment;

•establishingapartnershipbetweenthepublicsector,theprivatesector,thesocialorganisations,andtheurbanandruralareasof theregions,andto identifydemands fornewapplicationsand services,andtoassesstheireconomicfeasibilityinrelationtouserneedsandmarketdemand;

• integrating regional and national actions in this area thus ensuring that they complement one another;

•actingasacatalystforthedevelopmentoftheInformationSocietythroughsupportfortheuptakeoftelematicsapplicationsandservicesthroughouttheregion.

b) a commitment to collectively endeavour

•toexchange information,experienceand lessons learnedbetweenthemembersandwithotherregionsandtodisseminatebestpracticeofICT-basedapplications,servicesandmethodologies;

• to explore the establishment of a forum to discuss key policy issues on regional developmentand the Information Society, in order to participate in setting the ongoing European agendaon InformationSocietydevelopment;

• to create awareness on regional issues related to the development of the Information Societyamongstdecisionmakersinkeyeconomic,politicalandsocialinstitutionsatregional,nationalandEuropeanlevel;

4. Mechanism

a. EachoftheAssociationmemberregionswillensuretheprovisionand,widespreadandintensiveuseofstandardbasicservicescoveringelectronicmailandfiletransfer,andwillparticipateintheestablishment,developmentanduseofacommonelectroniccommunicationsplatform.

b.Associationmemberregionswilloffertoshareandexchangeinformationandexperiencewithother Association member regions. Participants in each region agree to support and participate in the Associationandtoshareinformationaboutthedevelopmentofapplicationsandservicesintheirregion.Member regionswillalsoexplorethepossibilitiesforco-operativeprojectdevelopmentandinteractionwithexis-tingandnewservices.

5. Member regions are committed to a long term approach to this initiative and will seek the support of the European Commission in this regard.

MEMBERS’ OBLIGATIONSAccordingtoArt.7ofErisaStatutes,eachyear,alongwiththepaymentoftheannualsubscription,RegionalMembersarerequiredtoupdatetheirregionaldataandindicators inordertomaintaintheAssociation’sinformationsystemsinanaccuratemanner.
