Good Day! The following notes are our suggestions and justifications for the revisions that we made. We have omitted some sections and added some we will just explain the points that we have added. Should you have comments or need clarifications for anything we’ve posted, please feel free to let us know as soon as you can.

MEMORANDUM OF AGREEMENT KNOW ALL MEN BY THESE PRESENTS: This Agreement made and entered into by and between: MeDSounds, a group of music enthusiasts and a recognized band organization of De La Salle Health Sciences Institute, which aims to share their talents and passion in music, hereinafter referred to as “MeDSounds”.

And Medicine Dance Society, a group of talented and dynamic students who dance together, for each other, for the people who appreciate our art and for God and a recognized organization of De La Salle Health Sciences Institute, herein after referred to as “MeDS”.

WITNESSETH: That WHEREAS,; PULSE: Full Throttle, is a concert-type activity where the organizers and performers shall be MeDS and MeDSounds. WHEREAS: MeDS and MeDSounds, as the organizers of the event, shall work hand in hand in the development of the event and thus shall discuss matters relating to the event among each other. WHEREAS: MeDS and MeDSounds shall employ organizations they deem fit to help in the development of the event. WHEREAS, MeDS and MeDSounds shall give their full support and effort to give a quality performance ensuring the enjoyment and entertainment of their audience, to uplift and carry on their respective organization’s image; NOW THEREFORE: for and in consideration of the foregoing premises, the parties hereby bind themselves to undertake this Agreement, under the following terms and conditions:

ARTICLE I DEFINITION & OBJECTIVES: PULSE

1. The event entitled, “PULSE: Full Throttle”:

a) The concept “PULSE” concert is a collaborative activity between MeDS and MeDSounds.

b) By nature, it is a joint concert that will showcase talents from both MeDS and

MeDSounds.

c) The services of DLSHSI Media shall be employed for the purpose of production of advertising materials and photo documentation.

d) The members of Media shall serve as the members of the Publicity Committee

(see Article III.3.)

e) The event will happen on the 29th of November 2011 at the DLSHSI Animo Center. Set up for the event will start at 4:30pm, Registration will start at 6pm and the program proper will start at 7pm.

2. Objectives

a) MeDSounds

1. PULSE: Full Throttle is the major event of the organization wherein the aim will be to share their talents and passion in music.

2. It will be a way to keep the organization active and known to the public through entertainment and fun.

3. It will also play a role in enticing other students to join the organization and show that academic and extracurricular activities can be balanced.

4. It will also show the willingness of the organization to collaborate with other organizations for their future projects.

5. Lastly, it will be a fundraising activity for future and long- term projects of the organization such as equipments and the likes.

b) MeDS

1. To foster the artistic talent and expression through music and dance. 2. To continue to encourage students of dance community to passionately

pursue and further their talents both in individual and group choreography, freestyle, and performance.

3. To uphold the core values of DLSHSI: faith, service and communion and in the spirit of working with the talent of MeDSounds, to make a great performance.

4. To provide exposure to MeDS giving each member an opportunity to grow as a performer.

3. Terms

a. Gross Income = Total ticket sales + Booth Rental • Booth Rental Fee is 200 per booth

ARTICLE II SCOPE & LIMITATIONS

1. The event is entitled, “PULSE: Full Throttle”

a) Scope • All forms of communication between the organizations regarding planning

and organizing shall be done solely between the Executive Boards of the organizations.

• Executive Board shall be composed of: • President • Vice President- Internals • Vice President- Externals • Treasurer • Secretary

b) Limitations • All school rules will be applied throughout the duration of the activity. • Violators will be apprehended accordingly.

ARTICLE III RESPONSIBILITIES & WORK

1. There shall be 2 project heads responsible for the mobilization of the team. 2. The project heads shall be the presidents of each organization namely:

o MeDS: Jonathan B. Ancheta o MeDSounds: Joshua Angelo G. Angeles

3. Under the project heads are the committee heads. The committees and their responsibilities are as follows:

• Logistics, shall be responsible for the placement of the booths. They shall take into consideration where optimal exposure may be given to the booths.

• Production Committee, shall be responsible in ensuring and facilitating security precautions. In case of impending troubles and the likes, the Production Committee shall be the ones to contact the Security guard within the vicinity. The Security guards shall be the ones to approach the audience involved.

o In case of medical emergencies, Production Committee shall inform the assigned doctor present on the event (Dr. Jose Antonio P. Amistad).

• Program Committee, shall be responsible for making correspondences with the emcees, performers, and other things related to the flow of the programme

• Publicity, shall be responsible for communicating with Media with regards to the advertisement materials, ticket design, logo, theme design, etc. They shall be responsible for advertising the event prior to the date listed. Advertisement may include tarpaulins, posters, facebook event listings, etc.

• Registration Committee, shall be responsible for collecting the tickets during the event. Each organization shall provide at least 2 people to be on the registration committee.

• Photocopy of raw files obtained from the registration process shall be given to both organizations. It is the individual duty of the organizations involved to construct the Activity Report to be submitted to the Office of Student Services.

• Tech Team, shall responsible for making sure that the lights and sounds are ready and suitable for the place during the event. They shall arrive at least 1 hour before the event proper to do the sound check and final testing of lights.

• Ticket Committee, shall coordinate with the Vice President- Internals and the Treasurers of each organization with regards to ticket sales and unsold tickets. (see Article V.6)

*** Each organization is required to provide representatives for all the committees stated above. There must be equal representation in the part of MeDS and MeDSounds.

4. MeDS and MedSounds shall bear equal responsibilities on the work needed. Both shall give initiative and full effort for the success of the activity. Responsibilities include, but are not limited to:

• paper works • organization • facilitation and • execution of the event.

5. Organization, Facilitation & Execution of event include, but are not limited to: • preparation of program flow • communication with the services needed (e.g. Soundsystem Rental, Animo

Center, Shared Services, Office of Student Services, Dean, etc.) 6. MeDS and MedSounds shall be given ample time to perform and show their talents.

• MeDSounds shall have 4 set of bands (20-30 minutes per band) • MeDS shall have 4 sets of dances (5-10 minutes each) • The finale performance shall feature both organizations in a mash-up

performance. 7. The Executive Boards of MeDS and MedSounds shall make the decisions regarding Pulse under the supervision of the two project heads.

8. Minutes of the meeting shall be done by all organizations involved, including Media and AMSA. 9. It is the right of all organizations involved, including Media and AMSA, to be given a copy of the paper works needed for the event for the purpose of amendment, record keeping, and any other organizational responsibilities. These include but are not limited to:

• Project Proposal • Activity Form • Activity Report • Letters & Forms

10. In case of discrepancies and other issues regarding work, adjustments in profit shall be done accordingly. (Refer to Arcticle II: Scope & Limitations & Article VI: Terms and Conditions #2, #3)

ARTICLE IV MEDIA

1. Media is responsible for providing designs for promotional materials such as tarpaulins, posters and teaser videos. They will also design the ticket for the event. 2. They will also be responsible in producing the tickets, tarpaulins and other promotional materials. 3. A budget proposal signed by both MeDS and MeDSounds must be submitted before any expenditure is made. 4. Reimbursement shall be made only if the item has been approved in the budget proposal and official receipt are presented. 5. They shall serve as the official photographer of the event. 6. As needed, Media is to provide added production members to help both organizations in stage designing, registration, security and other production work, in general. 7. The members of Media shall serve as the members of the Publicity Committee (see Article III.3.) 8. In return for all the services rendered, partnership with Media shall be mentioned all throughout the event by the emcees. They shall also be given 10% of the total profit of the ticket sales and is entitled to have a free booth for the event. ARTICLE V FINANCIAL ASPECT

1. The Vice President-Internals & Treasurer of MeDS, MeDSounds, and Media shall be responsible for all the financial aspects of the event 2. For every money transaction between organizations, the organizations involved shall present a written or printed document stating the exact amount, time and date of transaction. Signatures from the organizations involved shall be affixed. Original receipts should also be attached, if applicable. 3. Expenses of the event

a. Sound system, Lights and Band Set Up • The organizations shall rent Audiotronics to provide the sound system,

lights and band set up. Based on the quotation given, the amount is twenty thousand pesos (Php 20,000).

• MeDSounds shall shoulder 14,000php of the expense since only MeDSounds will be using the band set up, while MeDS shall cover the remaining 6,000php expense since there are also equipments added to the PA system as the packages gets more expensive.

b. Ticket, tarpaulins, poster printing • Both MeDS and MeDSounds shall give a 50% share of the total amount for

the printing and production of tickets, tarpaulins, posters, and other publicity expenses.

c. MeDS and MedSounds shall be responsible for the payment of manpower,

equipments, etc. that only their organization will use. These will include but are not limited to: • for MeDS: choreographer, studio rental, props, costumes • for MeDSounds: band setup with PA system, costume, props

4. Sponsorship

a. Sponsorship shall be an independent move among the organizations. Sponsorship money received shall cover the expenses of the organizations independently.

b. In case of excess money from Sponsors, the organization responsible for getting the sponsor shall have the privilege to keep the money for their organization’s fund.

c. It should be noted that sponsorship money used for expenses should not be reimbursable. • For example, if MeDSounds gets 15,000php worth of sponsorship,

14,000php shall be used to cover their expense and will not be reimbursable adding to the “profit”; MeDSounds shall collect the excess 1,000php for their own funds.

5. Ticket sales

a. MeDS and MeDSounds shall be provided 300 tickets each (amounting to 600) to sell on hand. Additional 100 tickets will be available, if the need arises.

b. Unsold tickets shall be surrendered to the Ticket committee 30 minutes prior to the event for remittal.

c. AMSA and Media shall also be given tickets to sell depending on the future agreements to be noted.

a. All marketing related topics shall be headed by the Publicity Committee Head.

7. Booth

a. Emerald and Gold Sponsors shall be given priority spots for the booth set up given they will want to set up one.

b. All income from the College Organization’s Booth Rental Fee (200 pesos per booth) shall be added to the profit and divided accordingly.

ARTICLE VI TERMS & CONDITIONS

1. Booth set up

• College organizations willing to set up a booth during the event shall pay Php 200 and should fill out an application form to the organizers; the organizers shall prepare the application form for booth rental.

• The following organizations may set up a booth free of charge. • MeDSounds • MeDS • Media • AMSA

2. The share for expenses by MeDS and MeDSounds shall be 50-50. 3. The share for profit by MeDS, MeDSounds, and Media shall be 45-45-10. Where 45% each shall be for MeDS and MeDSounds and 10% for Media. If any organization fails to comply with the Memorandum of Agreement, the organization in question shall have a choice to:

• Pull out of the event • Have a deduction in their share of profit:

o This will be a sample representation: 35-55-10 if MeDS or MeDSounds commits the breach of

agreement. Where 35% will be given to the organization in question. OR

47.5-47.5-5 If Media commits the breach of agreement o All organizations involved should be in complete agreement in setting

the limit/bar percentage of MeDS, MeDSounds, and Media. If an agreement cannot be made swiftly then a neutral 3rd party and Student Advisors shall be consulted.

• In case the organization decides to pull out and payment has already been made for printing of tarps or lights and sound system, money shall not be reimbursed.

4. Division of profits shall be done within a month after the event. This is to provide sufficient time for the Vice President-Internals & Treasurer of MeDS, MeDSounds, and Media to calculate and finalize the profit, properly designate the division and check for discrepancies, if applicable.

• An amount of Php 880 shall be deducted from the share of MeDS. This is in reference to the profit from the previous PULSE. In the event that payment has already been made prior to remittal, please disregard this statement.

JUSTIFICATIONS: Article I: DEFINITION AND OBJECTIVES OF PULSE 1.a. By the endorsement of our previous president, Pulse is a collaborative activity of MeDS and MedSounds. Furthermore, it is independent from any previous activities of both organizations. 1.d. The services of Media will be encompassing production of materials needed to advertise PULSE and, therefore, they shall work under our Publicity Committee. 3. Gross income, by definition means all income derived from whatever source (http://www.bir.gov.ph/taxcode/1638.htm). Reimbursement was omitted. We will explain further as we go along.

Article II: Scope and Limitations 1. See Justification to Article I.1. Furthermore, The Executive Board shall only include The President, Vice Presidents, Treasurer (or VP- Finance), and Secretary. We shall be following the Executive Board of our college assembly. Also, it will be better if only the E-boards communicate amongst each other with regards to the event so as not to bypass any single person. If other members or officers wish to make suggestions or comments, it will be better to course it through the E-boards so that all information can be contained within a small group. Furthermore, it will be up to the E-boards to disseminate information to their members and officers with regards to the progress of PULSE. Article III: Responsibilities and Work 1.a. There must be equal representation coming from both organizers, as this is a collaborative event between MeDS and MedSounds. 2. Project heads must be the presidents of both organizations as they are the ones managing the whole organization. 3. Committees must be made so that proper allocation of tasks may be made. This will only be applied for the aforementioned event. Committee heads may come from either MeDs or MedSounds but position must be given by votation or appointment by the project heads. 7. See Article II.1. 8. All organizations present in any meeting shall provide their own minutes of the meeting for their own documentation. 9. It is the right of all parties to be given a copy, of the papers needed for the completion of the event as it is an event involving more than just the authoring organization of the paperwork, all documents should be available both for amendment, record keeping, and any other organizational responsibilities Article IV: Media

3. Media must present a budget proposal before any expenditure must be made because we, MeDs and MedSounds, both have limited funds and we, MeDs and MedSounds, want to control the expenses so that we may be able to use our funds wisely. Article V: Financial Aspect 1. There must be equal representation from the organizations that will be profiting from the event i.e. MeDS, MedSounds, and Media. 3.b. Both MeDS and MedSounds must share the publicity expenses equally since the activity is headed by both organizations. 3.c. Organization expenses like choreographer/s, studio rental, band set up, which will only be used by one organization, must be paid for by that organization. 4. Since both parties work independently in finding sponsors, it is the privilege of that organization to use for their own funds should they have any excess. For example, MedSounds is able to get Php25,000 worth of sponsors and MeDs is only able to get Php5,000. This means that MedSounds may keep the rest of the Php11,000 for their funds since Php14,000 will be used to pay for the lights, sounds, and band setup whereas MeDs will have to pay an additional Php1,000 from their funds to cover the expenses for lights and sounds because Php6,000 will be used to cover payment for lights and sounds. This example is excluding other expenses i.e. tarp printing, etc. Article VI: Terms and Conditions 1. Application form will be used instead of project proposals so that college orgs may be more interested in renting a booth since it will be much easier to accomplish. 2. Share of expenses used in Pulse that will be used by BOTH MeDs and MedSounds i.e. lights and sound system and tarps shall be paid for by both MeDS and MedSounds since they are both the organizers of the event. However, payment for these must come from each organization’s funds so as not to confuse with the income generated by the event. Furthermore, no reimbursement will be made because both parties made an effort to sell tickets and, gather sponsors, and, most especially, performed throughout the event. 3. Should the MOA be breached, the organization in question will be penalized accordingly. Also, it is up to that organization to either settle for a deduction or to pull out. If payment has already been made for printing of tarps or lights and sound system, money will not be reimbursed as part of the penalty for that group.
