MEMORANDUM OF SOCIETY
1. NAME OF THE SOCIETY : The name of the society shall be : IOCL OfficersWelfare Society
2. REGISTERED OFFICE: The Registered office of the society shall remain in the
National Capital territory of Delhi, and at present it is at following
Address: J-86/12, Top Floor, Dilshad Colony, Delhi 110095
The society shall have its activity all over the country for administrative conveniences
the administrative office of the society may be changed from time to time.
3. AREA OF OPERATION : National Capital territory of Delhi
4. AIMS AND OBJECTS:
Aims and object of the society, for which the same is established, are as under
i. To establish and maintain diagnostic centre for poor peoples and charitable
purpose.
ii. To open and run, educational and vocational school or institutions to bring
education within the reach of poor & backward children, in the National Capital
Territory or Delhi.
iii. To provide libraries, publish books on educational, cultural & social subjects,
organize discussions & seminars to impart knowledge & understanding
amongst the people.
iv. To provide hostels & residential accommodation that may be considered
necessary for the students & for each member of the society that may be made
eligible for it.
v. To establish & maintain institutions for the handicapped & for adult education,
like vocational training in vocations of household industry, semi-skilled jobs for

self employment, short hand & type-writing, social science, languages, fine
arts, crafts, music, painting, modeling, physical training etc.
vi. To provide the best education available in some of the best schools in Delhi,
Emphasis would be on character building, self discipline & the development of
the creative & social faculties. The society aims at producing well informed &
well assured young children just the kind of children that our country needs.
vii. To strive to meet changing need of providing comprehensive and to impart
education to children on the most modern lines & provide an environment
congenial to growth & development of the children.
viii. To arrange & organize the social, cultural & educational programmes from time
to time.
ix. To provide free meals, clothes, medicines and other needy things to the poor
and needy, children of widows.
x. To provide Sanskrit Education, Computer Education and training for poor &
needy persons.
xi. To do best efforts the promotion of research and education on medical science
including surgery by running the various/different schools, colleges, and other
medical research and / or educational institutions.
xii. To provide all type of computer education & financial planning education
(Stock, Mutual Fund & Insurance etc.).
xiii. To arrange and organize various kinds of program, and / or activities relating to
family planning and defuse knowledge about the medicines, equipment’s
method used for family planning and also provide the family concealing
facilities.
xiv. To provide information and education / useful knowledge and the medical
advice to general public regarding the vices of the society like drugs, use of
alcohol, smoking, AIDS etc. through holding awareness camps for medication
and also organize the lectures by export terms of doctors, generalists, lawyers,
professionals and other learned persons.
xv. To establish & maintain Degree College, Management College, Law College,
Engineering College, Medical College etc.
xvi. To establish & maintain schools up to 12th standard.

xvii. To establish residential institute for development of special children (like
mentally handicapped, physical handicapped, blind, deaf & dump, Autistic
learning disabled, slow Lerner, curable palsy etc).
xviii. To promote welfare rehabilitation , vocational training to special children.
xix. To establish special school diagnostic and counseling clinic, Teacher training
centre and sheltered work shop for special children and also to undertake
different projects relevant these fields.
xx. AIDs (To establish medical centre, school, and hostle for HIV infected children).
xxi. To establish School + Hostel+ Vocational training centre for Street Children.
xxii. To establish, maintain & Run Hostel for working women.
xxiii. To make arrangements for mobile emergency Vans/ambulance for the victim of
road accidents, to provide help to pregnant ladies to shift them to nearby
hospitals, and also to provide assistance to the old people for the emergency.
xxiv. To provide nursing aid to the needy people Especially for the old age men and
women, orphan ill etc.
xxv. To awarded appropriate certificate or diplomas in respect of educational,
vocational or technical training courses & all type of Computer courses.
xxvi. To organize regular computer coaching in the field of career guidance to
unemployed youth.
xxvii. To establish, run, maintain, finance, promote, and Support the computer
training centers & institutes.
xxviii. To create a sense of belonging, Co-operation, mutual harmony love and
affection amongst the member and general public.
xxix. To take up effective but legal and lawful steps for the eradication of social evils
such as dowry system, child marriage, child labour.
xxx. To stop/ work against the ills prevailing in the society as superstition, hunger
and death due to starvation, bonded labour & child labour (Bal Majdoori).
xxxi. To make the productive use of the vast unused land through massive programs
of forestation and tree plantation.
xxxii. To encourage the conservation of environment and spread the motto of ‘Green
Earth’ by growing more plants.

xxxiii. To bring under productive use of then waste Land through a massive programs
of forestation and tree plantation & agriculture.
xxxiv. To provide legal medical aid, social economic help andassistance to the
farmers.
xxxv. To Organise Free Eye Checkup & Eye care Camps.
xxxvi. To spread Education (Basic, Higher, Technical, Vastu, Astrology etc.) by
opening Educational Institutions and Centres.
xxxvii. To conduct education as a process of systematic institution, training and
development of knowledge, skill, mind and character through quality in
contents and standards of its presentation for raising physical, material, moral,
cultural, ethical, spiritual, intellectual, economic and social conditions of the
community in general.
xxxviii. To provide for research and for the advancement of and dissemination of
knowledge under extra moral studies, expansion programs and filled out-reach
activities to contribute to the development of society.
xxxix. To provide the low cost housing to the society members at no profit and no loss
basis
xl. To Arrange Awarding scholarships and fellowship to the students for the
purpose of undertaking, prospecting and encouraging higher education and
research work in any branch of engineering technology, electric therapy,
radiology and bacteriology, medical science or any other branch or branches of
modern applied science in its wides and more comprehensive Sense.
xli. To act on Establishing or rendering helps to any institution for the alleviation of
human suffering.
xlii. To promote the cause of National Integration and unity of India and to fight
against the forces of separatism in India.
xliii. To render services to the women, children and youth of the country for their
actual moral, social and rights.
xliv. To create awareness through print media & Electronic media among farmers,
villagers, cottage Industries owners and mass of the people at micro level
about policies, programmes and development initiates being carried/taken on
by government at centre and state level.

xlv. To promote literacy, cultural and other social activities by awareness
Programmes. Adult Education classes, Lecturers, Essay Competitions,
Exhibitions, Symposium, Cultural Programmes, Press Conference and
seminars.
xlvi. To carry on community development programs/activities and also construct and
develop the Community Halls, Club, Old Age Home, Day care centre Charitable
Dispensaries, Orphanages, Physiotherapy & Rehabilitation Centre, Hospital,
Libraries, Reading Rooms, give the food to poor and needy persons, Play
grounds, yoga training centers, Handicraft, Handloom, Training Centre, Drama
Stage and other training and research institute for the attainment of Aims and
objects of the society.
xlvii. To make adequate arrangements and start/run the rehabilitation centers for
destitute, widows, old men & women, poor, Torture Victims, handicapped, and
for mentally retarded persons for their social upliftment.
xlviii. To open the institutes & hostels for the handicapped, deaf, dumb, blind, girls &
women etc.
xlix. To take-up effective, reasonable and lawful steps for the solution of the
problems relating to the blind, handicapped, mentally retarded, deaf, dumb and
other disabled, by providing them all required facilities.
l. To start various programs against child labour and take-up effective but
reasonable and lawful steps in this connection for the welfare of children.
li. To provide free legal, medical and socio-economic help/assistance to the poor
and needy persons.
lii. To conduct training and research programs for control of the pollution, polluted
diseases and to maintain/secure the Herbs, forests, Environment, Species of
Animals, Bird, Wild life etc.
liii. To help people in the pre-retirement stage to prepare for life after retirement.
liv. To establish & manage various kinds of educational, cultural, social and
welfare, vocational training centers in the field of industrial Scientific, medical,
technical, agricultural research training institutes to introduce and develop
professional courses. Handicraft and Handloom ,centers and courses.

lv. To establish and run orphanage centers crèches for the children and working
women and hostels for working women.
lvi. To provide and help/assistance to the physically handicapped people/children
in respect of artificial limbs and to give them vocational training on different
technical/non-technical/professional/industrial and on the other subjects/fields
which will make them independent
lvii. To prepare the awareness generation kits posters, banners, Audio-video
Cassette, puppet shows, skits, documentaries etc regarding various social
issues and for the attainment of the aims and objects of the above society.
lviii. To publish Books, Charts, illustrations, Journals, Magazines, periodicals, News
Letters/papers and other publications on the different subjects and in different
languages for the promotion of above Aims and objects of the above society.
lix. To approach the concerned authority/authorities regarding the solution of the
problems of the members of the society.
lx. To assist and co-operate the other Association, Societies, Trusts in their
work/activities whose aims are same like this society
lxi. To arrange and manage the training institutions in typing, short-hand,
Computer, Fine Arts, Crafts, Music, Painting, Modelling, Dancing, Yoga,
Physical Education and in other professional training subjects.
lxii. To make best efforts and organise various kinds of programs and/or activities
relating to Family planning and to diffuse the useful knowledge about the
medicines, equipment, method used for family planning also provide the Family
Counselling facilities.
lxiii. To give, provide and/or render monetary and/or other help and assistance for
the relief of persons and animals affected by natural and other calamities such
as flood, fire, famine, cyclone, earth quake, storm, accident, pestilence,
drought, epidemic, unbearable cost of living and the like, to give donations,
subscriptions or contributions to institutions, establishments, centres or persons
doing relief work on such occasion.
lxiv. To make arrangement for mobile emergency VAN/AMBULANCE for the victims
of road accidents (including dead bodies), to provide help to pregnant ladies to

shift them to near by hospital, also to provide assistance to the old people for
the emergency.
lxv. To arrange welfare and research programs for the Indian public and also
provide necessary help/assistance.
lxvi. To open, found, establish promote, set-up, run and maintain and set up of eye-
donation camps and blood donation camps, eye banks, Blood Banks,
dispensaries, hospitals and other forms of organization to promote eye
donation and blood donation.
lxvii. To establish, support, and grant aid and other financial assistance to Medical
Institution, Hospitals, Research laboratories and other research centers or and
other scientific research institutes for development of the knowledge of human
being in subject.
lxviii. To promote, advance and encourage and or aid in helping the common man
from the abuse of drugs and formulate the schemes for ameliorating the drug
addicts from the deadly mean of drugs.
lxix. Grant of medical help to the poor, and grant of medical help to persons effected
during famine, floor, earthquake or any calamity or war of warlike operations.
lxx. To Start and maintain infact, children, homes, welfare centres and maternity
homes for general welfare.
lxxi. To provide seeds/fertilizers to the farmer/agriculturists for growing the good-
grins/flower etc and provide the same on competitive rates to the members.
lxxii. To encourage games, sports, yoga, Naturopath and alternative therapies and
other games for the improvement of health amongst youth and children on the
whole by providing playground, sports clubs, yoga training centers and also
organize the tournament, yoga & sport competitions on block district level. To
promote awareness program in the general public regarding ROAD SAFETY.
lxxiii. Society will invest its money and funds according to section 11(5) of the
Income Tax Act of 1961.
lxxiv. To receive financial and non-financial assistance from Govt./Non-Government
organization, international bodies, Bank, Company and any other legal entity or
individual for attainment the objective of the organization and to fulfill the needs
of the people.

lxxv. To accept donations, grant presents, gifts and other offerings in the shape of
movable or immovable properties and the same shall be utilized for the
promotion of Aims and objects of the above society.
lxxvi. To make survey for collection of data for the attainment of any objects of the
society.
lxxvii. To collect notices, notifications, policies, information from the Govt., Semi-
Govt., NGO and other National/International agencies and provide the same to
the members of the society and the general public.
lxxviii. The aims and objects of the society shall be purely for ‘CHARITABLE
PURPOSE’ which includes relief of the poor, educational, social, medical relief
and the advancement of any other objects of general public utility.
lxxix. To erect, construct, alter, maintain improve, develop, manage and control all or
any part of the property or the building of the above society, necessary or
convenient for the purpose of the attainment of the aims and object of the
society.
lxxx. To purchase/acquire the land and/or building in the name of the society for the
upliftment and fulfillment of the aims and objects of the society and also to
enter into an agreement with the consortium of societies with the same aim and
objects.
lxxxi. To do such other things/acts/activities which are necessary and which may be
incidental or conducive to the attainment of any of the object of the society.
Also to start multifunctional institution to train/provide HEALTH, SAFETY, and
ENVIRONMENTAL AND SECURITY services.
lxxxii. All the income, earnings, movable or immovable properties of the society shall
be solely utilized and applied towards the promotion of its aims and objects
only as set forth in the Memorandum of the society and no profit thereof shall
be paid or transferred directly or indirectly by way of dividends, bonus, profits or
in any manner whatsoever to the present or the past members of the society or
to any person claiming through any one or more of the present or the past
members No members of the society shall have any personal claim on any
movable or immovable properties of the society or make any profit, whatsoever,
by virtue of this membership.

RULES AND REGULATIONS
7. NAME OF THE SOCIETY: The name of the society shall be:IOCL EMPLOYEESWELFARE SOCIETY
8. MEMBERSHIP: The membership of the society is open to any person who has
attained the age of majority and fulfil the terms and conditions of the society,
without discrimination of the religion, caste, colour and creed but subject to the
approval of the Governing body of the society. Anyone who is not less than 18
years including person having government jobs can also become the member.
9. REFUSAL: If the membership is not approved by the Governing body of the
society, the reason of refusal shall be communicated to the person/applicant
concerned
10. ADMISSION FEE & SUBSCRIPTION : The Share Money and the subscription
shall be as under unless otherwise revised by the Governing body of the
society.:-
(i) Value of one share is Rs100/-
(ii) Subscription Rs. 5000/-
11. TERMINATION OF MEMBERSHIP: The Governing body of the society shall
have the powers to expel/ terminate a member or/and members, from the
membership of the society, on the following grounds:-
i. On death.
ii. On written resignation
iii. If found to be involved in any anti social activities.
iv. If adjudged by any court of law to be a criminal offender.
v. If found guilty by means of and propaganda of the Aims and objects of the
society.

vi. If fails to pay the subscription or contribution for three months.
vii. If disregards Rules and regulations or disobey the decisions of the
Governing Body.
12. APPEALS:
All the appeals should be referred to the General body of the society, The decision of
the General body shall be final. The reason for rejection shall be communicated to the
member concerned.
13.RE-ADMISSIONIn case of member is expelled by the Governing Body, the same can be readmitted,
provided the member concerned pays all upto date dues. The decision of Governing
Body in this regards shall be final.
14. GENERAL BODY :
All the members of the society will constitute the General body of the society.
15. FUNCTIONS OF THE GENERAL BODY.
i. To consider any business brought forwards by the Governing body.
ii. General body meeting shall be held once in every year.
iii. The quorum of General body meeting shall be 2/3rd of the total strength of the
General body meeting of the society. In case of failure to meeting the Quorum,
the General Body Meeting may be extended by one Hour and the requirement
of Quorum for such extended General body meeting be 1/5th of total strength of
the Society.
iv. The General Body Meeting be called by Secretary at Minimum ‘15’ days prior
notice to the members, enclosing agenda to be discussed specifying date, time
and place.

16. RIGHT & PRIVILEGES OF MEMBERS:
All and every member of the society shall be entitled to participate in meetings,
cultural/educational functions and other lawful gatherings, called/arranged by the
society. Have right to collect the identity card after depositing the required prescribed
fee (fixed by the Governing body of the society from time to time.)
17. DUTIES OF THE MEMBERS :
i. Elect the Governing body of the society.
ii. Attend the General body meeting regularly.
iii. Give the necessary information to the society, pertaining to any matter which is
necessary to be known by the society, Not to indulge in activities which are
prejudicial to the aims and objects and/or the Rules and Regulations of the
society.
18. GOVERNING BODY
i. The strength of the Governing body (including office bearers and executive
member) shall not be less then 7 and not more than 21.
ii. Minimum 7 days notice shall be required for every Governing body meeting of
the society but urgent governing body meeting can be called by 24 hours
notice.
iii. Quorum of every governing body meeting shall be 2/3rd of the total strength of
the governing body and all decision be taken by simple majority.
iv. Governing body meeting shall be held once in three/six months regularly, or as
and when the Governing body of the society may decide from time to time.
19. EMERGENCY MEETINGS:
The Emergency meeting of the governing body may be called at the 24 hrs notice but the
quorum for the same urgent governing body meeting shall be 2/3rd of the total strength of
the governing body.

20. FUNCTIONS & POWERS OF THE GOVERNING BODY :
Governing body shall be responsible for the management and administration of the
society, and is also authorised to appoint office bearers/executive members to look after
any particular activity further.
i. All the decisions shall be taken by the majority votes.
ii. The governing body shall have the powers as are the powers of these rules
and regulation.
iii. To prepare plans, project and programmes towards the achievement of aims
and objects of the society including the initiation of appropriate steps towards
erection, construction, alteration, maintenance, improvement, development,
management and control all or any part of the property or the building of the
above society, necessary or convenient for the purpose of the attainment of the
aims and object of the society.
iv. To purchase/acquire the land and/or building in the name of the society for the
upliftment and fulfillment of the aims and objects of the society and also to
enter into appropriate agreement with the consortium of societies with the
same aim and objects, if required.
v. To appoint Election Officer and his/her power.
21. COMPOSITION OF THE GOVERING BODY :-
The Composition of the Governing Body shall be as under

22. POWERS AND DUTIES OF OFFICE BEARERS :-
A. Presidenti. President shall preside all the meeting of the society.
ii. At the voting on any matter subject (except Election) if the total votes, Of the
Groups, of member happen to be equal in number, the President has the powers
to cast an extra vote to decide the matter/subject.
iii. President shall have the powers to allow inclusion of any subject/matter in the
agenda for the discussion in the course of proceeding/meeting.
iv. President will sign all the papers/letters, on behalf of the society, to Conduct its
correspondence.
v. President shall have the power to call Emergency meetings of the Executive.
Committee or General Body at any time at short notice.
vi. President shall have the power to call for explanation of any member of executive.
Committee and general body whose conduct is affecting interest and reputation of
the society and if his explanation is not found satisfactory, he could suspend such
member and the same will be subject to ratification of the governing body within a
period of one month.
B. VICE- PRESIDENT :-i. Vice President enjoy all powers of President in absence of President.
ii. The vice-president shall be the authorized signatory in the bank account of the
society as well as in the admission of new members jointly with treasurer and
Secretary.
C. SECRETARY :-i. Secretary will summon and attend the meeting of the Governing Body and the
General Body.
ii. Secretary will prepare the Membership Register as well as the proceeding
Register to record the minutes of the proceeding of the Governing Body
Meeting and the General Body Meeting and have them duly signed by the
members who attend the meeting.

iii. The Secretary shall be the authorized signatory in the bank account of the
society as well as in the admission of new members jointly with vice-president
and treasurer.
D. TREASURER:i. All funds of society shall remain under the care and management of Treasurer.
ii. Treasurer shall maintain the accounts of all money which is received and/or
paid by him/her on behalf of the society.
iii. Treasurer shall make disbursement in accordance with the direction of the
Governing body.
iv. All funds will be transferred by the joint signature of the Vice-President,
Secretary and Treasurer.
23. EXPANSION OF GOVERNING BODY:
The total strength of Governing Body may be increased to upto 21, by the Resolution
passed by the governing body, and such appointments shall be confirmed by the
General body in its forth coming General body meeting.
24. FILLING UP CASUAL VACANCIES:
Any casual vacancy amongst the Governing Body shall be filled by the Resolution
passed by the governing body, such appointments shall be confirmed by the General
body in its coming General body meeting.
25. ELECTION :
General body will elect all office bearers and also the Executive members of the
Governing body after ever five years by the secret ballot papers or by show of hands as
the election officer may decide.
26. SOURCES OF INCOME:
All the income of the society shall be utilized only for the promotion and upliftment of the
aims and objects of the society. Sources of income of the society are as under:
a. Share money.

d. Grant in Aid
27. FINANCIAL YEAR :
Financial year of the society shall be from 1st April to 31st March every year.
28. AUDIT
The accounts of society shall be audited annually by a firm of Chartered Accountants,
appointed by General Body.
29. MANAGEMENT OF FUNDS & ACCOUNTS OPERATION:
Bank Account shall be operated by Joint Signatures of TREASURER, VICE-
PRESIDENT and SECRETARY.
30. ANNUAL LIST OF GOVERNING BODY:
Once in every year a list of the office bearers and the executive members of the
governing body shall be filed in the office of the Registrar of Societies Delhi, as it is
required under SECTION-‘4’ of the “SOCIETIES REGISTRATION ACT, 1860”, as
applicable in National Capital Territory of Delhi.
31. DISSOLUTION :
In the event of dissolution of the society, the entire society funds shall be realized and
first be used for payment of liabilities of the society. The assets left if any, shall be
disbursed, after obtaining prior approval of the Commissioner of Income-Tax (Exemption)
New Delhi, to other societies having similar objectives and who have been granted
registration u/s 12AA of The Income Tax Act, 1961. In no circumstances it shall be
distributed in any manner, to any member of the Managing committee of the Societyor their relatives or related concerns.

32. LEGAL PROCEEDINGS :
Society may sue and/or be sued in the name of the President as per provisions laid
down under SECTION-‘6’ of the “SOCIETIES REGISTRATION ACT, 1860”, as
applicable in National Capital Territory of Delhi
33. AMENDMENT :
Any amendment in Memorandum, Rules and Regulations will be carried out in
accordance with SECTION 12 & 12A, of the “SOCIETIES REGISTRATION ACT 1860”,
as applicable in National Capital Territory of Delhi.
34. THE SOCIETY OBTAIN
12 A/80G, FCRA, 35 AC, REGISTRATION,( As per Government Rule)
35. APPLICATION OF THE ACT:
All the provisions under all the sections of the SOCIETIES REGISTRATION ACT, 1860,
as applicable in National Capital Territory of Delhi, shall be applicable to this Society.
36. ESSENTIAL CERTIFICATE:
Certified that this is the true copy of the Rules and Regulations of the Society.
