MiddlewareLicenseAgreement
THISAGREEMENTisbetweenthefollowingparties(eachaPartyandtogethertheParties):
PARTIES
(1)FlyMyCloudLimited,acompanyincorporatedinEnglandandWaleswhoseregisteredcompanynumberis09756179andwhoseregisteredofficeisat71-75SheltonStreet,CoventGardenLondonUKWC2H9JQ(theProvider);and
(2)TheCustomer,theentitybasedintheUnitedKingdomagreeingtotheseterms.IfanentityisacceptingthesetermsonbehalfoftheCustomer,theentityrepresentsandwarrantsthat:(i)theyhavefulllegalauthoritytobindCustomertothisAgreement;(ii)theyhavereadandunderstoodthisAgreement;(iii)theyareresidentintheUKfortaxpurposes;and(iv)theyagree,onbehalfofCustomer,tothisAgreement.IfanentitydoesnothavethelegalauthoritytobindtheCustomer,theyshouldnotselectthecheckboxtoaccepttheseterms.
ThisAgreementgovernstheCustomer'saccesstoanduseoftheService.
RecitalsA. TheCustomerwishestodeployandscaleawebapplicationorawebsiteusingthe
service(the“MiddlewarePlatform”)suppliedbytheProvider.
B. TheCustomerunderstands theMiddlewarePlatform is inbeta stage andmaynotperformasexpected.
C. TheCustomerunderstandsthattheauto-scalingisapplicableonlyforservicescreatedathttps://middleware.flymycloud.com/autoscale-applications(theService).
D. Other services (the “Other Services”) that are available through the MiddlewareplatformsuchasCloudServers(https://middleware.flymycloud.com/cloud-servers),Cloud Databases (https://middleware.flymycloud.com/cloud-databases ) will notcomewithauto-scalingandtheCustomerisresponsibleforcreating,maintaininganddeployingsolutions;andmaintaininginstancesassociatedwiththeseservices.
E. ThisAgreementiseffectiveasofthedateCustomerselectsthecheckboxtoaccepttheAgreement(the"EffectiveDate").IfyouareacceptingonbehalfofCustomer,yourepresent andwarrant that you have full legal authority to bind Customer to thisAgreement.
F. ThepurposeoftheServiceistodeploytheCustomer’sWebsiteorApplication.
G. TheCustomerunderstandsthattheProviderdoesnotoperateahostingbusinessandalltheCustomersoftwareanddatawillbehostedwithThirdPartyHostingprovider(s).
H. The Customer or Customer’s agent(s)will provide the data and software and anyothercontentrequiredfortheapplicationorwebsiteasrequiredbytheMiddleware
and theProviderwillprovide the service through theMiddlewarePlatformon thetermssetoutinthisAgreement.
THEPARTIESAGREE:
1.Definitionsandinterpretation
InthisAgreement,unlessotherwiseprovided:
1.1.Definitions
AcceptableUsePolicyApplicationAccount
meanstheAcceptableUsePolicy(AUP)ontheProvider’swebsite(Thispolicyisavailableathttps://www.flymycloud.com/aup)meansanyweb-basedsoftware;Customeraccountregisteredthroughhttps://www.flymycloud.com/register
BusinessDay meansadayotherthanSaturday,Sundayandpublicholidayswhenclearingbanksgenerallyareopenfornon-automatedbusiness;
Charges meansthesumschargedtotheCustomer,excludingVATandothersalestax,assetoutinSchedules 1 and 2, and ‘Additional Charges’, ‘Resource Cost’, ‘Set-up Charges’, and‘MaintenanceCharges’shallhavethemeaningssetoutinSchedules1and2;
ConfidentialInformation
means any and all confidential information (whether in written or electronic form),includingtechnicalorotherinformationimpartedinconfidenceordisclosedbyonepartytotheotherorotherwiseobtainedbyonepartyrelatingtotheother’sbusiness,financeortechnology, know-how, intellectual property, assets, strategy, products, and customers,including without limitation information relating to management, financial, marketing,technical and other arrangements or operations of any person, firm or organisationassociatedwiththatparty;
Content means all text, graphics, images, sound, data, software and materials provided by theCustomer for the Application or the Website from time to time as required by thisAgreement;
Downtime meansaninterruptionintheServicesofmorethan60secondsduetothedefaultoftheProvider;
ForceMajeure meansaneventorsequenceofeventsthatarebeyondaparty’sreasonablecontrol(whichcouldnotreasonablyhavebeenanticipatedandavoidedbyaparty)preventingordelayingitfromperformingitsobligationshereunder,includingwithoutlimitationwar,revolution,terrorism, riot or civil commotion, any problemswith Third Party hosting providers, orreasonableprecautionsagainstanysuchevents;strikes,lockoutsorotherindustrialaction,whetheroftheaffectedparty’sownemployeesorothers;blockageorembargo;actsoforrestrictions imposedbygovernmentorpublicauthority;explosion, fire,corrosion, flood,naturaldisaster,oradverseweatherconditions.ForceMajeuredoesnotinclude,withoutlimitation, inability to pay, shortage of or increase in the price of rawmaterials, over-commitment or other circumstances that may make the terms of this Agreementunattractivetoaparty;
IntellectualPropertyRights
meanscopyright,rights in inventions,patents,know-how,tradesecrets,trademarksandtradenames, servicemarks,design rights, rights inget-up,database rightsand rights indata,semiconductorchiptopographyrights,domainnamesandallsimilarrights,and,ineachcase:(a) whetherregisteredornot;(b) includinganyapplicationstoprotectorregistersuchrights;(c) includingallrenewalsandextensionsofsuchrightsorapplications;(d) whethervested,contingentorfuture;and(e) whereverexisting;
Month meansacalendarmonth;
ServerServiceCredit
means any server (cloud, virtual or dedicated) used by the Provider to deploy theApplicationorSitefromtimetotime;meansacreditfromtheProvidertotheCustomer,providedthiscanonlybeutilisedforthepurchaseoftheProvider’sMiddlewareservicesandinaccordancewithclause13ofthisAgreement.

Site/Website meansthewebsite(s)tobehostedontheServerbytheProviderfortheCustomerusingtheContent;
Specification meansthespecificationassetoutinSchedule1;
StartDate meansthedateofthisAgreement;
SubmissionsTerms URL(AgreementTermsURL)ThirdPartyHost
meansanyuserorother thirdpartygeneratedContentemailedorotherwiseexternallysubmittedtotheSiteortheApplication;https://www.flymycloud.com/middleware-termsmeansanyhostingproviderthattheProvidermayusefromtimetotime,including(butnotlimitedto)servicessuchasAmazonAWS,GoogleCloudandMicrosoftAzure;and
VAT meansUnitedKingdomvalueaddedtaxandanyothertaximposedinsubstitutionforit.
1.2.Interpretation
Unlessotherwiseprovided:
1.2.1.eachgenderincludestheothers;
1.2.2.thesingularincludesthepluralandviceversa;
1.2.3.referencestoclauses,SchedulesorAppendicesaretoclauses,SchedulesorAppendicesofthisAgreement;
1.2.4.referencestothisAgreementincludeitsSchedulesandAppendices,asamendedfromtimetotime;
1.2.5.referencestopersonsincludeindividuals,unincorporatedbodies,governmententities,companiesandcorporations;
1.2.6.‘including’meansincludingwithoutlimitation;
1.2.7.generalwordsarenotlimitedbyexample;
1.2.8.clauseheadingsdonotaffecttheirinterpretation;
1.2.9.adocumentisinagreedtermsifCustomerhaspurchasedthisplanfromtheProvider’swebsite(www.flymycloud.com);
1.2.10.referencestolegislation(includinganysubsidiarylegislation)includeanymodificationorre-enactmentthereof;
1.2.11.‘writing’ includesmanuscript, telexes, facsimiles, emails, communications in Brailleandotherpermanentforms.
2.Services
2.1.TheProviderwillsupplytheServicestotheCustomerfromtheStartDateuntiltheexpiryor terminationof thisAgreement subject to complianceby theCustomerwith thetermsofthisAgreement.
2.2.TheProvidermaystoretheContentandanySubmissionsontheServer(s).
2.3.TheProviderhastherighttostoreanydata,contentorsoftwareanywhereoutsideoftheEuropeanUnion.
2.4.TheProviderortheThirdPartyHostmayallocateaninternetprotocoladdresstotheSiteortheApplicationandmayrenumberorreallocatetheinternetprotocoladdressfortheSitefromtimetotimeasappropriate.TheCustomerwillhavenoentitlementorinterestinanyinternetprotocoladdressesallocatedbytheProviderortheThirdPartyHost whatsoever whilst the Agreement is in force or upon termination of theAgreement.
2.5.TheCustomerunderstandsthattheProviderwillbeusingServersprovidedbyThirdPartyHost(s).
3. NewApplicationsandServices
3.1.TheProvidermay: (i)makenewapplications, tools, features or functionality availablefromtime to time through theServicesand (ii)addnewservices to the"Services"definitionfromtimetotime,theuseofwhichmaybecontingentuponCustomer’sagreementtoadditionalterms.
4.TechnicalSupportService
4.1.TheCustomerisresponsiblefortechnicalsupportofitsApplicationsandSite.
4.2.TheProviderisundernoobligationtoprovidetechnicalsupportfortheCustomer’sApplicationsandProjectsunlessaSupportPlanispurchasedbytheCustomer.ThenatureofsuchsupportwillbegovernedbythetermsandconditionsofthisSupportPlan.
5.Chargesandpayment
5.1.InconsiderationoftheProviderprovidingtheServicesinaccordancewiththisAgreement,theProviderwillautomaticallydeductthefollowingchargesfromtheCustomerusingthepaymentdetailsprovidedbytheCustomer:
5.1.1.theSet-upCharges;
5.1.2.theLicensefeeasprovidedinSchedules1and2;and
5.1.3.anyAdditionalChargesasprovidedinSchedules1and2(thesechargesarepayableimmediatelyuponcreationofanyassociatedresourceandtheprovidermaychargeyourpaymentcardimmediatelyoncreatingsuchresources).
5.1.4.Fortheavoidanceofdoubt,theLicensefeesandAdditionalChargesareappliedbasedontheplanselectedbytheCustomeraftertheyhaveregisteredfortheServicesontheProvider’sWebsite.
5.2.Fortheavoidanceofdoubt,theCustomerisobligatedtopayallapplicableFeeswithoutany requirement for the Provider to provide a purchase order number on theProvider’sinvoice(orotherwise).
5.3.VATwillbechargedinadditiontoallCharges(whereeligible)andwillbepayablebytheCustomer.
5.4.InordertouseanyoftheServicestheCustomeragreestohaveaddapaymentcard(creditordebit)totheiraccountorarrangeforsignedaDirectDebitmandatetobeactivatedontheiraccount,sothattheChargesandPaymentsmaybedeductedautomatically fromtheiraccount.
5.5.TheCustomerisresponsibleforanyTaxes,andCustomerwillpayTheProviderfortheServiceswithoutany reduction forTaxes. If theProvider isobligated to collectorpayTaxes, the Taxes will be collected from the Customer, unless Customer provides theProviderwithatimelyandvalidtaxexemptioncertificateauthorizedbytheappropriatetaxingauthority.IfCustomerisrequiredbylawtowithholdanyTaxesfromitspaymentstotheProvider,CustomermustprovidetheProviderwithanofficialtaxreceiptorotherappropriatedocumentationtosupportsuchwithholding.Ifrequiredbylaw,theCustomerwillprovidetheProviderwithsuchtaxidentificationinformationthattheProvidermayrequire to ensure its compliance with applicable tax regulations and authorities inapplicablejurisdictions.Customerwillbeliabletopay(orreimbursetheProviderfor)anytaxes,interest,penaltiesorfinesarisingoutofanymis-declarationbytheCustomer.
5.5.PaymentofChargeswillbemadebysuchmeansastheProviderdirects,includingonlinetransferorwebbasedpayment,atthecostoftheCustomer.
5.6. In theevent that theCustomerdelaysorwithholdspayment for theServices forany
reason,theProvidermaysuspendtheServicesorterminatetheAgreement.
5.7.TheProvidermay,withoutlimitingitsotherrights,chargeinterestonanysumsduebutnotpaidinfullbytheduedate,at7%perannumabovetheBankofEnglandbaseratefromtimetotimeinforce.
5.8.Interestwillaccrueonadailybasis,andshallapplyfromtheduedateforpaymentuntilactualpaymentinfull,whetherbeforeorafterjudgment.
5.9.Tothefullestextentpermittedby law,theCustomerwaivesallclaimsrelatingtoFeesunless claimedwithin thirtydaysafter charged (thisdoesnotaffectanyCustomerrightswithitscreditcardissuer).Refunds(ifany)areatthediscretionoftheProviderandwill only be in the formof credit for the Services. Nothing in this AgreementobligatestheProvidertoextendcredittoanyparty.
6.Customerresponsibilities
6.1.TheCustomerwillprovide theContentand theSoftware to theProvider, through theMiddlewarePlatformintheformatrequiredbytheProvider,toenabletheProvidertodeploytheSiteontheServer(s)andprovidetheServices.
6.2.theCustomershallberesponsiblefor:
6.2.1. providing accurate and complete Content or updated Software and in the formatrequiredbytheSpecification;
6.2.2.respondingpromptlyfromtimetotimetothereasonablerequestsoftheProviderforanyadditionalinformationorassistancetoensurethesuccessfuldeploymentoftheSiteorApplication;
6.2.3.complyingwithallofthetermsofthisAgreementandanytermsandconditionsofThirdPartyHost(s)(referredtoinSchedule1ofthisAgreement)throughoutthetermofthisAgreement;
6.2.4.any Submissions, including any loss or damage to data, programs or hardware, anybreachesofsecurity,orharmcausedbyvirusesordevices;
6.2.5.using the Services in accordance with this Agreement and any applicable laws orregulations;and
6.2.6.any liability incurredby theProviderarising fromanydamagesufferedbyanyothercustomersoftheProviderduetoanybreachofthisAgreementbytheCustomer.
6.3.TheCustomerisresponsiblefortestingtheApplicationorWebsitetocheckthatithasbeendeployedcorrectly.
6.4.The Customer is required to notify the Provider of any defects in relation to thedeployment of the Application orWebsite within 2 Business Days of purchase bywritingtomiddleware-support@flymycloud.com.TheProviderisnotresponsibleforcorrectinganydefectsnotifiedafter thisdateand thedeploymentwillbedeemedsuccessful.
6.5.The Application or Website will be deemed to have been successfully completednotwithstandinganydefect in theContentoranyactoromissionof theCustomer(‘CustomerDefect’).
6.6TheCustomershallnotupdatetheApplicationorWebsitemorethan5timesacalendarmonthiftheCustomerhasnotpurchasedthe“ApplicationMaintenance”add-onfromtheProvider.
6.7 If theCustomerhas not purchased the “ApplicationMaintenance” ” add-on from theProvider, the Customer should not upload any file greater than 2 MB to theMiddlewarePlatform.
7.IntellectualPropertyandLicences
7.1.AllContentprovidedby theCustomeroranyagentof theCustomershall remain theproperty of the Customer, its agents or its licensors. The Customer grants to theProvider a non-exclusive worldwide royalty-free licence for the purposes of theperformanceofthisAgreementwhetherduringorafterthetermofthisAgreement.
7.2.AnyIntellectualPropertyRightsotherthanthosecontainedintheContent,theWebsiteortheApplicationexistingatthedateofthisAgreementorContentprovidedbytheCustomerafterthatdatearethepropertyoftheProvider,andtheCustomerassignsto the Provider all rights and titles in any such Intellectual Property Rights, bothpresent and future and waives any moral or other rights it may have in suchIntellectualProperty.
7.3.TheCustomergrantstotheProvideranon-exclusiveworldwideroyalty-freelicencetouseanydataassociatedwith theperformanceof theCustomer’sSiteorApplicationtoimprovetheMiddlewarePlatform.
7.4.TheCustomeracceptsthatallMiddlewarePlatform-relatedcontentandsoftwarearethepropertyoftheProviderandtheCustomerhasnoIntellectualPropertyrightsinthesamenotwithstandingthepossibilitythatanydataassociatedwiththeperformanceofCustomer’sSiteorApplicationmaybe,ormayhavebeen,used to improve theMiddlewarePlatform.
7.5.The Customer’s right to use theMiddleware Platform is granted through a revocablelicenseandisvalidonlyduringthetermofthisAgreement.
7.6.TheCustomerisprohibitedfromreverseengineering,orattemptingtoreverseengineeranypartsoftheMiddlewarePlatform.TheCustomerunderstandsthatanybreachofthisclauseislikelytocausesignificant,irreparabledamagetotheProvider’sbusinessinterests.
7.7.TheProvidershallnotbeobligedtoreturntotheCustomeranyContent,oranymediacontaining Content or other materials provided by the Customer under thisAgreementwhether during or after the termof this Agreement unless specificallyagreedinwritingbetweentheparties.
7.8.The Customer will indemnify and keep indemnified the Provider against all claims,liabilities, losses,damages,costsandexpensesarising fromanyclaimorallegationthattheSite,anyContent,SoftwareorSubmissioninfringestheIntellectualPropertyRightsofanythirdparty.
8.ConfidentialInformation
8.1.NeitherPartywill,withouttheother’spriorconsent,disclosetheConfidentialinformationoftheotherParty.
8.2.NeitherPartywillusetheother’sConfidentialInformationforanypurposeotherthanforthepurposeofperformingthisAgreement.
8.3.DisclosureofConfidentialInformationmaybemadetoaParty’s:
8.3.1.officers;
8.3.2.employees;
8.3.3.professionaladvisers;and
8.3.4.consultantsandotheragents,
providedthattherecipientissubjecttonolessobligationsofconfidentialitythanthePartyitselfandthePartydisclosingisresponsibleforcompliancewiththesame.
8.4.ConfidentialInformationdoesnotincludeinformationthat:
8.4.1.isorbecomespublicotherthanbybreachofthisAgreement;
8.4.2.wasknowntotheotherPartybeforethisAgreementwithoutbreachofconfidence;
8.4.3.isindependentlydevelopedbyorbecomesavailabletotheotherPartywithoutusinganyinformationsuppliedbythefirstParty;or
8.4.4.isrequiredtobedisclosedbylaworregulatoryauthority.InthecaseofsuchdisclosurethePartysubjecttosuchrequirementshallfirstnotifytheotherPartyoftheactualorpotentialrequirementtodisclose,ifpermittedtodosobylaw,andwillcomplywith
thereasonablerequestsoftheotherPartyastothemannerofsuchdisclosureasfaraspossibleandinaccordancewiththeapplicablelaw.
UponterminationofthisAgreementallConfidentialInformation,uponrequest,eachpartywillusecommerciallyreasonableeffortstodestroyallConfidentialInformationoftheotherpartyincludingcopiesofthesame,relatingtoorsuppliedbyaPartyandwhichisorshouldbeintheotherParty’spossession.
8.5.ThisclauseshallremaininforceforaperiodoftwoyearsfromthedateofterminationofthisAgreement.
9.Access
9.1.TheCustomermusthaveanAccountandaToken(ifapplicable) inordertoaccesstheServices,andisresponsiblefortheinformationitprovidestocreatetheAccount,thesecurityoftheTokenanditspasswordsfortheAccount,andforanyuseofitsAccountandtheToken.IfCustomerbecomesawareofanyunauthoriseduseofitspassword,itsAccountortheToken,CustomerwillnotifytheProvideraspromptlyaspossible.The Provider has no obligation to provide multiple Tokens or Accounts to theCustomer.
9.2.The Customer shall not have access to the underlying resources of the MiddlewarePlatform, the Provider’s or the Middleware’s network or any Middleware-relatedsoftware.
9.3.The Customer understands and accepts that the Customer cannot access any of theresourcesusedby theCustomer’s SiteorApplication. Thismay include,but is notlimited to the web servers upon which the Site or Application is deployed, CDNmanagementsystem,DNSsystemandanydatabaseservers.
10.Warranties
10.1.TheProviderwarrantsthatitwillprovidetheServiceswithreasonableskillandcare.
10.2.TheCustomerwarrantsthat:
10.2.1.IthasallpowerandauthoritytoenterintothisAgreementandallrightsandlicencestoprovidetheContentandtograntallnecessarylicencestotheProvidertoprovidetheServicesandtodeploytheSiteorApplication;
10.2.2.It owns or has all requisite licences, permissions and rights in the Content or theApplicationforthepurposesofthisAgreement;
10.2.3.TheContent,ApplicationanduseoftheSiteortheApplicationwillatalltimesbeincompliancewiththisAgreement;
10.2.4.AllmaterialcontainedinorlinkedtotheSite,theApplicationandallSubmissionswillnot:(a)breachtheProvider'sacceptableusepolicyorotherwisebedishonest,fraudulent,defamatory,
libellous,threateningorharassing,obscene,indecentorpornographic;(b)infringeanyIntellectualPropertyRightsoftheProvideroranythirdparties;(c)containanyvirusesorotherharmfulorintrusiveprogramsorothercode;and(d)breachanylaws,statute,regulations,standardsorcodesofpracticeofanyrelevantauthority.
10.3.TheProviderdoesnotmonitorormoderatetheSiteortheApplicationotherthantoscaletheSiteortheApplicationandacceptsnoliabilityforanycontentontheSiteortheApplicationunlessotherwisespecifiedintheSchedulesofthisAgreement.
11. RestrictionsTheCustomerwillnot,andwillnotallowthirdpartiesunderitscontrolto:(a)copy,modify, create a derivative work of, reverse engineer, decompile, translate,disassemble, or otherwise attempt to extract any or all of the source code of theServices;(b)sublicense,resell,ordistributeanyoralloftheServicesseparatelyfromanyintegratedApplication;(c)createmultipleApplications,Accounts,orProjectstosimulateoractasasingleApplication,Account,orProject(respectively)orotherwiseaccesstheServicesinamannerintendedtoavoidincurringFees;(d)unlessotherwiseset forth in the Service Specific Terms, use the Services to operate or enable anytelecommunications service or in connectionwith any Application that allows theCustomer’s End Users to place calls or to receive calls from any public switchedtelephonenetwork
12. Disclaimer
SaveasexpresslyprovidedforinthisAgreement,tothemaximumextentpermittedbylaw,theProvideranditsSuppliers(thismayincludeanyThirdPartyHost(s))donotmake any other warranty of any kind, whether express, implied, statutory orotherwise, includingwarranties ofmerchantability, fitness for a particular use andnon-infringement.TheProvideranditsSuppliersarenotresponsibleorliableforthedeletion of or failure to store any Customer Data and other CommunicationsmaintainedortransmittedthroughtheiruseoftheServices.TheCustomerissolelyresponsibleforsecuringandbackingupitsApplication,Project,andCustomerData.NeithertheProvidernoritsSuppliers,warrantsthattheOperationoftheSoftwareortheServiceswillbeerror-freeoruninterrupted.NeithertheSoftwarenortheServicesaredesigned,manufactured,orintendedforhigh-riskactivities(thisincludesbutnotlimitedtotakingpaymentsandfinancialtrading).
13.Limitationofliability
TheProvider'sliabilityunderthisAgreementisassetoutbelow:
13.1.TheProviderwillnotbeliabletotheCustomerforanylossordamagewhatsoeverorhowsoevercausedarisingdirectlyorindirectlyinconnectionwiththisAgreement,theServices,theSiteanditsuse,theApplicationanditsuse,orotherwise,excepttotheextenttowhichitisunlawfultoexcludesuchliabilityundertheapplicablelaw;
13.2. Notwithstanding the generality of the foregoing, the Provider expressly excludesliabilityforanyindirect,special,incidentalorconsequentiallossordamagethatmayarise in respectof theServices, theSiteand itsuse,or in respectofequipmentor
property, or for loss of profit, business, revenue, goodwill or anticipated savings,regardlessofwhethertheselosseswereforeseeableoradvisedtotheCustomer.
13.3.IfanyexclusioninthisAgreementisinvalidforanyreasonandtheProviderisliableforloss or damage thatmay lawfully be limited, the aggregate liability, including anyindemnities, of theProvider in any year for all claimswill be limited to£100 (onehundredpoundsSterling);
13.4.TheProviderdoesnotexcludeorlimitliabilityfordeathorpersonalinjurythatarisesasa resultof thenegligenceof theProvider,or for losseswhichcannototherwisebeexcludedorlimitedbylaw.
13.5 In case of any claim related to other services that are available through theMiddleware platform such as Cloud Servers(https://middleware.flymycloud.com/cloud-servers), Cloud Databases(https://middleware.flymycloud.com/cloud-databases ), Performance SQLaaS(https://middleware.flymycloud.com/performance-sqlaas), CloudAPI(https://middleware.flymycloud.com/cloud-apis) Provider is liable for loss ordamagethatmaylawfullybelimited,theaggregateliability,includinganyindemnities,oftheProviderinanyyearforallsuchclaimswillbelimitedto£1(onepoundSterling);
14.Indemnification
14.1Unlessprohibitedbylaw,theCustomerwilldefendandindemnifytheProvideranditsAffiliatesagainstIndemnifiedLiabilitiesinanyThird-PartyLegalProceedingtotheextentarisingfrom:
14.1.1 anyApplication,Site,CustomerDataorCustomerBrandFeatures;
14.1.2 Customer’s,orCustomerEndUsers’,useoftheServicesinviolationofthistheAcceptableUsePolicy;or
14.1.3 Anyviolation(s)ofthisAgreement.
14.2TheProviderdoesnotofferanyindemnitiestotheCustomer.
15.Dataprotection
15.1.TheCustomerisresponsibleforallcompliancewithrelevantDataProtectionlawsandregulations.
15.2. TheProvidermaystoreContentonanyServer inany location including territoriesoutsidetheEuropeanEconomicAreawithoutnoticetotheCustomer.ByusingtheServices,theCustomerconsentstothisprocessingandstorageofContent.UnderthisAgreement,TheProviderismerelyadataprocessor.
16.ModificationsProcedure
16.1.ModificationstotheSiteortheApplicationwillbeappliedautomaticallyandwithinareasonabletimeperiod,asdeemedbytheProvider,bytheMiddlewarePlatformintheeventthattheMiddlewarePlatformdetectschangestothesourcecoderepositorylistedonthesettingspageoftheMiddlewarePlatformandsubjecttotheCustomerproviding the appropriate permissions to the Provider to enable the MiddlewarePlatformtoaccesstherepositoryanditsfiles.
16.2. In theevent that theCustomerhaspurchasedtheProvider’sMaintenanceadd-on(“ApplicationMaintenance”)productassetoutinSchedule2ofthisAgreement,thentheApplicationortheSiteismanagedbytheProviderandtheProviderwillapplysuchModificationsasitseesfitfromtimetotime.
17.ServiceLevel
17.1.Siteavailabilitywillbemaintainedatthelevelof99.00%inanyperiodof30dayssaveforanyinstancesofDowntimeorotheroutagesassetoutinthisAgreement.
17.2.ServicecreditswillbeprovidedinrespectofDowntimeaggregatedonamonthlybasisandwillbecreditedagainsttheChargesfortherelevantmonth.
17.3.TheCustomerwillbegivenservicecreditsiftheMiddlewarePlatformdoesnotperformasexpected(asittheServiceisinbetastage)andhasresultedinadowntimeoftheCustomer’sWebsiteorApplicationformorethan5minutescontinuouslysubjecttoclause17.5.
17.4.TheCustomershallhavenorighttoaskforanyServicecreditsoranyotherremedyiftheMiddlewarePlatformmalfunctionsandhasnotcausedadowntimeofCustomer’sWebsiteorApplicationthatisalreadydeployedthroughtheMiddlewarePlatformformorethan5minutescontinuously.
17.5.ThemaximumServicecreditsthattheCustomercanreceiveinamonthwillbeequaltotheMonthlyLicenseFeeassetoutintheSchedules.
17.6.RequestsforcreditmustbemadebytheCustomerwithinfiveBusinessdaysoftheDowntimebywayofwrittennoticetotheProviderwhichincludesdetailsofthedatesand times of the Downtime, and such other information as is requested by theProvider.
17.7.Servicecreditswillnotbeprovidedfor:
17.7.1.Plannedoremergencyserviceoutages;
17.7.2.AnyoutagesofanyThirdPartyHost(s)whetherplannedorotherwise;
17.7.3.AnytechnicaldifficultiesassociatedwiththeinfrastructureofanyThirdPartyHost(s);
17.7.4.DowntimeresultingfromanybreachofthisAgreementoranyactsoromissionsbytheCustomeroranyuserauthorisedbytheCustomer;
17.7.5..TheCustomerunderstandsandagreesthatduringscaling,theApplicationorSitemaybeunavailableforupto10minutesunlesstheCustomerhasselectedthePredictiveScalingoptionontheSettingspageoftheMiddlewarePlatform
17.7.6.The Customer understands and agrees that the Application or Sitewill experienceDowntime resulting because of the exhaustion of resources in the event that theCustomer has placed limits on the degree of scaling that can be achieved on theSettingspageoftheMiddlewarePlatform.
17.7.7.DowntimeresultingfromanymaintenanceorupdatebeingappliedtotheApplicationortheSite;and
17.7.8.Any failure or defect in Customer equipment, facilities, applications, internetconnectionorinternetserviceprovider.
17.8.Fortheavoidanceofdoubt,inabilitytoaccesstheApplicationortheSiteduetoanybugsintheApplicationortheSiteisnotconsideredtobeDowntimeandaccordinglytheProvidershallnotbeheldliableintheeventofsuchdisruption.
17.9.TheProviderwillendeavourtonotifytheCustomerassoonasreasonablypossibleofanyanticipatedorplannedoutages.
17.10.DowntimewillbeinvestigatedandanalysedassoonaspracticableandtheProviderwill use its reasonable endeavours to restore the Services as soon as reasonablypracticable.
17.11.TheCustomeragreesthatcreditsforDowntimerepresentareasonableassessmentofanylossanddamageincurredbytheCustomerasaresultofDowntimeandthatnootherremedywillbeavailabletotheCustomerorrequiredbytheCustomerforsuchlossordamage.
17.12.TheProviderwillannounceifitintendstodiscontinueormakebackwardsincompatiblechangestotheServicesbyemailingtheCustomer.TheCustomerisresponsibleforanycostsassociatedwithswitchingtoanotherproviderandtheCustomerisresponsiblefortheProvider’sfeesintheeventthattheCustomerseekstotransferanydatafromtheMiddlewarePlatform.TheCustomeracceptsthattheProviderisinnowayresponsiblefor any costs associated with such a transfer. Any unused fees paid upfront will berefundedwithin30days.
17.13.TheProvidermaydiscontinueanyServicesoranyportionorfeatureforanyreasonatanytimewithoutliabilitytoCustomer.
18.Termandtermination
18.1.ThisAgreementwillstartontheStartDateandwilloperateforaninitialperiodofoneyearfromthatdate,unless:
18.1.1theCustomerwasgivenanoption;andtheCustomerselectedthischeckbox;topurchaseamonthlyrollingplanofferedbytheProvider.
18.2. Thetermof thisAgreementwillbeautomatically renewedfora furtheryear (orafurthermonthiftheinitialtermwasonemonth)oneachanniversaryoftheStartDateunless terminatedby threemonths' (or 5workingdays if the initial termwasonemonth)priorwrittennoticebyeitherPartyexpiringonthenextanniversaryoftheStartDateorunlessterminatedearlierasotherwiseprovided.
18.3.TheProviderhastherighttoterminatethisagreementforanyreason.TheCustomerhas 7 days to transfer any data out by paying the Transfer Charges (as defined in
Schedule1)totheProviderinfull.Anyunusedamountofmoniespaidupfrontwillberefunded within 30 days. The Provider may terminate this Agreement for itsconvenienceatanytimewithoutincurringanyliabilitytotheCustomer.
18.4.EitherPartymayterminatethisAgreementimmediatelybynoticetotheotherPartyiffollowingamaterialbreachbytheotherPartyofthisAgreement,orinthecaseofabreach capable of remedy, the other Party fails to remedy such breachwithin 60calendardaysofreceiptofnoticeofthebreachgivingdetailsofthebreachandtheremedyrequired.
18.5.EitherPartymayterminatethisAgreementimmediatelybynoticetotheotherPartyif:
18.5.1.(otherwisethanforsolventreorganisation)aresolutionforwindingupispassedbytheotherParty,oracourtorderismadeforwindingupoftheotherParty,orapetitionispresentedforwindingupoftheotherParty;
18.5.2.anencumbrancertakespossessionorareceiverisappointedoveranyofthepropertyorassetsofthatotherParty;
18.5.3.the other Party makes any voluntary arrangement with its creditors or becomessubjecttoanadministrationorder;
18.5.4.the other Party goes into liquidation (except for the purposes of amalgamation orreconstructionandinsuchmannerthatthesuccessoreffectivelyagreestobeboundbyorassumetheobligationsimposedontheotherPartyunderthisAgreement);
18.5.5.anythinganalogoustoanyoftheforegoingunderthelawofanyjurisdictionoccursinrelationtothatotherParty;orthatotherPartyceases,orthreatenstocease,tocarryonbusiness.
18.6.TerminationofthisAgreementforwhateverreasonwillnotaffecttheaccruedrightsandliabilitiesofthePartiesarisingfromthisAgreementatthedateoftermination,oranyprovisionsofthisAgreementthatareexpressed,orbytheircontextintended,tosurvivetermination.
18.7.UpontheterminationofthisAgreementforanyreason:
18.7.1.theCustomermay request theProvider to transfer theSite, theApplicationor theContenttotheCustomerorasdirectedbytheCustomer;and
18.7.2.theProviderwillprovideallreasonableassistancetotheCustomerforsuchtransfertotheCustomerattheCustomer’scostandattheratesdescribedintheSchedulesofthisAgreement.TheProvidermayrequirepaymentofsumsonaccountinadvanceforthiswork.
18.8.Upontheterminationofthisagreementforanyreason(saveforterminationintheeventofmaterialbreachofthisAgreementorForceMajeureorVariationunderclause21.5ofthisAgreement),theCustomershallberequiredtopayinfullalloutstandingChargesduetotheProviderunderthisAgreementfortheentirecontractualperiod.TheCustomershallnotbeentitledtorecoveranysumsinrespectofanyChargespaidandpayableinaccordancewithAgreement.
19. CustomerFeedback
IftheCustomerprovidesFeedbackabouttheServicestotheProvider,thentheProvidermayusethatinformationwithoutreferencetotheCustomer,andtheCustomerherebyirrevocablyassignstotheProviderallrights,titles,andinterestsinsaidFeedback.
20.Publicity
TheProvidermayincludeCustomer’snameorBrandFeatures(whichmayincludeCustomer’slogo,screenshotoftheirSiteorApplication,orfeaturesoftheirSiteorApplication)inalistoftheProvider’scustomers,onlineorofflinepromotionalmaterials.TheProvidermayalsoverballyreferenceCustomerasacustomeroftheServices.CustomerherebygrantstheSupplieraroyalty-freelicencetousetheSecondParty’scompanylogofortheSupplier’smarketingpurposes.
21.Generalprovisions
21.1.Time
Timeisnotoftheessenceforanytime,dateorperiodinthisAgreementexceptasspecifiedandexceptinrelationtoanypaymenttermsreferredtointhisAgreementandtheaccompanyingSchedulesofthisAgreement.
21.2.Relationship
ThePartiesareindependentbusinessesandarenotpartners,principalandagent,oremployerandemployee,orinanyotherrelationshipoftrustwitheachother.
21.3.ForceMajeure
Neitherpartywillbeliableforfailureordelayinperformancetotheextentcausedbycircumstancesbeyonditsreasonablecontrol
21.4. Set-off
AllamountsdueunderthisAgreementshallbepaidinfullwithoutanydeductionorwithholdingotherthanasrequiredbylaw,andtheCustomershallnotbeentitledtoassertanycredit,set-offorcounterclaimagainsttheProvidertojustifywithholdingpaymentofanysuchamountinwholeorinpart.
21.5ChangeinControl
IfapartyexperiencesachangeofControl(forexample,throughastockpurchaseorsale,merger,orotherformofcorporatetransaction)thatpartywillgivewrittennoticetotheotherpartywithinthirtydaysafterthechangeofControl.
21.6Variation
TheProvidermayvarythesetermsandconditionsatanytime.TheProviderwillnotifytheCustomerofsuchchangesbywayofanemailtotheemailaddressutilisedbythecustomerwhenregisteringfortheMiddlewarePlatform.IftheCustomerdisagreeswiththechanges,theCustomershouldstopusingtheServiceswithin5workingdaysofthechangesbeingnotifiedtotheCustomer.Upontheexpiryofthe
5workingdaynoticeperiod,theCustomer’scontinueduseoftheServiceswillconstitutetheiracceptancetothevariation.
TheProviderwillpostanymodificationtothisAgreementtotheTermsURL.
21.7Rightsofthirdparties
NothinginthisAgreement,saveasmaybeotherwiseexpresslyprovided,createsanyrightspursuanttotheContracts(RightsofThirdParties)Act1999infavourofanyoneotherthanthePartiestothisAgreement.
21.8Priority
ThetermsofthisAgreementprevailovertheSchedulesandanyAppendices.
21.9Assignmentandsubcontracting
(i)TheCustomershallnot,withouttheProvider'spriorwrittenconsent,assignorsubcontractany rightorobligationunder thisAgreement, inwholeor inpart,suchconsentnottobeunreasonablywithheldordelayed.
(ii)TheProvidermayassignorsubcontractitsrightsandobligations,withouttheCustomer’spriorwrittenconsent,andshallpromptlynotifytheCustomerofanysuchassignmentorsubcontract.
21.10Entireagreement
This Agreement, together with the accompanying Schedules, contains the wholeagreementbetweenthePartiesrelatingtoitssubjectmatterandsupersedesanyprioragreements, representations or understandings between them unless expresslyincorporatedbyreferenceinthisAgreement.EachPartyacknowledgesthatitplacesnorelianceon,andshallhavenoremedyfor,anyrepresentation(whetherinnocentornegligent)madebutnotexpresslyembodied in thisAgreement.Nothing in thisclauselimitsorexcludesanyliabilityforfraudorfraudulentmisrepresentation.
21.11Governinglawandjurisdiction
This Agreement is governed by the law of England andWales and falls under theexclusivejurisdictionoftheEnglishcourts.
21.12Costs
EachPartyisresponsibleforitslegalandothercostsinrelationtothepreparationandperformanceofthisAgreement.
21.13Language
21.13.1ThelanguageofthisAgreementisEnglish.Alldocuments,notices,waiversandotherwrittencommunicationsbetweenthePartiesinrelationheretowillbeinEnglish.
21.13.2IfthisAgreementistranslated,theEnglishversionwillprevail.
21.14Severability
TheunenforceabilityofanypartofthisAgreementwillnotaffecttheenforceabilityofanyotherpart. In thecaseofanyprovisionthat is foundtobeunenforceable, the
PartieswillpromptlyandingoodfaithnegotiateareplacementprovisionconsistentwiththeintentofthisAgreement.
21.15Waiver
21.15.1Unlessotherwiseagreed,nodelay,actoromissionbyeitherPartyinexercisinganyrightorremedywillbedeemedtobeawaiverofthat,oranyother,rightorremedy.
21.15.2Consent by a Party,where required,will not prejudice that Party’s future right towithholdsimilarconsent.
21.16Notices
Allnoticesmustbeinwritingandaddressedtotheotherparty’sprimarypointofcontact.The primary point of contact for the Customerwill be the email associatedwith theAccountortheMiddlewarePlatform.TheemailaddressfornoticesbeingsenttoFlyMyCloudisnotices@flymycloud.com.Noticeswillbetreatedasgiven,andwillbedeemedreceivedbyemail:24hoursfromdeliveryifnonoticeofdeliveryfailureisreceived.

TheProviderisrequiredtodeploytheCustomer’sSiteorApplicationthroughtheMiddlewarePlatformtoenableauto-scalingofresourcesprovidedbyThirdPartyHost(s).TheCustomeragreestoprovidethesourcecodeandcontentfortheSiteortheApplicationasrequiredbytheMiddlewarePlatform(orasrequestedbytheProvider).
2.Charges

TransferoutCharges:£10,000.00(tenthousandpoundsSterling)plusVATforthedatatobemovedoutoftheMiddlewarePlatformorfromanyserversmaintainedbytheMiddlewarePlatform.Thefeeof£10,000plusVATcoversanydatatransferupto10GBandfurtherdatatransferscostthesumof£1,000)onethousandpoundssterling)plusVATperGBthereafter.
UnlessspecifiedotherwiseinthisSchedule,paymentoftheChargesshallbemadeassetoutinclause5ofthisAgreement(Chargesandpayment).
3.ServiceLevels
TherearenootherServiceLevelprovisionsforthisAgreement.
4.Scaling
TheProvidershallscaletheresources(assetoutinSchedule2ofthisAgreement)usedbytheApplicationortheWebsitebasedontheCustomer’susagepatternordemand.TheCustomeragrees to pay an additional sum to the Provider of up to £1.00 permonth for deployingadditionalresourcesforauto-scaling.DetailsinrelationtotheseratesaresetoutinSchedule2ofthisAgreement.TheCustomerunderstandsandacceptsthat,afterreachingthisspecifiedlimit(£1.00)theauto-scalingwillstopandmaynegativelyimpactupontheperformanceoftheSiteorApplication.TheProvideracceptsnoliabilitywhatsoeverforsuchnegativeimpactsontheSiteorApplication.TheCustomermaysetandalterthisvalue(£1.00)byalteringthesettings on the Middleware Platform. The Customer understands and accepts that anyalterationstothesevalueswillaffecttheamountofscalingwhichoccursandtheCustomerwillbechargedtheentireamountdueimmediatelyuponconfirmingtheirproductselection.IftheCustomersetsthisvaluetobe‘unlimited’,theProviderwillchargetheCustomerthesumof£10,000.00immediatelyuponconfirmingtheirselection,andtheProviderwillcharge
afurthersumof£10,000.00oncetheCustomer’sbalanceontheAccounthasreachedthesumof£500.00.TheonlypermittedpaymentmethodforthisunlimitedscalingoptionisviaalinkeddebitorcreditcardtotheCustomer’sAccount.IftheCustomer’spaymentmethodisrejectedduetoanyreason,thislimitwillautomaticallyrevertbacktothe£1.00permonthoption.
6UpdatingtheApplicationortheWebsite
TheCustomershallberesponsibleforanyerrorsresultingfromanupdateorupdatestotheApplication or the Website. The Middleware Platform shall update the Website or theApplicationonaregularbasisprovidedthattheCustomerhasgiventheProvideraccesstotherelevantcoderepositories,asrequiredbytheMiddlewarePlatform,toenablesuchupdates.
7Retainer
TheProvidermayasktheCustomertopayasumof£100asretainertotheProvider(“theRetainer”)andthissumispayable,ifrequested,ontheEffectiveDateofthisAgreement.TheProviderreservestherightto increasetheRetainer iftheCustomerwishesto increasethescalinginaccordancewiththeratessetoutinSchedule2ofthisAgreement.
