MINUTES OF THE JOINT MEETING OF THE APPROVAL COMMITTEES FOR SEZs

The Joint Meeting of the Approval Committees was held on 18.12.2013 at 11.00 AM at

Board Room, M/s. Hitachi Consulting Software Services India Pvt. Limited, APIIC Ltd SEZ,

Nanakramguda, Hyderabad.

The Development Commissioner, VSEZ and Chair Person, Approval Committees

welcomed the Members and apprised them briefly about the proposals placed before the

Committees for their consideration. The items listed in the Agenda were discussed and following

decisions were taken.

The Approval Committee discussed and approved the proposal.

Reddy District, Andhra Pradesh for approval for correction in approved list of services of their

SEZ unit.

The Approval Committee discussed and noted the change in category from SEZ and DTA

operations to only SEZ operations. However it was informed that under the Notification 12, no

separate differentiation was made between only SEZ operations and SEZ and DTA operations.

Serlingampally,R.R.Dist,for approval for merger and name change of their SEZ unit withNTT

DATA Global Delivery Services Limited, unit in M/s. Divyasree NSL Infrastructure Pvt. Limited,

IT/ITES SEZ at Raidurga Village, SerilingampallyMandal, Ranga Reddy District, Andhra

Pradesh.

The Committee after deliberations approved the above proposal, subject to the following

Conditions:-

(i) Seamless continuity of the SEZ activities with unaltered responsibilities and

Obligations for the altered unit entity;

(ii) Fulfillment of all eligibility criteria applicable to units, including

Security clearances etc., by the altered unit entity and its constituents;

(iii) Applicability of and compliance with all Revenue / Company Affairs /SEBI etc. rules

Which regulate issues like capital gains, equity change, transfer, taxability etc.

(iv) Full financial details relating to the transfer of equity shall be furnished

immediately to the Department of Revenue.

(v) The assessing officer under the Income Tax Act, 1961, shall have the right to

assess the taxability of the amount arising out of the transfer of equity.

(vi) The applicant shall comply with relevant State Government laws, including

those relating to lease of land, as applicable.

AGENDA Item No: 4 (b): Proposal of M/s. Kony IT Services Pvt. Limited, unit-3 in M/s.

Divyasree NSL Infrastructure Pvt. Limited, IT/ITES SEZ at Raidurga Village,

SerilingampallyMandal, Ranga Reddy District, Andhra Pradesh for approval for list of services for

ratification (address correction).

The above proposal of list of services was inadvertently placed and approvedunder M/s.

Phoenix Infocity Pvt. Limited SEZ in the meeting held on 11-11-2013 instead of Divyasree NSL

Infrastructure Pvt Ltd. Development Commissioner had issued the approval duly correcting the

address.

The Approval Committee discussed and ratified the proposal.

value of Rs. 111,059,900/-.

The Approval Committee discussed and approved the list of materials (Appendix-B).

Village, GhatkesarMandal, Ranga Reddy District, Andhra Pradesh for approval for setting up of

Bio Gas Plant (93 sqm of area besides the Diesel Generator building) in their SEZ.

The Approval Committee discussed and approved the proposal to encourage Non-

Conventional Sources of energy.

Commercial Developers Limited, IT/ITES SEZ at Gachibowli Village, SerilingampallyMandal,

Ranga Reddy District, Andhra Pradesh for approval for procurement of Additional list of Goods

for their SEZ for ratification.

The Approval Committee in its meeting held on 11.11.2013 has approved the Additional

list of Goods (Operations and Maintenance) for Rs. 1,69,7,102/-. But the actual value was Rs.

1,69,57,102/-. The typographical error is brought to the notice of Approval Committee.

The Approval Committee discussed and ratified the value.

AGENDA Item No: 6 (b): Proposal of M/s. E.I. DuPont Services Centre India Pvt. Limited, unit

in M/s. DLF Commercial Developers Limited, IT/ITES SEZ at Gachibowli Village,

SerilingampallyMandal, Ranga Reddy District, Andhra Pradesh for approval for correction in

The Approval Committee discussed and advised the unit to explain the reasons for wrong

declaration that they have only SEZ operations.

AGENDA Item No: 6 (d): Proposal ofM/s. Hinduja Outsourcing Solutions India Pvt. Limited,

unit in M/s. DLF Commercial Developers Limited, IT/ITES SEZ at Gachibowli Village,

SerilingampallyMandal, Ranga Reddy District, Andhra Pradesh for approval for change of name

to M/s. HGS International Services Pvt. Limited.

The above proposal was placed in the UAC meeting held on 25.03.2013 and the Members

have discussed and approved the proposal subject to submission from NOC from Income Tax

Department and submission of Board Resolution in the name of M/s. HGS International Services

Pvt. Limited taking over the assets and liabilities of M/s. Hinduja Outsourcing Solutions India Pvt.

Limited. The unit has submitted the resolution. The NOC from Income Tax Department is yet to

be received.

The unit represented that their Approvals are held up for want of change of name.

The Approval Committee discussed and advised the Development Commissioner to wait

for one week for the comments of the Commissioner of Income Tax, Hyderabad-II

Commissionerate and then issue letter for change of name of the company.

AGENDA Item No: 6 (e): Proposal ofM/s. DLF Commercial Developers Limited, Developer,

IT/ITES SEZ at Gachibowli Village, SerilingampallyMandal, Ranga Reddy District, Andhra

Pradesh for approval for issue directions in respect of Form A1 under Notification No. 17/2011-

ST dated 01.03.2011 for list of services viz., Chartered Accountant Services and Legal

Consultancy Services.

The Developer represented that their Services were approved under both Notification 17 and 40.

However they had taken A1 Form only under Notification 40 and not under 17 with the

impression that the same form will cover both the periods. However their service provider has

now raised an objection and requested A1 form under 17 also. Therefore they need Approval

Committee to issue directions for issue of Form A1s since services were anyway approved by the

Committee.

Since the services are already approved by the Approval Committee under the said

notification, the issue is only technical in nature. Therefore it was decided that the Specified

Officer shall verify the required documents under the relevant notification and decide.

Ministry of Commerce vide Instruction No. 79 dated 19.11.2013 has recommended that the

following two services be included in the list of default authorized services by the Approval

Committees.

1) Rent-a-cab Scheme Operator’s Services

2) SEZ Online Services

The representative of Customs and Central Excise Department expressed reservations on

approving rent a cab service as it falls under the negative list.

The Approval Committed discussed and approved the service viz., SEZ Online Services

and w.r.t the service, Rent-a-cab Scheme Operator’s Service,advised the Development

Commissioner to take up the same with the Ministry of Commerce for further consultation on the

EXIT FROM SEZ SCHEME

AGENDA Item No: 25: Proposal of M/s. Infonity Knowledge Solutions Pvt. Limited, unit in

M/s. APIIC Limited, IT/ITES SEZ at Nanakramguda Village, SerilingampallyMandal, Ranga

Reddy District, Andhra Pradesh for cancellation of their LOA dated 20.06.2011.

The above proposal for cancellation of LOA dated 20.06.2011 was placed in the UAC

meeting held on 25.03.2013 and the Members have discussed and advised to write to all agencies

including state Government, Central Government agencies including the unit and give two weeks’

notice for their response and then remove the unit from approved list of units.

This office vide letters dated 17.04.2013 has written to all agencies including unit as

directed by the Members of the Approval Committee.

The Additional Commissioner of Income Tax, Range-2 vide its letter dated 28.05.2013 has

informed this office that tax arrears are pending in the case of the above unit for 3 years. Details

of the arrears have been submitted by ITO, Ward-2(1) to the above officer which is enclosed.

Therefore, before cancellation of approval, this office may consider the above fact.

The Co-Developer informed that the unit has never started any operations and no goods of

the unit are lying in the SEZ. The AO also informed that the unit has never started any operations.

The unit representatives are also not traceable.

The Approval Committee Cancelled the Letter of Approval (deemed to be cancelled as the

letter of approval lapsed on 19-06-2013) of the unit with a direction that the unit has to pay back

exemptions availed if any. The Income Tax Department may proceed to recover arrears from the

unit. Development Commissioner was asked to add the units name to fraudulent list of units and

keep other agencies informed.
