• Acceptingauditpools5.9 TheCarrieroraregulatoryauthoritygoverningtheCarrier'soperationsmay,atitsowncost,andwithreasonablepriornotice,auditthedesignatedservicesintheapplicableAnnex(es)B.Suchnoticeshallcontainadescriptionofthearea(s)tobeaudited.TheHandlingCompanyshallcooperatewiththeCarrierandwillundertakeanycorrectiveaction(s)required.IftheCarrierparticipatesinanyoftheIATAauditpools,theHandlingCompanyshallacceptanauditundertakenbyanothercarrierifdoneundertheumbrellaofthepoolandforthebenefitoftheentirepool.TheauditingcompanyorauditingpersonshallbeagreedbytheCarrierandtheHandlingCompany.

7.3 ThePartiesshallreachagreementonthepaymenttermsateachlocationwhichshallformpartoftheapplicableAnnex(es)B.ShouldtheCarrierfailtomakepaymentordisputetheinvoice(s),withintheagreedterms,theHandlingCompanyshallnotifytheCarrierinwritingofthefailuretopay.IntheeventthattheCarrierfailstopaytheamountduewithintheagreedrectificationperiod,asspecifiedinAnnex(es)B,theHandlingCompanyshallbeentitledtoissue7calendardays’noticeofsuspensionofservicestotheCarrier.TheHandlingCompanyshallrestoreservicestotheCarrierwithin24hoursofreceiptofpayment.

• ARTICLE11.DURATION,MODIFICATIONANDTERMINATION• Clarity:nonoticeperiodforcancellationofthecontractincaseofinsolvency• 11.8 EitherPartymayterminatethisAgreementanditsAnnexesatanytimewithimmediateeffect iftheotherPartybecomesinsolvent,makesageneralassignmentforthebenefitofcreditors,orcommitsanactofbankruptcyorifapetitioninbankruptcyorforitsreorganisation orthereadjustmentofitsindebtednessbefiledbyoragainstit,providedthepetitionisfoundjustifiedbytheappropriateauthority,orifareceiver,trusteeorliquidatorofallorsubstantiallyallofitspropertybeappointedorappliedfor.
