SECTION D - EVALUATION AND AWARD FACTORS

D.i AWARD OF CONTRACT

Award will be made to that responsive, responsible bidder within themeaning of the Federal Procurement Regulations 1-1.12 whose offer isthe lowest overall evaluated total contract price to the Governmentbased upon the requirements as set forth in the schedule. For thepurposes of determining the lowest offer, the unit prices quotedfor each item and/or subitem listed in Section E of this solicitationwill be multiplied by the number of units shown therein and the productsthereof added together to arrive at the aggregate of each bid.

Notwithstanding Section C, Paragraph 10, entitled " Award ofContract," the award of any resulting contract (s) will be made

first article. The notice of approval or conditional approval shallnot relieve the Contractor from complying with all requirements ofthe specifications and all other terms and conditions of this contract.A notice of conditional approval shall state any further actionrequired of the Contractor. A notice of disapproval shall citereasons therefore.

(c) If the first article is disapproved by the Government, theContractor may be required, at the option of the Government to submitan additional fin,t article for first article approval test. . Aftereach notification by the Government to submit an additional firstarticle, the Contractor shall at no additional cost to the Governmentmake any necessary changes, modi ications, or repairs to the firstarticle, or select another first article for testing. Such additionalfirst article shall be furnished to the Government under the terms andconditions and within the time specified in the notification. TheGovernment shall take action of this first article within the timelimit specified in (b) above. The costs of additional first articleapproval tests and all costs related to such tests shall be borne

by the Contractor. The Government reserves the right to require an-

equitable adjustment of the contract price for any extension of thedelivery schedule necessitated by additional first article approvaltests.

(d) If the Contractor fails to deliver any first article for test within .

the time or times specified..or if the Contracting Officer disapprovesany first article, the Contractor shall be deemed to have failedto make delivery within the meaning of the " Default" clause of thiscontract, and this contract shall be subject to termination fordefault; provided, that failure of the Government in such an eventto terminate this contract for default shall not relieve the Contractorof his responsibility to meet the delivery schedule for productionquantities. ,

(e) Where the first article is not consumed or destroyed in testing,!and unless otherwise provided in this contract, the Contractor

(i) may deliver an approved first article as a part of the contractquantity if it meets all terms and conditions of this contract foracceptance, and (ii) shall be responsible for removal and disposition

of any first article from the Government test site at his expense.5:

(f) In the event the Contracting Officer does not approve, conditionally-

approve, or disapprove. the first article within the time specified in #

(b) or (c) above, the Contracting Officer shall, upon timely written *

any other contractual provision affected by such delay, in accordancewith the procedures provided in the " Changes" clause. Failureto agree to any adjustment shall be a dispute concerning a questionof fact within the meaning of the clause of this contract entitled" Disputes."

(g) Prior to approval of the first article, the acquisition of materialsor components for, or the commencement of production of, the balanceof the contract quantity shall be at the sole risk of the Contractor,and costs incurred on account thereof shall not be allocabla to thiscontract (i) for the purpose of progress payments prior to approval ofthe first article, if this contract contains the clause entitled" Progress Paymnets," or (ii) for the purpose of termination settlemencs,if this contract is tenninated for the convenience of the Governmentprior to approval of the first article.

(h) For the purpose of this contract, the term "First Article" has the.

the same meaning as the synonymous terms "preproduction model(s)."

(i) The First Article shall conform in every respect with the requirementsset forth for production and shall be manufactured with tools,materials and methods which are the same as, or representative of,the supplies to be furnished under Items 1 and 2 (herein cal' ledproduction supplies). The First Article shall not be delivered forfirst article approval tests as provided for in this clause untilafter it has been determined by the Contractor to be in compliancewith said requirements.

(j) The Contractor shall incorporate all modifications required by anyconditional approval and correct any damage or deterioration resultingfrom testing or shipment of the First Article. As so modified andcorrected, and subject to the next to last sentence cf Paragraph (b)of this clause, the approved First Article shall serve as amanufacturing standard.

(The ~following clause is appliccble if this contract exceeds ($10,000.)(a) It is the policy of the Government to award contracts to labor

surplus area concerns that agree to perform substantially inlabor surplus areas, where this can be done consistent with.

the efficient performance of the contract and at prices no higherthan are obtainable elsewhere. The Contractor agrees to use hisbest efforts to place his subcontracts in accordance with thispolicy.

(b) In complying with paragraph (a) of this clause and with paragraph(b) of the clause and with paragraph (b) of the clause of thiscontract entitled " Utilization of Small Business Concerns," theContractor in placing his subcontracts shall observe the folicwingorder of preference: (1) Small business concerns that are laborsurplus area concerns, (2) other small business concerns, and (3)other labor surplus area concerns.

CLAUSE NO.44'

GOVERNMENT PROPERTY (FPRl-7.303-7(c))

(a) The Government shall deliver to the Contractor. for use only in conrectionwith this contract, the property described in the schedule or specifications(hereinafter referred to as " Government-furnished property"), at the timesand locations stated therein. If the Government-furnished property;suitable for its intended use, is not so delivered to the Contractor,the Contracting Officer shall, upon timely written request made by theContractor, and if the facts warrant such action, ecuitably adjust anyaffected provision of this contract pursuant to the procedures of the" Changes" clause hereof.

(b) Title to Government-furnished property shall reinain in the Government.The Contractor shall maintain adequate property control records ofGovetnment-furnished property in accordance with sound industrial practice.

Unless othenvise provided in this contract, the Contractor, upon delivery to(c)him of any Government-furnished property, assumes the risk of, and shallbe responsible for, any loss thereof or damage thereto except for reasonablewear and tear, and except to the extent that such property is consumedin the performance of this contract.

(d) The Contractor shall, upon completion of this contract, prepare for shipment,deliver f.o.b. origin, or dispose of all Government-furnished property notconsumed in the performance of this contract or not theretofore deliveredto the Government, as may be directed or authorized by the ContractingOfficer. The net proceeds of any such disposal shall be credited to the contractprice or paid in such other manner as the Contracting Officer may direct.
