NBWA Statement of Antitrust Policy
The United States antitrust laws were en act ed to preserve the free enterprise sys tem, to promote competition and to protect the public and other businesses from ex clu sion ary or predatory trade prac tic es. The National Beer Whole sal ers As so ci a tion (NBWA) and its members are best served by strict ad her ence to the antitrust laws. NBWA shall at all times promote vigorous com pe ti tion in compliance with these laws.
NBWA’s policy includes com pli ance with the spirit as well as the letter of the antitrust laws. This requires the un der stand ing and cooperation of each NBWA mem ber and staff employee. It is their per son al obligation and responsibility to act in a manner con sis tent with the na tion’s an ti trust laws.
Because of the scope and intricacy of the antitrust laws, NBWA members and staff must be sensitive to activities rais ing po tential problems under the an ti trust laws. The NBWA Antitrust Guide should be con sult ed. It identifies specific areas of an ti trust con cern as well as other areas where legal counsel should be sought.
All NBWA activities, meetings or dis cus sions shall avoid any conduct that would:
1. Raise, lower or stabilize pric es;
2. Allocate geographic ar eas or customers served;
3. Encourage refusals to deal or boycotts; or that in any way would violate fed er al or state antitrust laws.

Bylaws2
Section 1: Name and Location1.1 Name. The name of this organization shall be the NATIONAL BEER WHOLESALERS
ASSOCIATION, INC., a nonprofit, incorporated association (hereafter “NBWA” or “Association”).
1.2 Location. The principal office of the Association shall be located in Virginia and it may have offices at such other locations as designated by the Board of Directors.
Section 2: NBWA Mission and Goals Statements2.1 MISSION: The purpose of NBWA is to provide leadership which enhances the indepen-
dent beer wholesale industry; to advocate before government and the public; to encourage the responsible consumption of beer; and to provide programs and services that will benefit its members.
2.2 GOALS:
(a) Government Affairs and Advocacy—To effectively represent the beer wholesale indus-try and to promote and protect a sound three-tier system of distribution before the executive, legislative, and judicial branches of the federal government.
(b) Public Affairs and Communication—To promote awareness of the business of inde-pendent beer wholesalers, to promote the legal and responsible consumption of beer, and to provide community education and information. To effectively communicate with NBWA members, government, media, others in the channel of distribution, and the general public concerning beer, beer wholesaling and related matters. To positively affect the general public’s perception of beer.
(c) Member Programs—To attract and retain members, to provide programs/services, and to provide a forum for members and other segments of the beer industry. To provide education programs designed to benefit beer wholesalers and cost-effective insurance for beer wholesalers at a minimum cost to the association.
(d) Industry Affairs and Research—To advance the beer wholesale industry and to provide information which will benefit beer wholesalers’ relationships with suppliers, retailers, consumers, regulators and local officials. To aggressively defend the 21st Amendment.
2.3 ANTITRUST COMPLIANCE: All meetings of the NBWA and all activities of its members, officers, directors, employees and agents shall comply with the requirements of federal and state law, and in particular of their antitrust laws.

4.2 Term. Membership in the Association shall be for a one-year term. That term shall coincide with the fiscal year of the Association as established by the Board of Directors.
Section 5: Meetings of Regular Members and Voting5.1 Membership Meetings. Annual or Special Meetings of regular members of the As-
sociation shall be held at such place and on such dates as may be determined by the Board of Directors, upon not less than 30 days’ written notice to each regular member. Special meetings may be called by the Board with lesser notice where the Board determines that good cause exists.
5.2 Quorum and Voting. A quorum for any Annual or Special Meeting of the Association is a majority of the regular members registered as attending the meeting at which at least 20 percent of all regular members have registered. Each regular member in good standing has one vote for each basic permit under the FAA Act for which that member has a NBWA membership. All votes shall be cast in person only, except that the Board of Directors may specifically authorize mail (including facsimile) or proxy voting for designated issues in the notice of any meeting. Except as otherwise provided by these Bylaws, a majority vote of those regular members present and voting (including those votes authorized by mail, equivalent substitute or proxy) shall govern.
5.3 Rules of Order. The meetings of regular members of the Association shall be governed by Robert’s Rules of Order, except as otherwise authorized by the Board of Directors.
Section 6: Board of Directors6.1 Authority and Responsibility. The governing body of the Association shall be the
Board of Directors. The Board of Directors shall supervise, control and direct the affairs of the Association, its committees and publications; shall determine its policies; shall actively prosecute its objectives; and shall supervise the disburse-ment of its funds. The Board may adopt rules and regulations for the conduct of its business and may, in the execution of the powers specified herein, delegate its authority to elected or appointed officers.
6.2 Composition. The voting members of the Board of Directors shall consist of the elected officers, state directors, and appointed directors as identified herein. The President of the Association shall be an ex officio member of the Board without the right to vote.
(a) Elected Officers. The five elected officers (Chair, Immediate Past Chair, Vice Chair, Secretary and Treasurer).
(b) State Directors. 3 The 51 State Directors, including at least one from each state and the District of Columbia. If a state (including D.C.) represents more than or at least 4.5% of the total number of NBWA Regular members, the representation for that state shall be increased by one director. If the state’s above formula declines below the required 4.5%, its representation shall be reduced by one. If there is a reduc-tion in the number of Directors, the two sitting Board members will serve the remainder of their term and only one director will be reelected. The Secretary shall determine the number of directors to be selected by each state annually 30 days in advance of such annual elections.
3 Amended by Board action on August 9, 2005. The number of Regular members in a state (including the District of Columbia) which would require the election of an additional director was changed to 4.5% of the total number of NBWA Regular members.

Section 3: Membership3.1 Regular Membership. Regular voting membership in the Association shall be limited
to independent beer wholesalers/distributors holding a basic permit under the Federal Alcohol Administration Act to distribute beer (or its equivalent for wholesalers operating in a U.S. territory or possession) and who subscribe to the mission and goals of the Association. A regular member, however formed, who owns, controls or otherwise possesses more than one federal basic permit (regardless of location) may register as a regular member for each licensed loca-tion; and each such membership shall have one vote (as set forth in § 5.2). To be eligible for regular membership, the applicant must represent itself to the trade and public as an independent wholesale distributor of beer (A) who regularly purchases beer as a principal from supplier(s); (B) whose primary business is offering for sale, storing, reselling, and physically transferring beer to non-affili-ated firms holding retail licenses; and (C) who adds value to the product by such activities. A beer wholesaler whose operations are controlled in law or fact by a supplier shall be ineligible for regular membership.
3.2 Associate Membership. Associate nonvoting membership in the Association shall be available to suppliers, supplier controlled wholesalers, and any other entity, however formed, that supplies goods and services to licensed beer wholesalers.
3.3 Membership Determinations.
(a) Application. Application for regular membership shall require a commitment to the mission and goals of the Association, retention of a federal basic permit in good standing, compliance with the criteria for regular membership, and payment of annual NBWA dues and assessments. Application for associate membership shall be accompanied by pay-ment of the annual NBWA dues and assessments. The Secretary shall determine whether the above requirements for regular or associate membership have been met.
(b) Withdrawal and Termination. A regular or associate member may with-draw from the Association after fulfilling all financial obligations to it by written notice to the Secretary. A regular membership shall be terminated or suspended by the Secretary for nonpayment of dues, assessments, subscriptions, other obligations of the Association, or withdrawal from business as an independent beer wholesaler. Such a termination shall be effective 30 days after written notice is mailed to the member (unless cured). An associate member shall be termi-nated or suspended for nonpayment of dues or assessments 30 days after written notice is mailed to the member (unless cured). Upon the effective date of termination, suspension or resignation, the affected member shall no longer be entitled to the privileges of membership and shall cease the display or use of any mark of membership in the Association.
(c) Appeal. An applicant or member shall have the right to appeal a decision of the Secretary rejecting an application or terminating or suspending membership by filing a written statement setting forth the basis of the appeal and requesting a personal appearance if desired. The ap-peal will be considered by the Management Committee (or such other committee designated by the Board) at its next regularly scheduled meeting. The decision of that committee may be appealed by either the applicant/member or the Secretary to the Board of Directors, whose decision shall be final.
Section 4: Dues, Assessments and Term4.1 Dues and Assessments. Dues and assessments of regular and associate members shall

of that director’s last term. This three-year term limit shall not apply: (A) when a director is elected to fill a term of less than three years; (B) for the period that a director has been elected as a numbered (two year) regional director (in which case the three-year term shall also be extended as necessary); and (C) when no other eligible regular member is willing to serve.
(iii) Election. Prior to each annual meeting of the Association, the regular members in good standing located in each state shall elect a State Director for each vacancy by written secret bal-lot pursuant to procedures established by the Board. Where the regular members of a state do not elect a State Director, the Chair shall be authorized to appoint a director for that state subject to the approval of the Board for a one-year term.
(d) Appointed Directors. 6
(i) Eligibility. Any officer, stockholder, or employee of a regular member shall be eligible for appointment as an appointed director.
(ii) Term. Each appointed director shall serve a term of three years. The terms of the three appointed directors shall be stag-gered such that one appointed director is appointed each year.
(e)Termination, Resignation, Absence, Removal, Recall and Vacancies. Regular membership in good standing is required of all Board members. An office or directorship shall be declared vacant upon any of the follow-ing events: (i) termination or suspension of membership; (ii) resigna-tion from the Board; (iii) unexcused absence from two consecutive meetings of the Board or Management Committee; (iv) removal, with or without cause, by a three-quarters vote of the Board members present; and (v) recall by a petition signed by 40 percent of the NBWA members of a state that is affirmed by a vote of 75 percent of such state members. A vacancy in an elected office shall be filled as set forth in Section 8.1(b). Vacancies of Regional or State Directors shall be filled for the unexpired term by election of such director as other-wise provided in this Section 6.
(f) Substitutes. Any State Director necessarily absent from a Board meeting should designate a substitute regular member from that state to at-tend the meeting and to vote or otherwise act as the director from that state for the specified meeting. If no such substitute is designat-ed, the Chair may designate such a substitute.
6.4 Meetings of the Board. Regular meetings of the Board of Directors shall be held at such time and place as the Chair shall determine; written notice of such meet-ings shall be mailed at least 30 days in advance (except where the Chairman determines that good cause exists for a lesser notice). The initial regular meet-ing of each Board shall be held immediately after the Annual Meeting of the Association at the same location, and the final meeting of each Board shall be at the next year’s Annual Meeting. Special meetings of the Board may be called by the Chair or 20 percent of the Board at such time and location as determined by the Chair. The Board of Directors may also take any action by written consent

(c) Appointed Directors. 4 Three members unanimously nominated by the Of-ficers, with the advice of the President, and elected by majority vote of the Management Committee.
6.3 Terms, Elections and Appointment of Board Members.
(a) Elected Officers. The terms and election of elected officers shall be as set forth in Section 8.1.
(b) Regional Chairs. 5 There shall be elected from the state directors only and not from the Appointed Directors, as specified below, 10 regional Chairs from numbered regions (1 through 8) and at-large regions (East and West). The division of states into numbered and at-large regions shall be as determined by the Board of Directors.
(i) Numbered Regions. Each numbered region shall elect a chair for a two-year term. Terms of such Regional Chairs shall be stag-gered so that chairs of even numbered and odd numbered regions are elected in alternate years. The election of such Regional Chairs shall be by the expiring Board at its final meeting after the election of officers is completed. Only those whose terms on the Board of Directors do not expire at said meeting shall be eligible to serve as a Regional Chair.
(ii) At-Large Regions. Each at-large region shall elect a Chair for a one-year term. The election of such Regional Chairs shall be by the expiring Board at its final meeting after the election of numbered Regional Chairs is completed. Only those whose terms on the Board of Directors do not expire at said meet-ing shall be eligible to serve as a Regional Chair.
(c) State Directors.
(i) Eligibility. Any officer, stockholder or employee of a regular mem-ber so designated by that member shall be eligible for elec-tion as a state director.
(ii) Term. Each state and the District of Columbia shall elect a State Director for a term of three years (or until such time as a successor is elected) commencing with the meeting of the Board of Directors after the new Board is certified. (Regular members from Puerto Rico and the Virgin Islands shall be included with the regular members of Florida for purposes of such elections; regular members from other territories and possessions shall be included in a state election as determined by the Board.) Terms of State Directors shall be staggered as determined by the Board so that approximately one-third of the State Directors are elected each year; if a state has more than one director, the terms of such a state’s directors shall also be staggered if practicable. State Direc-tors shall not be eligible for reelection to consecutive three-year terms until one year has elapsed since the expiration

the NBWA-State Association Committee who shall serve as voting members on specified standing committees as determined by the Board.
7.3 Special Committees. The Board may authorize the creation of such special committees as it deems appropriate. Such committees shall be for a specified or unspeci-fied term and for a specific assignment; they shall terminate at the end of the term or the completion of the assignment. The Chair of the Board shall appoint regular members of the Association, including but not limited to members of the Board, as members of such special committees, and he shall also designate the chair of such committees.
7.4 Terms and Vacancies. All appointments to standing and special committees of the Board shall be for no longer than one-year terms commencing no later than November 1 of each year. The Chair of the Board shall fill any vacancy on such committees for the unexpired term from others eligible for appointment to such committees.
Section 8: Officers8.1 Elected Officers. The elected officers of the Association shall be a Chair, Immediate
Past Chair, Vice Chair, Secretary and Treasurer. Each such officer shall be elected for a one-year term by the expiring Board at its final meeting, except that the Vice Chair shall be deemed to be automatically elected Chair at the next annual meeting held at the end of the term of the Chair, at which time the then Chair shall automatically become the Immediate Past Chair.
(a) Qualifications. Any regular member in good standing who is a current mem-ber of the Board, who is not an appointed director pursuant to Sec-tion 6.2(c), and has completed one year of service on the Board shall be eligible for nomination and election to any elective office.
(b) Vacancies. The vacancy of an office shall be determined as set forth in Section 6.3(d). A vacancy in the office of Chair shall automatically be filled by the Vice Chair for the unexpired term, and such service shall not disqualify the Vice Chair from continuing as Chair for a full one-year term at the next annual meeting of the Board. The election of a Vice Chair to fill a vacancy shall be limited to that unexpired term. A va-cancy in the office of Immediate Past Chair shall be filled by the next prior past Chair. A vacancy in any other elective office shall be filled by a vote of the Board from among those eligible for election to such office.
(c) Nomination and Election Procedures. The rules governing nominations of officers shall be determined by the committee assigned responsibility by the Board for nominations of officers. All such elections shall be by written secret ballot unless waived by unanimous consent of the Board. Any director may vote by written proxy where such director’s absence is approved as excused by the Chair of the Board.
NBWA Board Members who have completed a one-year term of service may announce their intention to run for Vice Chair, Secretary or Treasurer no sooner than June 1 of the election year. Announce-ments must be made in writing to the NBWA Chair of the Nominating Committee.
Declaration of intent must be received no later than 30 days in ad-vance of the Board’s final meeting of that year, held in conjunction with the NBWA Annual Convention.
(d) Authority and Duties. Elected officers shall have such authority and shall perform such duties as are commonly assigned to such offices and as

of a majority in lieu of a meeting.
6.5 Quorum and Voting. At any meeting of the Board of Directors, the presence of a majority of the voting members of the Board shall constitute a quorum, and all members of the Board present, including the Chair, shall have one vote. In order to vote, a member must be personally present at the meeting, unless the Board consents to voice telephonic participation. Proxy voting and mail ballots are not permitted at any Board meeting for actions of the Board.
6.6 Others Attending Board Meetings. All chairs of standing and special committees shall attend meetings of the Board. Two state executives who are members of the NBWA-State Association Committee shall be selected by the Chair of NBWA and shall be invited to attend meetings of the Board. Subject to the concurrence of the Board, the Chair or President may invite others to attend any meeting of the Board. In addition, staff of NBWA shall attend and be available to the Board as determined by the President or Chair. All persons identified in this Section 6.6 who are not also members of the Board shall have no vote on any matter before the Board.
6.7 Rules of Order. The meetings of the Board shall be governed by Robert’s Rules of Order, except as otherwise authorized by the Board.
6.8 Referendum. Ten percent of the regular members may petition for a referendum to overrule any action of the Board. Such a referendum shall then be held and it shall take a majority of all regular members eligible to vote at the time of the referendum to overturn the action of the Board.
Section 7: Standing and Special Committees7.1 Management Committee. The Management Committee shall have the authority to
manage the property, affairs, activities and concerns of the Association under policies established by the Board of Directors. Membership on the Manage-ment Committee shall be as follows: Chairman, Vice Chair, Immediate Past Chair, Secretary, Treasurer, and 10 Regional Chairs. The chairs of all standing commit-tees shall also be members of the Management Committee. A substitute State Director from a region shall be designated by the Regional Chair to attend and vote at any meeting of the Management Committee that a Regional Chair cannot attend. The President of the Association shall be an ex officio member of the Management Committee without the right to vote. The Management Committee shall meet at the call of the Chair or President or at the request of five members of the Committee.
7.2 Other Standing Committees. 7 & 8 The Board shall authorize the creation of such ad-ditional standing committees as it finds are appropriate. Such committees may include but are not limited to: audit, convention, finance, government affairs, industry affairs, membership, nominating, planning and political action. The duties of such committees shall be determined by the Board. Such standing committees shall continue from year to year until terminated by action of the Board. The Chair of the Board shall appoint the chair and members of each standing committee from the elected officers and state directors with two exceptions. The audit committee shall be chaired by a regular member of the Association not on the Board and the Treasurer shall not be a member of that committee. The audit committee chair shall be selected by the officers, shall serve three years, and shall not be eligible for reappointment to that position after his/her term has expired. The Legal Review Committee may be chaired by a regular member of the Association or a member of the Board of Directors. The Chair of the Board shall also select state executives from a list provided by

the Board or Chair shall assign as appropriate. However, no officer shall execute or endorse in the name of or on behalf of the Association or oth-erwise act in an official capacity to obligate the Association except upon the approval and written direction of the Board of Directors.
8.2 Appointed Officers. The appointed officers of this Association shall be the President and such staff Vice Presidents as may be recommended from time to time by the presi-dent to the Management Committee for approval.
(a) President. The Management Committee shall select for recommendation to the Board a salaried employee who shall have the title of President and whose terms and conditions of employment shall be set forth in a contract approved by the Management Committee. The President shall manage and direct all activities of the Association as shall be prescribed by the Board. The elected officers shall review the performance of the President annually. The President shall be removable pursuant to the terms of the employment agreement approved by the Management Committee.
(b) Staff Officers and Personnel. The President shall employ and/or may terminate the employment of staff officers and other employees necessary to carry out the work of the Association, establish their titles and fix their compensation, all within the approved budget. The President shall define the duties of the staff, supervise their performance, and review such performance annually.
Section 9: IndemnificationEach director, officer, committee member, employee and other agent of the Association shall be held harmless and indemnified by NBWA against all claims and liabilities and all costs and expenses including attorney’s fees, reasonably incurred or imposed upon him in connec-tion with or resulting from any action, suit or proceeding, or the settlement or compromise thereof, to which he may be made a party by reason of any action taken or omitted to be taken by him in good faith as a director, officer, committee member, employee or agent of the Association. This right of indemnification shall inure to such person whether or not he is a director, officer, committee member, employee or agent at the time such liabilities, costs, or expenses are imposed or incurred, and, in the event of his death, shall extend to his legal representatives. To the extent available the Association shall insure against any potential liability hereunder.
Section 10: AmendmentThese Bylaws may be altered, amended or repealed and any new Bylaws may be adopted by an affirmative vote of two-thirds of the Board of Directors present at any regular meet-ing of the Board; provided, however, that such proposed amendment of the Bylaws is first recommended by the Management Committee, and notice is given to the members of the Board no less than 30 days prior to the date of the meeting at which such amendment will be considered by the Board.
Section 11: Liquidation Dissolution and Distribution11.1 Procedure for Liquidation and Dissolution. The voluntary dissolution of the Association
shall be in accordance with the procedures set forth in the laws of the State of Virginia.
11.2 Distribution of Assets. In the event of liquidation, dissolution or winding up of the Association, whether voluntarily or involuntarily (including by operation of law), the remaining property and assets of the Association shall be distributed in such a manner as the Board of Directors shall determine and for such purposes as speci-fied in Section 501(c)(6) of the Internal Revenue Code (as amended) applicable to nonprofit entities.
The foregoing Restated Bylaws were adopted by the regular members of the National Beer Wholesalers Association, Inc., at an annual meeting on October 4, 1993.
