    TheaimofthisdocumentistoregulateandfacilitatetheERactivitiesofAIESECin

    Austriaandtofurtherincreaseoursuccessinexternalrelationshipmanagementbyset-

    tingcommonnormsforthecountryinthisfield.Itclarifiesthequestionablesituations

    whichcanemergebetweenthedifferententitiesofAIESECinAustriaduringinteraction

    withourexternalenvironment.Thefollowingprinciplesapplytobothlocalandnational

    entities.

    whoisstandingininteractionwithourexternalenvironment.Thesepersonsare

    boundtothepoliciesandregulationsoutlinedinthisdocument.

    2. IfanymemberofAIESECinAustriarepeatedlyviolatesthenationalERXprinci-plesofAIESECinAustriaand/oritsappendices,his/hercaseshallbediscussed

    bytheERXcommissionassoonaspossible.MoreovertheERXcommissionshall

    decideontheconsequencesthismemberwillbesubjectto.

    InordertoworkinthefieldofExternalRelationsaswellasIncomingExchangewithin

    AIESECinAustriaitisnecessarytounderstandtheimportanceofthisareaforallour

    localandnationalentitiesaswellasforourexternalenvironment,morespecificallythe

    corporateworld.Thefollowingstatementsaretheretofacilitatetheprocessofunder-

    standing.

    Whoarewe?

    AsthelinkbetweenAIESECanditsexternalenvironmentweareworkingtogetheron

    thedevelopmentofAIESECforexternalentities.MoreoverweenableAIESECtoexistas

    anorganizationbyprovidingthenecessaryresources.

    Whatarewestandingfor?Whatisdrivingus?

    Wearestandingforcontinuouslong-termorganizationalgrowthandrelevanceofAI-

    ESECintheAustriansociety.ERXmembersaddanexternalperspectivetoourorganiza-

    tionandalignourproductstotheneedsofourexternalenvironment.

    Whatdowewanttobeseenas?

    WeareperceivedasacrucialpartofAIESECinAustriaaswearetheenablersandrep-

    resentativesofthewholeorganization;aswelltheworkinourareacontributestoour

    personalgrowth.

    1. EveryentityofAIESECinAustriashallberepresentedtowardsourexternalenvi-ronmentbyitsERXtaskforce,consistingoftheERresponsibleandtheother

    membersoftheERXareawithinthisspecificentity.MoreovertheERXrespon-

    siblecanassigntherighttointeractwithourcorporateenvironmenttoother

    personsinthisentity.

    2. ThenationalERtaskforceofAIESECinAustriaconsistsoftheMCVPICX,NSBNationalCareerDaysCoordinator,NSBNationalMatchingCoordinator,NSB

    NationalERManager,NSBRegionalERManagerandMCVPFinanceaswellas

    NSBfunds,conferenceandin-kindcoordinator.

    3. TheERXtaskforceofanLCoranIGofAIESECinAustriaconsistsoftheLCVPER,theERareaTeamLeadersandtheERareaTeamMembers.Moreover,theother

    membersoftheLCEBandtheCOMM.AreaTLsandTeamMembersaregivenpermissiontorepresenttheLCtowardsthecorporateenvironment.

    InsomeLCsaswellotherTLsandTeamMembersareallowedtotakepartinthis

    process.InthiscasetheyhavetobeeducatedontheERXprinciplesandbasicsof

    ExternalRepresentationpriortointeractionwithourexternalenvironment.

    4. DuringanypublicrepresentationofAIESEC,membersoftheERXareamustal-waysfollowtheAIESECvaluesandprinciplesasoutlinedintheAIESECway.

    Section4ourexternalenvironment/cooperationcriteria

    1. Allcompanies/organizations,whoseactivitiesdonotviolatethevalues,princi-plesandgoalsofAIESEC,theAIESECwayortheInternationalCompendiumand

    furthermorecanbealignedwiththeactivitiesofallentitiesofAIESECinAustria,

    shallhavetheopportunitytoaccessthewholeproductportfolioofAIESECin

    Austria,takingintoconsiderationitslimits.

    2. AIESECinAustriadoesnotcooperatewithorganizationsinanywaywhoseac-tivitiesare

    a. producingtobaccoproductsb.

    producingortradingfirearmsc. violatinghumanrights

    MoreoverAIESECinAustriadoesnotcooperatewithanypoliticalparty.

    3. NoentityofAIESECinAustriashalleverenterintoacontractualagreementwithanyentityofourexternalenvironment,ifthiscertaincontractviolatesorre-

    quiresanentityofAIESECinAustriatoviolatethevalues,principlesorgoalsof

    AIESEC,theAIESECwayortheInternationalCompendiumortheAustrianlaw.

    Section5SalesandPartnershipContracts

    1. EveryentityofAIESECinAustriaaimstohavepartnershipsinanamountthatenablesittodeliveraconstantlygrowingnumberofhighqualityAIESECexperi-encesandsufficientlyfundsitsbudget,includingreservebuilding.Furthermore,

    weareaimingtoconstantlyexpandouractivities(theactivitiesofAIESECin

    Austria),whichshouldaswelldisplayinaconstantlyincreasingnumberofpart-

    nerships.

    2. Allentitiesinvolvedinapartnershiporpotentialpartnershipshallprovidefreeaccesstoallrelevantcommunicationbetweentheentityandorganizationsin

    theirmarketstoeachother.

    3. Everylong-termcooperationbetweenanentityofAIESECinAustriaandacom-pany/organizationofourexternalenvironmentshallbebasedon/securedbya

    writtencontract.TherebyweensureasustainabledevelopmentoftheERXarea

    andmoreoverpaytributetothefactthatAIESECisafast-changingorganization

    withhighmemberturnover.

    4. EverycontractconcludedoractiontakenbyanentityofAIESECinAustriashouldnotleaveanyotherAIESECentityinaworseoffpositionlegally,financiallyorin

    termsoftheirreputationorthevalueoftheirbrandwithoutpriorconsultation

    andagreement.

    Shouldtheseprinciplesbeviolatedbyanyentity,thenationalcompendium

    (2.5.7)statestheprocedureasfollows:

    Violation:

    Incasetheserulesarebeingviolatedbyanyentityandthepresidentsof

    thoseentitiescantfindasolution,atribunalofarbitrationaccordingtothe

    statutes18shalltakeplaceanddecideonthecaseaswellasonrevenue

    sharingorotheragreementsifapplicable.Thesummaryandoutputofeach

    casehastobepublishedonmyaiesec.net.

    5. Ifsuchascenariotakesplaceorthereisapossibilityofsuchascenariotakingplace,theconcernedentitiesshallbehaveasfollows:

    1. Thefirststepshallbetosettlethesituationbetweenthetwoentities.ThisshallbedonebytheERresponsiblesandifgivenandnecessary,theEBs

    oftheconcernedentities.

    2. Ifanagreeablesettlementcouldnotbereachedwithinareasonabletime-frame,thenthesituationshouldbeaddressedtotheERXcommissionfor

    adviceonresolvingthescenario.

    3. TheERXcommissiongivesarecommendationfortheresolutionaswellasadeadlineuntiltheconflictshallbesolvedbetweenthe2entities,which

    caneitheracceptthisrecommendationor,afterthedeadlineforresolu-

    tionhaspassed,callinatribuneofarbitrationthatdecidesforthem.Ifa

    sellingviolationcaseisbroughtbeforetheERXcommission,asummary

    andoutputofthecasehastobepreparedandpublishedonmyaiesec.net.

    6. IncaseofanyotherdisagreementoraconflictconcerningERXoccurringbe-tweentwoormoreentitiesofAIESECinAustria,theconcernedentitiesshallbe-

    haveasstatedinSection5,paragraph5(ofthesenationalERprinciples).This

    paragraphisalsotobeappliedifanyoftheprinciplesandregulationsinthis

    documentisbeingviolated.

    Section6-RevenueSharing

    1. AIESECinAustriastrivestohaveatransparentandcommonrevenuesharingmodelthatencouragesandrewardsthesellingentity,recognizedasoneofthe

    criticalelementsinsuccessofanAIESECactivity.TheRevenueSharingModel

    takesintoconsiderationallthesellingentitiesofAIESECinAustria:LCVienna

    1952,IGVienna,LCLinz,LCGraz,LCSalzburg,LCInnsbruckandMC(repre-

    sentedbytheNationalERXtaskforce:MCVPICX,NSBNationalCareerDaysCo-

    ordinator,NSBNationalMatchingCoordinator,NSBNationalERManager,NSB

    RegionalERManagerandMCVPFinanceaswellasNSBfunds,conferenceandin-

    kindcoordinator).

    7. InaccordancetotheNationalCompendium(2.5.6):CRM:IfacompanywasnotcontactedaccordingtotheCRMdatabaseinthelast

    12months,itisfreetobecontactedbyanyotherIG,LCortheMCagain(respect-

    ingthefollowingparagraph).

    8. IfanentityofAIESECinAustriawishestocontactacompany/organizationorin-dividualfromanotherentitysregion,itrequirestheapprovalofthatcertainen-

    tity,withinatimeframeof1week.NeverthelessapersonalcalltotheERrespon-

    sibleisrequired.Ifthecallisnotansweredanemailhastobesentout.Ifthereis

    anautoreplystatingthattheERresponsibleofthatveryregionisnotabletoget

    backtotheotherentityintimeregardingthismattertheLCPoftheregionin

    questionhastobecontacted.Iftheconcernedentitydoesnotrespondwithinthis

    timeframe,therequestingentityisautomaticallyallowedtocontactthecompany.

    Stillthecontactingentityhastoinformtheotherentityabouttheapproachprior

    tocontactingthecompany.

    9. InaccordancetotheNationalCompendium(2.5.3):Contacting:OrganizationsandcompaniesheadquarteredinoneLC'sterritory

    mayonlybecontactedbyanotherLCorIGafterconsultingwiththeVPERorthe

    LCPoftheconcernedLC.

    10.InaccordancetotheNationalCompendium(2.5.5):TheMCisallowedtocontactcompaniesanywhereinAustria.Itis,however,ne-

    cessarytoconsulttheCRMdatabaseforexistingcontacthistoriesandtoinform

    theconcernedVPER(s)ortheLCPbeforecontactingorganizationsorcompanies.

    11.ItisstrictlyforbiddenforanyentityofAIESECinAustriatocontactanycom-pany/organizationorindividual,whichiseitherinapartnershiporinnegotia-

    tionwithanotherentityofAIESECinAustria.

    Thepartnershiphastobeoutlinedandmoreimportantlystatedassuchclearlyin

    theCRM.ThereforetheaccounthastobeupdatedwithintheCRMaccordingto

    theactivitieswiththatcompanywithfulltransparency.

    IfanentityofAIESECinAustriaiscontactedbyacompany/organizationwhich

    happenstobeeitheracurrentpartneroforinnegotiationwithanotherentityof

    AIESECinAustria,thentheapproachedAIESECentitycannotcooperatewiththat

    company/organizationwithouttheagreementoftheotherinvolvedAIESECen-

    tity.

    12.Whenapproachingacompany/organization,theapproachingentityshallpresentthewholeproductportfolioofAIESECinAustria,consistingofeverylocalpro-

    ductportfolioandthenationalproductportfolio.TheproductportfoliosofallentitiesofAIESECinAustriacanbefoundintheERXAustriawiki.

    13.Iftheapproachedcompany/organizationisinterestedinaproductofanotheren-tityofAIESECinAustria,thesellingentitymustcontacttheorganizingentityand

    agreeonnextstepsinthesellingprocess.

    14.NoentityofAIESECinAustriashallenterintoacontractualagreementonbehalfofanotherentityofAIESECinAustria,withouttheirpriorwrittenconsent.

    15.IfacontractbetweenAIESECinAustriaandanexternalentityinvolvesmorethanoneentityofAIESECinAustria,itisasocalledmulti-entitycontractandhastobe

    handledaccordingtotherulesandregulationsoutlinedinSection6ofthis

    document.

    16.Thepromotionandmarketingmaterialsusedduringinteractionwithourexter-nalenvironmentshallbeup-to-dateandbrandalignedaccordingtotheGlobal

    BrandToolkit.

    MC-LC-LCCrossSelling

    1. Exchange:EveryentityofAIESECinAustriaofferingTNsshallsellthemsolelytocom-

    panies/organizationslocatedinitsownregionalmarket.Itisnotallowedtosell

    TNstocompanies/organizationslocatedintheregionalmarketofanotherentityofAIESECinAustria.

    Ingeneraltheexchangefeeappliestoallexchangerelatedactivities.Itsays,that

    fromeveryEurogeneratedbyexchange,30%willbechargedbytheMCasEx-

    changefee.

    ServicingAgreement

    Incaseoneentity(includingtheMC)israisingaTNbutisnotservicingthatspe-

    cificTN,theentitywhichisdeliveringtheservicingreceives30%oftheoverall

    exchangeincomeofthatTN.

    IndetailtheentitywhichraisedtheTNwillalsoinvoicethecom-

    pany/organizationonthedateofrealization.Regardlessoftheactualpaymentof

    thatTNTakertheraisingentityhastorewardtheservicingentityontherealiza-

    tiondateaswell.Thisisbecauseofthealreadydeliveredserviceoftheservicing

    entityandthethereforealreadyincurredcostsandinvestedHRresources.

    IftheMCisraisingaTNwhichisservicedbyanLC,theMChastopayforthat

    serviceatthefollowingclearingdateoftheLCBalance.

    20%oftheremainingtotalnetincomewillbedistributedequallybetweentheparticipatingLCs

    Theremainingtotalnetincomeafterthatwillbedistributedaccordingtothesellingperformanceofeveryentity(e.g.anLCthatcontributes30%tothe

    totalincomewillreceive30%oftheremainingtotalnetincome).

    3. IdenticalProducts:IftwoormorelocalentitiesofAIESECinAustriaareofferingidenticalproducts,theymustnotsellthemtoanycompany/organizationlocatedintheregional

    marketofanotherlocalentityofAIESECinAustria,whichisofferingthesame

    product.

    Togiveanexampleforsuchacase,imaginethefollowingsituation:LCVienna

    andLCGrazarebothofferingtheproductTalentDevelopmentDay.Bothpro-

    ductsareidenticalbytheoutlineaswellasbythepricesfortheparticipationof

    companies/organizations.Itisstrictlyforbiddenforbothentitiestosellthatspe-

    cificproductinthesellingregionofthecompetingLC.

    4. Single-entityproducts:IfaproductisonlyofferedbyonelocalentityofAIESECinAustria,everyentityof

    AIESECinAustriaisallowedtosellittocompanies/organizationsinitsregional

    market,withtheagreementofthesellingprocessbytheERresponsiblefromthe

    targetedarea.

    TogivearealexampletothatcasewecantakeDiscoverythecareerfairdeliv-

    eredbyLCLinzasacasestudy.IftheERresponsiblefromLinzagreesonit,

    everyentitywithinAIESECinAustriaisenabledtoselltheofferedcompany

    standsforDiscoveryinLinz.

    Section7operationalregulations/workingtogether

    1. EverymemberoftheERXareaofAIESECinAustriashallacttransparently,re-spectfullyandsupportivelytowardstheareaanditsmembers.

    2. TransitioninERXareashouldcontainasaminimumstandardoftransferredknowledge:currentaccountsandstatusonpartnerships,transitionmeetings

    withpartners,historyofkeyaccounts,nationalERprinciples.

    ERXCommission

    3. CommissionmeetingsarethemostimportantopportunityforERXinAustriatocometogetherandworkoncommonissues.Thereforeattendanceismandatory.

    IfanymemberoftheERXcommissionisnotabletoattendthemeeting,he/she

    hastosendaletterofabsencetothenationalERresponsible3daysbeforethe

    meeting.

    4. Itisalsopossibletoconductcommissionmeetingsthroughvirtualcommunica-

    tionchannels.

    1. EveryentityofAIESECinAustriashalldocumentitsinteractionswiththeexter-nalenvironmentinouronlineCRMsystem.
